An Indian book-built IPO moves through a defined chain: the company prepares and files a draft red herring prospectus (DRHP), publishes the red herring prospectus (RHP) and price band, accepts bids through ASBA or UPI, finalizes the issue price and allotment, credits successful applicants’ demat accounts, and lists the shares on a recognized stock exchange. The exact price band, lot size, dates, category rules and listing date always come from that issue’s current offer documents and exchange notices.
The DRHP is an important disclosure document, not an approval or a buy recommendation. It normally does not contain the final price or final number of securities in a book-built issue. Investors should use it, the later RHP and the final prospectus to examine the issuer’s business, financial statements, risks, offer structure and use of proceeds before applying.

The Indian IPO process at a glance
A public issue is usually described as a sequence, but several activities overlap. Lead managers prepare disclosures with the issuer; regulators and the issuer address disclosure requirements; the company announces bidding terms; investors submit applications; and registrars, exchanges, banks and depositories complete allocation and listing.

| Stage | Main document or event | What it tells an investor |
|---|---|---|
| Preparation | Draft red herring prospectus (DRHP) filed with SEBI | Business, financial, risk, governance, issue-structure and use-of-proceeds disclosures; final price and final security count are omitted for a book-built issue |
| Pre-opening | Red herring prospectus (RHP) and announced price band | Bid range, issue dates, lot size and other terms for the live offer |
| Bidding | ASBA or UPI application | Your bid is submitted and the required amount is blocked in your bank account |
| Pricing and allocation | Final prospectus, basis of allotment and fund release | Final issue price, shares allotted to each category and the amount actually debited |
| Post-issue | Demat credit and exchange listing | Allotted shares become visible in the investor’s demat account and begin trading on the announced listing date |
SEBI’s public-issue filing index treats draft documents filed with SEBI, red-herring documents filed with the Registrar of Companies (RoC), and final offer documents filed with the RoC as separate document categories. That distinction matters: the first document you read is not necessarily the document containing the final commercial terms.

1. The issuer prepares and files the DRHP
What the DRHP contains
The issuer works with its book running lead managers to assemble the proposed issue disclosures. The DRHP is intended to let a prospective investor understand what the company does, how it earns money, its historical financial information, material risks, capital structure, outstanding litigation or regulatory matters where disclosed, the proposed use of proceeds and the mechanics of the offer.
In a book-built issue, the DRHP describes the securities and the proposed offer but leaves out the final price and final number of securities offered. Those terms are determined later through the pricing and bidding process. A DRHP therefore cannot tell you the exact amount you will pay for an allotted share.
How to read the filing
- Start with the summary, risk factors and business sections, then check the financial statements and the management discussion.
- Separate fresh-issue proceeds from any offer for sale. Money raised by an offer for sale generally goes to selling shareholders rather than to the company.
- Check the stated use of proceeds against the company’s debt, expansion plans, working-capital needs and other disclosed purposes.
- Look for the proposed investor categories, minimum bid, lot size and any conditions that are later carried into the RHP.
Filing or regulatory review does not mean SEBI has endorsed the issuer or predicted that the shares will rise. The filing is a disclosure record. Your investment decision still depends on the issuer’s facts, risks, valuation and the final terms.

After the draft is filed, the offer proceeds through the applicable disclosure and regulatory process. The evidence available for Indian IPOs does not establish one universal review duration or a standard set of comments for every issuer, so do not assume that all companies follow an identical timetable.
Before the issue opens, the issuer publishes the RHP and announces the price band and bidding schedule. The RHP carries the updated disclosures and the terms needed to place a bid. Read the version applicable to the offer you intend to join; an older draft may not reflect later changes.

What becomes fixed later
The price band, opening and closing dates, lot size, minimum application amount, category allocations and other issue-specific rules are not interchangeable between IPOs. Use the current RHP, issue advertisements, registrar information and exchange notices for those values. Do not infer them from another company’s IPO.
3. How book building sets the IPO price
In a book-built issue, investors bid within the announced price band. A bid states how many shares or lots the applicant wants and the price the applicant is willing to pay, subject to the issue’s rules. The collection of bids shows demand at different prices and helps determine the final issue price.
The RHP precedes the opening of the issue, while the final prospectus follows pricing and records the final terms. A high level of demand does not by itself guarantee a profitable listing. It only forms part of the price-discovery process, and the market price after listing can be above or below the offer price.
Book-built versus fixed-price offers
This explanation focuses on the book-built process because that is where the DRHP omits the final price and investor bids help discover it. A fixed-price issue has a different pricing structure. For any particular offer, follow the current official documents rather than applying book-building assumptions to a fixed-price issue.
4. Applying during the bidding window
Once the issue opens, eligible investors submit applications through an available ASBA channel or through the UPI-based application route supported for that offer and investor category. The application must use the bid details in the live offer documents, including the correct price, quantity and lot multiple.

What happens under ASBA
ASBA stands for Application Supported by Blocked Amount. It is a blocking mechanism, not an immediate payment to the issuer. SEBI Investor explains it this way: In ASBA, money to the extent of price of the shares for which the investor has applied, is blocked, but it remains in their account till allotment.
Quick wins for a faster PC:
Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Repair Windows errors before they cause bigger problemsFix Now →When the application is submitted, the bank places a hold on the amount required for the bid. The money stays in the applicant’s bank account and continues to earn interest under the account’s normal terms. If shares are allotted, only the amount needed for those shares is debited. Any amount not required is released. If no shares are allotted, the blocked amount is released rather than being treated as a purchase.
ASBA checks before submission
- Use a bank account permitted for the ASBA route and ensure the account has enough available balance for the application.
- Confirm the applicant name, PAN, demat details, bid quantity, price and investor category.
- Keep the application or acknowledgement reference so you can check status with the registrar or intermediary.
- Do not assume that a bank hold means allotment; the hold only preserves funds while the issue is processed.
5. Applying through UPI
UPI is another authorization path for blocking the application amount. In the SEBI Investor process, the applicant enters a UPI ID with the IPO application. The sponsor bank then sends a request to authorize the block in the investor’s UPI application.
- Choose the IPO in the supported application channel and enter the bid price, quantity, investor category and UPI ID exactly as required.
- Submit the application and wait for the sponsor-bank mandate request.
- Open the UPI app linked to the application and approve the mandate before the stated deadline.
- The bank blocks the application amount. After allocation, the amount for allotted shares is debited and any excess is unblocked.
- Retain the application number and check the mandate status, allotment result and demat credit.
UPI limit and account rules
SEBI’s investor guidance states a limit of ₹5 lakh per transaction for retail individual investors using the UPI IPO route. The applicable limit, eligible banks and supported applications can change, so verify the live SEBI list and the current issue instructions before applying.
Use the applicant’s own eligible UPI ID and bank account. SEBI warns against using a third-party UPI ID or a third-party bank account for allocation. A mismatch can prevent authorization or invalidate the application under the applicable rules.

ASBA and UPI: what is actually different?
| Feature | ASBA | UPI authorization |
|---|---|---|
| How funds are reserved | The bank blocks the bid amount in the applicant’s account | The applicant approves a sponsor-bank mandate that blocks the amount |
| When money leaves the account | Only the amount for allotted shares is debited after allocation | Only the amount for allotted shares is debited after allocation |
| Unused amount | Released after the allocation process | Unblocked after the allocation process |
| Retail UPI ceiling | Not applicable to the UPI route | SEBI guidance states ₹5 lakh per transaction for retail individual investors |
| Main failure point | Insufficient balance, incorrect details or an unsuccessful bank submission | Missed, rejected or expired UPI mandate, or use of an ineligible or third-party account |
The cited SEBI guidance explains the mechanics of both routes but does not establish that one is universally faster or more reliable. Choose the route you can complete accurately before the deadline.

Allocation and the basis of allotment
After bidding ends, the issue’s post-issue process determines how many shares each applicant receives under the applicable category rules. Demand may exceed the shares available, in which case an applicant can receive fewer shares than requested or none at all. The published basis of allotment records the result for the issue.
Application funds are debited only for the shares actually allotted. Amounts corresponding to unsuccessful or partially successful bids are released according to the issue’s post-issue schedule. Check the registrar’s allotment status and your bank or UPI mandate status rather than relying only on an SMS or a trading-app notification.
Dematerialized credit
Successful applicants receive the shares in dematerialized form in the demat account specified in the application. The demat credit is a separate operational step from the bank debit: a debit confirms the amount charged for allotted shares, while a demat entry confirms the securities credited.

7. When are IPO shares listed?
SEBI’s investor explanation says listing on a recognized stock exchange must take place within three days after issue closure. The more specific current framework described in a SEBI-filed offer document uses three working days from closure to listing. That document describes the phased implementation as voluntary for issues opening on or after September 1, 2023, and mandatory for issues opening on or after December 1, 2023.
Best Value
For a live IPO, use the dates printed in its RHP, post-issue notice and exchange announcement. “Three days” should not be read as three calendar days when the applicable schedule is expressed in working days. Weekends, exchange holidays and issue-specific processing dates can affect the calendar date on which trading begins.
Listing is not a return forecast
The offer price is a transaction term, not a promise about the first traded price or future performance. A SEBI-filed offer document expressly warns that the offer price should not be treated as indicative of the post-listing market price. The shares can open above, at or below the issue price, and the market price can continue to change after trading starts.
8. A practical checklist before you apply
- Read the current DRHP, RHP and, when available, final prospectus for the issuer and issue.
- Verify the price band, lot size, minimum bid, opening and closing dates, investor category and application deadlines.
- Understand whether the issue is a fresh issue, an offer for sale, or a combination, and read the stated use of proceeds.
- Check the risk factors and financial information instead of treating the filing as a recommendation.
- For ASBA, confirm available bank balance and correct demat and PAN details.
- For UPI, use an eligible personal UPI ID and account, approve the mandate before expiry, and stay within the stated retail limit.
- After closure, check the basis of allotment, fund release or debit, demat credit and the announced listing date.
9. Common mistakes and how to avoid them
Confusing the DRHP with final terms
The DRHP is an early disclosure document. It does not supply the final book-built price or necessarily the final security count. Recheck the RHP and final prospectus before entering a bid.
Assuming blocked money has already been paid
Under ASBA and UPI, the application amount is reserved while the issue is processed. It is not fully transferred to the issuer at application. The final debit depends on the allotment.
Using someone else’s UPI or bank account
Third-party details can break the link between the applicant, bank account and demat account. Use the applicant’s own eligible details and follow the issue’s category rules.
Treating listing day as a guaranteed gain
Neither demand during book building nor a short listing schedule predicts the market price after listing. Read the risk disclosures and make a decision based on the company and valuation, not on an assumed listing premium.
Relying on an old timetable
Listing and application procedures are time-sensitive. Check current SEBI guidance, the issue’s RHP and exchange notices for the applicable UPI cap, eligible banks and apps, category rules, allotment dates and listing timeline.
