Strategy says it funds bitcoin acquisitions mainly by selling Class A common stock and preferred stock through at-the-market (ATM) programs. It has also used convertible notes, senior secured notes and a bitcoin-secured loan, and says it may borrow again. Common-stock sales increase the number of shares immediately; preferred securities add dividends and senior claims; and convertible instruments can create shares later.
For an existing common shareholder, the decisive question is not whether Strategy owns more bitcoin. It is whether the bitcoin exposure per diluted share grows enough to cover dividends, interest, fees, conversion risk and changes in bitcoin’s price. Management describes transactions it expects to be accretive, but that is a company judgment, not a guaranteed outcome.

What funds Strategy’s bitcoin buying?
Strategy’s 2025 Form 10-K says the current approach relies primarily on proceeds from Class A common stock and preferred-stock ATM programs. The company previously used convertible-note offerings, senior secured notes and a bitcoin-secured loan, and it retains the option to use debt for future purchases. Historical operating cash flow has also been a funding source, although the current strategy emphasizes capital-market proceeds.

Proceeds are net of underwriting, placement and other transaction costs.

Common-stock ATM programs
When Strategy sells newly issued Class A shares, the common share count rises. An investor who does not buy additional shares owns a smaller percentage of the company. The cash can nevertheless increase that investor’s bitcoin exposure per share if the proceeds buy enough bitcoin, after costs, to offset the larger denominator.
Preferred-stock ATM programs
Strategy identifies five preferred series in its annual report: STRF, STRC, STRE, STRK and STRD. The company describes different intended investor preferences for each series:
| Series | Company-described positioning | Primary common-shareholder consideration |
|---|---|---|
| STRF | Income and lower risk tolerance | Preferred dividends and senior claims ahead of common stock |
| STRC | Shorter duration | Dividend obligation and seniority; issuance does not automatically create common shares |
| STRE | Euro-denominated income | Dividend obligation, seniority and currency exposure |
| STRK | Yield plus potential price appreciation through a conversion feature | Dividend and seniority, plus potential common-share dilution if converted |
| STRD | Higher yield | Higher stated yield can mean a larger financing burden before common equity participates |
These descriptions are Strategy’s intended investor profiles, not independent credit or risk ratings. Preferred stock generally does not dilute the common share count immediately, but its dividends and liquidation or asset claims rank ahead of common equity. Strategy says it includes those all-in costs when evaluating a financing.
Debt and convertible securities
Convertible notes provide cash today but create interest and repayment obligations. If holders convert under the applicable terms, common shares can be issued, increasing potential dilution. Senior secured notes and a bitcoin-secured loan add collateral and leverage considerations: creditors have contractual claims that must be met before common shareholders receive value.
Debt can therefore postpone share issuance rather than eliminate dilution risk. A conversion can enlarge the share count when the stock price rises, while cash interest and principal repayment reduce the resources available to common equity.

What the 2026 funding figures show
Strategy’s Q2 2026 earnings release reported $17.06 billion raised year to date through ATM programs as of July 26, 2026, including $7.53 billion of STRC issuance year to date. Those figures cover different components of the ATM activity and are measured at that July 26 date; they are not a full-year total.
The same release reported approximately $1.06 billion in cumulative dividends paid on all preferred stock as of July 26, 2026. That cumulative figure illustrates why preferred financing is not free capital: dividends are a recurring cash or accrual claim that sits ahead of common returns.

In the first half of 2026, Strategy reported buying 174,895 bitcoin and selling about 1,395. It said the purchases were funded primarily with net proceeds from STRC and Class A common stock, together with STRK. The company’s Q2 2026 earnings release is the source for those period-specific figures.
How each financing type affects common shareholders
Immediate ownership dilution from common shares
New Class A shares increase the denominator used to calculate each holder’s ownership percentage. If 100 million shares become 110 million, a holder who keeps the same number of shares owns about 9.1% less of the company than before. That arithmetic says nothing about whether the investment was economically beneficial: the newly raised cash may have purchased bitcoin or reduced other obligations.
Strategy says it weighs expected bitcoin acquired, dilution, cash obligations, fees and execution costs when deciding whether an issuance should be accretive over relevant horizons. This is management’s decision framework, not proof that every transaction will increase value per share.

Economic subordination from preferred stock
Preferred securities can leave the common share count unchanged while making common equity economically junior. Dividends must be paid or accumulated according to each series’ terms, and preferred holders generally have priority over common holders in a liquidation or distribution. A transaction can therefore avoid immediate share-count dilution yet still reduce the value available to common stock through financing costs and senior claims.

Convertible instruments create a contingent share count. The correct analysis uses the applicable conversion terms and the company’s diluted-share calculation, rather than treating all outstanding principal as already issued common stock.
During the first half of 2026, Strategy repurchased $1.50 billion aggregate principal amount of its 2029 Convertible Notes. The company said that reduced its assumed diluted share count by about 2.2 million, partly offsetting the increase caused by ATM share issuance.
The per-share test: bitcoin exposure, not bitcoin count
Strategy reported that ATM issuance of about 58.5 million Class A shares raised approximately $8.24 billion in the six months ended June 30, 2026. After including the convertible-note repurchase effect, assumed diluted shares increased by approximately 56.4 million to approximately 401.3 million at June 30, 2026.
| Six months ended June 30, 2026 | Reported amount | Why it matters |
|---|---|---|
| Class A shares issued through ATM activity | About 58.5 million | Direct increase in common shares |
| Cash raised from that issuance | Approximately $8.24 billion | Capital available for bitcoin and other corporate uses, net of costs |
| Reduction from 2029 note repurchase | About 2.2 million assumed diluted shares | Partial offset to issuance-related dilution |
| Net increase in assumed diluted shares | Approximately 56.4 million | Resulting diluted denominator |
| Assumed diluted shares at June 30 | Approximately 401.3 million | Base for per-share exposure calculations |
The useful measure is bitcoin exposure per diluted share: bitcoin held, adjusted for relevant claims and share assumptions, divided by the diluted share count. If bitcoin holdings rise faster than the diluted denominator, exposure per share can increase. If financing costs, preferred claims or share issuance grow faster, common holders can lose economic ground even while total bitcoin holdings rise.

Bitcoin-per-share metrics describe exposure, not a promised stock return. The share price can diverge from the value of bitcoin because of leverage, premiums or discounts to asset value, financing terms, liquidity, taxes and investor expectations.
Strategy’s mNAV issuance framework
In its July 31, 2025 earnings release, Strategy described a framework based on “mNAV,” which it defined as enterprise value divided by Bitcoin NAV. The framework addressed when common equity might be issued for bitcoin purchases:
| mNAV range in the July 31, 2025 framework | Company-described approach |
|---|---|
| Below 2.5× | No common equity for bitcoin purchases, except to pay debt interest and preferred dividends |
| 2.5× to 4.0× | Opportunistic common-equity issuance |
| Above 4.0× | Active common-equity issuance |
Strategy expressly said management would review those thresholds and could change them in its sole discretion. They are therefore a dated, company-described policy framework, not a binding formula and not an independent conclusion about the stock’s current valuation. The release is available at Strategy’s July 31, 2025 results announcement.

Strategy’s October 5, 2026 Form 8-K reported 847,666 bitcoin held as of September 30, 2026. It also reported acquiring 334 bitcoin from October 1 through October 4. The holding figure is a September 30 period-end balance, not a live balance that automatically includes later transactions.

The filing also said there were no ATM share sales and no bitcoin purchases between September 28 and September 30. Separately, it reported using USD Cash between September 28 and October 4 for STRC repurchases and bitcoin purchases. Those short-period cash transactions should not be treated as the same thing as total ATM funding or as a replacement for the September 30 period-end balance. Why bitcoin’s price can overwhelm the financing analysis
Strategy’s digital-asset holdings are exposed to bitcoin’s market price. Its July 2025 reporting explained that fair-value gains and losses flow through net income, making earnings highly sensitive to bitcoin price movements. A large price decline can reduce the value supporting debt and preferred claims even if the bitcoin count is unchanged; a rally can produce large accounting gains without increasing the number of coins held.
Phong Le, Strategy’s chief executive officer, said in the July 30, 2026 Q2 release that the company “strengthened its balance sheet while navigating a meaningful bitcoin price decline.” He characterized the quarter as showing higher bitcoin holdings and Bitcoin Per Share, lower convertible debt and a larger USD Reserve. Those are management’s descriptions of the quarter, not an independent finding that common shareholders earned a positive return.
A practical way to analyze a new purchase announcement
- Fix the reporting date. Record the bitcoin balance, shares, debt and preferred securities as of the stated date. Do not mix a period-end balance with later activity.
- Identify the funding instrument. Determine whether cash came from Class A shares, a named preferred series, convertible debt, secured debt, unrestricted cash or another source.
- Calculate the new claims. Add common shares immediately issued; model possible conversion shares; and include preferred dividends, interest, fees and repayment obligations.
- Measure bitcoin per diluted share. Compare the bitcoin acquired with the fully diluted denominator, rather than comparing coin totals alone.
- Stress-test bitcoin prices. Consider how a substantial decline would affect asset value, leverage, collateral and the ability to pay senior claims.
- Separate management’s forecast from the result. “Accretive” is a stated expectation. Check subsequent filings to see whether per-share exposure and financial obligations developed as expected.
Common mistakes when interpreting dilution
- Calling every preferred issuance dilution. Preferred stock usually does not create immediate common shares, but it can subordinate common equity through dividends and senior claims. A convertible preferred feature is a separate potential-dilution issue.
- Using basic shares instead of diluted shares. Convertible notes, options and other instruments can change the denominator used for per-share analysis.
- Ignoring financing costs. Bitcoin purchased with expensive capital may add fewer net dollars of value per common share than the headline purchase amount suggests.
- Treating a coin-count increase as proof of accretion. The denominator and senior claims matter as much as the number of bitcoin held.
- Quoting estimates as final results. The October 5, 2026 Q3 gain and tax figures were preliminary estimates.
- Assuming a policy threshold is permanent. The mNAV ranges were management’s July 2025 framework and could be revised.
What shareholders should conclude
Strategy’s financing model combines direct common-equity issuance, preferred securities and, when used, debt and convertibles. That mix can expand bitcoin exposure, but it also expands the claims competing with common equity. Common ATM sales are immediate share-count dilution; preferred issues create dividend and priority costs; and convertible instruments add contingent dilution and debt obligations.
The most informative ongoing check is the change in bitcoin exposure per diluted share after all financing costs, not the company’s gross bitcoin balance. Because bitcoin prices are volatile and Strategy can change its issuance policy or funding mix, each transaction needs to be evaluated using its own dates, terms and diluted-share assumptions.
