Startup valuation, revenue and market capitalization measure three different things. Revenue is the sales a business records during a period. Startup valuation is an estimated or negotiated worth used to price a private financing transaction. Market capitalization is the value of a public company’s outstanding shares at the current share price. They can influence one another, but none automatically determines either of the others.
The distinction matters because a startup can have substantial revenue without a public market value, or receive a private valuation before it has meaningful sales. Conversely, a public company’s market capitalization can move sharply even when its latest revenue figure has not changed. Treat each number according to what it measures, when it is measured and how its price was formed.

The three measures at a glance
| Measure | What it represents | How it is determined | Typical context |
|---|---|---|---|
| Revenue | Sales of goods and services over a reporting period | Accounting for amounts earned from products sold or services provided | Operating results and the income statement |
| Startup valuation | Assessed or negotiated worth of a private company or its equity | An analyst’s assessment or an agreement between the company and investors; deal terms affect the result | Private financing rounds and equity negotiations |
| Market capitalization | Market value of a public company’s outstanding shares | Current public share price multiplied by total outstanding shares | Public-market trading |
The U.S. Securities and Exchange Commission (SEC) glossary defines revenue as “the dollar value of all the products an entity sold or services it provided to its customers.” Its glossary describes valuation as the worth of a company determined by an analyst or agreed upon by the company and its investors. Investor.gov defines market capitalization as the current public market price of one share multiplied by the number of total outstanding shares.

What revenue tells you
Revenue is a period-based sales measure
Revenue answers, “How much did the business sell during this period?” The period might be a month, quarter or financial year, depending on the company’s reporting. It belongs on the income statement and reflects sales of products or provision of services, subject to the company’s accounting rules.

Because revenue accumulates over time, it is a flow. A statement such as “the company generated $2 million in annual revenue” describes sales during a defined year; it does not say that the company itself is worth $2 million. A valuation, by contrast, is generally a value at a point in time or at a financing event.
Revenue is not profit or cash
Revenue does not reveal the full cost of producing and selling the offering. A company can report rising revenue while spending even more on development, marketing, staff, infrastructure or fulfillment. Revenue also is not automatically the cash collected during the same period, because payment terms and accounting recognition can differ. To assess operating performance, readers normally need additional information such as expenses, profit or loss, cash flow, customer concentration and retention.
A startup can have revenue without a public market capitalization
A privately held startup may sell products and report revenue while having no publicly traded shares and therefore no continuously quoted market capitalization. Its owners and investors may still negotiate a valuation for a funding round, but that private figure is not a live public share-price calculation.

What startup valuation means
An estimate or negotiated financing value
Startup valuation is the estimated worth of the company or its equity. The estimate can come from an analyst, but in a private financing it is commonly established through negotiation between the company and investors. The agreed figure helps determine how much ownership an investor receives for a given investment.
Private financing does not provide a public exchange where anyone can buy or sell the shares continuously at the stated price. A round valuation is therefore a transaction-specific assessment, not a permanent quote for every share or a guarantee that another investor would pay the same amount later.
Why the financing terms matter
The headline valuation is only one part of a private deal. Investors and founders may also negotiate the class of shares, voting rights, liquidation preferences, options, warrants, board rights, protective provisions and the size of the option pool. Two transactions that use the same nominal valuation can create different economic outcomes if their rights and dilution terms differ.

When a company announces that it was “valued at” a particular amount, check whether the statement identifies the financing round, the share class and whether the figure is pre-money or post-money. If the basis is not stated, treat it as unspecified rather than assuming it is comparable with another company’s number.
Pre-money versus post-money valuation
Definitions
- Pre-money valuation: the company’s agreed value immediately before new investment enters the company.
- Post-money valuation: the value after the new investment is included.
The distinction changes the ownership percentage for the same investment amount. The SEC glossary uses an illustrative $250,000 investment and a $1 million valuation to show why the label matters. This is an educational example, not a market benchmark.
If $1 million is pre-money
With a $1 million pre-money valuation and a $250,000 new investment, the post-money valuation is $1.25 million. The investor’s ownership is $250,000 divided by $1.25 million, or 20 percent, before considering other securities or option-pool changes.
If $1 million is post-money
If the $1 million figure is post-money, it already includes the $250,000 investment. The implied pre-money valuation is $750,000, and the investor’s share is $250,000 divided by $1 million, or 25 percent.
Always attach the pre-money or post-money label to the number. Quoting “a $1 million valuation” without that context can make two materially different ownership deals sound identical.
What market capitalization measures
The public-market formula
Market capitalization, often shortened to market cap, is calculated as:

Market capitalization = current public share price × total outstanding shares
For example, if a public company has 10 million outstanding shares and the current market price is $8 per share, its market capitalization is $80 million at that moment. The result changes when the share price changes. It can also change when the number of outstanding shares changes through new issuance, buybacks, stock conversions or other corporate actions.
Why market cap is continuously variable
A public share price is formed by orders in an open market. It can move every trading session in response to earnings, forecasts, interest rates, competition, news, liquidity and investor expectations. Market capitalization is therefore a current market measure, not an accounting total and not a one-time private negotiation.
Market cap also differs from enterprise value. Enterprise value can incorporate debt, cash and other claims, while market capitalization covers the equity value represented by outstanding public shares. Do not substitute one for the other when comparing companies.
A private valuation is not market capitalization
A private round may assign a company a valuation, but without publicly traded shares there is no current public price to multiply by outstanding shares. Calling that private financing figure “market cap” implies a public-market mechanism that does not exist. Use “private valuation,” and specify the transaction date and pre-money or post-money basis when known.
How the measures relate without being interchangeable
Revenue can influence valuation
Revenue may be one input into a valuation analysis. The SEC’s IPO educational material notes that analyses may consider revenues, customers, financial results and other metrics. Investors may examine growth rate, recurring versus one-time sales, gross margin, retention, customer concentration, market size, competitive position and capital needs alongside revenue.

There is no single startup revenue multiple supported across all sectors and stages by the official sources cited here. A software company with recurring subscriptions, a hardware manufacturer and a marketplace can have very different economics even when their reported revenue is identical. Stage, geography, accounting treatment and financing conditions also affect negotiations. Do not apply a universal formula such as “revenue multiplied by X” without evidence that the multiple fits the company and transaction.

Investors may fund a company based on its team, technology, intellectual property, customer evidence, market opportunity or progress toward a product before sales are material. In that situation, the company can have a negotiated financing valuation even though its revenue is zero or very small. The valuation reflects expectations and deal terms, not past sales alone.
Market cap incorporates expectations about future performance
For a public company, investors incorporate expected future revenue, profit, risk and growth into the share price. As a result, market capitalization may rise before reported revenue does, or fall despite revenue growth if the market expects slower growth, higher costs or greater risk. The current price is a market consensus at that time, not a guarantee of future results.

How a SAFE differs from priced equity
The SEC explains that a SAFE generally does not include a valuation of equity when it is issued. Instead, the calculation is deferred until a triggering event, such as a later financing or another event defined in the instrument. This lets a startup raise money without agreeing immediately to a priced equity valuation.
“No valuation at issuance” does not mean the investment has no economic terms. A SAFE can contain provisions such as a valuation cap, discount, conversion mechanics or other rights. Read the instrument’s actual terms to understand how much equity it may convert into later. Do not describe the amount raised under a SAFE as a completed post-money equity valuation unless the applicable terms and triggering event establish one.

- Identify the measure. Ask whether the number is revenue, a private valuation, market capitalization, enterprise value or another metric.
- Check the time basis. Revenue should have a reporting period. A valuation should have a date or financing event. Market cap should be tied to a share price and share-count date.
- Verify the price-formation method. Determine whether the number comes from accounting records, negotiation with private investors or public trading.
- Label the financing basis. For a private round, confirm whether the figure is pre-money or post-money and whether it refers to a particular share class.
- Account for dilution and rights. Review new shares, options, warrants, convertibles, SAFEs and preference terms before comparing ownership or headline values.
- Compare like with like. Use the same period, currency, accounting basis and company perimeter when comparing revenue. For valuations, compare stage, sector, transaction structure and date rather than relying on the number alone.
Common mistakes and how to correct them
“Revenue is the company’s value”
Why it is wrong: revenue records sales over a period, while valuation estimates equity worth at a point in time. Correction: report revenue with its period and discuss valuation separately, including the transaction basis.
Best Value
“The latest private round sets the market cap”
Why it is wrong: a private round has negotiated terms and no continuously traded public price. Correction: call it a private financing valuation and avoid implying a public quote.
“A $1 million valuation always gives the investor the same stake”
Why it is wrong: pre-money and post-money labels produce different ownership percentages, as the SEC’s $250,000 example demonstrates. Correction: calculate ownership from the labeled basis and inspect dilution from other securities.
“One revenue multiple works for every startup”
Why it is wrong: sectors, stages, growth rates, margins and deal conditions vary, and the official sources do not establish a universal multiple. Correction: treat revenue as one input among several and explain the assumptions behind any comparison.
Quick wins for a faster PC:
Repair Windows errors before they cause bigger problemsFix Now →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Clear out junk files and repair common Windows errorsFree Scan →“A SAFE is already a priced equity round”
Why it is wrong: a SAFE generally defers the valuation calculation until a triggering event. Correction: examine its conversion terms and describe the valuation as undetermined at issuance when appropriate.
Which number should you use?
- Use revenue to describe sales activity and operating scale over a defined period.
- Use startup valuation to describe a private financing assessment, with its date, pre-money or post-money basis and material rights.
- Use market capitalization only when a public share price and outstanding-share count support the calculation.
These measures answer different questions: what customers bought, what private investors negotiated for equity, and what public investors currently price the outstanding shares at. Keeping those questions separate prevents misleading comparisons and makes a company’s financial story easier to evaluate.
