List issued shares, promised and outstanding options, the existing option pool, every SAFE or convertible note, and the exact capitalization definition in each document. Then run conversion, option-pool, and priced-round scenarios together. A post-money valuation-cap SAFE gives a useful first estimate—investment divided by post-money cap—but that percentage is not the final ownership after a priced round.
The practical goal is a pro forma cap table that shows share counts and percentages at each step: before financing, after SAFE or note conversion, after any new or enlarged option pool, and after the new investor’s shares are issued. This approach exposes denominator changes, conflicting instrument terms, and outcomes that a headline valuation conceals.

What dilution means in a venture financing
Dilution is the reduction in an existing holder’s percentage ownership when a company issues additional securities. A founder can own the same number of shares after a financing and still own a smaller percentage because the total number of shares or share-equivalents has increased.

Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Repair Windows errors before they cause bigger problemsFix Now →The denominator is the central issue. The U.S. Securities and Exchange Commission explains that ownership is commonly shown as a percentage or a number of shares on a capitalization table, and that common and preferred stock can have different rights. A founder percentage calculated only from issued founder shares can therefore be misleading if the company has promised option grants, an unissued pool, SAFEs, or notes.

Choose the denominator before calculating anything
| Cap-table view | What it generally shows | Use and caution |
|---|---|---|
| Issued shares | Shares currently issued to founders, employees, and investors | Useful for legal ownership today, but it omits reserved or promised equity that may dilute a future round. |
| Fully diluted capitalization | Issued shares plus outstanding and promised options, the available pool, and relevant convertible securities | Usually the more informative view for financing negotiations; confirm exactly which securities the documents include. |
| Contractual company capitalization | The denominator defined by a particular SAFE, note, charter, or financing agreement | Use the signed definition. Two instruments labeled with similar valuation caps can produce different results if their definitions differ. |
Keep the selected definition visible in the model. Never compare a founder percentage based on issued shares with an investor percentage based on a contractual fully diluted definition.
Step 1: Freeze a reliable starting cap table
Export the latest cap table and reconcile it to board approvals, option grants, stock ledgers, and signed financing documents. Record both the number of securities and the holder or instrument behind each row.
- Founder and other issued common shares.
- Outstanding employee or advisor options.
- Promised grants that have been approved or contractually committed but not yet issued.
- The existing unissued option pool.
- Every outstanding SAFE and convertible note.
- Any warrants, restricted stock, or other rights that the financing documents treat as part of capitalization.
Mark whether each row is issued, reserved, promised, or convertible. A single row called “options” is not enough when one agreement includes the pool and another excludes it. Ask counsel which securities belong in each instrument’s definition of company capitalization.
Inventory instruments separately
For every SAFE, capture the investment amount, whether the valuation cap is pre-money or post-money, the cap amount, discount, most-favored-nation (MFN) language, and any pro rata or other side-letter rights. Do not merge SAFEs with different terms into one blended percentage.
For every convertible note, record principal, accrued interest, maturity date, conversion discount, valuation cap, and priority. Interest can increase the amount that converts, while maturity can create a decision point before the next equity round.
Also record the date and version of each document. Standard forms are useful references, but the signed SAFE, note, charter, financing agreement, and side letters control your outcome.

How to estimate ownership sold by a post-money SAFE
For a post-money valuation-cap SAFE, the basic cap-only estimate is:
ownership sold under the cap = investment amount ÷ post-money valuation cap
For example, a $500,000 investment on a $10 million post-money cap implies 5% under that cap calculation. If the company later issues another $1 million SAFE on a $20 million post-money cap, that second instrument implies another 5%; the two stated cap-based interests add to 10% before the priced round and before other terms affect conversion.
| SAFE | Investment | Post-money cap | Cap-only estimate |
|---|---|---|---|
| A | $500,000 | $10 million | 5% |
| B | $1 million | $20 million | 5% |
| Total stated cap-based ownership | $1.5 million | — | 10% |
Y Combinator’s SAFE calculator explains that each post-money SAFE’s ownership is fixed at investment divided by its post-money cap, with other post-money SAFEs already reflected in the denominator. That makes these cap-based interests additive for the initial estimate; a newly issued SAFE does not disappear into an earlier SAFE.
What the cap-only estimate does not tell you
The estimate is not a promise that the investor will own exactly that percentage after the next financing. Conversion can be more favorable to the SAFE holder if the priced-round share price is below the cap-derived price or if a discount applies. New priced-round money, a new or enlarged option pool, notes, and other convertibles then change the final denominator.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
Y Combinator’s calculator describes the post-money SAFE cap denominator as including outstanding stock, existing issued, promised, and unissued options, and other SAFEs and convertible securities. It excludes the new money in the priced round and a new or increased pool created for that round. The existing pool is already accounted for; a pool increase is additional dilution to founders and SAFE holders.

Pre-money and post-money SAFEs are not interchangeable labels
A pre-money SAFE and a post-money SAFE can use the same headline cap while allocating dilution differently. The critical question is which securities and pool are included in the denominator and whether other SAFEs are counted before the new instrument converts. Do not add percentages from mixed pre-money and post-money instruments without applying each document’s definition and conversion formula.
Model the priced round in the order it actually occurs
A priced round issues preferred equity at a negotiated valuation and share price. To make the result auditable, show the financing as a sequence rather than applying one overall dilution percentage.
- Convert SAFEs and notes. Determine the number of shares each instrument receives using its cap, discount, accrued interest, and the priced-round price, as specified in the documents.
- Create or increase the option pool. Apply the target pool percentage and identify whether the pool is calculated before or after the new money and conversions. The negotiation often determines who bears this dilution.
- Issue the new preferred shares. Add the priced-round investment at the agreed price per share.
Y Combinator’s standard-deal illustration uses this general sequence, but another company’s documents may specify a different order or definition. Treat the sequence as a modeling framework, not as a substitute for the executed agreements.

Keep shares and percentages side by side
For each scenario, display founder shares, employee and advisor equity, each SAFE or note’s conversion shares, the option-pool reserve, and new investor shares. Beside every share count, show the percentage of the same post-step denominator. This catches errors such as dividing founder shares by a pre-financing total after the round has already issued new shares.
Run at least three pre-money valuation cases: a valuation comfortably above each cap, a valuation near a cap, and a valuation below a cap. For each case, vary the raise size and the planned pool increase. A single “founders own 60% after the round” output is not decision-useful unless it identifies the valuation, pool target, instrument conversions, and denominator.
Illustrative share-price logic
In a priced round, the negotiated pre-money valuation is divided by the relevant pre-money share count to derive a price per share. The investor’s new shares equal the investment divided by that price. SAFE and note shares are calculated under their contractual cap, discount, and capitalization definitions; they are not automatically the same as the new investor’s shares. Your model should expose each calculation instead of hiding it in one spreadsheet cell.

Why the option pool can change the deal more than the headline valuation
An option pool reserves equity for future hires. If investors require the pool to be created or enlarged before their money is added, the founders and existing holders generally absorb that increase before the new investor’s percentage is calculated. If the pool is increased after the investment, the same target can distribute dilution differently.
Recommended Free Tools
Model the pool as a separate step. Start with the existing pool already included in the applicable denominator, then add only the incremental shares needed to reach the negotiated target. Apply that increase to both founder and SAFE-holder percentages where the financing documents require it. Do not describe a 10% pool as “10% dilution” without stating whether it is 10% of the post-money company, 10% before the round, or an increase from an existing pool.
Questions to ask in the term-sheet negotiation
- What percentage is the target pool, and is it measured immediately before or after the financing?
- Does the target include already granted options, promised grants, and the unissued reserve?
- Are SAFE and note conversion shares included before the pool is sized?
- Who bears the dilution from an increase: founders, existing investors, converting holders, or all holders pro rata?
- Will the company need another pool increase soon after closing?
SAFE, convertible note, or priced round: compare the mechanics
| Issue | SAFE | Convertible note | Priced equity round |
|---|---|---|---|
| Legal character | Convertible security; not stock until conversion and not debt under Y Combinator’s explanation | Debt that can convert into equity | Preferred stock issued at closing |
| Interest and maturity | No interest or maturity date in the standard SAFE explanation | Interest and a maturity date apply under the note | Not a conversion loan; negotiated stock terms apply |
| Valuation visibility | Cap and/or discount provide a conversion mechanism, but final ownership depends on the next financing | Cap, discount, accrued interest, and maturity affect conversion | Firm valuation and share price are negotiated at the round |
| Timing and legal work | Often used for an early, faster raise | May suit a bridge or a company that already has notes | Usually requires fuller preferred-stock documentation and negotiation |
| Investor rights | MFN, pro rata, and side letters can add rights | Priority, covenants, and note-specific rights can apply | Preferred-stock, liquidation, voting, information, and protective provisions are negotiated |
| Pool treatment | Depends on the SAFE’s capitalization definition and the priced-round terms | Depends on the note and financing documents | Pool size and the timing of its creation are explicit negotiation points |
The SEC distinguishes a SAFE from a loan and explains that a convertible note is a loan that can convert. Y Combinator describes SAFEs as having no interest or maturity and priced rounds as preferred-stock financings with fuller negotiated terms. These are general descriptions, not universal legal rules; read your actual documents.

Discounts
A discount lets a converting holder receive shares at a price below the new round’s price, subject to the instrument’s formula. Model the cap and discount together and use the provision that gives the holder the more favorable result when the document requires that comparison.
MFN provisions
An MFN clause can allow an earlier SAFE holder to adopt more favorable terms from a later SAFE. If you issue a later instrument with a lower cap or other improved economics, check every earlier MFN before assuming the later deal affects only the new investor.
Pro rata rights
Pro rata rights allow an investor to buy additional shares in a future round to maintain a percentage. They may not change the initial conversion percentage, but they can increase the investor’s cash participation and reduce the percentage available to holders who do not participate.
Best Value
Interest, maturity, and priority on notes
Accrued note interest can increase conversion principal. A maturity date can force an amendment, repayment discussion, or conversion decision if the expected round is delayed. Note priority and any security provisions also affect economic risk even when the ownership math appears similar to a SAFE.
A repeatable dilution-modeling workflow
- Set a date and source of truth. Use the latest reconciled cap table and list the document date for every financing instrument.
- Define the denominator. Label each output as issued, fully diluted, or the specific contractual company-capitalization definition.
- Enter instruments individually. Capture amount, cap type, cap, discount, MFN, pro rata, interest, maturity, and side-letter terms.
- Calculate cap-only ownership. For each post-money cap SAFE, divide investment by cap and show the additive estimate separately from the final-round forecast.
- Set scenario inputs. Vary pre-money valuation, round size, pool target, pool timing, and whether the round price is above, near, or below each cap.
- Apply conversions. Calculate SAFE and note shares from the signed formulas, including discounts and accrued interest.
- Apply the pool change. Add only the new or increased reserve and document who bears that dilution.
- Issue new money. Add preferred shares at the negotiated price per share.
- Review rights and ownership together. Check pro rata allocations, MFN elections, liquidation priority, voting rights, and side letters alongside the percentages.
- Save an audit trail. Keep the assumptions, formulas, document references, and a before-and-after cap table so counsel and investors can reproduce the result.
How to interpret available market statistics
Carta reported that 91% of SAFEs on its platform were post-money as of the second quarter of 2026. That is a platform-specific statistic, not the share of all SAFEs worldwide or a recommendation for your company.
Carta also reported median founding-team ownership of about 56% after a seed round and about 36% after a Series A. These are observed founder-ownership figures in Carta’s 2026 guide, not targets, required outcomes, or predictions for an individual startup. Geography, hiring pace, prior financing, option-pool policy, and company performance can produce very different results.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errorsNo universal “normal” dilution percentage is established by the SEC or Y Combinator sources. Use your own scenario table to decide whether the capital, runway, hiring capacity, and investor rights justify the ownership transferred.
Common modeling failures and how to correct them
- Using founder shares as the denominator. Add options, promised grants, pools, and convertibles required by the relevant definition.
- Calling a SAFE a loan. A SAFE is not debt; a convertible note is debt. Correct terminology prevents missed interest, maturity, and priority analysis.
- Adding every SAFE percentage and stopping there. The cap-only total ignores the priced-round price, discounts, pool changes, new money, and other convertibles.
- Mixing pre-money and post-money SAFEs. Apply each instrument’s own capitalization definition instead of treating caps as interchangeable.
- Ignoring a later SAFE. Under the post-money cap calculation, each new SAFE adds its own stated ownership; it does not vanish into an earlier SAFE.
- Leaving the option pool vague. Specify target size, timing, included grants, and the holders who absorb the increase.
- Modeling only one valuation. Use at least the above-cap, near-cap, and below-cap cases, plus a larger-pool case if hiring plans could change.
- Relying on a standard-form summary. Signed documents and side letters control. Have a financing lawyer review the cap table, and involve a tax adviser where conversion or equity compensation creates tax consequences.
Documents and approvals to review before signing
Assemble the current capitalization table, stock-purchase and option documents, every SAFE and note, board and shareholder approvals, the term sheet, the preferred-stock financing documents, and all side letters. Confirm that the spreadsheet’s share counts match the legal records and that each conversion formula uses the same capitalization assumptions as the documents.
Ask counsel to explain any undefined term such as company capitalization, capitalization of the option pool, conversion shares, fully diluted, or qualified equity financing. If an investor’s ownership estimate differs from yours, reconcile the denominator and sequence first; disagreements often come from timing or definitions rather than arithmetic.
Final decision test for founders
Before accepting capital, identify the percentage sold in the cap-only SAFE estimate, the expected percentage after conversion, the percentage after the pool change, and the final post-money percentage after new money. Attach the assumptions to every number. Then compare the financing’s cash, runway, investor rights, and future flexibility with the ownership transferred under adverse but plausible scenarios.
A dilution model is not a substitute for reviewing executed financing documents. It is the founder’s control panel for asking precise questions before those documents are signed.
