How Spectrum Acquisitions Can Affect Telecom Competition and Consumers

Short answer: acquiring wireless spectrum can improve coverage, capacity, speeds and investment, but it can also concentrate an input that rivals need. The consumer result depends on the specific licenses, local markets, remaining network operators, wholesale access, commercial agreements and enforceable commitments in the transaction. A larger spectrum position is not automatically pro-competitive or anti-competitive.

Why spectrum matters to mobile competition

Spectrum is the radio-frequency capacity that mobile networks use to connect phones, fixed-wireless devices and other equipment. Licenses are defined by frequency band, geographic area and technical rules. Operators combine spectrum with cell sites, backhaul, software and core-network systems to provide coverage and capacity.

As an Amazon Associate I earn from qualifying purchases.

An acquisition can therefore change two things at once. It can give the buyer more capacity or complementary bands, making upgrades and rural coverage easier to finance. It can also remove a license holder or make it harder for another operator, a potential entrant or a mobile virtual network operator (MVNO) to obtain competitive access.

The U.S. Department of Justice (DOJ) described spectrum as a national resource that belongs to the American people and as critical to competition in mobile wireless services in its July 10, 2025 statement on the T-Mobile–UScellular transaction. That description captures why agencies examine spectrum deals as competition issues, not merely as changes in corporate ownership.

The two-sided effect of an acquisition

Potential network benefits

  • More capacity: Additional licenses can let an operator serve more users or carry more data before congestion appears.
  • Better coverage: Combining complementary bands and sites can improve service in rural or difficult-to-cover areas.
  • Faster deployment: A larger operator may be able to fund 5G and other technology upgrades sooner than a financially constrained regional carrier.
  • Operational efficiencies: A combined network may avoid duplicate infrastructure and make investment viable in places where neither business could spend as much alone.

Potential competitive harms

  • Fewer independent networks: Removing a facilities-based provider can weaken price, plan-size, quality and innovation rivalry.
  • Input concentration: Incumbents holding more useful spectrum can leave smaller rivals with fewer practical substitutes.
  • Weaker wholesale bargaining: MVNOs may face fewer network suppliers or less favorable access terms.
  • Higher entry barriers: A new operator may have difficulty finding suitable licenses at future auctions or in secondary-market transactions.
  • Reduced investment pressure: Once a rival disappears, the buyer may have less incentive to deliver the improvements it promised.

These effects can point in opposite directions. A transaction may improve network quality while still weakening the competitive pressure that keeps prices low or wholesale terms attractive.

How the competitive mechanisms work

1. Concentrating a critical input

Wireless operators cannot compete nationally or locally without usable spectrum. The relevant question is not simply how many megahertz the buyer owns, but whether it controls the particular bands and geographic licenses needed to provide a credible substitute. A transfer can matter most where the remaining rivals lack comparable propagation characteristics, contiguous holdings or enough capacity.

Concentration can also affect future entry. If incumbent operators accumulate the most useful licenses, a potential entrant may have fewer realistic opportunities to build a network, even if an auction still has licenses available on paper. The DOJ raised this concern in its UScellular review while emphasizing that the conclusion was specific to that investigation.

2. Changing retail rivalry

Consumers experience retail competition through monthly prices, data allowances, device offers, coverage, speed, reliability and customer service. When one network operator acquires another, the number and strength of independent offers can change. The remaining firms may face less pressure to match a rival’s price or include more data.

The opposite outcome is possible when the acquired network is struggling to fund upgrades. If the buyer can deploy a stronger network, consumers may receive better service or more capacity than the seller could have provided independently. Agencies therefore compare likely post-transaction service with both parties’ credible standalone paths.

3. Affecting MVNO wholesale access

MVNOs buy network access from facilities-based operators and use it to sell their own plans. They can add retail price and product rivalry even though they do not own nationwide radio networks. A merger that leaves MVNOs with fewer credible suppliers may reduce their negotiating leverage, raise wholesale costs or limit the data and features they can offer.

The U.K. Competition and Markets Authority (CMA) expressly considered this channel in its provisional Vodafone/Three findings in September 2024 and in its provisional remedies discussion in November 2024. Wholesale protections must be specific enough to preserve meaningful access; a general promise to “support competition” is not a measurable term.

4. Removing a potential entrant

Merger guidelines identify the loss of a potential entrant as a separate concern from the loss of an existing head-to-head rival. A smaller operator might have expanded, participated in an auction or used its spectrum to challenge incumbents. The analysis asks whether that expansion was commercially realistic and whether the buyer’s acquisition removes the most likely path to new competition.

5. Considering linked commercial arrangements

The competitive effects may extend beyond license ownership. In an August 2012 matter involving Verizon spectrum transfers and commercial arrangements with cable companies, the DOJ examined whether related agreements could reduce incentives to compete in local video and broadband markets. This historical example shows why reviewers inspect the entire transaction structure, not just the frequencies changing hands. It does not establish that every spectrum transfer creates such risks.

What consumers should ask about prices, service and choice

“Will my bill rise or my plan shrink?”

There is no automatic price result. A buyer may pass network efficiencies through to customers, or it may face less pressure to keep prices low after a rival exits. The CMA’s September 2024 provisional assessment of Vodafone/Three identified a possible increase in prices or a reduction in data packages, while also recognizing possible network-quality and 5G benefits. Those were provisional findings, not observed outcomes.

To evaluate a claim about prices, check whether the transaction changes the number of credible retail networks in the customer’s area, whether the parties compete closely today, and whether any tariff or data commitment is enforceable and time-limited.

“Will service improve?”

Service can improve through additional spectrum, denser sites, better backhaul or faster technology deployment. But a company’s coverage or speed forecast is not the same as an agency finding or a measured consumer result. Look for a defined baseline, geographic milestones, capacity targets and independent verification.

“Will I have fewer choices?”

Choice includes national networks, regional carriers and MVNOs. Even if several brands remain visible at retail, competition may weaken if they depend on the same small set of wholesale suppliers or if a regional network disappears. Examine both the number of offers and the facilities, spectrum and wholesale relationships behind them.

“Will the promised investment happen?”

Investment promises are more credible when they specify locations, dates, technology, coverage or capacity outcomes, reporting duties and consequences for non-performance. Regulators may also require protections for existing customers and wholesale users while the network plan is delivered.

How U.S. merger guidelines frame the analysis

The 2023 DOJ/FTC Merger Guidelines describe whether a transaction may substantially lessen competition or tend to create a monopoly. They identify mechanisms that can be relevant to spectrum acquisitions:

  • loss of direct rivalry;
  • greater risk of coordination among fewer competitors;
  • elimination of a potential entrant; and
  • limiting rivals’ access to products or services needed to compete.

The agencies state that they consider the totality of available evidence and apply the frameworks flexibly to the facts. These are U.S. enforcement guidelines, not a universal test for every country. A regulator may reach a different result because market definitions, auction rules, licensing conditions and remedies differ.

Case study: T-Mobile and UScellular in the United States

In a July 10, 2025 statement, the DOJ said it examined the elimination of UScellular, possible consumer benefits and further concentration of spectrum. The department said UScellular faced limits in keeping up with the cost of technology investment. It also noted T-Mobile’s public commitments to faster data for UScellular customers and broader rural coverage for its own customers.

The DOJ decided not to seek an injunction preventing the transaction from closing. Assistant Attorney General Gail Slater said: “After a thorough investigation, the Antitrust Division determined prudentially not to seek an injunction to prevent T-Mobile from closing on its proposed acquisition of UScellular.” The department simultaneously warned that future spectrum aggregation could pose acute risks to competition and entry. It said the decision was fact-specific and should not be read as binding future analysis.

The same statement attributed two national concentration figures to the DOJ: more than 90 percent of roughly 335 million U.S. mobile subscriptions and more than 80 percent of U.S. mobile wireless spectrum. Those figures were statements in the 2025 DOJ release, not newly measured 2026 values or independent calculations.

Case study: Vodafone/Three in the United Kingdom

In September 2024, the CMA provisionally found that the proposed Vodafone/Three merger could lead to higher prices or reduced service for mobile customers and could worsen terms for MVNOs. It also provisionally found that the combination could improve network quality and bring forward 5G deployment. The findings represented the agency’s interim assessment at that date.

On November 5, 2024, the CMA provisionally considered an eight-year network plan, retention of certain tariffs and data plans for at least three years, and wholesale protections. Inquiry-group chair Stuart McIntosh said: “We believe this deal has the potential to be pro-competitive for the UK mobile sector if our concerns are addressed.” The announcement was provisional; it should not be treated as proof of final implementation or of later consumer outcomes without consulting the subsequent case record.

A practical framework for evaluating any spectrum transaction

  1. Map local retail competition. Count the network operators serving each relevant area and identify which ones actually constrain the parties’ prices, data allowances and quality.
  2. Compare spectrum by band and geography. Examine propagation, contiguous blocks, capacity and whether a rival has a practical substitute, rather than relying on a single national total.
  3. Assess regional operators and entry. Ask whether the seller could expand, bid for future licenses or remain a credible independent competitor.
  4. Examine MVNO dependence. Identify wholesale suppliers, contract terms, switching options and whether the transaction removes a realistic alternative.
  5. Translate network claims into outcomes. Require measurable coverage, capacity, speed or deployment milestones with dates and a defined baseline.
  6. Check the duration of protections. Tariff, data-plan and wholesale commitments should state how long they last, which customers they cover and how compliance is monitored.
  7. Review linked agreements. Include roaming, wholesale, backhaul, device, broadband or other commercial arrangements that could change the parties’ incentives.
  8. Separate promises from evidence. Distinguish company forecasts, agency findings and measured post-transaction results; they answer different questions.

What safeguards can address the risks?

Possible safeguards depend on the identified harm. A remedy package may combine spectrum divestitures or access obligations with retail and investment commitments. Wholesale terms can preserve MVNO access, while tariff or data-plan protections can limit immediate consumer harm. Network plans can include milestones, reporting and independent oversight.

Safeguards also have limits. A short-term price freeze may expire before new competition develops. A wholesale agreement may be ineffective if its pricing, quality and dispute rules are vague. An investment target may count deployment without ensuring usable capacity. The key questions are whether the obligation addresses the specific competitive mechanism, lasts long enough, and has a credible monitoring and enforcement process.

Why concentration percentages are not enough

National spectrum or subscription shares can signal a possible concern, but they do not reveal local coverage, band quality, network capacity, wholesale dependence or the viability of entry. Two operators with similar national holdings may have very different competitive strength across rural and urban areas. Conversely, a smaller national share may be strategically important if it is the only practical substitute in a region or frequency band.

A sound assessment therefore combines concentration measures with geography, spectrum characteristics, rival networks, MVNO options, investment incentives and transaction-specific evidence. The DOJ’s 2025 UScellular statement illustrates this approach: it weighed concentration and entry risks against the seller’s investment constraints and the buyer’s stated network benefits, then emphasized that the conclusion was not a precedent for every future deal.
