A special dividend usually changes a stock’s reference price, but it does not automatically create a profit. When cash leaves the company, the share’s value is adjusted for that distribution; the investor then owns a lower-priced share plus the cash, before taxes and later market moves. Whether the payment is taxed as a qualified dividend, an ordinary dividend, return of capital or another category depends on the issuer’s tax reporting and the investor’s circumstances—not simply on the word “special.”
What makes a dividend “special”?
A special dividend is an irregular distribution outside a company’s established payment pattern. S&P Dow Jones Indices (S&P DJI) uses that concept in its index methodology. An increased ordinary dividend can remain ordinary, and a recurring variable dividend can still be part of a normal policy. The issuer’s announcement and payment history matter.

That market or index label is not a universal tax classification. A company may call a payment special while reporting it for tax purposes as a qualified dividend, nonqualified dividend, return of capital or a combination. The final classification appears on the issuer’s tax information and Form 1099-DIV, where applicable.

What happens to the share price on the ex-dividend date?
The ex-dividend date is the first trading day on which a buyer is not entitled to the declared distribution under the applicable exchange rules. An investor who buys before the ex-date generally receives the dividend; a buyer on or after the ex-date generally does not, and the seller remains entitled.

When the dividend becomes detachable from the share, the market’s reference value is reduced to reflect cash leaving the company. Investor.gov states: “With a significant dividend, the price of a stock may fall by that amount on the ex-dividend date.” S&P DJI’s index methodology specifies a mechanical special-dividend adjustment that reduces the stock price by the payment amount at the opening of the effective date.
That is an adjustment convention, not a guarantee about the traded quote. Overnight news, earnings, interest rates, broad-market movement, order flow and company-specific developments can push the actual market price higher or lower. A stock paying a $10 special dividend might open near a price $10 lower, yet it could trade at a different level immediately because investors are repricing the business at the same time.
Simple price-and-cash illustration
Suppose one share is worth $100 immediately before a $10 cash distribution. If the share subsequently trades at $90, the holder has:
| Component | Amount |
|---|---|
| Share after the adjustment | $90 |
| Cash dividend | $10 |
| Combined value before tax and later movement | $100 |
This arithmetic shows why the payment is not free money at the instant of detachment: part of the company’s cash has moved from the business to the shareholder. Taxes, reinvestment choices, transaction costs and subsequent price changes determine the investor’s actual result.

Ex-date timing, including very large dividends
For ordinary-sized distributions, the ex-date and payment date are listed in the issuer’s announcement and reflected in current exchange and brokerage information. Do not infer entitlement from a generic calendar because market rules and corporate-action notices control a particular payment.
Investor.gov describes a special timing rule when a dividend is at least 25% of the stock’s value. In that situation, the ex-dividend date is deferred until one business day after the payment date. The threshold is an administrative rule, not a prediction about how much the stock will move. A purchase that would normally qualify before an ex-date may not qualify under this deferred schedule, so check the issuer’s notice and your broker’s current corporate-action record.
How to verify entitlement
- Read the issuer’s dividend announcement for the record date, payment date, amount and any stated special ex-date treatment.
- Confirm the ex-dividend date in a current exchange or brokerage corporate-action listing.
- Ask the broker how unsettled trades, stock loans, options or other positions affect entitlement if your account has those features.
- Keep the confirmation and tax statement with your investment records.
Price return versus total return
A price-return chart tracks changes in the share price and omits cash distributions. A total-return calculation includes dividends, normally assuming that the cash is received and, in an index context, handled according to that index’s methodology. The two series can diverge sharply around a special payment.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problems| Measure | What it includes | What it can show around a special dividend |
|---|---|---|
| Price return | Change in the quoted share price | A drop caused by the distribution can look like a loss even though cash was paid. |
| Total return | Share-price change plus distributions | Captures the cash received alongside the remaining share value. |
| After-tax personal return | Total return after tax, costs and reinvestment effects | Can be lower or otherwise different from a pre-tax total-return series. |
S&P DJI says ordinary dividends affect its total-return and net-total-return indices, not price-return indices. It treats special dividends as corporate actions requiring price and divisor adjustments. Therefore, when comparing a chart, fund statement or index, first identify whether it is price-only, gross total return or net total return.

Why a chart can look misleading
A historical price chart may show a sudden decline on the ex-date because it records the adjusted share price but not the cash in the investor’s account. Some data services back-adjust prices for distributions, while others display unadjusted or exchange-adjusted series. Check the vendor’s methodology before interpreting a one-day fall as an operating collapse.
Do investors make money from a special dividend?
Receiving cash does not by itself increase wealth at the moment of distribution. In the $100-to-$90 example, the pre-tax combination is still $100. An investor can later make or lose money as the company’s prospects, market conditions and valuation change. The payment may also be useful because it converts part of the investment into cash without selling shares, but that is a change in asset form rather than an automatic economic gain.
A special dividend can affect investors differently depending on their goals:

- Income-focused holder: receives an unusually large cash payment but still owns a business with less cash on its balance sheet.
- Long-term accumulator: may reinvest the distribution, subject to tax and trading costs, and obtain a different number of shares.
- Trader near the ex-date: cannot assume a risk-free profit because the reference price adjusts and the actual quote can move for other reasons.
- Index or fund investor: experiences the distribution through the fund’s or index’s stated corporate-action and reinvestment methodology.

Qualified-dividend possibility
IRS Publication 550 (2025) says qualified-dividend treatment generally requires an eligible U.S. or qualified foreign corporation, a dividend that is not an excluded type, and compliance with a holding-period test. For common stock, the general test requires holding the shares for more than 60 days during the 121-day period that begins 60 days before the ex-dividend date.
The holding-period calculation can be affected by hedging, options, short sales and other transactions that reduce or suspend risk of loss. The relevant date is the ex-dividend date, not simply the payment date. A payment can therefore be labeled special by the company yet qualify—or fail to qualify—under the same federal rules that apply to other dividends.
Other possible classifications
An issuer may report all or part of a distribution as nonqualified (ordinary) dividend income, return of capital, capital gain distribution or another reportable category. Return of capital is generally not immediately taxable to the extent of the shareholder’s basis, but it reduces basis; once basis reaches zero, additional amounts can have different tax treatment. The issuer’s final Form 1099-DIV and accompanying tax statement control the starting point for reporting.

Corporate shareholders and Section 1059
Internal Revenue Code §1059 addresses an extraordinary dividend received by certain corporate shareholders. If a corporation has not held the stock for more than two years before the announcement date, the nontaxed portion of an extraordinary dividend can reduce the corporation’s basis, subject to the statute’s definitions and conditions. This is a separate corporate-shareholder rule, not the ordinary individual-investor qualified-dividend test.

- Save the issuer’s announcement showing the amount, dates and any description of the distribution.
- Record purchase dates, sale dates, reinvestments, basis and any transactions that may affect the holding-period test.
- Compare the broker’s transaction history with the issuer’s Form 1099-DIV and correct discrepancies with the broker or payer.
- Identify whether the account is taxable, an individual retirement account, a trust, a corporation or another entity before applying a rule.
- For foreign issuers, multi-country holdings or corporate shareholders, obtain advice that covers the applicable jurisdiction and entity rules.
Common mistakes to avoid
- “The price always falls exactly by the dividend.” The reference adjustment may equal the distribution, but real trading incorporates other information and can move in either direction.
- “A special dividend is a free return.” The company’s cash becomes shareholder cash, while the share’s reference value is reduced.
- “Buying just before the ex-date guarantees the payment and a profit.” Entitlement depends on the actual ex-date and settlement rules, and the price adjustment removes the assumed free gain before tax and costs.
- “Special means qualified.” Tax status depends on the payer, the type of distribution, holding period and other facts.
- “A price-only chart measures what I earned.” It may omit the cash distribution and therefore understate the investor’s pre-tax economic result.
- “The 25% rule applies to every large-looking payment.” The threshold is measured against the stock’s value under the applicable rule, and the issuer, exchange or broker must confirm the dates.
A practical framework for comparing two distributions
When evaluating a special dividend or comparing it with another payment, work through these five questions:
- Classification: Is it ordinary, recurring variable or special relative to the issuer’s history?
- Timing: What are the declaration, record, ex-dividend and payment dates, and does the 25% deferred-date rule apply?
- Performance measure: Are you looking at price return, gross total return, net total return or your personal after-tax result?
- Tax information: What classification does the issuer report, and did you satisfy the applicable holding period?
- Investor type: Are you an individual, a corporate shareholder, a fund or another entity subject to different rules?
Answering those questions keeps three separate issues from being conflated: the mechanical adjustment to a share or index, the cash-plus-share investment result, and the tax reporting that follows.
