Siemens Energy has announced up to €6 billion of share repurchases through fiscal 2028. The third tranche, worth up to €2 billion, started on September 24, 2026; the company’s activity page showed 2,122,004 shares bought for about €306.0 million through October 9. A buyback is not a direct payment to every shareholder, and it does not guarantee a higher share price or earnings per share (EPS). The eventual effect depends on how many shares are retired, reused for employee compensation, or held as treasury shares, as well as on the company’s operating performance and other capital needs.

What Siemens Energy’s buyback program is

A share buyback is a company’s purchase of its own stock. Siemens Energy executes purchases in tranches under a shareholder authorization and holds the acquired stock as treasury shares unless it later uses or retires them. Investors who sell into the program receive cash for the shares they tender or sell; investors who keep their shares do not receive that cash directly.

The announced ceiling is up to €6 billion through fiscal 2028. “Up to” is a maximum, not a promise that the full amount will be spent immediately or at all. Purchases are reported as they occur, and the company can adjust timing within the authorization and applicable market rules.

Siemens Energy described the rationale in its Q4 FY2025 shareholder letter as follows: “SE has launched a share buyback program of up to €6bn, reflecting our confidence in the company’s long-term value creation.” That sentence is management’s explanation of the program; it is not an independent valuation or a guarantee of future returns.

The legal authorization and its limits

When shareholders approved it

At the February 26, 2024 Shareholders’ Meeting, Siemens Energy received authority to acquire treasury shares for permissible purposes through February 25, 2029. The authorization limits the aggregate amount held or attributable to the company to 10% of the capital stock existing at the relevant time.

How shares may be acquired

The authorization allows several routes:

  • Purchases on the stock exchange.
  • A public repurchase offer to shareholders.
  • A public share-swap offer.

A market purchase normally happens through ordinary exchange trading, with the company or an appointed intermediary buying within the rules and parameters disclosed for the tranche. A public offer or share-swap offer would use a different process and may invite holders to tender shares on stated terms.

What Siemens Energy may do with the shares

The authorization lists permissible uses that include employee compensation and employee share programs, certain sales or other corporate purposes, and cancellation (retirement) of shares. This distinction matters: buying shares reduces the shares available in the market only temporarily if the company later reissues or transfers them. A lasting reduction in shares outstanding generally requires cancellation, while shares used for compensation can return to investors or employees.

Current program status and reported figures

The figures below are company-reported and carry their stated dates. Siemens Energy’s official activity log stops at October 9, 2026; it does not establish purchases made between October 10 and October 13.

Item Company-reported detail How to interpret it
Overall plan Up to €6 billion through FY2028 A program ceiling spread over time, not an amount spent on day one.
FY2025 repurchases 2,030,920 shares for about €170 million, bought from May 12 through June 26, at an average price of €83.70 The annual financial statements say these shares were designated for employee and share-based compensation programs.
Third tranche Up to €2 billion; began September 24, 2026 A separate tranche within the wider plan.
Third-tranche activity displayed through October 9, 2026 2,122,004 shares for approximately €305,998,963, an average price of €144.2028 The page’s daily log ends October 9, so this is not a total through October 13.
FY2026 shareholder-return expectation Approximately €3.6 billion, including dividends Management’s expectation in its May 22, 2026 Q2 FY2026 shareholder letter, not a guaranteed investor return.

In that Q2 FY2026 letter, Siemens Energy said it accelerated the up-to-€6-billion program by increasing the nearly completed first €2-billion tranche by up to €1 billion in FY2026. The wording describes a company plan and expectation; the actual cash spent and shares acquired must be checked in subsequent activity reports and filings.

How a Siemens Energy buyback works in practice

1. Shareholders grant a framework

The 2024 resolution establishes the legal period, the 10% holding cap, acquisition methods and permitted uses. It does not itself buy shares or determine a fixed daily schedule.

2. The company announces a tranche and operating parameters

Siemens Energy divides the broad authorization into tranches, such as the third tranche of up to €2 billion that started on September 24, 2026. A tranche gives investors a defined ceiling and start point while leaving execution spread over market sessions.

3. Purchases are executed over time

Shares can be bought on the exchange or through a public offer or share-swap offer allowed by the authorization. Market purchases occur at prevailing prices, so the number of shares obtained for a euro amount depends on the prices paid. Daily logs can therefore show different share counts and average prices as market conditions change.

4. Bought shares become treasury shares

Immediately after a purchase, the shares are held by Siemens Energy rather than by an outside investor. They are not automatically cancelled. The company’s filings identify employee and share-based compensation as a use, and the authorization also permits other corporate purposes or retirement.

5. The company reports activity and later use

Investors need two separate pieces of information: how many shares were acquired and what happened to them afterward. A repurchase announcement answers the first question only. Subsequent financial statements, treasury-share disclosures and changes in issued or outstanding shares help answer whether stock was cancelled, transferred for compensation or retained.

What changes for shareholders who keep their shares

There is no automatic cash payment

Unlike a dividend, a repurchase does not send money to every holder on a record date. Cash goes to the shareholders who sell shares to the company or into the market while the company is buying. A holder who does not sell keeps the same number of shares and receives no direct portion of the repurchase expenditure.

Ownership percentage can rise if shares are cancelled

If the company retires shares and your share count stays constant, your percentage ownership of the company can increase because the denominator—shares outstanding—falls. If the company instead holds the shares or later uses them in an employee plan, that lasting denominator reduction may not occur. The economic effect therefore cannot be inferred from the headline euro amount alone.

EPS is a calculation, not a promise

EPS is generally calculated by dividing earnings available to ordinary shareholders by a weighted-average share count. A lower share count can raise EPS when earnings are unchanged, but several qualifications matter:

  • The relevant denominator is the weighted-average count over the reporting period, not simply the number bought on the last day.
  • Shares held in treasury, cancelled, or reissued can affect the denominator differently under accounting rules and timing.
  • Earnings themselves can rise or fall because of operations, financing costs, taxes, restructuring or other factors.
  • A higher EPS figure does not by itself mean the business is worth more or that the market price must rise.

For these reasons, the program should be analyzed alongside profit growth, cash generation, leverage and the number of shares actually outstanding.

Share price is driven by more than the repurchase

Buybacks can create a source of demand while they are being executed, but market prices also reflect expectations for Siemens Energy’s orders, margins, cash flow, balance sheet, interest rates, sector conditions and investor sentiment. The authorization does not establish a floor under the stock price, and it cannot prevent a decline if the market reassesses the company’s prospects.

Buybacks versus dividends

Both mechanisms return capital, but they reach investors differently and have different uncertainties.

Question Share buyback Dividend
Who receives cash? Shareholders who sell shares into the company’s purchases or related market activity. Shareholders who hold shares on the applicable record date, subject to the declared amount and eligibility rules.
Timing Usually spread across trading sessions and tranches; the company controls execution pace within its plan. Paid on announced payment dates after declaration and approval processes.
Effect on share count Can reduce shares outstanding if shares are cancelled; may not do so permanently if shares are retained or reused. Does not directly change the number of shares outstanding.
Investor choice Each holder chooses whether and when to sell, potentially changing their ownership percentage. Eligible holders generally receive the declared cash unless they sell before the relevant entitlement date.
Tax treatment Depends on the investor’s country, account and whether the transaction is treated as a disposal or another taxable event. Depends on the investor’s country, account and applicable dividend rules.
Company flexibility Purchases can be paced, paused or allocated among permitted uses within the authorization and market rules. A declared dividend creates a specified distribution obligation under the applicable corporate process.

There is no universal answer as to which method is better. The practical comparison should include cash received directly, execution certainty and timing, the eventual effect on shares held or outstanding, the investor’s tax position, and whether retaining cash would better support operations, expansion or the balance sheet.

Why the purpose of the shares matters

Employee and share-based compensation

Siemens Energy’s FY2025 financial statements specifically designated the 2,030,920 shares bought during May and June for employee and share-based compensation programs. Using treasury shares for awards can avoid issuing new shares immediately, but it does not have the same effect as permanently cancelling those shares. Investors should examine the compensation disclosures and the movement in total shares when assessing dilution.

Retirement of shares

Cancellation removes the shares from the company’s available capital structure under the relevant legal and accounting process. If earnings remain constant, a permanently smaller share count can improve per-share measures and increase each continuing holder’s proportional interest. The timing and quantity of any retirement must be confirmed in a company announcement or filing; it cannot be assumed from a purchase log.

Other permitted corporate uses

The authorization also permits certain sales or other corporate purposes. Those uses can return shares to the market or transfer them for a transaction, so investors should not treat all treasury shares as permanently removed from circulation.

How to evaluate the program as an investor

Check the cash actually deployed

Compare the announced ceiling with cumulative purchases and the dates covered. The €6-billion figure is a multi-year maximum. The third-tranche figure of approximately €305,998,963 applies only to the activity displayed through October 9, 2026.

Check shares, not just euros

A euro total does not reveal the number of shares retired or the resulting ownership change. Track shares acquired, treasury shares held, shares cancelled and issued or transferred shares in the annual and interim reports.

Read the stated purpose

Look for language identifying employee awards, compensation, corporate transactions or retirement. The same purchase amount can have different long-term effects depending on that destination.

Compare returns with business investment

Siemens Energy described shareholder returns as part of a wider allocation plan alongside capacity expansion and a strategic reserve. Assess whether the company is funding those needs adequately and whether cash generation supports the pace of distributions without weakening resilience.

Separate guidance from results

The approximately €3.6 billion FY2026 shareholder-return figure, including dividends, is an expectation stated in the May 22, 2026 shareholder letter. Treat it as guidance rather than a guaranteed payment or a forecast of your personal return.

Common mistakes to avoid

  • Calling the €6 billion a completed spend: it is the maximum announced through FY2028, executed in tranches.
  • Assuming every bought share is cancelled: the authorization allows compensation programs and other uses.
  • Promising an EPS or price increase: the outcome depends on the final share count, earnings and market conditions.
  • Using the October 9 figure as an October 13 total: the displayed activity log does not cover those later dates.
  • Treating management’s confidence statement as proof of value: it is the company’s rationale, not an independent investment conclusion.
  • Ignoring taxes and personal circumstances: tax treatment varies by jurisdiction, account type and transaction details.

A practical monitoring checklist

  1. Start with Siemens Energy’s latest investor-relations buyback activity page and note the last date covered.
  2. Record cumulative euros spent, shares acquired and the reported average price for each tranche.
  3. Read the next interim or annual report for treasury shares, cancellations and employee-plan transfers.
  4. Compare the weighted-average share count with the prior period rather than relying on a single daily purchase number.
  5. Review operating cash flow, investment plans, leverage and the company’s stated capital-allocation priorities.
  6. For personal decisions, calculate the tax and ownership consequences using the rules that apply in your jurisdiction and account.

Bottom line for investors

Siemens Energy’s buyback is a multi-year, tranche-based use of corporate capital, authorized within a 10% treasury-share limit and potentially running to €6 billion through FY2028. The third tranche began on September 24, 2026, and the activity page showed about €306.0 million spent through October 9. The investor impact depends on what happens after purchase: shares may be cancelled, retained or used for employee and other permitted purposes. Judge the program by verified changes in shares outstanding, cash generation and competing capital needs—not by the headline authorization alone.
