How Offshore Drilling Backlogs Translate Into Revenue and Free Cash Flow

An offshore driller’s backlog is an estimate of revenue opportunities tied to contracted future work—not revenue already earned, cash already collected, or free cash flow. To assess what it may become, first understand the company’s backlog definition, then account for the rates and conditions under which work is performed, and finally examine cash collections, costs, working capital, and capital spending.

What does offshore drilling backlog mean?

Backlog is a contractor’s estimate of revenue opportunities associated with future drilling work under its own definition. The term is not fully standardized across drilling companies. One contractor’s total may include items another excludes, so headline figures are not automatically comparable.

A common starting point is the remaining firm contract days multiplied by an assumed dayrate. But the details matter: companies may differ on what commitments count as firm, which rate they use, and whether they include mobilization, demobilization, or other contract items.

What a backlog figure does—and does not—tell you

  • It can indicate contracted work ahead. The figure gives a view of potential revenue associated with the work included in that company’s calculation.
  • It is not a guarantee. The amount ultimately earned can change with operating conditions, contract terms, and the rate applicable to each period.
  • It is not a cash balance or free-cash-flow forecast. Backlog does not show when customers will pay, how much it will cost to perform the work, or how much the contractor will spend on its rigs.

How much of backlog turns into revenue?

There is no reliable universal conversion percentage. Backlog is an estimate built from defined contract terms; revenue is recognized as the contractor performs its obligations, subject to the specific contract and accounting treatment. Actual revenue can therefore differ from the amount implied by a backlog calculation.

Start with firm days and the rate assumption

For a rough conceptual calculation, take the firm days remaining in a contract and multiply them by the rate basis used in the contractor’s backlog definition. This is not a forecast of recognized revenue unless the definition’s assumptions match what happens during performance. For example, a calculation based on a maximum operating dayrate will overstate what is earned if some days are paid at a lower standby or repair rate, or at no rate.

Account for dayrate tiers and interruptions

Dayrate contracts can pay different amounts depending on whether a rig is operating or its work is interrupted or restricted. Borr Drilling says it recognizes dayrate revenue for the specific activities performed, which may produce a full, reduced, or zero rate. Noble Corporation likewise describes higher rates for operating time and lower or zero rates when operations are interrupted or restricted. Equipment breakdowns, repairs, weather, and other operating restrictions can therefore reduce the revenue earned against the headline backlog assumption.

Check commitments, options, and contract terms

Companies determine what counts as firm backlog under their own definitions. Borr Drilling’s 2025 Form 20-F includes firm commitments in definitive agreements, including binding letters of award and letters of intent, and uses firm contract days and maximum contract dayrate revenue in its calculation. Its extension options enter the calculation only when exercised. A reader should check the relevant company’s definition and contract disclosures rather than assume an unexercised option or preliminary commitment is included.

Termination provisions also matter: work described as contracted may be exposed to cancellation or early termination under the contract. The effect depends on the specific agreement, including any applicable termination payment. Do not infer the protection from the backlog figure alone.

Why contractors’ backlog figures may not compare

These company disclosures illustrate why a backlog number needs its definition and measurement date beside it. The figures below are not a like-for-like ranking: one is a total backlog figure, one is a subset associated with rigs held for sale, and one contractor’s amount is not stated in the cited material.

Company and date Reported figure Definition or scope detail
Transocean Ltd., February 19, 2026 $6.06 billion contract backlog Maximum contractual operating dayrate multiplied by remaining firm contract days, with certain probable performance provisions. Excludes mobilization, demobilization, contract preparation, other incentive provisions, and reimbursements not expected to be significant to contract drilling revenue.
Noble Corporation plc, December 31, 2025 Approximately $84.0 million associated with six rigs classified as held for sale This is the held-for-sale rig portion included in Noble’s backlog table, not the company’s total backlog.
Borr Drilling Limited, 2025 Form 20-F Total backlog amount: not stated in the cited filing material Its definition includes firm commitments in definitive agreements, including binding letters of award and letters of intent, and includes mobilization and demobilization revenue.

Transocean’s $6.06 billion is a company-defined snapshot dated February 19, 2026, not an industry total or a cash-flow forecast—and it should not be treated as a current October 2026 balance. The Noble amount identifies backlog associated with six rigs classified as held for sale as of December 31, 2025; it is relevant when considering whether a backlog figure belongs to the continuing operating fleet.

Use a definition checklist before comparing totals

  • Measurement date: Backlog changes as contracts are performed, awarded, amended, or otherwise affected.
  • Commitments counted: Check how the company treats firm contract days, letters of award or intent, extension options, and termination provisions.
  • Rate basis: Identify whether the calculation uses a maximum operating rate, another assumed rate, or provisions for interruptions or performance.
  • Fees and reimbursements: Look for the treatment of mobilization, demobilization, preparation, upgrades, bonuses, and reimbursable costs.
  • Fleet included: Check whether rigs held for sale or rigs not yet earning revenue contribute to the reported figure.

When does backlog become recognized revenue?

For drilling services, revenue is generally recognized as the contractor performs the work, with the rate earned reflecting the activities and conditions specified in the contract. That timing differs from both the date a backlog amount is reported and the date cash is received.

Mobilization and demobilization can shift timing

Borr Drilling says that pre-operating activities such as mobilization, contract preparation, customer-requested goods or services, and capital upgrades are generally not distinct promises in the contract. It records mobilization amounts received as a contract liability and amortizes them to dayrate revenue over the firm term. Its demobilization revenue is estimated at contract inception and recognized over the firm term only to the extent it is estimable and a significant reversal is not probable.

Noble Corporation also describes mobilization and demobilization as not distinct within the contract, with associated revenue and costs recognized over the initial contract term. Its demobilization revenue estimate may depend on conditions at contract completion and can be constrained by contract facts and market conditions.

As a result, an amount collected in advance may be recognized as revenue over time, while estimated revenue recognized during a contract may not yet have been collected. A backlog definition that includes mobilization or demobilization revenue will also differ from one that excludes those items.

How does backlog translate into free cash flow?

Revenue alone cannot answer this. Free cash flow depends on the cash generated and spent over a period, and companies may define or present the measure differently. A sound analysis must trace actual cash flows rather than apply a fixed percentage to backlog.

  1. Check cash collected from customers. Review receipts alongside receivables, contract assets, and contract liabilities to understand differences between recognized revenue and cash timing.
  2. Subtract operating cash outflows. Consider the cash costs of running the rigs and supporting the contracted work.
  3. Account for working capital. Changes in receivables, payables, and other operating balances can move cash into or out of a reporting period without changing backlog in the same way.
  4. Account for capital spending. Maintenance, upgrades, and other capital expenditures use cash and are not captured by the backlog total.
  5. Apply the company’s stated free-cash-flow definition. State whether the measure includes or excludes interest, taxes, and other items, then reconcile it to reported cash-flow disclosures.

The company filings described here explain backlog and revenue-recognition mechanics, but they do not provide a reconciled backlog-to-free-cash-flow bridge for a named contractor. A conversion rate from backlog to free cash flow cannot be established from these figures.
