A name, image and likeness (NIL) partnership is a documented exchange: a college football player grants defined rights or performs agreed promotional work, and a business, collective, brand or other payer provides cash, property or services. A compliant deal has a real commercial purpose, specific deliverables and compensation tied to that work—not payment for choosing a school, staying enrolled or making plays. Division I athletes also have reporting duties, and noncash benefits can create taxable income.
What an NIL partnership actually is
NIL refers to the commercial use of an athlete’s identity. In a partnership, the athlete authorizes a counterparty to use their name, image, likeness, voice or related personal brand and/or agrees to provide promotional services. The counterparty pays money or supplies something of value in return.
As an Amazon Associate I earn from qualifying purchases.
Common services include endorsing a product available to the public, appearing at an event, publishing sponsored social content, signing autographs, creating videos, licensing merchandise, or granting a royalty-bearing right. A contract should say exactly which activity is being purchased. Calling a payment an “NIL deal” does not make it permissible if no work or licensed right exists.

- No pay for athletic results: compensation cannot depend on participation, statistics, awards, wins or other athletic achievement.
- No enrollment inducement: the agreement cannot be payment for enrolling at or remaining at a particular institution.
- Commercial purpose: especially for school-associated payors, the arrangement must promote or endorse goods or services offered to the general public for profit.
These are Division I principles. State law, an athlete’s campus policy, contract language and other association rules can impose additional requirements.
Who pays determines which rules matter
| Arrangement | Who provides value | What the athlete exchanges | Key compliance question |
|---|---|---|---|
| Independent commercial NIL | An unaffiliated business, creator, event operator or other third party | Advertising, content, appearances, signatures or identity-licensing rights | Is there documented work or a licensed right, and is the deal reported when required? |
| Associated-entity or associated-individual deal | A party connected with the institution, such as a school-associated organization or person | The same types of commercial services or rights | Does the clearinghouse find a valid business purpose and compensation commensurate with comparable NIL value? |
| School revenue-sharing payment | The institution under applicable revenue-sharing arrangements | Not necessarily a third-party endorsement; terms depend on the governing settlement, policy and agreement | Do not label it a third-party NIL contract or assume third-party reporting rules apply. Review the school’s separate documentation. |
Collectives and school-related organizations may be counterparties, but their involvement does not turn an unconditional payment into permissible NIL. The contract still needs a business purpose, deliverables and supportable compensation.

How a deal is built from offer to payment
1. Define the campaign and deliverables
The payer should describe the product or service, target audience, campaign dates and work requested. A deliverables schedule might require two short videos, one in-person appearance and permission to repost the athlete’s content for 90 days. Vague promises such as “support marketing as needed” make it difficult to prove what was purchased.
2. License only the rights needed
Specify whether the payer may use the athlete’s name, photographs, game footage, voice, social handles, autograph or other identifiers. State the platforms, territory, term, approval process, editing rights and whether the payer may sublicense or use the material in paid advertising. An athlete should not grant perpetual, worldwide rights by accident when a local campaign needs a short license.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minute3. Set compensation and payment mechanics
Compensation can be a flat fee, installments, royalties, a per-appearance amount, merchandise, equipment, services or a combination. The agreement should identify who pays, when invoices or posts are due, how expenses are handled, what happens if an event is canceled and whether taxes are withheld. Noncash value must be described with enough detail to establish what was received and its stated value.
4. Sign and preserve the agreement
Keep the executed contract, amendments, invoices, payment records, campaign briefs, approval messages, screenshots, attendance records and proof of delivery. The NCAA’s Division I disclosure rule identifies services, rights granted, term, compensation, payment structure, involved parties and service providers as information that may be required.
5. Perform the work as written
Publish required posts on the agreed dates, use required disclosures, attend scheduled appearances and deliver files in the specified format. If the campaign changes, document the change in writing before doing different work. Evidence of completed deliverables protects both sides if a clearinghouse, school or tax authority asks what the payment covered.

Division I reporting through NIL Go
Current NCAA Division I guidance says covered third-party NIL deals valued at $600 or more are reported through the NIL Go clearinghouse. Smaller payments from the same payer are aggregated when their total reaches $600. The $600 figure is a reporting threshold, not a typical deal value and not a tax exemption.
The athlete is responsible for accurate submission of the agreement and supporting information. Procedures differ by status:
| Athlete status | Current timing described by NCAA guidance | Practical action |
|---|---|---|
| Prospective Division I athlete | Report within 14 days after beginning full-time classes or before the first Division I game, whichever comes first. | Gather signed commercial agreements before enrollment and confirm the applicable submission window with compliance staff. |
| Division I-to-Division I transfer | Separate transfer rules apply; new or changed deals may have a five-business-day reporting window. | Ask both the former and new school how a pending, amended or newly signed deal must be reported. |
| Enrolled athlete | Follow the current NIL Go instructions and campus deadlines for covered third-party agreements. | Submit promptly rather than waiting for payment or the end of the campaign. |
Deadlines and procedures can change. Before relying on a date, read the current NCAA instructions and contact the institution’s compliance office. A school may require internal disclosure even when an agreement falls outside a particular clearinghouse threshold.
Why school-associated deals receive extra review
For an agreement involving an associated entity or individual, the clearinghouse examines both the purpose and the price. The arrangement must promote or endorse goods or services offered to the general public for profit, and the compensation must be comparable to what similarly situated people with similar NIL value would receive.
“An associated entity or individual shall not enter into an agreement with or provide payment to a prospective student-athlete or student-athlete unless the agreement or payment terms, as determined by the name, image and likeness clearinghouse, are for a valid business purpose related to the promotion or endorsement of goods or services provided to the general public for profit, with compensation at rates and terms commensurate with compensation paid to similarly situated individuals with comparable name, image and likeness value who are not prospective student-athletes or student-athletes of the institution.”

That standard does not require every athlete to command the same fee. It asks whether the price can be defended using relevant comparators, audience reach, campaign scope, geography, usage rights and deliverables. A detailed proposal, market comparisons and evidence of actual work are more useful than a description that simply calls a payment a “donation.”
What changed for recruits and transfers
On April 1, 2025, the NCAA described a consent judgment allowing prospective and transferring athletes to discuss, negotiate and enter commercial NIL contracts with third parties before enrolling at a Division I member school. Member institutions may also support those athletes regarding potential commercial NIL opportunities.
The permission is not blanket approval for recruiting payments. The judgment does not authorize compensation for athletic performance or achievement, and it does not protect payment for work that will never be performed. A recruit can negotiate a genuine endorsement campaign before enrollment, but the contract still needs commercial deliverables, a real payer and the required reporting. Keep recruiting conversations, enrollment decisions and the commercial services clearly separated in the paperwork.
Cash, merchandise and services can all be taxable
The Internal Revenue Service treats NIL income broadly. Cash, property and services received for endorsements, sponsorships, appearances, royalties, merchandise or other work may be income. An athlete generally must report the income even when the payer does not issue Form 1099 or Form W-2.
| What the athlete receives | Record to keep | Tax point |
|---|---|---|
| Cash fee or installment | Contract, invoice, payment date and amount | Reportable income; classification may be employee wages or self-employment income depending on the facts. |
| Products, apparel or equipment | Item description, quantity, date and stated value | Noncash value can still be income. |
| Free professional or business services | Service description and normal value shown in the agreement | Services received in exchange for NIL work may have taxable value. |
| Royalties or merchandise sales | Royalty rate, sales statements and expenses | Track revenue and related costs separately; reporting treatment depends on the arrangement. |
The IRS NIL guidance describes a $2,000 Form 1099-NEC reporting threshold for qualifying service payments received in 2026, including cash, merchandise or services in kind. That threshold concerns whether an information return is issued; it does not make income below $2,000 tax-free. State income tax, estimated payments and deductible business expenses may also matter. Because employment status, deductions and filing obligations depend on personal facts, use a qualified tax professional for an individual conclusion.

Track where services occurred, not just where the athlete lives. Keep a running ledger of income, noncash benefits, expenses and tax documents throughout the year instead of reconstructing the records after season.

- Identify the payer: determine whether the counterparty is independent or associated with the institution.
- Describe the exchange: list each post, appearance, autograph session, content file or licensed right.
- Check prohibited conditions: remove terms tied to enrolling, staying, playing time, wins, statistics or awards.
- Test the commercial purpose: explain the goods or services being promoted and the public audience.
- Support the price: retain audience data, campaign scope, usage term and comparable talent or market information.
- Put all parties in writing: include the athlete, payer, agency, collective, service provider and any subcontractor.
- Submit when required: report covered third-party agreements and aggregated payments through NIL Go within the applicable status-based window.
- Disclose advertising: follow platform labeling requirements and the contract’s approval rules.
- Document completion: save links, screenshots, attendance confirmations, delivered files and payment evidence.
- Update records: report amendments, extensions, new deliverables and changed compensation rather than relying on the original submission.
Common failure modes and how to fix them
“The money is for being on the roster”
Problem: no commercial service or right is identified. Fix: define a genuine campaign with measurable work, a term and usage rights; do not backfill paperwork for work that will not occur.
“It is a recruiting bonus”
Problem: payment is contingent on choosing or remaining at a school. Fix: separate enrollment decisions from a commercial contract and ensure compensation is earned through completed promotional work.
“It is only free merchandise”
Problem: the athlete ignores noncash value. Fix: record what was received and its stated value for reporting and tax records.
“The payer is connected to the school, so any price is acceptable”
Problem: associated-party review can reject unsupported purpose or excessive compensation. Fix: document the public-facing business, campaign results and comparable rates before signing.
Best Value
“No tax form arrived”
Problem: the athlete treats the absence of a form as an exemption. Fix: report income based on the records and seek tax advice about classification, estimated payments and state rules.
“The deal was submitted, so performance no longer matters”
Problem: reporting does not replace delivery. Fix: complete the contracted work, retain proof and amend the agreement if the scope changes.

A sports or entertainment lawyer can explain rights, exclusivity, cancellation and liability clauses. A tax professional can address income classification, expenses, estimated payments and state filing obligations. The NCAA itself directs athletes to review campus policy and applicable state law because those requirements are not identical everywhere.
Bottom line for players and payers
The safest NIL partnership is easy to explain: a named payer buys specified promotional work or identity rights for stated compensation, the athlete performs and documents that work, and the agreement is reported and taxed under the rules that apply to the athlete’s status and location. Treat third-party NIL, associated-party deals and school revenue-sharing payments as separate categories. When the paperwork, business purpose, deliverables, clearinghouse submission and records all match, both sides can show what the payment was actually for.
