How NBA Franchise Ownership Disputes Are Resolved

NBA franchise ownership disputes do not follow one universal path. The route depends on who is in conflict, what right is at issue, and which document governs it: the NBA Constitution and By-Laws, a purchase contract, a partnership agreement, or another family or ownership arrangement. The Commissioner and Board of Governors have league-governance roles, while private agreements can send a dispute to mediation, arbitration, or court. A transfer of controlling ownership also requires Board approval.

Start with the source of the claimed right

The first question in an ownership dispute is not simply whether the Commissioner or a court will decide it. It is what the parties say has been violated. A disagreement about a league rule raises a different issue from an argument that a buyer missed a deadline, a minority investor was denied information, or family members failed to honor a governance arrangement.

The NBA Constitution and By-Laws set rules among Association members. In a federal court opinion concerning a Knicks–Raptors dispute over alleged misuse of confidential information, the court described those documents as a contract among Association members. It quoted Article 24(d), which gives the Commissioner “exclusive, full, complete, and final jurisdiction of any dispute involving two (2) or more Members of the Association.” The court also quoted Article 24(m): certain Commissioner actions are “final, binding and conclusive, as an award in arbitration,” and enforceable in a court of competent jurisdiction under New York law.

Those provisions matter, but the case concerned a dispute between member clubs, not a buyout of a controlling owner. The court’s reading does not establish that every disagreement among a controlling owner, minority investors, family members, and a team is automatically for the Commissioner to decide. The constitutional text distinguishes actions specifically referable to the Board of Governors from other Commissioner actions. The applicable clause and the parties’ private documents therefore matter.

Which decision-maker may be involved?

Potential decision-maker When the record shows it may matter What not to assume
Commissioner Article 24(d), as quoted by a federal court, assigns the Commissioner broad jurisdiction over disputes involving two or more Association members. That this provision automatically covers every internal owner, investor, or family dispute, or overrides matters specifically referable to the Board.
Board of Governors Board approval is part of controlling ownership transfers. The NBA announced approval of the Suns and Mercury sale in 2023; AP reported approval of the Timberwolves transfer and the Trail Blazers controlling-interest purchase. That Board approval itself resolves every private disagreement behind a sale.
Contractually selected mediator or arbitrator A private agreement may provide a process for a transaction or ownership dispute. In the Timberwolves dispute, AP reported mediation followed by a three-member arbitration panel. That every team agreement has the same process, or that the public knows the terms or reasoning of a private proceeding.
Court Court proceedings may arise alongside or after a dispute, as reported in the Lakers family-governance conflict and in the federal member-club case. That a court will decide the merits of every dispute, rather than a threshold question about the governing documents or an award’s enforcement.

These routes can interact rather than operate as a single ladder. A private arbitration may decide whether a sale agreement was followed, while the league separately considers whether to approve a proposed transfer. A court case may address a claimed right or the enforceability of a process without replacing every league decision. The examples below demonstrate different combinations; they do not establish a universal sequence.

How a dispute moves from disagreement to outcome

For a reader trying to understand a particular conflict, the most useful approach is to identify the parties, the claimed right, the designated decision-maker, the procedural stage, and what has actually been made public. This avoids treating a headline about a lawsuit or a league vote as proof that the underlying dispute is over.

  1. Identify the parties. Determine whether the conflict is between member clubs, a buyer and seller, a controlling owner and minority investors, or members of an owner’s family. Their status can affect which league provision or private agreement is relevant.
  2. Identify the document behind the claim. Look for whether the claimed right comes from the NBA Constitution and By-Laws, a purchase contract, a partnership or ownership agreement, or a family governance arrangement. A public report may identify the kind of agreement without disclosing its terms.
  3. Find the process that applies. Check whether the public account describes negotiation, mediation, arbitration, litigation, a Commissioner decision, or Board action. Do not infer a process just because another franchise’s dispute used it.
  4. Separate the private decision from league approval. A ruling about whether parties complied with a sale contract is not necessarily the same thing as the Board’s approval of a transfer. Track each step independently.
  5. Check the procedural status. A filed complaint contains allegations, not findings. A scheduled trial can be removed after a confidential process, but that does not disclose the settlement’s terms. A decision may also be subject to an appeal, or the parties may choose not to appeal.
  6. State only the public outcome. If reporting says an arbitration panel ruled for one side, that is an established reported outcome. If it does not publish the award’s reasoning or a confidential mediation result, those details remain unknown.

Timberwolves: a sale-contract fight followed by league approval

The Timberwolves dispute illustrates why the transaction process and league approval should be kept distinct. Glen Taylor sought to stop the staged sale of the team to Marc Lore and Alex Rodriguez, asserting that a purchase deadline had been missed. Lore and Rodriguez disputed Taylor’s account and said the delay was related to the timing of league approval. The disagreement concerned competing interpretations of the parties’ sale arrangement; the complete agreement is not reproduced in the public reporting.

According to the Associated Press, the parties went first to mediation and then to a three-member arbitration panel. The panel ruled for Lore and Rodriguez, and Taylor chose not to appeal. The AP subsequently reported that the Board of Governors unanimously approved the transfer. Its report described the Board as comprising the 30 team owners.

This sequence shows that a private contract dispute can have its own resolution process before a transfer receives league approval. It does not reveal the panel’s detailed reasoning, the agreement’s full deadline language, or the precise terms of any mediation. Those specifics should not be inferred from the reported result.

Suns: minority-owner claims and confidential mediation

The Suns example involved minority owners, rather than a buyer seeking to complete a controlling-interest purchase. In 2025, two minority owners sued Mat Ishbia and the team, seeking records to evaluate the team’s financial condition. They alleged a lack of transparency and possible mismanagement. Those were claims in litigation, not findings by a court.

A later AP report said Ishbia and the minority owners agreed to confidential binding mediation. The filing provided for dismissal with prejudice after mediation was completed and removed a scheduled trial from the calendar. That procedural development establishes that the case moved into mediation and that a trial was taken off the calendar; it does not disclose what the mediation resolved. The substantive private outcome is not stated in the reporting.

The case is a useful reminder that a minority investor’s dispute may concern access to information or management rights, not a transfer of control. Without the governing ownership documents and the mediation outcome, it is not possible to state exactly what rights the investors had, what the parties agreed to, or whether the allegations were substantiated.

Sterling controversy: what the league said about a three-fourths vote

In May 2014, during the Donald Sterling controversy, NBA spokesman Mike Bass made a statement about the league Constitution’s termination rule. He said that if a controlling owner’s interest was terminated by a three-fourths vote, the other team owners’ interests would also be terminated automatically, regardless of whether the owners were related. Bass characterized the rule as one to which NBA owners had agreed as a condition of owning a team.

This is a contemporaneous statement by an NBA spokesman about the league’s position on the rule. It should not be confused with proof that a three-fourths termination vote occurred or that such a vote, by itself, completed the Clippers’ sale. The statement explains the league’s asserted consequence if that condition were met; it does not, on its own, document every step in the eventual ownership change.

The example also highlights the difference between a league’s constitutional authority and the mechanics of a particular transaction. A reported rule or threshold can explain the league’s position without supplying the full procedural record for a sale.

Lakers: family governance settled through an agreement

Conflict within the Buss family over control of the Lakers led to court proceedings and a negotiated governance outcome. The Associated Press reported that a 2017 agreement named Jeanie Buss controlling owner. This is an example of a family ownership dispute ending in a governance arrangement, rather than a publicly described league arbitration ruling on a sale contract.

The agreement’s full provisions are not available in the cited reporting. The case therefore illustrates that family and control conflicts can be addressed by negotiated arrangements, but it is not a template for what another franchise’s family members may demand or what their documents require.

Can the NBA force an owner to sell?

The public materials described here establish that league constitutional rules can govern ownership interests and that the NBA has stated a three-fourths-vote rule for terminating a controlling owner’s interest. They do not provide a complete current inventory of the Constitution’s ownership provisions, all grounds for action, or the full procedures that would apply to a particular owner. The 2014 Sterling-related statement should be attributed to the NBA spokesman and not stretched into a claim that a vote necessarily occurred or alone completed a sale.

For an individual situation, the answer depends on the current constitutional provisions, the issue being raised, and any relevant private documents. A dispute about contractual performance, a league membership matter, and an alleged basis to terminate an owner’s interest are not interchangeable questions. The available examples show league review and Board approval in transfers, but they do not supply a universal rule for forcing a sale in every circumstance.

What public reports can and cannot establish

Ownership disputes often produce an uneven public record. A news report may disclose who sued whom, what a party alleged, or whether a case went to arbitration. It may not include the purchase agreement, partnership agreement, arbitration award, or settlement. Treating those missing terms as established would turn a reported procedural outcome into speculation.

  • Allegations are not findings. In the Suns litigation, claims of insufficient transparency and possible mismanagement were allegations by minority owners.
  • A process is not the same as its substantive result. The Suns parties’ move to confidential mediation and removal of a scheduled trial do not reveal the resolution’s terms.
  • A reported ruling does not disclose reasoning. The Timberwolves arbitration result was reported, but the panel’s reasoning and the complete contract are not reproduced.
  • A league statement is not a complete case history. Bass’s 2014 statement describes the NBA’s position on a constitutional rule, not every event in the Clippers’ sale.
  • One court interpretation has boundaries. The federal opinion’s discussion of Article 24 arose from a Knicks–Raptors dispute, not a controlling-owner buyout.

When reading coverage, separate the stated claim, the body that acted, the procedural step, and the confirmed result. If one of those is absent, the responsible conclusion is that the public account does not establish it.

A quick framework for comparing disputes

Two ownership disputes that both involve a team’s control can differ on nearly every legally important point. Use these questions to compare them without importing the outcome of one case into another:

  • Who is in conflict? Member clubs, a seller and buyer, a controlling owner and minority investors, or relatives with governance roles?
  • What right is asserted? A right under league rules, a deadline or obligation in a purchase contract, access to financial records, or a family governance right?
  • Who is empowered to decide? The Commissioner, the Board, a mediator or arbitrator selected under an agreement, or a court?
  • What stage has been reached? Negotiations, mediation, arbitration, a court proceeding, a Board vote, or a completed transfer?
  • What is actually public? Is there a published decision, a report of an outcome without its reasoning, a complaint containing allegations, or a confidential process with no disclosed result?

Those distinctions explain why a single answer to “Who decides?” can mislead. The decision-maker follows from the governing source of the right and the process that applies; a league-level transfer decision may remain separate from a private dispute among owners.
