Tencent affiliate Songhua River Investment Limited owns 49% of Roblox China Holding Corp., a China-focused joint venture—not 49% of Roblox Corporation. Roblox owns 51% of the venture’s voting shares and says it consolidates the venture because it controls it. Roblox’s 2026 proxy does not identify Tencent or Songhua as a holder of more than 5% of Roblox Corporation’s stock, but that disclosure does not establish that Tencent owns zero shares.
Which company does the 49% figure refer to?
There are two distinct entities behind the ownership question:

- Roblox China Holding Corp. is a separate joint venture focused on Roblox’s China operations.
In February 2019, Roblox entered into the joint-venture agreement with Songhua River Investment Limited, an affiliate of Tencent Holdings Limited. Roblox’s filings say Songhua contributed $50 million and received a 49% interest in Roblox China Holding Corp. The 49% refers to that venture, not to Roblox Corporation’s publicly traded shares. Roblox’s FY2025 Form 10-K describes the arrangement.

Roblox holds 51% of Roblox China Holding Corp.’s voting shares. It reports that it consolidates the venture because it maintains a controlling financial interest through voting rights; Songhua’s interest is recorded as noncontrolling. Roblox’s second-quarter 2026 filing says the other member lacks substantive participating or veto rights. Roblox’s Form 10-Q for the quarter ended June 30, 2026 explains the control treatment.

Does Tencent own shares in Roblox Corporation?
Roblox’s definitive proxy statement reports known beneficial owners of more than 5% of either class of Roblox Corporation common stock, among other listed holders. Its ownership table is dated February 13, 2026, and neither Tencent nor Songhua appears in it. That means the proxy does not identify either as a greater-than-5% owner on that date; it does not prove that Tencent held no shares or rule out a smaller stake. The filing also cannot establish whether a holding changed after the record date. Roblox’s 2026 proxy statement gives the table and its scope.
Why the Roblox Corporation voting structure matters
Roblox Corporation has two common-stock classes with unequal voting rights. As of February 13, 2026, the company reported 662,895,615 Class A shares and 47,070,464 Class B shares outstanding. Class A shares carry one vote each; Class B shares carry 20. David Baszucki and affiliates held all Class B shares and 58.8% of total voting power as of that date, according to the proxy. These are dated figures, not a current ownership snapshot beyond the stated record date. The proxy statement provides the share and voting figures.

What role does Tencent have in Roblox’s China operation?
The joint venture’s disclosed scope includes developing and localizing a Chinese version of Roblox Studio for creators, and licensing the Roblox application to Shenzhen Tencent Computer Systems Co., Ltd. to operate and publish as a game in China. Roblox’s second-quarter 2026 filing says Tencent received the required publishing license in December 2020, allowing the localized client to be published as Luobulesi.
As of the quarter ended June 30, 2026, Luobulesi was not available to users in China while Roblox and Tencent worked on a next version. The filing says the publishing license could be withdrawn if Tencent fails to comply with applicable regulations; it presents that as a contingency, not a prediction. Could the joint venture’s financing change its ownership split?
Roblox China Holding Corp. issued $30 million in notes, funded $15 million each by Roblox and Songhua. In the first quarter of 2026, the notes’ maturity was extended to May 10, 2028; they bear 6.0% annual interest. Either lender may voluntarily convert its notes into voting shares, but only if the lenders’ voting-share percentages remain the same immediately after conversion as before it. The filing does not say that conversion occurred or that the stated 51%/49% ownership split changed. The June 30, 2026 Form 10-Q describes the notes and conversion condition.
