Lenders judge a Bitcoin mining loan on two separate questions: whether the borrower can keep the operation producing cash and Bitcoin, and how quickly the lender could recover its money from the pledged collateral. That means reviewing the machines, power and hosting arrangements, mining-pool output, liquidity, legal status, and the proposed loan-to-value (LTV) rules—not just counting ASICs. Equipment-backed, hashrate-backed, and Bitcoin-backed facilities use different collateral and default controls, so an offer is only comparable when those details are read together.

What lenders are actually underwriting

A mining loan is an operating-business credit decision with a collateral component. The lender wants evidence that the borrower can pay expenses and debt service while Bitcoin prices, network difficulty, energy costs, and machine values change. Collateral reduces potential loss, but it does not replace a credible operating plan or enough liquidity to survive interruptions.

Antalpha Platform Holding Company describes a due-diligence process that can include appraisals, background checks, a review of business operations, analysis of collateral and borrower liquidity, know-your-customer (KYC) and sanctions checks, executed legal documents, and final risk approval. Its SEC-filed disclosures also describe monitoring after funding: collateral value, operational data, financial performance, risk management, and compliance remain under review during the loan.

That description is company-specific. It is useful as a checklist of issues a lender may examine, not proof that every lender uses the same process or reaches the same approval thresholds.

Three common collateral structures

The loan structure determines what the lender can control and what evidence matters most. Ask the provider to state the structure and permitted use of proceeds in the term sheet, rather than relying on a product name.

Structure Primary collateral What the lender must verify Typical control concern
Mining-machine loan The purchased or pledged mining machines Equipment identity, condition, ownership, location, efficiency, appraisal method, and resale assumptions Machines generally remain at their operating sites; the lender needs enforceable liens, access rights, and a practical foreclosure or sale process
Hashrate loan Bitcoin mined by specified machines or the associated production stream Machine assignment, pool records, expected output, power and hosting costs, wallet controls, and the method for calculating collateral value Control of mined Bitcoin and continuity of the underlying machines, power, hosting, and maintenance
Bitcoin-backed credit Bitcoin transferred or pledged for the loan term Wallet ownership, custody, transfer mechanics, valuation source, margin rules, and permitted transactions Fast liquidation of Bitcoin if collateral falls below the required level, balanced against custody and counterparty risk

Antalpha says its machine loans are secured by the machines bought with the facility, while its hashrate loans are secured by Bitcoin mined on specified machines. Hashrate proceeds may be used for mining-related service expenses, including hosting, maintenance, and repair. A Bitcoin-backed facility can involve direct transfer of the Bitcoin to the lender for the term; the exact custody and release language is contractual.

How the underwriting process works

1. Establish the borrower and ownership chain

Expect requests for formation documents, beneficial-owner information, identification, tax or registration records, and evidence that the borrower owns or controls the machines, wallets, and contractual rights being pledged. KYC and sanctions screening can disqualify an otherwise profitable operation if the entity, owners, source of funds, or operating jurisdiction is not eligible.

2. Test the operating business

The lender examines how the mine makes money and what can interrupt production. That can include the number and type of machines, uptime, repair history, hosting arrangement, power price and contract term, curtailment rights, insurance, staffing, and the operator’s experience. Financial statements, bank records, accounts payable, tax obligations, and a schedule of existing debt show whether the borrower has liquidity outside the pledged collateral.

Power and pool records are especially important for a hashrate structure because they connect the machines to measurable production. Mezzamine publicly says it verifies fleets using mining-pool data, power contracts, and financial statements and stress-tests Bitcoin price paths. Those are the provider’s stated practices, not independently validated market standards; request the same evidence in writing and ask how it affects approval.

3. Verify machines and appraise collateral

An appraisal may check serial numbers, model, hash efficiency, operating age, physical condition, location, and title. ASIC values are not fixed. Antalpha says valuation depends on model, efficiency, operating duration, market conditions, the scale of a potential disposal, and how urgently machines must be sold. Resale data is limited, and machines are less liquid than Bitcoin. A management estimate of collateral value may therefore differ materially from recoverable sale proceeds.

4. Apply risk, legal, and compliance controls

After reviewing the borrower and collateral, the lender completes legal documentation, confirms liens and security interests, performs KYC and sanctions checks, and sends the transaction for final risk approval. Read definitions carefully: an agreement may treat a decline in machine value, a missed power payment, a pool interruption, or a change in wallet control as a reporting event or default even before a scheduled payment is missed.

5. Monitor after funding

Underwriting does not end at closing. Antalpha describes post-funding monitoring of collateral value, operating data, financial performance, risk management, and compliance. Ongoing reporting can include pool statements, wallet balances, machine telemetry, power invoices, hosting confirmations, financial statements, and evidence of insurance or repairs. Ask how often each item is due, who pays for inspections, and what happens if data is late or unavailable.

Loan-to-value: what the published examples mean

LTV is the loan balance divided by the lender’s recognized collateral value. A lower LTV gives the lender more value cushion but requires more borrower equity. The calculation is only meaningful when the valuation date, haircuts, maintenance triggers, and cure period are specified.

Published figure What it describes How to interpret it
50% origination LTV Antalpha’s reported example for mining-machine loans A company-specific initial structure, not an industry-wide maximum
60%–80% origination LTV Antalpha’s reported range for hashrate loans A provider-specific range; the applicable percentage can vary by borrower, machines, and contract
57% LTV at December 31, 2025 Antalpha’s combined Bitcoin-and-machine supply-chain loan portfolio A portfolio measure on that date, not a single-borrower offer or an origination requirement

Do not compare a 50% machine-loan quote with an 80% hashrate quote without asking what value sits in the denominator. One may use a conservative resale appraisal; another may use expected Bitcoin production or a wallet balance after a haircut. Also ask whether LTV is tested daily, weekly, or only at reporting dates; the exact margin-call, cure, suspension, and liquidation rules determine the real risk.

Collateral control and what happens in a default

Bitcoin control

Antalpha says Bitcoin collateral is typically transferred to the lender for the loan term. Confirm the destination wallet, signing authority, custody provider, withdrawal restrictions, valuation source, and release conditions. If the borrower retains control, the lender may require a segregated wallet, multisignature approvals, or frequent proof of reserves. The contract should state who bears network fees, custody fees, and losses caused by a security incident.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Machine control

Secured machines are required to remain at their sites under Antalpha’s described structure. That makes the site agreement as important as the security agreement. Review the lender’s inspection and access rights, the host’s ability to move or shut down equipment, lien waivers, insurance, utility termination rights, and the procedure for removing machines after a default. A lien that cannot be enforced at a remote facility may be worth less than its paperwork suggests.

Possible remedies

Antalpha says that, after default, a lender may liquidate Bitcoin, foreclose on equipment, or keep machines operating to generate additional Bitcoin collateral. Each path has different timing and costs. Bitcoin can generally be sold quickly but may suffer a price drop or market slippage. Equipment may require disconnection, transport, testing, refurbishment, a buyer search, and a discount for urgency. Continuing to mine can preserve value only if power, hosting, maintenance, and network conditions remain workable.

What to compare in competing offers

Use the following checklist before treating two term sheets as equivalent. Actual contract language governs.

Comparison point Questions to ask
Loan type and use of proceeds Is the facility for machines, hosting and repairs, working capital, or a Bitcoin-backed advance? Are refinancing, payroll, taxes, or transfers restricted?
Eligible collateral and valuation Which machines, wallets, hashrate streams, or contracts qualify? Who appraises them, what haircuts apply, and how often is value reset?
Initial and ongoing LTV What is the opening LTV? What maintenance threshold, cure period, suspension trigger, and liquidation threshold apply?
Custody, liens, and site access Who controls mined Bitcoin? Where are machines located? Can the lender inspect, move, disable, or sell them?
Liquidity and operating proof What minimum cash reserve, financial reporting, pool data, power contracts, and hosting evidence are required?
Term and repayment What is the maturity, amortization schedule, notice period, prepayment rule, default interest, and fee schedule?
Operating dependencies Who pays for electricity, hosting, maintenance, repairs, insurance, and unexpected downtime?
Default remedies Can the lender sell Bitcoin immediately, foreclose on equipment, keep mining, or pursue a deficiency? Who controls the process and costs?
Eligibility and compliance Which jurisdictions, entities, owners, and source-of-funds profiles are accepted? What ongoing KYC or sanctions checks apply?

Costs and figures that need context

Published company figures can help frame an offer but should not be mistaken for a quote. Antalpha reported $1,001.1 million in supply-chain loans outstanding at December 31, 2025. That is the size of its reported portfolio, not the amount available to a new borrower or a measure of the overall market.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The same 2025 annual report reported a 7.8% weighted-average technology financing fee rate for the year. It is a historical company-wide average, not a promised rate for a new mining loan. Ask whether a quoted rate is interest, an origination fee, a technology or service fee, default interest, or a combination, and calculate the total cost over the actual repayment period.

How to prepare a stronger application

  1. Build an asset register. List every machine’s model, serial number, purchase invoice, ownership entity, location, operating status, efficiency, and insurance coverage.
  2. Document power and hosting. Provide executed contracts, tariff schedules, deposits, termination rights, uptime commitments, and invoices. Explain who bears curtailment and repair costs.
  3. Export production records. Preserve mining-pool statements, wallet addresses, payout history, hashrate, rejected-share rates, downtime logs, and maintenance tickets for a period long enough to show normal and disrupted operations.
  4. Prepare liquidity evidence. Show unrestricted cash, reserve accounts, receivables, existing debt, taxes, payroll, and a schedule of recurring operating expenses. Separate pledged Bitcoin from funds available to meet a margin call.
  5. Model stress cases. Run scenarios for a Bitcoin-price decline, higher network difficulty, power interruption, machine failure, hosting termination, and a forced equipment sale. State which expenses continue when machines are offline.
  6. Review the documents with counsel. Check security interests, wallet-control provisions, cross-defaults, reporting deadlines, jurisdiction, insurance requirements, and the exact cure and liquidation process before signing.

Frequent mistakes and how to avoid them

  • Assuming an ASIC appraisal equals cash recovery. Ask for the assumed sale channel, time to liquidate, transport and refurbishment costs, and the haircut for a forced sale.
  • Comparing headline LTVs only. Match the collateral definition, valuation source, maintenance threshold, and cure period before comparing percentages.
  • Ignoring operating contracts. A machine is not productive collateral without electricity, hosting, maintenance, internet access, and a functioning pool connection.
  • Overlooking liquidity requirements. A borrower can be solvent on paper and still default if it cannot fund power bills, repairs, or a margin call during a price shock.
  • Treating a provider’s public description as a guarantee. Mezzamine’s verification and stress-testing statements describe its claimed approach; they do not establish eligibility, outcomes, or universal lender practice.
  • Failing to plan for a default. Know who can access the site or wallet, how quickly collateral may be sold, and whether operations can continue without violating the host or power contract.

Questions to resolve before signing

Ask the lender to answer these points in the final documents, not only in a sales call:

  • What exact collateral value starts the LTV calculation, and which deductions are applied?
  • When is LTV remeasured, and how much time is available to cure a breach?
  • Who controls mined Bitcoin each day, and how are transfers recorded?
  • Can machines be relocated, powered down, or sold without the host’s consent?
  • Which operating failures are reporting events, technical defaults, or payment defaults?
  • What fees apply at origination, during monitoring, at prepayment, and after default?
  • What documents prove release of liens and return of Bitcoin after repayment?

A lender’s decision ultimately reflects recoverability under stress, not merely the number of machines or the current Bitcoin price. The strongest applications connect verifiable production data, durable power and hosting rights, sufficient unrestricted liquidity, conservative collateral values, and a clearly documented remedy if operations or markets deteriorate.
