An Indian IPO moves through four linked stages: investors submit bids during the offer, application money is blocked, shares are allotted under the issue’s disclosed basis, and the shares begin trading on the stock exchange. Strong subscription numbers describe aggregate demand—not the number of shares any one applicant will receive. A listing gain is simply the percentage change between the issue price and a market price you choose to measure; it is never guaranteed.

The sequence below follows SEBI’s framework for Indian public issues. Individual offer documents control the exact dates, category rules, lot size, price band, allotment basis and application channels, so read those documents before applying.

What “IPO subscription” actually measures

An IPO application is a bid for shares, not a confirmed purchase. In a book-built issue, the company and its lead managers publish a price band and investors enter the quantity they want and, where applicable, the price they are willing to pay within that band. Retail applicants can generally select the cut-off option described in the offer documents. A cut-off bid means the applicant agrees to pay the final price discovered through the bidding process.

During the offer period, the exchange reports bids received in each investor category. The subscription figure is calculated by comparing valid shares bid for with shares offered in that category. For example, a category shown as “10 times subscribed” has bids for ten times the shares available there. It does not mean every applicant will receive one-tenth of the shares requested, and it says nothing by itself about the eventual first-trading price.

How bids help discover the issue price

Book building aggregates bids at different prices. The issuer and lead managers use that demand schedule to determine a final issue price within the announced band, subject to the applicable rules and disclosures. Bids below the final price do not receive shares on those bids. Applicants who bid at or above the final price remain subject to the category’s allocation rules and the number of shares available.

The final price is therefore a result of the issue’s demand and pricing process, while the later market price is set by buyers and sellers after listing. They are related stages, but they are not the same valuation.

What happens to your money: ASBA and UPI

Under Application Supported by Blocked Amount (ASBA), your application amount stays blocked in the bank account linked to the application instead of being transferred to the issuer immediately. You normally continue to earn any applicable account interest while the funds are blocked, subject to your bank’s terms. The money cannot be used for other transactions until the block is released or the required amount is debited.

UPI authorization

For an eligible UPI application, you submit the bid through an approved application channel and receive a UPI mandate request. You must authorize that request in the UPI app connected to the bank account. A successful mandate blocks the specified amount; merely entering a UPI ID or submitting a form does not complete the payment authorization.

Eligibility, participating banks and apps, per-application limits and cut-off times can change. Check the live offer document, your bank and the current exchange or SEBI instructions. If the mandate is not approved, expires or is rejected, the application may not be considered valid.

Debit after allotment

When shares are allotted, the amount due for those shares is debited from the blocked funds. If you receive no shares, the full amount should be unblocked. If you receive fewer shares than requested, only the amount needed for the allotted quantity is debited and the balance is released. The bank, registrar and exchange process the status updates, so release timing can vary by institution.

Why oversubscription does not tell you your allotment

Oversubscription means aggregate valid demand exceeds the shares offered in a specified category. It is a market-demand indicator, not an individual entitlement. Your result depends on the issue’s basis of allotment, category reservation, eligibility, bid validity and the final price.

Question What the data means What it does not mean
Subscription multiple Total valid shares bid compared with shares offered in a category Your personal probability or guaranteed number of shares
Your application quantity The maximum number of shares you asked to buy The number you will necessarily receive
Final issue price The price established through the book-building process A forecast of the first market price
Allotment status The shares actually assigned to your valid application A promise that the stock will rise after listing

Do not assume that every Indian IPO uses one universal “lottery” or pro-rata formula for retail investors. The offer’s disclosed basis of allotment and applicable category provisions govern the result. The designated stock exchange, lead manager and registrar are identified in the offer documents and participate in finalizing and publishing that basis.

How to apply for an IPO subscription

SEBI’s investor guidance describes applying through an ASBA facility or an eligible UPI route. A registered stock broker can be one submission channel, but the broker does not control the allotment odds. Use only the channels and bank or UPI details permitted for the specific issue.

  1. Read the offer documents. Note the opening and closing dates, price band, lot size, minimum application, investor-category limits, cut-off option, issue-specific eligibility and the registrar’s contact details.
  2. Choose your bid quantity. Enter whole lots and stay within the limits for your category. Decide whether a cut-off bid is appropriate for you; it expresses willingness to pay the final discovered price.
  3. Submit through ASBA or an eligible UPI flow. Enter your demat account, bank and contact details exactly as required. A mismatch can invalidate the application.
  4. Authorize and verify the block. For UPI, approve the mandate in the correct UPI app and confirm that the amount is actually blocked. For bank ASBA, verify that the bank has accepted the application and placed the hold.
  5. Keep the application reference. Save the bid number, UPI mandate reference or bank acknowledgement. You will need it to check status or resolve a failed mandate.
  6. Monitor corrections before closure. If the issue permits modification or withdrawal, use the stated channel before the published deadline. A bid cannot normally be changed after the relevant cut-off.

Allotment: from bid book to demat account

After the offer closes, valid bids are finalized and the issue price is determined. Applications with bids below that price are excluded for those bids. The remaining applications are processed under the category allocation rules and the disclosed basis of allotment.

Rank #3
The Standards Real Book, C Version
  • Used Book in Good Condition

What can produce a partial or zero allotment

  • Excess demand: More valid applications or shares are requested than the category can satisfy.
  • Invalid or rejected bid: Incorrect details, an unpaid or failed UPI mandate, duplicate applications where prohibited, or other rule violations can remove an application from consideration.
  • Price condition: A bid below the final price does not qualify at that price.
  • Category constraints: Reserved portions and eligibility conditions differ among retail, non-institutional and institutional categories.

The registrar publishes the allotment information through the channels named in the offer materials. If shares are allotted, they are credited to the demat account after the required corporate-action processing. If not, the blocked funds are released according to the bank’s processing cycle. Check your bank statement and demat account rather than relying solely on an app notification.

The listing timeline: what SEBI’s T+3 rule means

SEBI reduced the public-issue listing timeline from T+6 to T+3 working days. The T+3 requirement applies to public issues opening on or after 1 December 2023, and the count starts from the issue’s closure date. “T” is the closing day of the offer; “T+3” is the third working day after it, excluding applicable market holidays.

Stage Typical event What you should check
Offer period Bids accepted within the published dates Price band, lot size, category and cut-off time
T (closure) Last day for valid applications Mandate authorization and acknowledgement completed before the deadline
After closure Price discovery, validation and basis of allotment Registrar or exchange allotment-status publication
By T+3 Shares listed for exchange trading, subject to the issue schedule Listing notice, trading symbol and market session details

The exact timetable can include weekends, exchange holidays or issue-specific notices. Treat the dates in the live offer documents and exchange listing notice as controlling.

What a “listing gain” is—and how to calculate it

A listing gain is a measured price outcome, not a feature delivered with every allotment. Select the market observation first: opening price, first executed trade, intraday price, or closing price. Then compare it with the issue price:

Listing return (%) = (selected listing price − issue price) ÷ issue price × 100

Hypothetical example

If the issue price is ₹100 and the selected first-trade price is ₹115, the gross price change is (₹115 − ₹100) ÷ ₹100 × 100 = 15%. If the selected market price is ₹90, the result is (₹90 − ₹100) ÷ ₹100 × 100 = −10%.

These calculations exclude brokerage, exchange charges, taxes and any other transaction costs. They are arithmetic examples, not predictions of an actual IPO. The percentage can differ materially depending on whether you use the opening print or the closing price, because a newly listed share can move quickly during its first session.

Why a listing gain is never assured

The issue price is established for the primary sale; the post-listing price is determined in the secondary market. Demand can strengthen, weaken or change direction once trading begins. A share can list above the issue price, open below it, or move from a gain to a loss during the same session.

SEBI’s investor risk warning states: “The issue price (has been determined and justified by the Lead Merchant Banker and the issuer company as stated under Justification of Premium paragraph – in case of premium issue) should not be taken to be indicative of the market price of the equity shares after the shares are listed. No assurance can be given regarding an active or sustained trading in the shares of the company nor regarding the price at which the equity shares will be traded after listing.” This warning applies even when an issue is heavily subscribed.

There is no reliable market-wide percentage that can be applied to all Indian IPOs for an “average listing gain.” Subscription multiples, media estimates and grey-market indications cannot replace the live market price or guarantee a return.

Common application problems and practical checks

The UPI mandate was not approved

Check that the mandate request was authorized in the correct app, the bank account had sufficient available balance and the authorization occurred before the issue deadline. Keep the reference number and contact the bank or registrar if the status remains pending.

The blocked amount has not been released

Unblocking is a bank-processing action after the registrar’s instruction. Confirm whether you received a partial allotment, then compare the expected release with your bank statement. Escalate with the application reference if the amount remains blocked beyond the stated processing window.

The demat account shows no shares

First verify the allotment result with the registrar or exchange channel named in the offer documents. A non-allotment means there is no credit to display; a successful allotment may appear only after the scheduled corporate action is completed.

The application details were wrong

Incorrect PAN, demat, bank or UPI information can make a bid invalid. Use the correction or withdrawal facility only if the issue permits it and only before the published cut-off. Do not submit duplicate applications in an attempt to improve the result where the rules prohibit them.

A decision framework before you bid

  • Understand the security: Read the company’s risk factors, use of proceeds, financial information, valuation discussion and the lead manager’s disclosures.
  • Separate allocation from return: Decide whether you are comfortable owning the shares even if there is no listing premium.
  • Budget for a full debit: Keep the application amount available until allotment and release processing are complete.
  • Use the correct category: Apply only under the investor classification and limits for which you qualify.
  • Define your price measurement: If you later calculate a return, record whether it is based on the opening, first trade or close, and include costs when assessing your net result.

The practical sequence is therefore: bid during the offer, authorize the ASBA block, wait for price discovery and the disclosed allotment basis, verify the credit or release, and then observe the actual trading price. A high subscription number can explain why allocation is difficult, but it cannot promise shares or a gain.
