Early investors cannot assume they may sell as soon as a company goes public—or as soon as 180 days have passed. A lockup is usually a contract that restricts specified holders from selling certain shares for a stated period. The actual release date, covered shares, and any conditions depend on the issuer’s prospectus and the holder’s agreement. Separate securities-law requirements can still apply after a lockup expires.
What an IPO lockup does
An IPO lockup is generally an agreement between a company and its underwriter, or an agreement made by particular shareholders, that bars specified holders from selling or otherwise disposing of specified securities for a defined period. It helps limit the number of shares that can enter the public market immediately after an offering.

Investor.gov, the SEC’s investor education site, says lockup terms vary, but most prevent insiders from selling for 180 days. That is a common contractual period, not a universal rule that automatically applies to every IPO shareholder. An agreement can set a different period, restrict only certain shares or transactions, limit the amount sold over time, or provide for releases in stages.

When an early investor may be able to sell
There is no single expiration date for early investors as a group. A holder’s ability to sell depends on whether the shares were registered for sale in the IPO, whether a lockup or other contract covers them, and whether applicable resale rules have been satisfied.
Shares sold in the IPO
Some existing shareholders sell shares as selling shareholders in the IPO. The SEC’s IPO investor bulletin says the prospectus cover identifies selling shareholders and the shares they are offering. When those shares are included and registered as part of the offering, their sellers may receive proceeds; that money goes to the selling shareholders rather than to the company. This is different from newly issued shares whose proceeds go to the issuer.

Shares held after the IPO
Other shares held by founders, early investors, or employees may remain unavailable for public sale because of a contractual lockup or rules applying to restricted or control securities. The fact that someone held shares before the IPO does not establish when that person may sell them.

After a lockup ends
Expiration removes the contractual restriction only to the extent the agreement says it does. A holder may still need to meet separate resale requirements, and the agreement may specify staged releases, volume limits, exceptions, or other conditions. The SEC’s Rule 144 overview describes requirements that can include holding periods, current public information about the issuer, volume limits and transaction requirements for affiliates, notice filings in specified circumstances, and removal of restrictive legends before a public sale. The applicable conditions depend on the security and the holder’s circumstances; a calendar date alone does not establish that a trade is permitted.

How to find the terms for a specific IPO
Use the issuer’s prospectus and the relevant holder agreement rather than relying on a general 180-day estimate. Investor.gov directs investors to the prospectus and SEC filings for lockup information. In the prospectus, the section called “Shares Eligible for Future Sale,” or a similarly titled section, generally discusses shares that may become available or be registered after the offering.
- Locate the issuer’s IPO prospectus. Search the company’s SEC EDGAR filings for the registration statement and prospectus associated with the offering. Confirm you have the final offering document rather than relying on a summary or an earlier draft.
- Check who is selling in the IPO. Review the cover page for selling shareholders and the number of shares each is offering. These are distinct from shares that remain held after the offering.
- Search for the lockup and resale sections. Look for terms such as “lock-up,” “restricted period,” “Shares Eligible for Future Sale,” “underwriting,” and “selling shareholders.” Read the surrounding text, not just a date in a summary: it may explain which holders and securities are covered, when the period starts, and whether releases are staged or capped.
- Identify the holder’s agreement. The prospectus may describe the arrangements, but the holder’s applicable agreement controls its contractual obligations. Check for amendments or waivers that affect the stated terms.
- Assess separate resale conditions. Determine whether the shares are restricted securities or control securities and whether Rule 144 or another applicable route permits a public resale. A restrictive legend may have to be removed before the shares can be sold publicly.
- Verify the specific trade before acting. A holder’s contractual release and securities-law eligibility are separate questions. If either is uncertain, the holder should obtain advice based on the actual documents and circumstances rather than treat the prospectus’s expected date as clearance to trade.
The SEC’s educational material is intended to inform investors; it is not a legal interpretation or a statement of SEC policy. The SEC’s Rule 144 overview was published in 2013, so its description should not substitute for checking current requirements when assessing a particular sale.

Three restrictions that are easy to confuse
| Restriction or status | What it concerns | What to verify |
|---|---|---|
| Contractual IPO lockup | A restriction agreed to by specified holders and the company or underwriter, covering the people, shares, and conduct defined in the agreement. | The relevant agreement and prospectus disclosures: duration, start date, covered securities, release schedule, caps, waivers, and exceptions. |
| Rule 144 resale conditions | Requirements that may govern public resales of restricted or control securities even when a contractual lockup does not block the sale. | The current rule and the facts for the holder, security, and proposed transaction, including any applicable holding-period, information, volume, transaction, notice, or legend-removal conditions. |
| FINRA Rule 5110 restriction | A separate 180-day restriction on certain securities received as underwriting compensation by participating FINRA members, subject to listed exceptions. | Whether the security and recipient fall within the rule and whether an exception applies. This is not a universal lockup imposed on founders or early investors. |
FINRA Rule 5110 also requires disclosure of its covered underwriting-compensation restriction in the distribution-arrangements section. Its 180-day period runs from the start of public-offering sales, subject to the rule’s exceptions. That timing and scope should not be substituted for the terms of a company’s shareholder lockup.

A lockup can keep some shares out of public trading during the period immediately after an IPO. When previously restricted shares become eligible for sale, investors may describe the potential supply as “market overhang.” The SEC’s IPO bulletin warns that a stock’s price may decline as shares become available, and that a decline may be significant when a large number of shares become available at once.
Best Value
That possibility is not a forecast. Unlocking shares does not compel holders to sell, and expiration does not show how many will actually be offered. Price also depends on market conditions and demand. For an IPO-specific assessment, compare the number of shares becoming eligible with the existing public float, then check whether the release is staged or limited and whether holders face other resale restrictions. Eligibility is not the same as an immediate sale into the market.
How to compare lockup terms across IPOs
Comparing only the headline duration can be misleading. Use the same questions for each issuer and holder situation, and rely on the relevant prospectus and agreement for the answers.
- Who and what are covered? Identify the holders, securities, and transactions subject to the restriction.
- How long does it run? Record the contractual period and the exact event from which it is measured, along with any stated end date.
- Are releases staged or capped? Note any scheduled tranches, limits on the amount that can be sold, waivers, or exceptions.
- What shares were sold in the IPO? Separate registered selling-shareholder shares from shares that remain outstanding and are expected to become eligible later.
- What rules still apply? Account for any separate restricted-security or affiliate resale conditions, including applicable Rule 144 requirements.
- How much supply could enter the market? Compare the number of shares becoming eligible with the public float, while recognizing that eligible shares are not necessarily shares that will be sold.
This approach helps distinguish a broad “lockup expiration” headline from the practical situation of a particular holder. Two holders in the same company can have different agreements, securities, and resale conditions.
What 180 days does—and does not—tell you
The 180-day figure is useful as a common reference point because Investor.gov says most lockups prevent sales for that long. It is not a reliable stand-alone answer to “When can this investor sell?” The contract may use a different period or release structure; the holder may not be covered by the same agreement as other shareholders; and securities-law conditions may remain after the contractual restriction ends.
There is likewise no guaranteed stock-price effect at expiration. The availability of more shares can create selling pressure, especially if many shares become available at once, but the number eligible does not establish the number sold or the direction of the stock’s price. For a specific IPO, the filing and agreement provide the terms; the proposed transaction and holder’s status determine whether a sale is actually permitted.
