There is no universal hotel-sale payout order. In a negotiated sale, the hotel-owning entity generally uses available proceeds for transaction costs, required loan payoffs and releases, other company obligations and reserves, then any distributions permitted by its governing documents. Lien priority, loan terms, local law and the entity’s agreement determine who receives what; foreclosure follows the rules for that sale and jurisdiction.
What happens to the hotel’s sale price?
The headline price is not the same as cash available to owners. A sale may involve noncash or contingent consideration, and the cash received may be reduced by transaction adjustments and expenses. What remains must be handled under the loan and lien documents, the hotel-owning entity’s governing documents, and any applicable law.

For a negotiated sale, a useful way to understand the possible sequence is:
- Transaction costs and adjustments: permitted brokerage, escrow, legal, accounting, tax and other closing costs may be paid or deducted.
- Debt and lien requirements: the seller pays the amounts required to satisfy secured obligations and obtain the lien releases needed for the agreed title transfer.
- Other company obligations and reserves: the entity may need to pay its other debts, fees and expenses or retain funds for contingent claims.
- Owner distributions: only the remaining amount is available for distribution, in the order and proportions set by the entity’s governing documents.
The precise sequence and eligible expenses depend on the transaction documents. For example, SEC-filed hotel LLC and offering documents illustrate expenses, company obligations, reserves and member distributions in particular entity waterfalls; they do not establish a standard rule for every hotel.

Who gets paid first: lenders or shareholders?
Shareholders or other equity owners do not automatically receive a pro-rata share of the sale price. A secured lender’s claim is handled under the applicable loan, lien and intercreditor arrangements, while equity distributions are governed by the hotel-owning entity’s agreement or charter. In a typical negotiated closing, equity receives only what is left after the sale costs, required debt treatment and other prior company obligations have been addressed.
Loan payoff can exceed principal
The closing payoff may include accrued interest, prepayment penalties or premiums, breakage costs, fees and expenses, depending on the loan terms and payoff statement. A balance-sheet principal figure is not a reliable substitute for a current payoff demand. The release requirements also matter: a buyer needs the title and lien position promised in the purchase agreement.

Multiple lenders may have different priorities
Secured creditors do not necessarily divide proceeds equally. Their relative recoveries can depend on lien rank, applicable law, and intercreditor or credit-agreement provisions. One hotel-company credit-agreement example directs proceeds first to defined obligations and provides for pro-rata allocation among specified secured creditors in a particular shortfall circumstance. That is contractual language for that arrangement, not an industry-wide formula.
Do shareholders receive anything after the debt is paid?
Possibly, but paying the mortgage does not mean the remaining cash immediately goes to shareholders. The hotel-owning company may still owe taxes, fees, expenses or other liabilities, or need to reserve for uncertain claims. The governing documents then determine whether and how the residue is distributed among the owners.

Preferred and common equity follow the entity documents
A preferred investor may have a liquidation preference or preferred return ahead of common equity, but the details vary. The documents may also specify return-of-capital rights, participation in remaining proceeds, conversion rights, caps, or a split among member classes. An SEC-filed offering statement, for example, illustrates a waterfall that pays costs and liabilities, reserves for contingent obligations, then preferred members up to stated liquidation preferences, with remaining distributions subject to participation terms and caps. It is an example, not a hotel-industry standard.
To determine whether common shareholders receive anything, follow the actual waterfall in the entity’s operating agreement, partnership agreement or charter after accounting for required obligations and reserves. The phrase “shareholders” may not even describe the owners’ legal form; a hotel may be held through an LLC or another entity.

What if the hotel sells for less than the debt?
If proceeds do not cover secured claims, lower-priority creditors and equity owners may receive no distribution. The result among secured creditors depends on lien priority and the governing loan and intercreditor terms; a particular credit agreement may specify a pro-rata allocation in a defined shortfall situation.
A sale shortfall does not by itself establish that the borrower or a guarantor owes nothing further—or that a lender can collect a deficiency. That depends on the loan and guarantee documents and applicable law. A current payoff statement, the collateral and lien records, and the relevant agreements are needed to assess the exposure.

How does a foreclosure change the payout?
A foreclosure is not simply a negotiated sale with the same waterfall. The sale procedure and jurisdiction’s law can prescribe how proceeds are applied. Two statutory examples show why location and legal context matter:
| Context | What the cited rule addresses | Limit |
|---|---|---|
| Federal single-family mortgage foreclosure provision, 12 U.S.C. § 3762 | Specifies payment categories that include foreclosure costs, qualifying tax and prior liens, service charges and advances, interest, principal, and late charges or fees; it then addresses surplus distribution to qualifying junior lienholders and the mortgagor. | It is within the Single Family Mortgage Foreclosure chapter and should not be treated as a nationwide rule for commercial hotel foreclosures. |
| Washington, RCW 61.12.150 | Directs proceeds first to principal, interest and costs, then addresses secured residue and the priority application of surplus to interests and liens eliminated by the sale; any remaining surplus goes to the mortgage debtor or successors. | This is a Washington rule. Other jurisdictions may apply different statutes and procedures. |
For an actual foreclosure, identify where the property is located and the precise type of proceeding before applying any statutory order. The cited examples do not establish the governing rule for a hotel in another jurisdiction.
What documents are needed to estimate the distribution?
A reliable estimate requires the transaction-specific documents and facts, not just the sale price and mortgage principal. Gather:

- The property’s location and whether the sale is negotiated, a foreclosure, or another forced sale.
- The purchase agreement and closing statement, including adjustments, costs and any noncash or contingent consideration.
- Current payoff statements for each secured loan, plus the loan, lien, intercreditor and release documents.
- Title and lien information identifying competing claims and their priority.
- The hotel-owning entity’s operating agreement, partnership agreement, charter or other governing document describing obligations, reserves and owner distribution rights.
- Information on company liabilities, taxes, fees, contingent claims, guarantees and any required reserves.
Those materials determine which claims are paid, in what order, and whether anything reaches each class of owners. A lawyer or other transaction professional familiar with the property’s jurisdiction and documents can assess the specific waterfall.
