A warehouse used to store your goods can be a place of business, and a seller liable to register in that state generally needs a separate GST registration there. The result depends on your actual warehousing and sales arrangement; merely delivering an order to a customer in another state does not, by itself, establish that you must register there.
Why a warehouse can change your GST position
GST registration is not simply a single national account attached to a business’s PAN. The CGST Act generally requires a person liable to register to apply in each state or union territory where that liability arises. A warehouse or godown where a taxable person stores goods is included in CBIC’s description of a place of business. The GST Portal registration application also provides for a principal place and additional places of business.

That matters for online sellers because stock may sit in a fulfilment centre far from the seller’s office. If the seller is liable to register in the state where that location is situated, the head-office GSTIN should not be treated as automatically covering the other state. The general application window in the Act is 30 days after liability arises, subject to statutory qualifications and exceptions. The point at which a particular seller becomes liable must be assessed against that seller’s facts and the current rules.
This is a state-based registration question, not a rule that every shipment or customer in another state automatically creates a registration obligation. Consider where you hold stock, where you operate, what supplies you make, and whether a statutory exception or special category applies. Check the current Act, notifications, and portal guidance before acting on an assumption about liability.

Does a marketplace fulfilment centre count as your place of business?
It can matter, but a marketplace or third-party logistics arrangement cannot be classified solely by the name of the service or by the fact that a parcel ships from a particular building. The relevant question is how the arrangement works for your business: whose inventory it is, who controls it, and how the premises and dispatches are documented.
Before deciding whether an off-site warehouse should be included in your GST registration analysis, assemble the facts below. A GST practitioner or chartered accountant can assess them against the current rules and your contract.
- Inventory: Identify the legal entity that owns the goods while they are stored, and whether ownership changes before or during fulfilment.
- Premises: Review who contracts for the storage service, which entity is named in the relevant records, and what address or premises documents are available.
- Dispatch and supply documents: Check how dispatches are made and which seller or registration appears on invoices and other supply records.
- Marketplace roles: Separate the seller’s responsibilities from any obligations the e-commerce operator may have. The operator’s involvement does not, by itself, answer the seller’s registration question.
If the location is attributable to your business and you are liable to register in that state, the registration application’s additional-place-of-business details are relevant. Do not treat every third-party fulfilment arrangement as having the same answer without examining the underlying facts.

How to assess whether you need another state registration
- Map every stock location. List the state or union territory for your office, owned warehouse, contracted storage site, and any marketplace fulfilment location holding your inventory. Record which entity owns the stock and how each site is used.
- Identify the seller and supply structure. Confirm which legal person makes the sale, whose GSTIN appears on the invoice, and whether the marketplace or another party has a separate role. Do not infer the answer from the website storefront alone.
- Test liability in each relevant state. Apply the current registration provisions to the business’s circumstances. A different-state warehouse may be a place of business, but that fact should be assessed together with the applicable liability rules, exceptions, and sales model.
- Apply within the relevant window. Where the seller becomes liable, the Act generally provides 30 days to apply, subject to qualifications. Verify the current statutory position and the date liability arose for the seller rather than treating the period as unconditional.
- Record the location accurately. The GST Portal application distinguishes the principal place from additional places of business and requests relevant address and premises information. Keep records consistent with the actual arrangement.
- Set up the return and transaction process for each registration. Map stock movements, invoicing, customer-state data, and return filing to the GSTIN that carries out the relevant activity. Confirm current portal requirements for each registration.
For example, a seller with a home-state registration and goods stored at a fulfilment centre in another state should first determine whether that centre and inventory are attributable to the seller and whether the seller is liable to register there. The fact that orders are placed online does not settle either question. If two state GSTINs are required, the seller then needs a process for reporting activity under the appropriate registration and reviewing movements between them.
What changes when the same business has multiple GSTINs?
Different state establishments of the same person are treated as distinct persons under section 25 of the CGST Act. Multiple registrations are also treated as distinct persons for GST purposes. In practical terms, two GSTINs under one PAN are not interchangeable for every transaction simply because they belong to the same overall business.
Schedule I treats supplies between distinct persons in the course or furtherance of business as supplies even when there is no consideration. As a result, shifting the seller’s inventory from one state registration to another can raise questions about whether a supply has taken place, how it should be documented and valued, and how the recipient registration may treat input tax credit. The absence of a customer payment between the registrations does not, on its own, resolve those questions.

Before moving stock, have the applicable treatment and paperwork reviewed for the particular movement. The general distinct-person principle does not establish every valuation calculation or documentation rule for every case. Keep the source and destination GSTINs, stock records, dispatch details, and the relevant transaction documents aligned; ask a qualified adviser to confirm the treatment under current law.

Return obligations attach to the relevant registration and its filing profile. A business with registrations in multiple states should not assume that filing for one GSTIN reports the other registrations’ activity. Maintain separate visibility over each GSTIN’s outward supplies, return periods, notices, and filing status, and use the GST Portal to confirm the forms and calendar that apply to each one.
GSTR-1 is the statement of outward supplies for covered normal and casual registered taxpayers. The GST Portal describes monthly or quarterly filing and says a GSTR-1 is required even for a nil period. It includes details for specified supplies through e-commerce operators. This makes accurate records of sales and the registration responsible for each supply important even in a period with no reportable outward activity.

Quarterly filing is available to eligible taxpayers with aggregate turnover up to ₹5 crore, subject to the conditions in the GST Portal guide. That figure is an eligibility threshold described by the guide, not a guarantee that every seller below it can select quarterly filing. Check the registration’s eligibility and current portal options before choosing a frequency.
| Filing point | What to check |
|---|---|
| Registration scope | Which GSTIN made or reports the supply, and whether its filing profile covers the activity. |
| GSTR-1 frequency | Whether that GSTIN files monthly or is eligible to file quarterly under the current portal conditions. |
| Nil period | Whether a return is due even though there were no outward supplies; the portal guide says GSTR-1 is required for a nil period. |
| Due date | The GST Portal return calendar and applicable current notifications for that GSTIN and tax period. Due dates, extensions, and exceptions can vary. |
Do not use one remembered due date as a universal calendar for every registration. The applicable frequency, deadline, extension, or exception depends on the registration profile and the current notices. The available general guidance does not supply a complete current state-by-state calendar for every return and period, so verify the portal calendar for each GSTIN rather than relying on a static date copied from an old filing checklist.
The marketplace may have its own statutory reporting duties, but those duties are not a substitute for the seller’s own registration and return obligations. Reconcile seller records with marketplace statements, then determine which sales belong in each GSTIN’s reporting. The marketplace’s reporting arrangement does not make the seller’s filing profile identical to the operator’s.

Keep customer-state and place-of-supply data accurate
For online orders, the destination state is a key data point in the supply records. CBIC Circular No. 170/02/2022-GST emphasizes accurate state details in invoices and relevant returns for place-of-supply reporting. Capture the customer’s correct state and preserve the information needed to report the supply accurately; do not rely on a warehouse’s dispatch state as a substitute for the customer or place-of-supply details required for the transaction.
Useful controls include checking that order, invoice, dispatch, and return records use consistent customer-state information; investigating mismatches before filing; and retaining a clear link between marketplace order data and the GSTIN responsible for reporting it. These controls help distinguish an outward sale to a customer from an internal stock movement between registrations.
Can a small online seller use the composition scheme?
Do not assume that a small turnover alone makes composition levy available for an online seller. The CGST Act contains restrictions, including restrictions involving inter-state outward supplies, and the provisions relevant to specified e-commerce supplies and notified exceptions can affect eligibility. The exact outcome depends on the seller’s supply model and the current notifications.
Before choosing or continuing a scheme, check whether the seller makes inter-state outward supplies, whether its sales through an e-commerce operator fall within the applicable rules, and whether a current notification changes the treatment. The scheme question is separate from the location analysis: do not conclude that having a warehouse in another state automatically answers eligibility, or that a small seller is automatically eligible.
Common mistakes to avoid
- Assuming the head-office GSTIN covers every warehouse. A warehouse used to store goods may be a place of business; assess whether registration is required in the state where it is located.
- Treating every delivery into another state as a registration trigger. A customer’s state and a seller’s place of business are different facts. Assess liability under the Act rather than using destination alone.
- Assuming a marketplace location has a universal answer. Review inventory ownership, premises arrangements, documents, and dispatch practices.
- Ignoring stock transfers because no money changes hands. Distinct-person supplies may be treated as supplies without consideration; review the movement before dispatch.
- Filing one return calendar for all GSTINs. Check frequency and due dates against each registration’s current portal profile and period.
- Relying on the operator’s reporting as the seller’s filing. The seller and e-commerce operator may have separate duties.
- Choosing composition solely because turnover is small. Check inter-state and e-commerce restrictions and current notifications first.
A practical compliance file for a multi-state seller
Maintain one working file for each GSTIN, plus a consolidated stock-movement register linking them. The purpose is to make it possible to see where goods are held, which registration handles a supply, and whether the records match the returns.
- State-by-state list of registered places and warehouses, including third-party fulfilment sites being assessed.
- Premises and storage agreements, relevant address documents, and the entity named in each arrangement.
- Inventory ownership and dispatch records, with source and destination locations for movements between states.
- Invoices and supporting transaction records showing the relevant GSTIN and accurate customer-state details.
- For each GSTIN, its return frequency, filing periods, portal calendar checks, submission confirmations, and notices requiring follow-up.
- A documented review of the seller’s e-commerce arrangements, potential registration exceptions, and any composition-levy eligibility question.
GST requirements and portal procedures can change. The principles above reflect official materials checked on 9 October 2026; for a particular business, verify the current Act and notifications and the GST Portal before registering, moving stock, selecting a filing frequency, or submitting returns.
