The result depends on the Indian business activity, its legal form, the proposed instrument and ownership percentage, the ultimate beneficial owners, and the foreign-exchange route used to fund the transaction.
In practice, the investor must classify the activity under India’s foreign direct investment (FDI) policy, establish whether the automatic or government route applies, screen the entire ownership chain, transfer money through a permitted banking channel, and complete the Indian company’s Reserve Bank of India (RBI) reporting. Tax, valuation, company-law and sector-regulator obligations can sit alongside those FDI steps.

The short answer: UK investment is permitted only within India’s FDI framework
India regulates inward investment under the Foreign Exchange Management Act (FEMA), the Foreign Exchange Management (Non-Debt Instruments) Rules, 2019, RBI directions and the Department for Promotion of Industry and Internal Trade (DPIIT) FDI policy. These rules apply to a UK investor in the same way that they apply to other non-resident investors, subject to special beneficial-ownership restrictions.
The first question is not “Is the investor British?” It is “What does the Indian business do, how much will the investor own, what security will be issued, and who ultimately owns or controls the investing vehicle?” Those answers determine whether the activity is prohibited, subject to a sector cap, eligible under the automatic route, or dependent on prior Government of India approval.

The current policy and rules must be checked when a transaction is prepared. DPIIT material published in 2020 and surfaced on its website in 2025 describes the framework but predates the current date; later press notes, amendments and the operative NDI Rules can change a sector cap, condition or filing process.
What determines the approval route?
Start with the Indian activity, not the investor’s nationality
India’s FDI policy is organised by economic activity. Some activities are prohibited to foreign investment. Others allow investment only up to a stated percentage, may require a particular type of investor or instrument, or impose conditions on control, pricing, licensing or downstream investment. The same UK company may therefore face different requirements when investing in a software business, a regulated financial activity, a media company or a defence-related enterprise.
Identify the exact activity and the relevant sector entry before negotiating a percentage or signing definitive documents. A broad description such as “technology” is not enough if the Indian company also provides a regulated service, holds a licence, owns sensitive infrastructure or operates through a subsidiary.

| Question | Automatic route | Government route |
|---|---|---|
| Prior approval | Prior Government of India approval is generally not required for an investment that satisfies the applicable sector entry and conditions. | Prior Government of India approval is required before the investment is made. |
| Sector eligibility | The activity must be eligible and remain within its applicable cap and conditions. | The activity must still be eligible, and approval does not remove other sector, company-law or tax requirements. |
| Beneficial ownership | Cannot be used if a land-border beneficial-owner restriction requires the government route. | Required where the applicable policy sends the investment to this route, including certain land-border ownership situations. |
| Other filings | RBI reporting, valuation evidence, tax filings and any sector filings still apply. | The approval is an additional step; RBI reporting and other statutory filings still apply. |
DPIIT’s policy describes the automatic route in these terms: “Under the Automatic Route, the non-resident investor or the Indian company does not require any approval from Government of India for the investment.” The qualification is essential: that sentence applies to an investment that fits the relevant automatic-route entry. It does not mean that every foreign investment avoids approval.
Check the land-border beneficial-owner rule
India’s policy provides that an entity from a country sharing a land border with India, or an investment whose beneficial owner is situated in or is a citizen of such a country, may invest only under the government route. A later direct or indirect ownership change that brings the beneficial ownership within that restriction also requires government approval.

A UK-incorporated company therefore cannot be cleared merely by showing its certificate of incorporation. Prepare an ownership chart through every intermediate company, trust or fund to the natural persons or state-linked entities that ultimately own or control it. The analysis should cover voting rights, veto rights, contractual control and changes expected after closing. If the chain is incomplete, the route conclusion is incomplete.
Which Indian securities can be used?
The investment instrument must be one that the applicable FDI rules recognise and must satisfy its conversion, pricing and other conditions. Policy material identifies equity shares and fully, compulsorily and mandatorily convertible debentures or preference shares among the instruments used for the FDI routes it describes.

|---|---|
| Equity shares | Direct ownership in the Indian company, subject to sector limits, pricing and reporting rules. |
| Fully, compulsorily and mandatorily convertible debentures or preference shares | Convertible securities whose terms must satisfy the applicable FEMA and FDI conditions; conversion mechanics and valuation matter. |
| Convertible note | A separate startup-related instrument. Its availability and conditions should not be generalised to every Indian company. |
This is a classification exercise, not a recommendation to choose one security. The term sheet should state the security, issue price or valuation method, conversion terms, rights and any optionality. A security that looks like debt commercially may be treated differently under the NDI framework, and an instrument accepted for one sector may not be available in another.
A practical transaction sequence
- Describe the target precisely. Record the Indian entity’s legal form, licences, products, revenue-generating activities, subsidiaries and proposed use of funds. Confirm whether it is a company or LLP and whether the transaction is a new issue, a transfer from an existing holder or both.
- Map the sector entry. Locate the current DPIIT entry for each activity. Record whether foreign investment is prohibited, the permitted cap, the route, ownership or control conditions, and any sector regulator consent. Do not rely on a generic “IT” label.
- Calculate the proposed foreign investment. Include the percentage after the issue, rights that could increase ownership, existing foreign holdings and any downstream investment implications. A cap can be exceeded through later issuances even when the first subscription was compliant.
- Complete beneficial-owner screening. Obtain constitutional documents, registers, ownership percentages, control arrangements and identity information for the UK investor and each relevant parent. Test the land-border rule at signing and for any planned restructuring.
- Choose a permitted instrument and document valuation. Align the security with the sector entry and FEMA rules. Obtain a valuation or pricing report in the form required for the issue or transfer, and retain the assumptions and valuation date.
- Determine whether approval is needed before funds move. If the sector or beneficial-owner analysis points to the government route, obtain the required approval before completing the investment. An approval requirement is not cured by filing an RBI form after payment.
- Prepare corporate approvals. The Indian company should approve the issue or transfer under its constitutional documents and the Companies Act process that applies to it. The UK investor should approve the subscription and authorise signatories. Check board, shareholder and lender-consent requirements.
- Agree the banking path. Before sending pounds, confirm with the Indian authorised dealer bank which account, remittance message, purpose code and supporting documents it requires. The bank’s compliance review may request ownership, valuation, approval and corporate documents.
- Complete the issue or transfer. Issue securities only after satisfying the applicable conditions and record the allotment, consideration, share register and certificates or electronic records. For a transfer, document the seller, buyer, price, date and tax withholding analysis.
- File post-closing reports and preserve evidence. The Indian entity must make the applicable RBI filings within their deadlines and retain remittance advice, bank acknowledgements, valuation papers, approvals, agreements and ownership records. Keep a calendar for annual filings and future changes.
How the pounds reach India
RBI’s Master Direction states that consideration for purchasing equity instruments should come from abroad through banking channels by inward remittance, or from funds held in a foreign-currency account and/or a Special Non-Resident Rupee (SNRR) account maintained under the applicable deposit regulations.
In practical terms, the UK investor should not treat a payment platform or an informal offset as automatically acceptable. Ask the authorised dealer bank to confirm the permitted account and documentation route before initiating the transfer. The bank may need the subscription agreement, board resolutions, valuation report, approval letter where applicable, investor identification and a description of the Indian activity.

The permitted-channel rule does not establish a live GBP-to-INR exchange rate, a particular spread, a fee or a settlement timetable. Those details are bank-specific and can change with the transfer size, value date, compliance review and hedging choice. Obtain a written quotation and clarify who bears correspondent-bank charges, when the rupees are credited, how a rejected payment is returned and what evidence will be issued for RBI reporting.
Where the subscription is denominated in pounds but shares are issued for rupee consideration, the transaction documents should explain the conversion date and treatment of any shortfall or excess. Do not assume that a small exchange-rate movement is immaterial if it changes the number of shares, the issue price or the agreed percentage.
RBI reporting and the deadlines to calendar
The Indian company or LLP, rather than the UK investor alone, carries key RBI reporting responsibilities. These filings are separate from income-tax returns, company-law filings and any sector-regulator submissions.
| Filing or record | Who is responsible | Deadline or trigger |
|---|---|---|
| Form FC-GPR | An Indian company issuing equity instruments to a person resident outside India where the issue is reckoned as FDI. | Not later than 30 days from the date of issue of the equity instruments. |
| Annual Foreign Liabilities and Assets (FLA) return | An Indian company that has received FDI, or an LLP with relevant foreign capital contribution, as applicable. | On or before July 15 of each year for the applicable April-to-March reporting year. |
| Other statutory, tax or sector filings | The entity, investor or another responsible party, depending on the filing. | Varies by transaction, legal form, tax status and regulator; confirm separately. |
RBI’s reporting regulations, amended through January 15, 2025, state that an Indian company issuing qualifying equity instruments “shall report such issue in Form FC-GPR, not later than thirty days from the date of issue of equity instruments.” The 30-day period runs from the issue date, so the company should not wait for a later corporate event.
The FLA return is an annual obligation. A company that completed one investment still needs to assess whether it must file for each subsequent reporting year. Changes in ownership, capital, liabilities or assets can affect the information required. Confirm the current portal process, authorised signatory requirements and validation rules before the deadline.

Tax: what the UK-India treaty does and does not do
HMRC records the 1993 UK-India Double Taxation Convention as in force and states that it has been modified by the Multilateral Instrument. The UK government’s synthesised treaty material is a useful starting point for identifying provisions relevant to dividends, interest, gains, residence and relief from double taxation.
Treaty status does not eliminate all Indian tax or determine the withholding rate by itself. The answer depends on the income type, the investor’s tax residence, treaty eligibility, beneficial ownership, limitation or anti-abuse provisions, holding period, transaction structure and the documents available to support a claim. Indian taxes and duties can apply to the investment, issue or transfer even where treaty relief is available for a particular stream of income.
Before closing, obtain a transaction-specific analysis covering subscription or transfer taxes, withholding, valuation, indirect taxes where relevant, reporting in both countries and the treatment of dividends, interest or a later sale. Keep a valid residence certificate and other treaty evidence if the adviser determines that relief is being claimed.

Repatriation is conditional, not automatic. India’s NDI framework makes transactions subject to applicable Indian taxes and duties and requires remittance of sale proceeds to comply with the regulations and the conditions in the relevant schedule.
An authorised dealer may remit qualifying sale proceeds, net of applicable taxes, where the security was held on a repatriation basis and the applicable pricing requirements are met. RBI approval may be required where those conditions are not met or another restriction applies. The bank will normally need evidence of the original investment, the sale agreement, pricing or valuation documents, tax payments and the ownership and repatriation basis.

The amount and timing of an exit therefore cannot be promised from treaty status or from having used a permitted payment channel at entry. A later sector change, pricing issue, unresolved filing, unpaid tax or ownership discrepancy can delay remittance. Build the exit documentation into the original investment records rather than trying to reconstruct it years later.
Three illustrative route decisions
Unregulated software company with a straightforward UK ownership chain
Suppose a UK parent proposes to subscribe for ordinary shares in an Indian software company, and the activity falls within an automatic-route entry with room under the applicable cap. If no land-border beneficial owner is identified and the instrument, valuation and payment channel comply, prior government approval may not be needed. The Indian company would still complete the issue process and FC-GPR filing within 30 days, and it would assess its annual FLA obligation.
Activity with a government-route sector condition
If the Indian company’s principal activity appears in a sector entry requiring government approval, the parties should obtain that approval before the subscription is completed. An automatic-route assumption based on the investor’s UK address would be unsafe. Sector licences, pricing evidence, tax analysis and RBI reporting remain relevant after approval.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
UK vehicle with a restricted ultimate owner
If a UK-incorporated investment vehicle is ultimately owned or controlled by a person or entity covered by the land-border restriction, the immediate UK incorporation does not remove the issue. The investment may need the government route, and a later ownership change could trigger the same requirement. The decision should be based on documented beneficial-owner analysis, not the vehicle’s registered office.
Common mistakes and how to correct them
- Calling every UK investment “automatic.” Correct it by identifying the activity, cap, route and conditions in the current sector entry.
- Stopping ownership checks at the UK company. Correct it with a dated ownership-and-control chart that reaches the ultimate beneficial owners.
- Sending funds before the bank approves the path. Correct it by obtaining the authorised dealer’s document list, account instructions and purpose classification before remittance.
- Using a convertible note as a universal solution. Correct it by confirming that the Indian entity qualifies for the startup-related instrument and that all conditions are met.
- Missing the FC-GPR deadline. Correct it with a closing checklist that starts the 30-day clock on the actual issue date.
- Treating the treaty as a tax exemption. Correct it with an analysis of the specific income, residence, eligibility and anti-abuse requirements.
- Assuming entry compliance guarantees easy exit. Correct it by preserving pricing, tax, ownership and repatriation records from the first payment onward.
Documents to assemble before signing
- Indian company or LLP constitutional documents, registrations, licences and an activity description.
- Current cap table, proposed post-transaction ownership and details of existing foreign investment.
- Full ownership and control information for the UK investor and every relevant parent or fund.
- Term sheet, subscription or transfer agreement, instrument terms and conversion mechanics.
- Valuation or pricing report, issue-price calculations and the valuation date.
- Board and shareholder approvals, signatory authorities and any lender or joint-venture consents.
- Sector approval or government-route approval, if the current policy requires it.
- Authorised dealer bank instructions, remittance evidence and account details.
- FC-GPR and FLA filing records, acknowledgements and a calendar for future obligations.
- Tax residence, withholding and treaty documents, together with evidence of taxes and duties paid.
When specialist advice is warranted
India-qualified FEMA and FDI counsel is appropriate when the activity is regulated, the cap or route is unclear, the investor has a complex ownership chain, a government approval may be needed, or the security has conversion or control features. A UK-India tax adviser can analyse treaty eligibility, withholding, gains, dividends and reporting in both jurisdictions. The authorised dealer bank should confirm the payment channel and the evidence it will accept for reporting and later repatriation.
These advisers should work from the same factual pack: exact activity, legal form, proposed percentage, instrument, valuation, ownership chain, funding route and intended exit. Without those facts, a definitive approval answer is not reliable.
