How Do Startup Fundraises Work, From Board Approval to Closing?

A startup fundraise is a sequence of approvals, investigations, contracts and money movements—not a single signing meeting. After investors and founders agree on a term sheet, the company typically obtains board approval, completes investor due diligence, negotiates definitive documents, satisfies closing conditions, signs, receives the funds and issues the securities. The exact steps depend on whether the financing is a SAFE, convertible note or priced preferred-stock round, plus the company’s charter and governing jurisdiction.

The fundraising path at a glance

Most venture financings follow this order:

  1. Prepare the company, financing plan and data room.
  2. Meet investors and negotiate a term sheet or letter of intent.
  3. Have the board authorize the proposed issuance.
  4. Respond to investor due-diligence requests.
  5. Draft and negotiate definitive investment and governance documents.
  6. Complete conditions precedent, including any stockholder, charter or regulatory actions.
  7. Sign, receive the subscription money and issue the securities.
  8. Deliver final records and operate the agreed post-closing governance and reporting.

A signed term sheet is a framework for the transaction, not proof that the financing has closed. Cash should be treated as available only after the company has verified receipt of the funds and completed the issuance mechanics.

1. Prepare before contacting investors

Preparation determines how quickly later stages can move. The company normally assembles a pitch deck, financial plan, capital-need analysis, valuation framework, proposed financing structure and target-investor list. It also creates a secure data room so investors and their lawyers can review consistent records rather than requesting documents ad hoc.

What to organize

  • Current and projected financial statements, budgets and cash-runway calculations.
  • A fully reconciled capitalization table showing founders, employees, option grants, SAFEs, notes, warrants and other rights.
  • Incorporation documents, charter, bylaws, board and stockholder minutes, and prior financing approvals.
  • Material customer, supplier, employment, contractor, lease, loan and partnership agreements.
  • Intellectual-property assignments, licenses, open-source disclosures and evidence that employees and contractors assigned their work.
  • Product, technology, security, privacy, compliance, litigation and liability information.

Decide early whether the round is intended to be a SAFE, convertible note, priced preferred-stock financing or another instrument. That choice affects valuation mechanics, dilution, maturity and interest, investor control rights, document volume and the approvals that will be required.

2. Negotiate the term sheet

The term sheet records the commercial and governance points the parties intend to put into binding documents. Typical subjects include the amount raised, security type, valuation or conversion terms, option-pool treatment, board composition, investor information and pro-rata rights, fees, and investor-consent or reserved-matters provisions.

Economics to pin down

  • Valuation: In a priced round, agree whether the figure is pre-money or post-money and how the option pool is treated. GOV.UK explains that “pre-money valuation represents the company’s value before new capital is invested.”
  • Ownership outcome: Model founder, employee and investor percentages after the financing, including any pool increase and conversion of existing SAFEs or notes.
  • Security: Specify preferred shares, a SAFE, a note or another instrument and the rights attached to it.
  • Governance: Set board seats, observer rights, voting thresholds, protective provisions and information rights.

Some term-sheet clauses can be binding, commonly confidentiality, expenses or a limited exclusivity period. The investment itself is generally not complete until definitive documents are signed and the closing conditions are met. Clarify which provisions are binding and the expiry date of any exclusivity before signing.

3. Obtain board approval

The board authorizes the company to enter the financing and issue the relevant shares or contractual instrument. The approval should match the negotiated economics, authorize named officers to execute documents, approve the form of definitive agreements and record any required disclosure of conflicts.

For a SAFE, Y Combinator’s official documentation states: “Your startup’s board of directors must approve issuing SAFEs.” The same principle applies to other securities: the company needs a valid corporate authorization before issuing them.

When stockholders may also be needed

A priced round can require stockholder approval for an amended and restated certificate of incorporation, an increase in authorized shares, or an issuance that triggers statutory or charter voting requirements. Existing investor protective provisions may require separate consent. The company’s counsel should check the charter, bylaws, prior financing agreements and applicable corporate law rather than assuming board approval is sufficient.

4. Complete investor due diligence

Due diligence tests whether the company’s financial, legal, commercial, technical and ownership claims are accurate. Investors use the results to price risk, negotiate representations, request indemnities or escrows where applicable, and identify conditions that must be fixed before closing.

Typical diligence requests

  • Finance and tax: Historical statements, forecasts, bank information, debt, taxes, accounts payable and runway assumptions.
  • Capitalization: The cap table, stock ledgers, option-plan documents, grant notices, vesting schedules, prior SAFEs or notes and any side letters.
  • Corporate records: Formation documents, charter amendments, board and stockholder consents, annual reports and good-standing evidence.
  • Contracts: Customer, supplier, reseller, partnership, lease, loan, employment and consulting agreements, including change-of-control clauses.
  • Intellectual property and technology: Patent, trademark and copyright filings, invention assignments, licenses, open-source use, repositories, architecture, security controls and incident history.
  • People: Employment terms, contractor classifications, confidentiality and invention-assignment agreements, benefits and immigration matters.
  • Commercial and regulatory matters: Customer concentration, product claims, privacy and security compliance, permits, litigation, investigations and insurance.

Missing assignments, an unreconciled cap table, undocumented options or a contract that restricts fundraising can delay the transaction. Create a question log, assign an owner to each request and update the data room with final versions so every investor is reviewing the same information.

5. Draft and negotiate definitive documents

Definitive documents turn the term sheet into enforceable economics, ownership and governance rights. The package differs by structure and jurisdiction.

Priced preferred-stock package

A typical venture priced round may include a stock purchase or subscription agreement; an amended and restated certificate of incorporation; an investor-rights agreement; a voting agreement; and a right-of-first-refusal and co-sale agreement. Some transactions also include a management-rights letter. The documents address the price per share, liquidation preference, conversion, anti-dilution treatment, dividends, representations, covenants, information and inspection rights, transfer restrictions, board composition and protective provisions.

SAFE documents

A SAFE is a short contract under which an investor funds the company now for shares issued later. Y Combinator describes it as not debt: it has no interest or maturity and converts into preferred shares when a priced financing occurs, subject to its valuation-cap, discount or other conversion terms. The board must approve the issuance. Although the document set is lighter than a priced round, the company still needs an accurate cap table, proper signatures, securities-law compliance and a clear record of each SAFE’s terms. Y Combinator says its portfolio companies have raised more than $15 billion using SAFEs; that is the organization’s own cumulative figure, accessed in 2026.

Convertible notes and other instruments

A note uses the same broad workflow but adds debt features such as principal, interest, maturity, conversion mechanics and, in some cases, security or subordination documents. Review the interaction with existing debt, defaults and maturity extensions before signing. Other instruments can require different transfer, registration or consent documents.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

6. Satisfy conditions precedent

Before anyone can close, the parties confirm that every agreed condition has been met or waived. The closing checklist commonly includes:

  • Completion of diligence and delivery of agreed remediation evidence.
  • Final disclosure schedules and accurate representations as of signing and closing.
  • Board, stockholder, lender, charter and investor consents required by the documents or law.
  • Executed certificates, legal opinions or officer certificates where required.
  • Confirmation that signatories have authority and that all signature pages match the final versions.
  • Verified wire instructions using an independently confirmed channel; never rely solely on an emailed change to bank details.
  • Completion of securities-law notices, corporate filings or other regulatory steps required in the relevant jurisdiction.

Reserved-matters provisions can give investors consent rights over significant borrowing, asset sales, senior securities, mergers, changes to the charter or other major actions. Obtain those consents before closing if the transaction or a related corporate action triggers them.

7. Sign, fund and issue the securities

At closing, the company and investors execute the final documents, investors transfer the subscription money, and the company issues or transfers the securities. For a priced round, that generally means recording the new preferred shares in the stock ledger and delivering evidence of ownership. For a SAFE or note, it means countersigning the instrument and recording its principal economic terms in the capitalization system.

Use a closing statement that ties each investor’s commitment to the exact security, price or conversion amount, wire status and signature status. Confirm cleared funds with the company’s bank, not merely a payment confirmation supplied by an investor. If a wire is short, misdirected or conditional, pause issuance until the discrepancy is resolved and documented.

8. Complete post-closing administration

After funds and securities are reconciled, deliver countersigned documents and update the company’s ownership and governance records. File required charter amendments, securities notices and corporate reports. Update the cap table and stock ledger, record new directors or observers, and calendar information, inspection, pro-rata and consent obligations.

Set an investor-reporting cadence and retain the final diligence, approval and closing files. Future financings will depend on these records; an unexplained difference between the ledger, cap table and signed agreements can become a new diligence problem.

How the structure changes the process

Structure Core economics Approval and document profile Main timing or risk issue
SAFE Money is funded now for shares later; no interest or maturity; conversion into preferred shares at a later priced financing. Board approval is required. The contract is shorter, but cap-table records, signatures and securities-law compliance remain essential. Often faster to close, but dilution and ownership are determined when conversion terms apply.
Convertible note Debt with principal, interest, maturity and conversion mechanics. Board approval plus note, and possibly security or subordination documents; review existing debt covenants. Maturity and conversion risk must be managed if the next priced round is delayed.
Priced preferred stock Negotiated price per share and immediate ownership outcome, with preferred rights. Usually the largest package: stock purchase agreement, charter amendment, investor-rights, voting and transfer agreements; stockholder approval may be required. More negotiation and governance work, but ownership and investor rights are established at closing.

Compare alternatives on dilution and valuation mechanics, transaction speed and cost, maturity or conversion risk, board and consent rights, information and pro-rata rights, and the company’s ability to raise its next round.

How long from term sheet to money in the bank?

There is no universal timetable. A straightforward seed close can take two to three weeks, while a more typical close takes 30–60 days after the term sheet, according to a 2026 StartupFundraising.com planning guide. A March 2026 SheetVenture guide gives a broader 30–90-day range, estimating two to four weeks for SAFEs or notes and six to 12 weeks for later priced rounds. These are planning estimates, not guarantees.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Situation Planning range What commonly moves the date
Simple seed financing About two to three weeks Clean records, a familiar form, few investors and no charter change.
Typical post-term-sheet process About 30–60 days Diligence volume, negotiation, multiple closing parties and approval scheduling.
Broad range across rounds About 30–90 days Jurisdiction, investor syndicate, remediation, regulatory steps and document complexity.
SAFE or note, as estimated by a March 2026 guide About two to four weeks Standardized documents and fewer governance changes can shorten the path.
Later priced round, as estimated by the same guide About six to 12 weeks Charter amendments, stockholder votes, expanded diligence and negotiated investor rights.

To plan cash runway, use the slower end of the relevant range and do not count committed capital until the closing account shows cleared funds.

Common failure points and fixes

“We signed, so we can spend the money.”

A term sheet or even a fully signed purchase agreement may still be subject to conditions. Confirm the closing checklist, cleared funds and issuance before treating the capital as available.

The cap table does not match the documents

Reconcile every grant, transfer, SAFE, note, warrant and conversion term against board approvals and signed instruments. Have counsel approve a final capitalization schedule before closing.

A required approval was missed

Check the charter, bylaws, prior investor rights and applicable corporate statute for stockholder, lender or protective-provision consents. If an approval is missing, obtain it before issuance or follow counsel’s corrective process; do not backdate a consent.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Due-diligence requests arrive late

Maintain a live data-room index and request list from the start. Assign one executive owner and one legal owner, mark open issues by severity, and provide written explanations for items that cannot be cured before closing.

Wire fraud or a payment mismatch

Verify instructions through a known telephone number or previously authenticated channel, compare the account name and amount with the closing statement, and have two authorized people approve the release.

Jurisdiction and legal limits

The workflow above is a practical framework, not a substitute for transaction counsel. Corporate approvals, securities-law exemptions and notices, tax treatment, charter rules, foreign-investor requirements, filing deadlines and enforceability vary by jurisdiction, security type and transaction facts. Counsel should confirm the exact approval sequence, document forms, disclosure language, allocation of fees, and post-closing filings for the company and each investor before signatures.
