How Corporate Bitcoin Purchases Work and How Companies Account for Them

A company buying Bitcoin is making an acquisition, custody and control decision—not merely placing a trade. Management must authorize the purchase, document the counterparty and settlement, verify the units received, establish who controls the cryptographic keys, and preserve cost and tax records. For qualifying crypto assets, U.S. GAAP now requires fair-value measurement each reporting period, with changes in net income. Federal tax treatment is a separate analysis: the IRS treats virtual currency as property, so a book remeasurement is not automatically a taxable event.

This explanation is limited to U.S. GAAP and U.S. federal tax concepts. IFRS reporters, non-U.S. taxpayers and companies with unusual legal structures may have different requirements.

What a corporate Bitcoin purchase actually involves

Corporate ownership begins with a governance decision. The board, an investment committee or authorized treasury officers should define why the company is acquiring Bitcoin, the permitted amount, liquidity limits, approved counterparties, custody arrangements, transfer authority and reporting responsibilities. The available accounting guidance does not prescribe one universal purchasing workflow or require every company to self-custody.

  1. Approve the transaction. Record the policy authority, approvers, target exposure, funding source and any limits on concentration or leverage. Specify who may place orders and who may release cash.
  2. Onboard the counterparty. Complete legal, compliance and operational reviews for an exchange, broker, institutional custodian or other trading counterparty. Document the entity with which the company contracts and the account in which the Bitcoin will settle.
  3. Execute and settle. Preserve the trade confirmation, execution timestamp, quantity of Bitcoin, price, fiat consideration, fees, wallet or account destination and transaction identifier where available. Settlement evidence should show that the company received the stated units.
  4. Reconcile the acquisition. Match the confirmation, bank payment, custody statement and internal ledger. Record the acquisition date and time, units, cost or basis data and the location where the assets are held. Investigate any difference rather than relying on a platform balance alone.
  5. Establish custody controls. Identify who controls keys or account credentials, who can approve a transfer, who maintains the authoritative internal record, and how backups and recovery work. Separate trade initiation, payment approval, custody administration and reconciliation where staffing permits.
  6. Set the reporting calendar. Assign responsibility for period-end valuation, impairment or fair-value analysis as applicable, financial-statement disclosures, tax-lot records and monitoring of contractual sale restrictions.

Legal ownership and custody are different concepts. A company may control keys directly, appoint an agent or custodian, or leave Bitcoin in an exchange account. The arrangement affects operational risk and evidence of control, but no source establishes a universally superior model.

Bitkey Bitcoin Hardware Wallet, No Screen - Self-Custody, No Seed Phrase
  • BITCOIN EXCLUSIVE, PHONE VERIFICATION: Bitkey is designed from the ground up exclusively for bitcoin — a dedicated hardware wallet for secure bitcoin storage. Approve transactions with a tap using your phone and NFC. No device screen is required.
  • SELF-CUSTODY, NO EXCHANGE OR CUSTODIAN REQUIRED: You hold two of the three keys in the Bitkey system – one on your phone and one on your Bitkey device. The third is stored on Bitkey’s server and cannot move your bitcoin on its own.
  • NO SEED PHRASE: Set up and use Bitkey without creating or storing a seed phrase.
  • 2-of-3 MULTISIG: Three keys are stored separately across your phone, Bitkey device, and Bitkey’s server. Any two keys are required to move your bitcoin.
  • BUILT-IN RECOVERY: Encrypted backup and recovery tools can help you regain access if you lose your phone or Bitkey device. You can also designate a Recovery Contact.

Custody choices and the controls each one requires

Custody is a governance choice with accounting and tax consequences because it determines what records the company can obtain and who can move the assets. The following comparison uses categories rather than naming providers.

Approach Key control and recovery Counterparty and insolvency exposure Control and audit considerations Operational burden and liquidity
Third-party institutional custodian The custodian generally controls or co-controls keys; the contract should define authorization, recovery and incident procedures. Exposure depends on the custodian’s legal structure, segregation terms and failure procedures. Obtain statements, transaction reports, proof of holdings where available and a clear responsibility matrix; test access and approval controls. Usually lower internal key-management burden; withdrawal windows, fees and permitted assets depend on the contract.
Exchange custody Credentials and account permissions are managed through the exchange; establish multi-person approval and recovery contacts. The company is exposed to the exchange’s operational, legal and insolvency risks and to account freezes. Reconcile exchange statements to the internal ledger and preserve confirmations independently of the platform. Trading can be convenient and liquid, but transfer limits, outages and fee schedules may affect treasury operations.
Company self-custody The company controls private keys, signing devices and backup material; loss or compromise can be irreversible. There is less dependence on a custody intermediary, but greater exposure to internal errors, theft and recovery failure. Use documented dual control, address allowlists, transaction review, offline backup procedures and periodic recovery tests. Maximum operational responsibility; moving assets may be slower, and a hardware wallet for Bitcoin is one possible tool rather than a required solution.

For every model, write down who controls cryptographic keys, who keeps the internal record of units and basis, how a transfer is approved, how backups are protected, and what happens if the custodian or platform becomes unavailable. Customer assets held by a platform are a different fact pattern from Bitcoin that the company owns for its own treasury.

When U.S. GAAP uses fair value

FASB Accounting Standards Update 2023-08 added Topic 350-60 for crypto assets that meet all of its scope conditions. For an in-scope Bitcoin holding, subsequent measurement is at fair value each reporting period, and changes in fair value are recognized in net income. The amendments apply to fiscal years beginning after December 15, 2024, including interim periods within those fiscal years. Early adoption was permitted for financial statements that had not yet been issued or made available for issuance, subject to the ASU’s transition provisions. A company’s filing should be checked to determine its actual adoption date.

Scope conditions

The asset must satisfy every listed characteristic, not merely be described as a cryptocurrency:

  • It is an intangible asset.
  • It does not provide the holder with enforceable rights to, or claims on, underlying goods, services or other assets.
  • It is created or resides on a distributed ledger or similar technology.
  • It is secured through cryptography.
  • It is fungible.
  • It is not issued by the reporting entity or its related parties.

If any condition fails, Topic 350-60’s fair-value model does not automatically apply. The company must analyze the applicable U.S. GAAP guidance for that asset instead.

Balance-sheet and income-statement presentation

Qualifying crypto assets must be presented separately from other intangible assets on the balance sheet. Remeasurement changes must also be presented separately from changes in the carrying amounts of other intangible assets in the income statement. This prevents a reader from treating Bitcoin gains or losses as indistinguishable from amortization or remeasurement of conventional intangible assets.

Required holding disclosures

For each significant crypto-asset holding, the notes disclose the asset’s name, cost basis, fair value and number of units. For holdings that are not individually significant, the entity discloses aggregate fair value and aggregate cost basis. If a holding is subject to a contractual sale restriction, additional disclosure covers its fair value, the nature of the restriction, how long it remains, and circumstances that could cause it to lapse.

How the accounting entries generally flow

The exact chart-of-accounts names and fee treatment depend on the company’s accounting policy, but the economic sequence is consistent:

  1. Acquisition: debit the qualifying crypto-asset account and credit cash or the other consideration transferred. Retain the quantity, execution details and basis support with the entry.
  2. Period-end remeasurement: compare the carrying amount with fair value at the reporting date. Recognize the increase or decrease in net income and retain the valuation evidence used.
  3. Sale or exchange: record the proceeds, remove the Bitcoin sold and recognize the resulting accounting gain or loss. Track the units disposed of and preserve the transaction record for tax as well as financial reporting.
  4. Restrictions or unusual rights: evaluate whether contractual transfer limits or attached claims affect scope, valuation or note disclosure.

“Fair value” is a financial-reporting measurement. It does not mean that every movement in a quoted market price is a federal tax realization event, and it does not eliminate the need to document the actual units acquired or sold.

Book accounting and tax are separate ledgers

The IRS treats virtual currency as property for federal income-tax purposes. General property-transaction principles therefore apply when a company sells, exchanges or otherwise disposes of Bitcoin. A fair-value gain recognized in book income can arise before a taxable disposition, so the accounting carrying amount and tax basis may diverge. The company and its tax advisers must analyze the relevant tax year, entity type, elections and transaction facts rather than importing the book entry directly into the tax return.

Tax-lot identification and records

IRS guidance says a taxpayer may choose which units are disposed of when it can specifically identify those units and substantiate their basis. A defensible record set includes:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Acquisition date and time.
  • Basis and fair market value at acquisition.
  • Disposition date and time.
  • Fair market value at disposition.
  • Cash or other property received.
  • Wallet or account identifiers and transfer records that connect the units to the selected tax lot.

The IRS virtual-currency FAQ page also states that moving virtual currency between wallets or accounts belonging to the same taxpayer is non-taxable under that FAQ framework. That page says its FAQs generally apply to transactions completed before January 1, 2025; later transactions require checking current IRS digital-asset guidance rather than treating the older FAQ as a complete rulebook.

Broker information reporting

Broker Form 1099-DA reporting applies to covered transactions on or after January 1, 2025. This is information reporting by a broker, not a replacement for the company’s own books, tax-lot files or independent tax determination. A missing or incorrect form does not change what the company must report, and receiving a form does not by itself settle the character or amount of taxable income.

Why company-owned Bitcoin differs from customer assets

SEC Staff Accounting Bulletin 122, effective January 30, 2025, rescinded Topic 5.FF guidance concerning obligations to safeguard crypto assets held for platform users. Under the bulletin, an entity with such a safeguarding obligation assesses whether to recognize a liability and how to measure it under loss-contingency guidance—FASB ASC 450-20 for U.S. GAAP or IAS 37 for IFRS.

That staff guidance addresses safeguarding assets for other people. It is not a rule that replaces Topic 350-60 fair-value accounting for qualifying Bitcoin owned by the reporting company. A treasury holder should not record its own Bitcoin as a customer-safeguarding liability merely because it uses a custodian, and a platform should not assume that its customer-asset analysis is the same as an investment holding.

Controls that make the records auditable

A strong close process connects on-chain or platform evidence to the general ledger without giving one person unchecked control. At minimum, document:

  • Authorization: approved policy, transaction limits, approvers and funding source.
  • Completeness: all wallets, exchange accounts, custodians and addresses included in the inventory.
  • Existence and rights: statements, confirmations, transaction IDs and evidence that the company controls or is entitled to the units.
  • Accuracy: unit counts, acquisition data, fees and period-end fair-value inputs reconciled to independent records.
  • Cutoff: trades and transfers recorded in the correct reporting period using the relevant execution and settlement timestamps.
  • Access: role-based permissions, multi-person approvals, key or credential backups and documented recovery tests.
  • Tax support: tax-lot selection, basis, disposition proceeds and broker forms retained with the accounting evidence.

Segregation of duties is especially important for self-custody: the person who can initiate a transfer should not be the only person who can approve it, update the ledger and verify the destination address. For third-party custody, review the contract, statement frequency, withdrawal controls, insurance language and procedures for a custodian outage or insolvency; do not assume a platform balance is equivalent to unrestricted corporate control.

Common mistakes and how to correct them

Calling every digital asset a Topic 350-60 asset

Problem: A token may include a contractual claim, be nonfungible or be issued by the reporting entity or a related party.

Correction: Test every scope condition before applying fair value and document the conclusion for each material asset.

Relying on a custodian’s balance alone

Problem: An account statement may not show who controls the keys, whether withdrawals are restricted or how a failure would be handled.

Correction: Reconcile independent confirmations and transfer records, review contractual rights and test the company’s access and recovery procedures.

Applying customer-asset guidance to treasury holdings

Problem: Safeguarding obligations for platform users are confused with ownership of a company’s own Bitcoin.

Correction: Separate the two fact patterns and apply SAB 122 only to the safeguarding analysis it addresses.

Ignoring the reporting transition date

Problem: A company assumes all periods use the same model or assumes early adoption without evidence.

Correction: Check the fiscal year, interim period, adoption election and transition disclosures in the company’s financial statements.

A practical review checklist before and after a purchase

  • Is there written authority for the exposure and transaction size?
  • Has the counterparty or custodian been approved and contracted?
  • Do confirmations show units, timestamps, consideration, fees and destination?
  • Can the company prove ownership or control and reconcile every wallet or account?
  • Are transfer initiation, approval, custody administration and reconciliation separated?
  • Does the asset meet every Topic 350-60 scope condition?
  • Has the company identified its GAAP adoption period and fair-value process?
  • Are cost basis, fair value, units and any sale restrictions ready for note disclosure?
  • Are tax lots, basis, dispositions and broker information reports retained separately from book remeasurement data?
  • Is there a tested recovery plan for lost keys, disabled accounts, custodian failure or an erroneous transfer?

FASB Chair Richard R. Jones described ASU 2023-08 this way: “It will provide investors with more relevant information that better reflects the underlying economics of certain crypto assets and an entity’s financial position while reducing cost and complexity associated with applying current accounting.” The practical result is not a single buying recipe; it is a documented chain from authorization and settlement through custody, valuation, disclosure and tax reporting.
