A corporate Bitcoin treasury is a policy for deciding whether a company holds Bitcoin, sells it, lends or trades it, or pledges it as collateral—and how those choices fit its cash needs, financing, custody, accounting, taxes, and governance. A rise in Bitcoin’s reported value is not the same as cash available to pay bills, and strategies that seek income or borrowing capacity can add counterparty, collateral, and loss risks.

What a corporate Bitcoin treasury strategy covers

Holding Bitcoin on a company balance sheet is only one part of a treasury strategy. The policy also needs to address why the company holds it, how much exposure it accepts, when it might sell, whether any holdings may be lent or pledged, how the assets are safeguarded, and who monitors the resulting risks.

Those choices are connected. A holding intended as a long-term reserve may be less available for near-term operations if it is lent or pledged. A purchase funded with debt or equity also brings repayment, refinancing, or dilution considerations. Accounting and tax treatment affect how results are reported, but do not determine whether the company has cash on hand.

How companies can hold, use, or finance Bitcoin

The activities below are distinct choices, not interchangeable ways to hold a reserve. They can create different combinations of price exposure, liquidity, financing cost, and counterparty risk.

#1 Best Overall
Bitkey Bitcoin Hardware Wallet, No Screen - Self-Custody, No Seed Phrase
  • BITCOIN EXCLUSIVE, PHONE VERIFICATION: Bitkey is designed from the ground up exclusively for bitcoin — a dedicated hardware wallet for secure bitcoin storage. Approve transactions with a tap using your phone and NFC. No device screen is required.
  • SELF-CUSTODY, NO EXCHANGE OR CUSTODIAN REQUIRED: You hold two of the three keys in the Bitkey system – one on your phone and one on your Bitkey device. The third is stored on Bitkey’s server and cannot move your bitcoin on its own.
  • NO SEED PHRASE: Set up and use Bitkey without creating or storing a seed phrase.
  • 2-of-3 MULTISIG: Three keys are stored separately across your phone, Bitkey device, and Bitkey’s server. Any two keys are required to move your bitcoin.
  • BUILT-IN RECOVERY: Encrypted backup and recovery tools can help you regain access if you lose your phone or Bitkey device. You can also designate a Recovery Contact.
Activity What it means for the treasury Additional exposure to consider
Hold as a reserve Keep Bitcoin for longer-term exposure rather than plan to sell it for routine expenses. Its value can fall, and it does not itself provide interest or dividends.
Sell holdings Convert some Bitcoin to cash, for example to fund operations or another capital-allocation choice. The company gives up the sold exposure; timing and sale policy matter to liquidity planning.
Lend Bitcoin Transfer Bitcoin under lending arrangements in exchange for interest income. Access to the assets and expected income depend on counterparties and the arrangements; lending does not guarantee a positive outcome.
Trade Bitcoin Use holdings or a managed account for trading rather than treat every coin as a passive reserve. Trading can produce losses as well as gains and adds performance and operational considerations.
Pledge Bitcoin as collateral Use Bitcoin to secure borrowing or another obligation. Pledged assets may not be freely available; collateral terms and access can affect liquidity.
Fund purchases with equity or debt Raise capital to acquire Bitcoin rather than use only existing cash. Equity issuance can dilute existing shareholders; debt brings repayment and refinancing exposure.

MARA’s reported activities illustrate the distinctions

MARA Holdings’ FY2025 Form 10-K, filed in 2026, reported that it held 53,822 Bitcoin at December 31, 2025, of which 15,315 were loaned or pledged as collateral. It also reported $32.1 million of interest income from Bitcoin lending during 2025. Separately, a managed trading account incurred an approximately $22.1 million net loss during 2025 and was terminated in December 2025. These are company-specific, dated results—not typical returns, a forecast, or evidence that lending or trading reliably produces income.

MARA said it spread holdings across multiple custodial wallets to mitigate counterparty risk and avoid relying on a single custodian. That is an example of a disclosed control choice, not proof that distributing assets alone removes custody or counterparty risks.

What U.S. GAAP fair-value accounting changes

For crypto assets within its scope, FASB Accounting Standards Update 2023-08 requires subsequent measurement at fair value each reporting period, with changes in value recognized in net income. It also specifies interim and annual disclosures. The rule changes how in-scope assets affect reported earnings; it does not turn an unrealized gain into cash.

Strategy, Inc. said it adopted ASU 2023-08 on January 1, 2025. Its FY2025 Form 10-K reported a $12.75 billion cumulative-effect increase to opening retained earnings at adoption. Strategy also said the periods before and after adoption are not directly comparable because retrospective restatement is not permitted.

Reported value is not liquidity

Strategy’s filing cautions that an unrealized gain reflected in financial results does not mean the company earned cash during that period, and that an increase in digital assets on the balance sheet does not itself increase liquidity. A company still needs an actual source of cash to meet obligations: for Bitcoin holdings, that can mean selling assets or using a separate financing or cash-generating arrangement, each with its own consequences.

For a reader assessing a company, keep three questions separate: what Bitcoin is worth at the reporting date, what gains or losses passed through earnings, and how much cash the company can use. A reported fair-value gain answers neither the cash-flow nor the liquidity question by itself.

Why financial reporting and tax results may differ

Financial-statement treatment does not by itself establish taxable income. Tax outcomes depend on applicable jurisdictional rules and company-specific facts, so a treasury policy needs to account for tax-basis tracking and potential differences between reported earnings and taxable amounts.

Strategy’s September 2025 Form 8-K materials described interim U.S. Treasury and IRS guidance concerning the corporate alternative minimum tax (CAMT) and unrealized digital-asset gains. In that dated filing, Strategy said it expected the interim guidance to apply to such gains. That is a report of the company’s position on interim guidance at that time, not a statement of current final rules for every company. Companies and readers should check the rules in force for the relevant period and obtain advice for the specific facts.

What risks belong in the treasury decision

  • Market risk: Bitcoin can be highly volatile, so its value and reported earnings impact can change substantially. Strategy’s filings warn that its price can fall sharply.
  • Liquidity and cash-flow risk: Bitcoin does not pay interest or dividends. The company must plan how it would obtain cash for obligations rather than treat a balance-sheet holding as operating liquidity.
  • Concentration risk: A balance sheet heavily weighted toward Bitcoin is less diversified. Strategy identifies concentration as a risk.
  • Financing risk: Strategy said it funded purchases substantially through equity and debt financing and that access to financing affects execution of its plan. A company relying on external capital faces the associated dilution, repayment, and refinancing considerations.
  • Counterparty and collateral risk: Lending, trading, and borrowing may expose a company to counterparties, impaired access to assets, collateral requirements, or additional losses. MARA’s disclosed lending, pledged holdings, and trading loss show why these activities should be evaluated separately from passive holding.
  • Custody and key risk: Loss, theft, compromise, or unavailability of cryptographic keys can prevent access to or movement of assets. Custody design also raises questions about authorization, recovery, reconciliation, and evidence of ownership.
  • Accounting and comparability risk: Under U.S. GAAP, fair-value changes for in-scope crypto assets flow through net income; an adoption-date change can also make periods before and after adoption difficult to compare.
  • Tax risk: Taxable income may not align with financial-reporting gains. Rules and guidance can change, so dated company disclosures should not be treated as permanent tax advice.

How to assess whether a treasury policy is coherent

A useful review connects the company’s stated purpose for holding Bitcoin to limits, controls, and contingency plans. Look for clear answers to these questions rather than relying only on the headline amount held:

  • Purpose and liquidity: Is Bitcoin a long-term reserve, and what sale policy would provide cash for planned operating needs?
  • Encumbrance: How much is unpledged and immediately accessible, and how much is lent, pledged, or otherwise subject to claims?
  • Funding: Were purchases made with existing cash, equity, or debt, and what dilution, repayment, or refinancing exposure follows?
  • Custody and control: Who controls keys and transaction approvals? What are the recovery, reconciliation, and asset-ownership evidence procedures? How is custodian concentration managed?
  • Accounting and tax: Which reporting framework applies, how are fair-value movements disclosed, and how are tax basis and jurisdiction-specific obligations monitored?
  • Governance: Are allocation and counterparty limits approved, with named responsibility for monitoring and escalation triggers if exposure or access changes?

SEC Staff Accounting Bulletin No. 122 discusses safeguarding crypto-assets held for platform users, including key-control, concentration, and disclosure considerations. That staff guidance concerns assets safeguarded for users; it is not a direct rule for a company’s own treasury Bitcoin. Its control questions can still help readers understand what to ask about custody, without implying that a particular wallet format alone solves institutional safeguarding.

How to read corporate Bitcoin disclosures

When a company reports a Bitcoin holding or a gain, check the reporting date and the activity behind the number. A concise review should distinguish assets held outright from assets lent or pledged, identify any trading activity and its result, and note how purchases were financed. Then read the accounting and tax disclosures separately from cash-flow and liquidity information.

Company filings are evidence of that issuer’s reported holdings, policies, and period-specific results. The Strategy and MARA figures above do not establish an industry-wide norm: no sector-wide statistic is established by the cited filings.
