How Corporate Bitcoin Holdings Affect a Company’s Financial Statements

For a company reporting under U.S. GAAP, an in-scope Bitcoin holding is measured at fair value each reporting date, with changes recognized in net income and the holding shown separately from other intangible assets. The answer is different under IFRS, where the 2019 IFRS Interpretations Committee agenda decision points to IAS 2 or IAS 38 depending on the facts. The company’s rights, purpose for holding Bitcoin, reporting framework and reporting period must be established before applying either model.

Start with the reporting framework and period

Bitcoin accounting is not a single global rule. The first questions are where the company reports, which accounting standards apply, what the company actually owns, why it holds the asset and which financial-statement period is being prepared.

For U.S. GAAP reporters, FASB Accounting Standards Update (ASU) 2023-08, Intangibles—Goodwill and Other—Crypto Assets, applies for fiscal years beginning after December 15, 2024, including interim periods within those fiscal years. Early adoption was permitted for eligible annual or interim financial statements that had not yet been issued or made available for issuance. An interim adopter applies the guidance at the beginning of the fiscal year that includes that interim period.

A balance sheet prepared for a period before the company’s applicable adoption date cannot automatically be restated using the new measurement model simply because the company owns Bitcoin. The reporting period and whether an early-adoption election was available are part of the accounting conclusion.

When U.S. GAAP’s crypto-asset model applies

ASU 2023-08 is limited to crypto assets that satisfy its scope conditions. Bitcoin generally fits the described characteristics when held directly, but the company still has to test the actual arrangement rather than relying on the asset’s label.

  • The asset meets the definition of an intangible asset.
  • It does not provide the holder with enforceable rights to, or claims on, underlying goods, services or other assets.
  • It is created or maintained on a distributed ledger that uses blockchain or similar technology.
  • Cryptography is used to secure the asset.
  • The units are fungible.
  • The asset is not issued by the reporting entity or by a related party of the reporting entity.

The scope analysis can change when a company has a contract, fund interest, wrapped token, custody arrangement or another exposure instead of owning Bitcoin directly. A contractual claim on an intermediary may have rights and obligations that are different from those of the underlying cryptocurrency. The company should identify the legal instrument, counterparty rights, control of the units and any redemption or settlement terms before concluding that ASU 2023-08 applies.

Balance-sheet effect under U.S. GAAP

For an in-scope holding, the company measures Bitcoin at fair value at each reporting date. The amount on the balance sheet therefore reflects the fair value determined for that date, rather than a historical cost amount reduced only by impairment.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The balance sheet presents in-scope crypto assets separately from other intangible assets. This separate line or clearly identified presentation helps users distinguish Bitcoin and similar holdings from patents, software, trademarks and other intangible assets that remain subject to their own accounting requirements.

The fair-value measurement is a reporting-date measurement. A price change after the reporting date does not change the amount reported for that completed period, although a material subsequent event may require disclosure under the company’s other applicable guidance. The standard itself does not turn every token-related arrangement into an in-scope asset; the scope assessment comes first.

Income-statement effect: gains and losses go to net income

Changes in the fair value of an in-scope Bitcoin holding are recognized in net income in the period in which the change occurs. A rise in fair value increases income; a fall decreases income. The company does not wait until it sells the Bitcoin to recognize the change under this model.

ASU 2023-08 requires the remeasurement changes to be presented separately from changes in the carrying amounts of other intangible assets. That separate presentation prevents a Bitcoin remeasurement from being blended into an impairment charge or another movement related to conventional intangible assets.

Separate presentation does not, by itself, establish a universal operating-versus-non-operating classification. The cited U.S. GAAP requirements establish recognition in net income and separate presentation from other intangible-asset changes, but they do not say that every Bitcoin gain or loss must be labeled operating or non-operating. The company’s broader income-statement presentation policy and facts still matter.

Realized and unrealized descriptions can be useful supplemental explanations, but the accounting result is driven by the required fair-value measurement. Selling a portion of the holding creates a disposal transaction; it does not eliminate the requirement to measure the remaining in-scope units at fair value at the reporting date.

Cash-flow statement: holding Bitcoin is not automatically a cash flow

ASU 2023-08 does not otherwise change the cash-flow statement requirements. Merely holding Bitcoin, or recording a fair-value increase while continuing to hold it, does not create a cash receipt or payment.

The standard does specify presentation for a narrower situation: cash receipts from crypto assets received as noncash consideration in the ordinary course of business, or received as a contribution by a not-for-profit entity, when those assets are converted nearly immediately into cash. The required classification for that fact pattern should be applied to the relevant receipt; it should not be generalized to every purchase, transfer or long-term treasury holding.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

When a company buys Bitcoin for cash, the cash-flow classification must be determined under the applicable cash-flow guidance and the transaction’s facts. When it receives Bitcoin without an immediate cash conversion, the noncash nature of the transaction and any required supplemental disclosure need to be considered. The fair-value remeasurement itself remains a noncash accounting change.

Notes to the financial statements

U.S. GAAP disclosures are designed to show both what the company holds and how significant the exposure is. For annual and interim periods, the company discloses the following for each significant crypto-asset holding:

  • The name of the crypto asset.
  • The cost basis.
  • The fair value.
  • The number of units held.

For holdings that are not individually significant, the company discloses aggregate fair values and aggregate cost bases rather than omitting the exposure entirely. The notes also include information about changes in holdings during the reporting period, as required by the applicable presentation and disclosure guidance.

Contractual sale restrictions require additional detail. The company discloses the fair value of restricted crypto assets, the nature of the restriction, how long the restriction remains in place and the circumstances that could cause it to lapse. A lock-up, vesting condition, lending agreement or other contractual limitation can therefore affect the note even when the asset remains recognized at fair value.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

These disclosures should be tied to the same reporting period as the balance-sheet and income-statement amounts. A unit count, cost basis or restriction description that relates to a different date can make an otherwise correct fair-value number difficult for users to interpret.

How IFRS reaches a different result

The June 2019 IFRS Interpretations Committee agenda decision addressed a defined cryptocurrency fact pattern: the asset is digitally recorded on a distributed ledger, secured by cryptography, not issued by a jurisdictional authority or another party, and does not create a contract between the holder and another party.

For that fact pattern, the Committee concluded that the cryptocurrency is not cash and is not a financial asset. It meets the definition of an intangible asset under IAS 38. However, IAS 2 applies when the cryptocurrency is held for sale in the ordinary course of business. If IAS 2 does not apply, IAS 38 applies.

This means an IFRS reporter’s accounting depends heavily on purpose. A broker-trader may measure relevant inventory at fair value less costs to sell when the IAS 2 requirements for that measurement are met. A company holding cryptocurrency outside the ordinary course of business generally follows IAS 38 for the described fact pattern, subject to the detailed requirements of that standard.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Disclosure follows the applicable IFRS Standard. When the company measures the holding at fair value, IFRS 13 fair-value disclosures apply. The 2019 agenda decision is not an IFRS rule that every cryptocurrency is cash, inventory or an intangible asset without further analysis. It is an application of existing IFRS Standards to the fact pattern considered by the Committee.

U.S. GAAP and IFRS compared

Question U.S. GAAP under ASU 2023-08 IFRS treatment in the 2019 agenda decision’s fact pattern
Initial scope Specified crypto assets meeting the intangible-asset, rights, ledger, cryptography, fungibility and issuer criteria Cryptocurrency recorded on a distributed ledger, secured by cryptography, not issued by an authority or another party, and creating no contract with another party
Primary measurement Fair value each reporting period IAS 2 when held for sale in the ordinary course of business; IAS 38 when IAS 2 does not apply
Income effect Fair-value changes recognized in net income Depends on the applicable IAS 2 or IAS 38 model and the entity’s facts
Balance-sheet presentation Separate from other intangible assets Presentation follows the applicable IFRS Standard
Fair-value disclosure Holding-level and aggregate disclosures specified by ASU 2023-08 IFRS 13 disclosures apply when the holding is measured at fair value

The table compares the cited standards, not every possible digital-asset arrangement. A tokenized claim, a wrapped asset, an investment contract or an interest in a vehicle may require a different analysis in either framework.

A practical accounting workflow for a corporate Bitcoin holding

  1. Identify the legal exposure. Confirm whether the company owns Bitcoin directly or holds a contractual, custodial, fund, wrapped or other arrangement. Gather agreements that define control, redemption, transfer and counterparty rights.
  2. Set the reporting context. Record the reporting framework, fiscal year, interim period and whether the applicable U.S. GAAP adoption date has arrived or an eligible early-adoption election was made.
  3. Test scope under the applicable framework. For U.S. GAAP, document each ASU 2023-08 criterion. For IFRS, determine whether the asset and fact pattern match the 2019 agenda decision and whether the ordinary-course-sale condition points to IAS 2.
  4. Determine the measurement basis. Under U.S. GAAP, use fair value for an in-scope holding at each reporting date. Under IFRS, apply the relevant IAS 2 or IAS 38 requirements, including any broker-trader measurement permitted by IAS 2.
  5. Post the period-end remeasurement. Record the U.S. GAAP fair-value change in net income and keep it separate from changes in other intangible-asset carrying amounts. Do not classify the result as operating or non-operating solely because it is a Bitcoin gain or loss.
  6. Prepare the statement presentation. Show an in-scope U.S. GAAP crypto asset separately from other intangible assets. Check whether any transaction has a specific cash-flow presentation requirement rather than treating the holding itself as a cash flow.
  7. Build the note support. Reconcile units, cost basis, fair value, period changes and any contractual sale restrictions. Aggregate individually insignificant holdings as required and retain evidence for the significance assessment.
  8. Review subsequent developments. Confirm that no later standard or effective amendment changes the conclusion for the reporting date. Keep effective requirements separate from proposed projects.

Common mistakes and how to avoid them

Assuming every token receives fair-value-through-net-income accounting

ASU 2023-08 has explicit scope limits. A company should not apply the model to a contractual exposure or another digital asset without testing the rights, technology, fungibility and issuer conditions.

Using the pre-2025 U.S. GAAP model for a later fiscal year

For fiscal years beginning after December 15, 2024, the new guidance is effective, including interim periods in those fiscal years. The applicable adoption date must be checked before preparing the ledger and disclosures.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Calling Bitcoin cash under IFRS

The cited IFRS agenda decision says the described cryptocurrency is not cash and is not a financial asset. That conclusion should not be broadened to every digital asset or every contractual arrangement.

Putting every Bitcoin movement in operating income

U.S. GAAP requires net-income recognition and separate presentation from other intangible-asset changes, but the cited requirement does not impose one universal operating classification. The company must apply its overall presentation policies and disclose enough information for users to understand the result.

Ignoring restrictions because the asset is still measured at fair value

A contractual sale restriction does not disappear from the notes. Fair value, the restriction’s nature and remaining duration, and the circumstances that could end it must be considered for disclosure.

Treating a standards project as current accounting

FASB project pages updated July 8, 2026 discuss possible work on crypto transfers, wrapped or receipt tokens and derecognition. A separate project considers whether certain digital assets could meet the definition of cash equivalents and related disclosure questions. These are tentative project developments; the summaries state that they do not change current accounting.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What the FASB change is intended to accomplish

When FASB announced ASU 2023-08 on December 13, 2023, FASB Chair Richard R. Jones said: “It will provide investors and other capital allocators with more relevant information that better reflects the underlying economics of certain crypto assets and an entity’s financial position while reducing cost and complexity associated with applying current accounting.”

The practical effect is a closer connection between the reported carrying amount and the market value of an in-scope holding, together with visible income-statement volatility and more granular disclosures. That benefit applies only within the standard’s scope and effective-date rules.

Bottom line

For an in-scope Bitcoin holding in a U.S. GAAP financial statement for a fiscal year beginning after December 15, 2024, report fair value at each period end, recognize the change in net income, present the asset separately from other intangible assets and provide the required holding-level, aggregate and restriction disclosures. Under IFRS, begin with the 2019 agenda decision’s fact pattern and the company’s holding purpose: IAS 2 may apply to ordinary-course inventory, while IAS 38 generally applies when IAS 2 does not. In either framework, the conclusion belongs to the actual rights, arrangement, business purpose and reporting period—not to the word “Bitcoin” alone.
