The existing share count stays the same for current investors, but the total number of shares rises, so each existing share represents a smaller percentage of the company. That outcome is conditional: every note series has its own conversion rate, eligibility rules, adjustment provisions, maturity and settlement terms.
Conversion is only one part of the shareholder impact. Before conversion, the notes are debt that can require interest payments and rank ahead of common stock in a liquidation. Strategy can also settle some conversions in cash or repurchase notes, reducing potential share issuance while using cash. The latest figures available for this analysis are Strategy’s 2025 Form 10-K, with balances at December 31, 2025, and its May 2026 repurchase announcement; they do not establish every series’ balance or conversion status on October 16, 2026.

How the dilution mechanism works
A convertible note begins as a loan to Strategy. The holder receives the contractual right to exchange some or all of the principal for a specified number of common shares under the applicable indenture. If Strategy delivers newly issued shares, the company’s share denominator increases.

That investor owns 1% of the company. If the company issues 20,000 new shares to settle conversions, the investor still owns 1,000 shares, but the denominator becomes 120,000 and the stake falls to 0.833%, assuming no other transactions. The investor has not sold anything; the percentage changed because the company created additional shares.

The basic ownership calculation is:
post-conversion ownership percentage = existing shares held ÷ (pre-conversion shares outstanding + newly issued shares)
This calculation describes percentage ownership, not the investor’s total economic return. A conversion also removes debt from Strategy’s liabilities, may avoid future interest payments and can change the value of the assets and cash that remain for common shareholders. The market price, the number of shares actually issued, the value of the extinguished debt and Strategy’s assets and liabilities all matter.
Why a conversion price does not guarantee dilution
A stated conversion price is a contractual reference point, not proof that conversion has occurred or that every note can be converted immediately. Conversion may depend on trading-price tests, notice procedures, dates, corporate events or other conditions in the series’ indenture. Settlement may also be in cash rather than shares.
Strategy’s 2030B notes: a numerical example
When Strategy completed its offering of $2 billion of 0% convertible senior notes due 2030B in February 2025, it disclosed an initial conversion rate of 2.3072 Class A shares per $1,000 principal. That corresponds to an initial conversion price of approximately $433.43 per share. The terms are subject to customary adjustments, so the initial price should not be treated as a permanently fixed future price. See Strategy’s offering announcement.
At that initial rate, a hypothetical $1 million principal conversion would correspond to 2,307.2 shares before contractual adjustments, fractional-share treatment and Strategy’s settlement election. This is an arithmetic illustration, not a forecast that a holder will convert or that Strategy will issue all of those shares.

When 2030B holders can convert
Strategy states that holders may convert the 2030B notes at any time from December 3, 2029 through the second scheduled trading day before maturity. Earlier conversion is governed by conditions in the indenture. Therefore, an investor cannot infer from the existence of the 2.3072-share rate that all 2030B notes are currently convertible.
How settlement changes the share impact

The 2030B terms give Strategy the ability to choose cash, shares or a combination when settling conversions. A cash election can avoid issuing the full conversion-share amount, but it consumes liquidity. A share election preserves cash but transfers a larger portion of the company to noteholders. A mixed election sits between those outcomes.

What Strategy has already issued in a conversion
Strategy’s 2025 Form 10-K reports that $649.7 million principal of 2025 notes was converted before redemption and that the company issued 16,323,050 Class A shares in settlement. This is a documented historical issuance under a different series, not an estimate of future 2030B dilution. The filing is available in the 2025 Form 10-K filed with the SEC.
The event demonstrates the mechanical point: when Strategy settles a conversion with newly issued common shares, the total share count rises. It does not establish that the same number of shares would be issued for another series, because each series has a different principal balance, conversion rate, adjustment language and settlement history.
Convertible-note series outstanding at December 31, 2025
Strategy reported the following six outstanding convertible-note series in its 2025 Form 10-K. These are historical balances measured on December 31, 2025, not a current October 2026 table.

Coupon differences affect the cost of carrying the debt before conversion. A 0% note does not pay regular cash interest, while the 0.625%, 0.875% and 2.25% series do. Principal, conversion terms and maturity still determine the potential share issuance; coupon alone does not show how much dilution a series could create.
Strategy also reported that all 2027 notes had been redeemed or converted in the first quarter of 2025. Do not add those notes to the December 31, 2025 table or assume that a retired series remains available for future conversion.
How the 2029 repurchase changed potential dilution
In May 2026, Strategy repurchased $1.5 billion principal of its 2029 notes for approximately $1.38 billion in cash. The company said aggregate convertible-note principal fell from $8.2 billion to $6.7 billion after the transactions, measured as of May 25, 2026. The repurchase was therefore a debt-reduction action that also removed part of the principal that could otherwise have been presented for conversion.
Strategy President and Chief Executive Officer Phong Le described the completed transaction this way: “We retired $1.5 billion of convertible debt for $1.38 billion in cash.” The statement is an attributed company description of the transaction, not an independent estimate of its shareholder effect. Details are in Strategy’s May 2026 release.
Repurchasing notes can reduce future dilution because retired principal cannot later be converted. The trade-off is liquidity: Strategy spent approximately $1.38 billion, so the effect on common shareholders also depends on what the company could have done with that cash and how the repurchase price compared with the value of the debt.

Dilution is different from senior claims and interest costs
Convertible notes affect common shareholders even before any shares are issued. Strategy’s 2025 Form 10-K says its convertible notes and certain preferred securities rank senior to Class A common stock. In a liquidation, those claims can reach company assets, including bitcoin, before common shareholders receive anything. Seniority does not increase the common-share denominator, so it should be analyzed separately from percentage dilution.
Interest is another separate burden. Notes with nonzero coupons require cash interest while outstanding. A conversion can remove the related principal and future interest obligations, but a cash settlement may require a substantial payment at the time of conversion. A share settlement generally preserves cash while increasing the number of common shares.
How to evaluate the actual risk for current shareholders
1. Identify the exact series
Start with the note’s maturity, principal outstanding, coupon and indenture. Strategy’s six series differ materially, so an aggregate debt figure cannot reveal the conversion exposure of a particular maturity.
2. Check eligibility and adjustment provisions
Read the company’s latest filing and the relevant note documents for conversion windows, early-conversion tests, fundamental-change provisions and anti-dilution adjustments. The initial 2030B rate is only the starting contractual rate.
3. Estimate shares under each settlement scenario
Multiply principal eligible for conversion by the applicable conversion rate, then account for any adjustments and the company’s cash, share or mixed election. Do not use the initial 2030B rate for another series.
4. Compare the result with the current share base
Percentage dilution depends on the new shares relative to shares outstanding immediately before settlement. Without a dated, reliable share count, a note principal balance by itself cannot produce a current ownership percentage.
5. Include the debt side of the transaction
Ask how much principal and interest disappear, how much cash is used, and what assets remain senior to common stock. A share issuance can dilute percentage ownership while simultaneously reducing leverage; the net economic effect cannot be read from the share count alone.
6. Check subsequent filings
The December 31, 2025 balances and May 2026 repurchase do not establish the exact note-by-note balances on October 16, 2026. Investors making a present-tense assessment should review later SEC filings, redemption notices and company releases before asserting that a series is outstanding or currently convertible.

What BTC Yield does—and does not—tell shareholders
Strategy reports a company-defined measure called BTC Yield, which measures bitcoin-per-share accretion on an assumed diluted share basis. The 2025 Form 10-K reports BTC Yield of 74.3% in 2024 and 22.8% in 2025, and attributes part of the decrease to a changed mix of dilutive and non-dilutive capital-market activity and greater dilutive common issuance for liquidity and other purposes.
BTC Yield is not the same as total shareholder return, earnings per share, or the complete economic effect of convertible debt. It can provide context about bitcoin exposure per assumed diluted share, but it does not eliminate senior debt claims, interest costs, cash requirements, market-price risk or the ownership effect of newly issued shares.
What is and is not established about future dilution
The disclosed terms establish a mechanism by which Strategy’s notes could dilute common shareholders if they are converted and settled with shares. They do not establish an independent forecast of how much dilution current shareholders will experience. Future results depend on conversion eligibility, noteholder decisions, Strategy’s settlement elections, contractual adjustments, repurchases, redemptions, additional financing and the company’s share count at the time.
The available disclosures also do not provide a complete, note-by-note October 2026 balance or a single expected-dilution figure. Treat the December 31, 2025 series table and the May 25, 2026 aggregate principal figure as dated snapshots, and use newer filings for any current investment calculation.
