Companies usually build a Bitcoin treasury with a mix of excess operating cash and capital-market financing. The principal tools are common-stock sales, at-the-market (ATM) programs, convertible senior notes, ordinary or secured debt, preferred stock and collateralized loans. Each source changes the balance between dilution, mandatory cash payments, collateral risk, refinancing pressure and the company’s ability to keep buying when markets turn against it.
The right question is not simply how much Bitcoin a company owns. It is how every coin was financed, what claims sit ahead of common shareholders, and whether the business can meet those claims without selling Bitcoin at an unfavorable price.

What a Bitcoin treasury financing strategy is
A Bitcoin treasury is a corporate balance-sheet policy in which a company holds Bitcoin as a strategic reserve rather than limiting its digital-asset exposure to a temporary trading position. The operating business still has to pay employees, suppliers, taxes and other working-capital expenses. Only cash left after those obligations, or money raised specifically for the treasury, can be deployed without putting normal operations under immediate strain.

Financing determines who supplies that money and who bears the downside if Bitcoin falls. Common shareholders may provide capital by accepting new shares. Bondholders may provide it in return for interest and repayment. Preferred investors may receive contractual distributions and priority over common stock. A lender may require Bitcoin or other assets as collateral. Because the same Bitcoin balance can be funded by very different liabilities and securities, treasury size alone does not describe financial risk.

Using excess operating cash
How the cash route works
The simplest approach is to buy Bitcoin from cash generated by the company’s underlying products or services. Management first forecasts payroll, inventory, receivables, taxes, capital expenditure, debt service and a liquidity reserve. Cash remaining after those needs can be exchanged for Bitcoin through the company’s approved execution and custody arrangements.
Semler Scientific’s 2024 filing describes acquiring Bitcoin with excess operating cash and, subject to conditions, issuing “equity or debt securities or engaging in other capital raising transactions” for additional purchases. That wording is important: operating cash can start a program, but it may not be large or consistent enough to support a rapidly expanding treasury.
Advantages and constraints
- No new shares are issued, so existing holders are not immediately diluted.
- There is no interest coupon, maturity date or lender covenant on the cash used.
- Purchases are limited by operating performance, seasonality and the liquidity reserve management is willing to maintain.
- Using too much cash can leave the operating business dependent on a later, more expensive capital raise.
Cash-funded accumulation therefore tends to be the least structurally complex method, but it is not risk-free. Bitcoin becomes less liquid than cash, and a company that later needs working capital may have to sell during a market decline.

Traditional common-equity issuance
A company can sell a block of newly issued common shares to investors and use the proceeds to purchase Bitcoin. The transaction may be a public offering, a private placement or another registered sale permitted by the company’s securities documents. The company receives capital without a scheduled repayment obligation, while buyers receive ownership and future upside or downside in the entire business.
The cost is dilution. If the share count rises faster than the value created by the Bitcoin purchases and operating business, each existing share represents a smaller percentage of the company. Pricing also matters: selling when the stock trades at a premium to the value of its Bitcoin and other assets can be accretive on a per-share basis; selling at a discount can have the opposite effect. The premium or discount can change quickly, so an announcement amount is not enough to evaluate the transaction.

How an ATM offering works
An at-the-market program is a standing authorization that lets an investment bank sell shares into the public market over time. Rather than issuing the entire amount on one date, the company can choose the timing and pace of sales, subject to the authorization, market conditions and securities-law requirements. It can pause sales when liquidity is poor or when management believes the price is unattractive.
- The board authorizes a maximum dollar amount and the company files the required offering documents.
- An investment bank acts as sales agent and places shares in ordinary market transactions.
- The company receives the net proceeds after commissions and offering expenses, then reports sales and remaining capacity in periodic filings.
- Management decides how much of the cash to allocate to Bitcoin after operating and liquidity needs are covered.
Semler Scientific reported $119.6 million in gross ATM proceeds in 2024. In 2025 it disclosed a new $500 million ATM authorization. Those are company-specific gross figures, not evidence that every treasury company can raise the same amount or that the full authorization will be used.
What shareholders should watch
- Remaining authorization is potential capacity, not cash already raised.
- Frequent sales can increase the share count and weigh on per-share measures.
- Execution depends on daily trading volume, the share price and broader market liquidity.
- Commissions and other issuance costs reduce the money available for Bitcoin.
Convertible senior notes
The hybrid structure
A convertible senior note starts as debt. Investors lend money, receive stated interest and expect repayment at maturity unless the notes are converted, redeemed or otherwise settled under their terms. The conversion feature gives investors the right, or in some structures the obligation under specified conditions, to exchange the debt for common shares at a defined conversion price or formula.
Semler Scientific disclosed $100 million of 4.25% convertible senior notes due in 2030 in 2025. The 4.25% figure is the stated annual coupon for those notes; it does not describe every possible fee, return or outcome for an investor. Until conversion or repayment, the company must manage the interest and eventual maturity obligation.
Why companies use convertibles
Convertible financing can provide a large amount of cash with a lower coupon than comparable straight debt because investors receive potential equity upside. It also postpones common-stock dilution: shares are generally issued only if conversion occurs under the note terms. If the stock price never reaches the relevant conversion economics, the company still has to repay the principal or refinance it.

The trade-off is therefore conditional dilution rather than no dilution. A successful Bitcoin strategy can push the share price high enough to make conversion likely, while a weak share price leaves the company with a debt maturity and no equity conversion to remove it.

Straight debt, secured notes and collateralized loans
Unsecured or ordinary debt
Straight debt raises cash without issuing common shares at closing. The borrower promises interest payments, principal repayment and compliance with any covenants. This can accelerate Bitcoin purchases while preserving voting control for existing shareholders, but the obligation remains even if Bitcoin loses value or the operating business weakens.
Key terms include the interest rate, whether it is fixed or variable, maturity date, repayment schedule, restrictions on additional borrowing, required financial ratios and events of default. A low initial rate is not necessarily cheap if it floats upward or if the company must refinance during a credit-market disruption.
Secured borrowing and liquidation exposure
A secured note or collateralized loan gives the lender a claim on specified assets if the borrower defaults. Bitcoin may be pledged directly, or the lender may take security over other corporate assets. Loan documents normally define collateral-maintenance tests, margin calls, permitted substitutions and the lender’s rights to sell pledged assets.
Strategy’s 2025 disclosures describe prior senior secured notes, a collateralized term loan and a 2025 variable-rate facility with aggregate borrowings up to $31.1 million. That amount is the capacity reported for that facility, not a universal limit for treasury companies and not necessarily the amount drawn at every date.

Collateral can reduce the lender’s credit risk and therefore help a company borrow, but it transfers market risk to the borrower in a concentrated form. A sharp Bitcoin decline can trigger a requirement to post more collateral, repay part of the loan or allow a forced sale. Selling under those conditions can lock in losses and reduce the treasury just when management would prefer to hold.
Preferred stock as “digital credit”
Preferred stock sits between common equity and debt. Its terms can provide a stated distribution, liquidation preference, conversion right, redemption feature or other priority that common shares do not receive. Unlike ordinary debt, a preferred distribution may be deferrable or subject to the security’s specific terms, but it still creates an economic claim ahead of common shareholders.
Strategy’s 2025 filing describes five preferred-stock classes issued as “digital credit.” The example shows how a treasury company can reach investors who want a contractual distribution or different exposure from common stock and conventional bonds. Multiple classes also make the capital structure harder to analyze: each class can have its own ranking, dividend calculation, conversion terms and redemption rights.
Before treating preferred stock as equivalent to equity, read whether distributions are cumulative, whether they can be paid in additional securities, what ranks ahead of them, and how conversion or redemption would affect the common share count.

Not every treasury purchase is funded by a standard stock sale or bond issue. A company may monetize a minority investment, use warrants, sell an interest in a subsidiary, acquire another business with a treasury-related financing component or negotiate a structured transaction with a strategic investor. Semler Scientific has noted proceeds from monetization of a minority investment, while sector disclosures describe mixed approaches among companies such as Metaplanet and other treasury issuers.
Best Value
These transactions are too company-specific for a universal rule. The relevant questions are what asset was sold or pledged, whether the proceeds are recurring, what fees or contingent payments apply, and whether the transaction creates a new senior claim on future cash flows.

How a company puts the financing plan into practice
- Set the liquidity floor. Management estimates operating cash needs, debt service, taxes, capital expenditure and a reserve for unexpected expenses. Bitcoin purchases begin only after this floor is defined.
- Choose the liability mix. The board compares dilution, coupon expense, maturity dates, collateral requirements, seniority and the likelihood of future refinancing.
- Authorize and document the transaction. Equity programs require offering documents and selling arrangements; debt and preferred securities require detailed terms, covenants and disclosure.
- Price against both markets. Management considers the company’s share-price premium or discount to the value of its assets, prevailing interest rates, Bitcoin volatility and the demand available from investors.
- Close and deploy proceeds. Net cash after commissions, discounts and fees is allocated between Bitcoin, operating liquidity and any stated corporate purpose. Purchase timing and custody controls should be recorded.
- Monitor the downside case. The company models Bitcoin drawdowns, lower trading volume, higher interest rates, a stock-price discount, covenant pressure and upcoming maturities. Secured borrowers also test collateral calls and forced-sale thresholds.
- Report the changing capital structure. Investors need updated share counts, ATM sales, debt balances, coupon rates, maturity dates, preferred rights, pledged assets and Bitcoin holdings to measure the strategy accurately.
The risks that compound across funding sources
Bitcoin volatility
A falling Bitcoin price reduces the value of the treasury regardless of how it was funded. Debt and preferred claims do not automatically fall with that asset value, so leverage can make the equity decline disproportionately.
Share-price premium or discount
Treasury companies are valued through both their assets and their operating prospects. If the stock trades below the value of its Bitcoin and other assets, issuing shares can be especially dilutive. If it trades at a premium, issuance may raise more asset value per existing share, but that premium can disappear quickly.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteCapital-market access
ATM programs, convertibles and preferred offerings depend on investors’ willingness to buy. A company that relies on repeated issuance may face a funding gap when its share price falls, trading volume dries up or credit spreads widen.
Layered seniority
Interest-bearing debt, secured lenders and preferred classes can all stand ahead of common stock. A headline Bitcoin balance can therefore coexist with a much smaller residual value for common shareholders after contractual claims are accounted for.
How to evaluate a treasury company’s filings
- Identify the source of each Bitcoin purchase: operating cash, common equity, ATM proceeds, convertible notes, debt, preferred stock or an asset sale.
- Reconcile gross financing proceeds with net cash after commissions, discounts and fees.
- Record the share count before and after issuance and calculate potential conversion dilution from outstanding notes and preferred securities.
- List every coupon, distribution, maturity, redemption right and variable-rate provision.
- Check which assets secure borrowings, what maintenance tests apply and what events could trigger a forced sale.
- Compare Bitcoin value with total debt, preferred claims and other senior obligations rather than looking only at coins held.
- Separate an ATM authorization from shares actually sold; an authorization is capacity, not realized funding.
- Check whether a stated borrowing amount is a facility limit, an outstanding balance or a one-time transaction figure.
What the reported figures do—and do not—show
The disclosed figures illustrate financing tools rather than a market-wide allocation. Semler Scientific’s $119.6 million of gross ATM proceeds in 2024, its $500 million ATM authorization disclosed in 2025 and its $100 million of 4.25% convertible senior notes due 2030 describe that company’s transactions. Strategy’s reported $31.1 million aggregate borrowing capacity for a 2025 variable-rate facility describes one facility. No universal market-share split establishes how much of all corporate Bitcoin is funded by equity, debt, cash or preferred stock.
For investors, the useful output is a financing map: how much cash the business can generate, how much new capital it can still access, what must be paid before common shareholders receive value, and how much Bitcoin could be sold if markets move sharply lower. That map explains the economic risk more reliably than the treasury’s coin count alone.
