Companies can make decisions faster without weakening oversight by delegating day-to-day choices to accountable leaders while keeping the board responsible for strategy, risk, controls and conduct. Unilever’s 2023 annual report describes one example of that balance; it does not establish that the same structure will work for every company.
What the headline means—and what is confirmed
The headline frames agility and governance as priorities for companies facing change. The available evidence does not confirm which vice president it refers to, the organisation they represent, the publication, or the date of the original statement. Unilever is a relevant example of the themes, but there is no basis to attribute the headline to Unilever or to treat its annual report as the source of the statement.

In practical terms, agility means enabling timely operating decisions; governance means maintaining clear oversight of strategy, risk, internal controls and ethical conduct. These responsibilities can coexist when authority is delegated clearly and oversight remains visible.

Faster operating decisions
Unilever’s 2023 annual report said its category-focused organisation was beginning to deliver quicker, more empowered leadership decision-making. The company also identified agility relative to competitors as a performance enabler. These are the company’s descriptions of its structure and priorities, not evidence that the structure alone caused better results or that another company would see the same effect.

Board oversight alongside delegation
The report described the Board as providing support and challenge to the executive team. Its responsibilities included company strategy; material acquisitions and divestments; capital expenditure and structure; oversight of policies and internal controls; monitoring culture; and promoting ethical behaviour. In this arrangement, operational leaders can act within their authority while the Board retains oversight of consequential decisions and the systems that constrain risk.
Unilever Chair Ian Meakins wrote in the report: “Good governance is vital for all businesses.” The report also gave two company-specific measures:
Rank #2
| Measure | What Unilever reported |
|---|---|
| Employee engagement | 84% in 2023, compared with 83% in 2022, as reported in Unilever’s 2023 annual report. |
| Active SKUs | Around 19% removed in 2023, primarily in Latin America and Europe, as part of portfolio simplification reported in Unilever’s annual report. |
These figures describe Unilever’s reported outcomes and actions; neither is a general benchmark for agility or governance.

The example points to practical questions a company can use to examine its own operating model. These are decision prompts, not a tested ranking of governance models.
Rank #3
- Decision authority: Which operating decisions can leaders make without escalation, and which require executive or Board involvement?
- Visibility and escalation: What information reaches the Board, and how quickly are material risks or exceptions escalated?
- Controls and risk: Do internal controls and risk processes cover the decisions that have been delegated?
- Culture and conduct: Who is accountable for monitoring ethical behaviour as teams gain more autonomy?
- Incentives: Do executive rewards support durable investment as well as near-term performance?
Delegation without clear limits can obscure accountability; oversight without well-defined decision rights can slow routine work. The useful test is whether the organisation can identify who decides, who monitors the decision, and when an issue must be escalated.
Why incentive design matters to innovation
A 2025 EurekAlert! research release, titled “A common CEO pay strategy is stalling innovation, a new study reveals why,” described an association between value-based executive equity grants and lower innovation investment, including at firms with stronger governance. The release quotes researcher Ye saying, “Under value-based compensation, stronger stock performance actually leads to fewer shares for executives.”

The release alone does not establish a universal causal rule for compensation or governance. It is a reason to examine whether a particular incentive arrangement could discourage long-term investment, not proof that all equity grants have that effect. The release does not establish Ye’s full name and role, and its detailed methods and limits are not available here.
What the evidence does—and does not—show
Unilever’s Annual Report and Accounts 2023, published in 2024, is a primary company source for the company’s stated organisation, governance responsibilities and reported figures. It provides an illustrative account of how one company described agility and oversight in 2023; it cannot establish that its approach caused particular outcomes or is transferable to other businesses.
