The new lender will underwrite the property, current income, construction and lease-up status, borrower and guarantors, collateral value, repayment capacity, remaining debt, and market conditions. Start well before the maturity date, compare complete loan terms rather than headline rates, and keep a documented extension or restructuring discussion open with the current lender if the takeout loan is uncertain.
What a development-loan refinance actually does
A refinance replaces interim or maturing debt with a new facility. At closing, proceeds from the replacement loan normally pay the old lender’s principal, accrued interest, exit or prepayment charges, and other agreed costs. Any shortfall must come from another source, such as sponsor equity, a negotiated paydown, subordinate financing, or a restructuring.

The underwriting question is therefore twofold: can the new loan clear the existing obligation, and can the property and borrower support that loan under current conditions? A project that looked financeable when construction began may present a different case after interest rates, rents, expenses, leasing progress, construction costs, or property values change.
The Office of the Comptroller of the Currency (OCC) describes refinance risk as the possibility that a borrower cannot replace debt “under reasonable terms and prevailing market conditions.” Its October 3, 2024 bulletin identifies construction and development loans as commonly exposed because they often mature before a project has reached stable operations.

Begin with the payoff amount and maturity calendar
Read the complete existing loan file
Collect the original note, loan agreement, amendments, side letters, guaranties, reserve agreements, and the lender’s current payoff statement. Confirm:
- Legal maturity date and any required notice period.
- Outstanding principal, accrued interest, default interest, and unpaid fees.
- Prepayment, defeasance, yield-maintenance, exit, or processing charges.
- Extension or renewal options, including objective tests and lender-consent requirements.
- Required interest, tax, insurance, replacement, leasing, or operating reserves.
- Financial covenants, reporting duties, completion tests, and construction milestones.
- Guarantee scope, springing-recourse provisions, and events that could trigger additional liability.
Only the executed documents establish these obligations; commercial loans do not use one universal contract form.
Work backward from closing
Set an internal deadline several months before maturity for receiving lender proposals, completing diligence, obtaining an appraisal, clearing title and environmental matters, and negotiating documents. Allow time for a lender’s credit committee and for correcting missing leases, permits, lien releases, insurance certificates, or financial statements. Treat the payoff date as a funding deadline, not the date to begin requesting quotes.
Build an underwriting package that reflects the property today
A lender compares actual performance with the original development budget and business plan. A concise, reconciled package reduces questions and exposes gaps while there is still time to fix them.
Property and operating information
- Current rent roll showing suite, tenant, lease dates, base rent, escalations, options, concessions, and delinquencies.
- Executed leases, amendments, letters of intent, and a leasing pipeline identified separately from signed contracts.
- Trailing operating statements, current-year budget, bank statements or collection reports, and a schedule explaining unusual income or expenses.
- Occupancy, physical condition, service contracts, tax bills, insurance, utilities, and material operating obligations.
- Construction status report, draw history, remaining punch-list work, cost-to-complete estimate, permits, certificates of occupancy, and lien releases where applicable.
- Existing debt schedule and a sources-and-uses statement showing the proposed payoff, financing costs, reserves, and any equity contribution.
Sponsor and guarantor information
- Personal or corporate financial statements, liquidity evidence, contingent liabilities, and ownership organization chart.
- Experience with comparable developments and a record of completing, leasing, and operating similar assets.
- Tax returns, litigation or bankruptcy disclosures, and requested guarantees or indemnities.
This is a practical preparation list, not a mandatory checklist for every lender. The OCC’s commercial real estate guidance supports review of borrower condition, guarantor strength, project performance, development assumptions, debt, and repayment ability; each lender decides what evidence it requires.

How lenders size the replacement loan
Debt-service capacity
The OCC defines debt-service coverage ratio (DSCR) as net operating income divided by annual debt service:
DSCR = net operating income ÷ annual debt service
For planning, ask lenders to calculate debt service using the proposed rate, amortization, and any interest-only period, then test realistic vacancy, rent, expense, and rate assumptions. Debt yield may also be considered, but it is used alongside—not instead of—cash-flow and collateral analysis. The cited OCC material does not establish a universal DSCR floor or debt-yield threshold for all commercial refinances.
Loan-to-value and collateral
Loan-to-value (LTV) compares the proposed debt with the lender’s accepted value. Value is not automatically equal to total project cost. An appraisal may reflect current condition, completed construction, or stabilized operations, and the lender determines which valuation is relevant to the transaction.
The payoff-gap calculation
Before pursuing a term sheet, estimate the amount actually available after closing costs and required reserves. Compare it with the contractual payoff:
| Calculation | What it answers |
|---|---|
| Proposed gross loan | How much the new lender is willing to advance under its underwriting. |
| Less: old-loan payoff | Principal, interest, and documented exit or prepayment charges. |
| Less: new-loan costs and reserves | Origination, legal, appraisal, title, environmental, escrow, and required reserve funding. |
| Net proceeds to ownership | Whether cash is released, merely a small surplus remains, or a funding gap exists. |
A gap can require additional equity, a principal paydown, different leverage, subordinate capital, a sale, or a negotiated restructuring. Do not assume that a lender will advance enough to repay the old balance simply because the project cost more than the debt.

Can you refinance before the building is fully leased?
Possibly, but an unfinished lease-up changes the evidence supporting repayment. A lender will distinguish signed leases and collected rent from projections and will examine the timing and cost of reaching stable operations.

Present certificates of occupancy, completed-cost records, signed leases, rent collections, tenant-improvement obligations, leasing commissions, concessions, and a month-by-month absorption plan. Explain why vacant space should lease at the proposed rents, what competing supply exists, and how reserves cover the interim shortfall. A lender may size debt from current cash flow, underwritten stabilized cash flow, or a combination with reserves and covenants.
Construction still in progress
Provide an independent cost-to-complete estimate, contractor and consultant reports, remaining permits, lien status, schedule, contingency, and evidence of funding for overruns. The lender will scrutinize whether completion can occur before debt service becomes unsustainable and whether the requested refinance is actually a construction completion facility, a bridge loan, or permanent financing.
Separate facts from projections
Show actual occupancy, collections, expenses, and debt service in one section and assumptions for future leasing or rent growth in another. Identify delayed milestones, tenant defaults, cost overruns, or changes to the original plan instead of burying them in a blended forecast. OCC guidance specifically calls for assessing the reasonableness of development assumptions, expected completion and lease-up timing, and the likelihood that stabilized cash flow can service debt; it does not say every lender requires full stabilization.
Understand the valuation used for proceeds
The OCC’s commercial real estate handbook distinguishes three construction-appraisal concepts. They are not interchangeable and should not be presented as guaranteed refinance values.

| Valuation concept | Meaning in construction lending | Refinance implication |
|---|---|---|
| As-is | Value in the property’s current physical and operating condition. | May reflect incomplete work, vacancy, or limited income at the valuation date. |
| As-complete | Prospective value assuming specified construction is finished. | Depends on credible plans, costs, timing, and completion conditions. |
| As-stabilized | Prospective value assuming the property reaches defined, sustainable operating performance. | Relies on lease-up, rents, expenses, and market assumptions that must be supported. |
The applicable appraisal, date, definition, and amount depend on the transaction and lender. Ask how the lender will treat vacant space, below-market leases, tenant improvements, capital needs, and remaining construction before relying on a headline LTV.
Compare complete loan offers, not just interest rates
| Term | Questions to compare |
|---|---|
| Proceeds | What is the gross commitment, net cash after payoff, and minimum sponsor contribution? |
| Rate structure | Is the rate fixed or floating? What index, spread, floor, cap, reset date, and hedging obligation apply? |
| Debt service | What are payment amounts under base, higher-rate, slower-lease-up, and higher-expense cases? |
| Amortization and interest-only period | When does principal repayment begin, and how does amortization affect cash flow and balloon balance? |
| Maturity and extensions | How long is the term, and are extensions discretionary or conditional on tests, fees, paydown, reserves, or updated valuation? |
| Recourse and guarantees | Which obligations are nonrecourse, and what bad-act, completion, carry, or environmental carve-outs apply? |
| Covenants and control | What DSCR, LTV, leasing, reporting, cash-management, reserve, and distribution restrictions apply? |
| Costs and prepayment | List origination, legal, appraisal, title, environmental, inspection, reserve, exit, and prepayment charges. |
Request a term sheet and sample underwriting, then have counsel reconcile them with the commitment and final loan documents. A lower initial rate can be outweighed by a shorter maturity, a large balloon payment, cash-management triggers, or expensive prepayment provisions.

- Six or more months before maturity: confirm payoff figures, covenant status, extension rights, and the amount of equity available for a potential gap.
- Prepare the package: reconcile rent roll, operating statements, construction costs, leases, permits, insurance, taxes, debt, and sponsor financial information.
- Set underwriting cases: calculate current and stressed cash flow, likely valuation, reserves, and the maximum payoff that proceeds can cover.
- Solicit multiple credible lenders: give each the same factual package and disclose construction, leasing, litigation, environmental, and financial issues early.
- Complete diligence: coordinate appraisal, title, survey, environmental review, property condition, leases, insurance, entity authority, and payoff verification.
- Negotiate and close: compare final documents, satisfy conditions, fund required reserves or equity, and confirm the old lien is released after payoff.
What if the loan comes due and refinancing is not ready?
Request an extension or renewal early
Ask the existing lender for its process, decision timeline, fees, reporting requirements, reserve funding, covenant cures, paydown expectations, and conditions for an extension. An extension is a negotiated credit decision, not an automatic borrower right. OCC guidance tells banks to evaluate the risk of extensions and renewals and to act prudently with creditworthy borrowers experiencing stress; it does not require a lender to extend a particular loan.
Fund a documented shortfall
If the proposed refinance is smaller than the payoff, determine whether sponsor equity, a partner contribution, a principal reduction, or permitted subordinate financing can close the gap. Verify intercreditor and consent requirements before accepting junior capital.
Restructure or dispose of the asset
Where cash flow cannot support replacement debt, alternatives may include a longer workout, revised amortization, additional collateral, a discounted payoff, or an orderly sale. Obtain advice on defaults, guaranty exposure, tax effects, and fiduciary duties before signing a restructuring or transfer agreement.

Common mistakes that weaken a refinance
- Waiting until the maturity month to discover a prepayment charge, notice deadline, or missing extension condition.
- Using projected stabilized income as though it were current collected cash flow.
- Ignoring tenant-improvement, leasing-commission, punch-list, or cost-overrun funding.
- Assuming project cost establishes value or that an appraisal will support the desired proceeds.
- Comparing nominal rates while overlooking amortization, reserves, recourse, covenants, and balloon risk.
- Failing to disclose liens, permit issues, insurance gaps, tenant defaults, environmental concerns, or covenant breaches.
- Relying on a verbal extension promise instead of an executed agreement with a defined maturity date.
How the official guidance fits—and what it does not decide
The OCC’s March 2022 Commercial Real Estate Lending handbook is examiner guidance for national banks and federal savings associations. It covers acquisition, development, construction, and income-producing property and discusses DSCR, LTV, debt yield, repayment, collateral, market conditions, and appraisal concepts. It is not a borrower approval manual and does not set one market-wide rate, advance rate, qualifying ratio, or loan term.
The OCC’s October 3, 2024 refinance-risk bulletin is supervisory guidance about identifying and managing maturity risk. Its discussion of development-loan structures and maturities is context for risk evaluation, not a quote or promise about an individual loan. No current 2026 interest rate or market-wide transaction statistic follows from these publications.
Residential construction-to-permanent programs illustrate the general idea that interim construction debt can be replaced by permanent financing, sometimes through one closing or two. Residential agency rules do not establish eligibility, proceeds, valuations, or terms for a commercial property refinance.

Final pre-application checklist
- Payoff statement and maturity calendar verified against executed documents.
- Current rent roll, leases, collections, expenses, occupancy, and leasing pipeline reconciled.
- Construction completion, permits, lien releases, cost-to-complete, and reserve needs documented.
- Sponsor and guarantor liquidity, net worth, contingent liabilities, and guarantees assembled.
- DSCR, LTV, debt-yield, valuation, and payoff-gap cases modeled with realistic stresses.
- Multiple offers compared on proceeds, debt service, maturity, extensions, recourse, covenants, reserves, and every fee.
- Extension or workout discussions started before a failed takeout creates a maturity default.
A successful refinance is the result of matching a defensible repayment story and collateral value with a lender’s current risk appetite, then closing early enough to preserve alternatives. Begin with the real payoff and timeline, present the property as it operates today, and treat any extension as a negotiated contingency rather than a certainty.
