How Cloud Marketplace Fees Affect SaaS Revenue and Gross Margin

Cloud marketplaces usually withhold a percentage of each transaction before paying a SaaS publisher. That deduction immediately lowers cash collected, but it does not automatically determine the revenue reported in the financial statements or the company’s gross margin.

The commercial calculation is straightforward: contract value minus marketplace fee, taxes, refunds and other settlement adjustments equals the seller’s payout. The accounting calculation is separate. Under ASC 606 (Topic 606) and IFRS 15, the seller must decide whether it controls the promised SaaS service before transfer. A principal generally reports gross consideration; an agent reports the fee or commission it is entitled to for arranging another party’s service. The answer depends on the specific contract, promises, customer relationship and marketplace terms.

What cloud marketplaces charge SaaS sellers

Published schedules differ by platform, offer type, contract value, renewal status and channel. The following rates are from the official schedules identified for this article and should be checked against the current seller agreement before you price a new transaction.

Marketplace Offer or transaction Published rate or vendor net Important conditions
AWS Marketplace Public SaaS offer 3% listing fee AWS schedule effective January 5, 2024; fee is calculated on pre-tax total contract value (TCV).
AWS Marketplace Private offer below $1 million TCV 3% listing fee Standard private-offer tier.
AWS Marketplace Private offer from $1 million to below $10 million TCV 2% listing fee TCV tier applies to the offer.
AWS Marketplace Private offer of $10 million or more 1.5% listing fee TCV tier applies to the offer.
AWS Marketplace Stated renewals 1.5% listing fee Confirm that the transaction qualifies as a renewal under the current terms.
AWS Marketplace Channel Partner Private Offers (CPPO) Published rate plus 0.5 percentage point The uplift is additive to the applicable fee.
AWS Marketplace South Korea transactions Published rate plus 1 percentage point Regional addition effective April 1, 2025, according to the schedule.
Microsoft Marketplace Transact offer 3% standard store service fee Deducted when Microsoft pays the publisher; exact economics can vary by transaction path.
Google Cloud Marketplace Standard eligible offer 97% vendor net revenue (3% retained) Vendor Net Revenue Schedule effective April 21, 2025, subject to agreement and product requirements.
Google Cloud Marketplace New private offer below $1 million TCV 97% vendor net revenue (3% retained) Eligibility conditions apply.
Google Cloud Marketplace New private offer from $1 million to below $10 million TCV 98% vendor net revenue (2% retained) Eligibility conditions apply.
Google Cloud Marketplace New private offer of $10 million or more 98.5% vendor net revenue (1.5% retained) Eligibility conditions apply.
Google Cloud Marketplace Listed channel shifts, migrations and native renewals 98.5% vendor net revenue (1.5% retained) Only the transactions described as eligible in the schedule receive this rate.

These percentages describe what the marketplace retains or what the vendor receives under the platform’s commercial terms. They are not a universal “SaaS marketplace tax,” and they do not by themselves answer whether a fee is revenue-reducing or an operating expense.

How AWS Marketplace fees reach your payout

Public and private SaaS offers

AWS lists a 3% listing fee for public SaaS offers. Do not substitute the 20% public rate listed for some AMI, container and machine-learning server products; that is not the SaaS rate.

For private offers, AWS lists a tiered schedule based on pre-tax TCV: 3% below $1 million, 2% from $1 million to below $10 million, and 1.5% at or above $10 million. The schedule also states 1.5% for renewals. A Channel Partner Private Offer adds 0.5 percentage point. A South Korea regional addition of 1 percentage point is effective April 1, 2025 and is additive to the applicable rate.

What AWS deducts

AWS calculates the fee on pre-tax TCV and shows it as a line item on the listing-fee invoice. The fee is deducted from the amount disbursed to the independent software vendor (ISV), so the cash receipt is lower than the customer’s billed amount even before you account for refunds, taxes or delivery costs.

AWS’s collections and disbursement reporting uses separate labels: gross revenue is the amount billed for product usage or monthly fees; listing fee is the Marketplace fee deducted from that billed amount; and seller net revenue is the transaction amount after Marketplace fees, refunds and specified sales or use taxes. Those labels describe dashboard and settlement measures. They do not prescribe the revenue policy in your general ledger.

How Microsoft Marketplace fees work

The 3% standard service fee

Microsoft’s transactable Marketplace documentation states a 3% standard store service fee when a customer purchases a transact offer. Microsoft deducts the fee when it pays the publisher.

Microsoft’s SaaS illustration uses a $100 monthly license charge. Microsoft bills the customer $100, retains $3 and pays the publisher $97. That is a payout example, not a conclusion that every publisher should report $97 of revenue.

Azure usage is a separate cost

In the same example, the publisher is billed directly for Azure usage. The infrastructure cost therefore remains a cost the publisher must account for separately, whether it is treated as cost of revenue, a pass-through amount or another category under the company’s policy. Do not subtract Azure usage from the 3% marketplace fee or assume that Microsoft’s collection role determines the publisher’s principal-versus-agent conclusion.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For the described subscription and pay-as-you-go options, Microsoft acts as the publisher’s agent for billing, payment and collection. Agency for collecting cash does not, by itself, establish whether the publisher controls the promised SaaS service for financial-statement presentation.

How Google Cloud Marketplace revenue share works

Vendor net revenue schedule

Google’s Vendor Net Revenue Schedule applies from April 21, 2025. For an eligible standard offer, the vendor receives 97% of the applicable transaction amount, equivalent to a 3% marketplace retention. New private offers receive 97% below $1 million TCV, 98% from $1 million to below $10 million, and 98.5% at or above $10 million. Listed channel shifts, migrations and native renewals can receive 98.5% vendor net revenue.

Eligibility is part of the rate

Google says the schedule applies to new transactions and automatic renewals from the effective date only when the organization has agreed to the current Marketplace Vendor Agreement, the product meets listing and operational requirements, and the transaction is otherwise covered by the schedule. Professional-services transactions are excluded. Installments remaining on transaction terms that began before April 21, 2025 are not automatically moved to the new schedule.

Consequently, a 97%, 98% or 98.5% figure cannot be applied from the table alone. Confirm the offer type, TCV, renewal or migration status, agreement version, product eligibility and whether professional services are included.

Why a marketplace deduction is not automatically a revenue reduction

The control question under Topic 606 and IFRS 15

ASC 606 (Topic 606) and IFRS 15 use a principal-versus-agent analysis. The central question is whether the reporting entity controls the specified good or service before it is transferred to the customer.

If the SaaS company is the principal for the specified hosted service, it generally recognizes the consideration for that service on a gross basis, subject to the other requirements of the standard. The marketplace deduction may then be accounted for separately according to its nature and the company’s policy. If the company is an agent arranging for another party to provide the specified service, the company generally recognizes only the fee or commission to which it is entitled.

Amounts collected on behalf of third parties are excluded from transaction price under the Topic 606 framework. That principle can help analyze an amount that the seller never controls, but it does not turn every marketplace charge into an amount collected for a third party.

Indicators inform judgment; they do not replace it

IFRS 15 materials identify indicators such as responsibility for fulfillment, inventory risk where relevant and pricing discretion. They are evidence for the control assessment, not a mechanical checklist. An IASB staff paper from the 2024 post-implementation review states: “the assessment to determine whether an entity is a principal or agent requires significant judgment.”

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The conclusion is transaction-specific. Identify the reporting entity, the customer of the specified promise, the exact promise being transferred, who is responsible for delivery and support, who bears service or refund risk, and what the marketplace agreement actually says. The fact that a platform invoices the customer or remits cash does not settle those questions.

Contra-revenue or expense: how to frame the policy decision

Calling a marketplace fee “contra-revenue” or “an expense” without analyzing the arrangement is unsafe. First determine the recognized revenue for the specified promise under the principal-versus-agent model. Then determine what the marketplace charge represents in that arrangement and apply the company’s accounting policy consistently.

  • Principal presentation: the company may recognize the customer consideration for its SaaS promise gross, with the marketplace charge presented separately according to its substance and policy.
  • Agent presentation: the company may recognize only its commission or fee for arranging another party’s service; the gross customer billing is not the company’s revenue for that promise.
  • Third-party collections: amounts controlled by another party and collected on its behalf may be excluded from transaction price, but the facts must support that conclusion.

Document the promised service, control assessment, contract terms, settlement reports and policy election. Revisit the analysis when the channel changes, a reseller is inserted, the platform assumes new obligations or the offer begins bundling professional services.

How to model the effect on SaaS gross margin

Start with the settlement bridge

  1. Record the customer contract value or billed amount before marketplace deductions.
  2. Apply the platform’s fee base: AWS uses pre-tax TCV for its listed fee schedule; other platforms may define the base differently.
  3. Subtract the marketplace fee or retained percentage.
  4. Separate refunds, sales or use taxes, credits and other settlement adjustments.
  5. Reconcile the resulting amount to the platform’s payout statement and cash receipt.

For a simple $100 sale with a 3% charge, the platform retains $3 and the seller receives $97 before other adjustments. Microsoft publishes this arithmetic. It is a cash-settlement illustration, not proof that accounting revenue is $100 or $97.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Then apply the accounting revenue policy

Use the recognized revenue amount required by your ASC 606 or IFRS 15 conclusion, not whichever number appears most convenient in the marketplace dashboard. If the company is principal and reports $100 of revenue, a $20 hosting and support cost would produce $80 of gross profit before considering the marketplace charge’s classification. If policy presents the charge in cost of revenue, gross profit would be lower by that charge; if the charge is presented below gross profit, gross margin percentage would not change even though operating profit would. If the company is agent for the specified promise and recognizes a $3 commission instead, the denominator and cost relationships are entirely different.

Infrastructure, support labor, payment processing, refunds, taxes and customer-success costs must be classified independently. A platform fee rate alone cannot establish aggregate gross-margin impact.

A practical comparison checklist before choosing a marketplace route

  • Fee base: Is the percentage applied to pre-tax TCV, billed usage, license value or another amount?
  • Offer type: Is the deal public, private, channel-partner, migrated or a renewal?
  • TCV tier: Does crossing $1 million or $10 million change the percentage?
  • Geography: Does the buyer’s jurisdiction add a regional uplift, such as AWS’s South Korea addition?
  • Channel economics: What customer access, procurement speed or cloud-commitment value does the route provide, and what operational work does it create?
  • Included services: Are professional services or non-SaaS components excluded from a schedule or priced under separate terms?
  • Settlement adjustments: How are taxes, refunds, credits and chargebacks handled?
  • Control and accounting: Who controls each promised service before transfer, and which costs belong in cost of revenue?

Model the expected cash payout and the financial-statement presentation as two linked but separate schedules. That separation prevents a commercial fee table from being mistaken for an accounting conclusion.

Common mistakes and how to avoid them

Using the wrong product rate

AWS’s 20% public rate for certain server-product listings is not the 3% public SaaS rate. Verify that the product is actually a SaaS offer before applying a percentage.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Ignoring additive uplifts

CPPO and regional additions can increase the AWS percentage above the base tier. Treat the 0.5-point CPPO amount and 1-point South Korea amount as additions, not replacements.

Applying Google’s schedule to old installments

Google’s April 21, 2025 schedule does not automatically move remaining installments from transaction terms that began earlier. Check the transaction start date and renewal status.

Calling every deduction contra-revenue

The platform’s retained amount is a commercial deduction. Whether it reduces reported revenue, is recorded as an expense or is outside transaction price depends on the specified promise and control analysis.

Counting infrastructure twice

Do not treat a marketplace fee as if it includes Azure, hosting or support costs. Microsoft’s example explicitly bills Azure usage to the publisher, and other platforms can have similarly separate delivery economics.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Quoting a rate without a date

Schedules change. State the effective date, offer type, geography and eligibility conditions whenever you present a percentage, and verify the live seller agreement before signing or forecasting.

What the published figures can—and cannot—tell you

The official schedules establish platform-specific withholding or vendor-net percentages. They do not provide a market-wide statistic for how much cloud marketplace fees reduce SaaS revenue or gross margin. Company results depend on deal mix, discounts, refunds, taxes, cloud infrastructure, support costs, accounting presentation and the share of sales routed through each channel.

For a defensible forecast, maintain separate columns for contract value, recognized revenue, marketplace settlement, taxes and refunds, cost of infrastructure, support cost and any other cost-of-revenue items. Reconcile each column to both the customer contract and the platform statement. Have a qualified accountant review unusual reseller, bundled-service or agency arrangements under the applicable framework.

Product prices and availability are accurate as of the date/time indicated and are subject to change. Any price and availability information displayed on Amazon at the time of purchase will apply.
