Choose the agency whose rating product, sector methodology, international analysis, regulatory recognition, disclosure terms and process fit your financing plan. Obtain written proposals from agencies that your target investors or lenders recognize, then verify eligibility in every jurisdiction where the rating will be used. A global name by itself does not make a rating useful for a particular cross-border transaction.
Start with the financing decision, not the agency name
An external credit rating is an agency’s forward-looking opinion about relative credit risk. It is not a guarantee that debt will be repaid, an assurance of a particular interest rate, or a recommendation to buy a security. Investors and lenders use it as one input alongside their own diligence, financial analysis and transaction documents.

For an international expansion, write down the decision the rating must support before contacting agencies. The requirement may be a public bond issue, a private placement, a bank facility, a rating for counterparties, or an internal assessment for a new subsidiary. The audience determines what product is relevant, whether publication matters and which agencies investors will actually accept.
- Public capital markets: investors may expect a public issuer or issue rating and ongoing surveillance.
- Private financing: lenders may accept a confidential rating, but they can impose their own agency or rating-type requirements.
- Counterparty or supplier diligence: an issuer-level view may be more useful than a rating on one bond.
- Internal planning: a confidential product or assessment may be sufficient, provided no contract or regulation requires a formal rating.
Ask prospective investors, relationship banks, arrangers and counsel which rating type and scale they use. Do not commission a rating simply because an agency offers one.

Choose the right rating product
Issuer credit rating
An issuer credit rating assesses the general creditworthiness of the legal entity. It can give counterparties and financing providers a broad view of the company, including obligations that are not part of one planned issuance.
Issue credit rating
An issue credit rating evaluates a specific obligation. The analysis includes the debt’s terms, security, guarantees, ranking and structural features. A company can therefore have an issuer rating and issue ratings that differ because the instruments have different seniority or protection.
Public versus private or confidential ratings
A public rating is available to market participants and can support comparison with peers and other issuers. A private rating is distributed only to authorized recipients. Confirm the exact recipient list, publication rights, disclosure triggers and any regulatory conditions before providing forecasts or expansion plans. The analytical framework may be similar, but the contractual and disclosure consequences are not.
Credit assessments are not ratings
S&P Global Ratings describes a Credit Assessment as “an indication of creditworthiness on an unrated entity or proposed financing structure” and explicitly states that “Credit Assessments are not credit ratings.” Its materials describe these assessments as generally confidential, point-in-time opinions without ongoing surveillance. If an investor, lender, covenant or regulator requires a rating, an assessment may not satisfy that requirement.
Check regulatory recognition in every relevant country
Recognition is jurisdiction-specific. Basel standards leave recognition of external credit assessment institutions (ECAIs) to national supervisors, so an agency accepted in one country may not be eligible for a particular prudential calculation elsewhere.
For example, FINMA says that only agencies it recognizes may be used for certain Swiss regulatory reporting, including specified bank-capital calculations. That example does not establish the rule for another country or for a different transaction. Before relying on a rating, ask the relevant supervisor or qualified local counsel:

- Whether the agency is recognized for the intended regulatory purpose.
- Whether the specific rating type—issuer, issue, public or private—is eligible.
- Whether the issuer’s sector, legal form and country of incorporation are covered.
- Whether a local-entity or currency requirement applies.
- How withdrawn, unsolicited or confidential ratings are treated.
Keep written confirmation in the transaction file. Regulatory registers and recognition decisions can change, so recheck them immediately before issuance or filing.
Compare methodologies for your sector and international footprint
Sector and capital-structure fit
Read the current criteria that apply to your industry and instrument. Agencies may examine business risk, financial risk, leverage, liquidity, governance, capital structure, debt protections and sector conditions, but their definitions, scorecards and committee practices differ. Ask each analyst to explain how the method handles your proposed debt, guarantees, subsidiaries, restricted cash and refinancing needs.
Geographic-span analysis
International expansion adds country and operating-environment questions. Compare how each agency treats:
- Where revenue and economic value are generated.
- Where assets, employees and production capacity are located.
- Currency convertibility, transfer restrictions and sovereign risk.
- Political, legal, tax, infrastructure and banking conditions in operating countries.
- Concentration in one market versus diversification across countries.
Fitch Ratings’ corporate criteria dated January 9, 2026 provide one concrete example: its operating-environment analysis covers risks of doing business in the issuer’s jurisdictions, while geographic-span analysis considers both where products or services are sold and where assets are located. For a multi-country issuer, Fitch describes a blended operating-environment assessment. Other agencies may use different approaches; compare the criteria rather than assuming one framework applies across the market.
Specialist methodology
AM Best’s materials are designed particularly for insurers and insurance obligations. They address balance-sheet strength, operating performance, business profile and enterprise risk management. That specialist relevance can matter to an insurance group, but it is not evidence that the same methodology is suitable for an industrial, technology or trading company.

Moody’s Ratings says, “Typically, a new issuer rating process takes four to six weeks.” The agency qualifies that estimate: timing depends on information availability, opportunities for management discussion and the complexity of the issuer. Treat four to six weeks as Moody’s indicative description, not an industry-wide service-level commitment. A first-time international issuer should also allow time for translating documents, resolving data gaps, arranging management meetings across time zones and obtaining board approval for publication.
Questions to ask about execution
- Who is the lead analyst, and which sector and country specialists will participate?
- What information is mandatory, and what format and period are required?
- How many management meetings are expected, and who must attend?
- What is the committee process and decision timetable?
- When can the company correct factual errors?
- How are annual surveillance, material-event reviews and additional instruments handled?
- What happens if the company pauses, withdraws or chooses not to publish?
Set disclosure and confidentiality rules before sharing data
Expansion plans often contain non-public customer, pricing, acquisition and financing information. Establish in writing who may see submitted material, how long it is retained, whether external specialists can receive it, and whether the agency can publish extracts or refer to the engagement.
Clarify the boundary between a confidential rating and a public rating. A private rating may still be disclosable under a financing agreement, securities law, stock-exchange rule or regulator request. Ask how the agency handles a rating that becomes public through a third party and whether confidential information can be returned or destroyed at the end of the engagement.

Investigate independence, conflicts and governance
Review conflict disclosures, ownership information, analyst-rotation policies, appeals procedures and the separation between commercial and analytical functions. Moody’s says its commercial and analytical responsibilities are segregated. Such policies are evidence of governance, not a promise of a favorable outcome.
Ask whether the agency or an affiliate provides advisory, arrangement or other services to the issuer, its lenders or a major transaction participant. Record how any conflict will be managed, who can access the committee materials and what escalation route exists if management believes the analysis contains a factual error.

Request comparable written proposals
Send every shortlisted agency the same one-page brief. It should identify the legal issuer, subsidiaries, proposed instrument, amount and currency, target markets, intended investors or lenders, operating countries, disclosure preference and required date. Comparable inputs make the proposals comparable.

Weight the criteria according to the financing. A public bond may give more weight to investor recognition and publication. A bank facility in a regulated market may prioritize local eligibility. A confidential counterparty exercise may emphasize distribution controls and speed.
| Decision axis | Evidence to compare |
|---|---|
| Investor or lender relevance | Written feedback from target financing providers on accepted agencies and rating types. |
| Regulatory eligibility | Current register entry or written advice for each jurisdiction and intended use. |
| Methodology fit | Current sector and instrument criteria, including treatment of international operations. |
| Product fit | Issuer versus issue scope, public versus private distribution and surveillance terms. |
| Execution | Information burden, management time, committee sequence and realistic timetable. |
| Confidentiality and governance | Contract language, conflict procedures, access controls and correction rights. |
| Commercial value | Like-for-like initial and recurring quotes, with exclusions identified. |
Select the proposal with the strongest fit for the financing and audience, not the one that hints at a desired grade. No agency can legitimately guarantee a rating outcome.

Common mistakes and how to avoid them
Choosing by brand recognition alone
A widely known agency may still lack the required local recognition, sector coverage or investor acceptance. Obtain transaction-specific confirmation before appointing it.
Confusing an issuer rating with an issue rating
A broad entity opinion does not automatically analyze the security package, ranking or guarantees of a new bond. Put the required instrument in the mandate.
Assuming a private rating is invisible forever
Contracts, law or a later public disclosure can change who receives the information. Define permitted disclosure and retention in advance.
Underestimating the timetable
Use the agency’s stated estimate only as a starting point. Build in time for missing data, management calendars, committee questions, translations and regulatory filings.
Negotiating price before scope
A low initial quote can exclude surveillance, subsidiaries, additional instruments or publication work. Compare complete proposals and recurring obligations.

Treating a rating as a financing promise
Ratings express relative credit risk; they do not guarantee repayment, investor demand or lower borrowing costs. Keep independent financial and legal diligence in the transaction plan.
Final checklist before appointment
- Document the financing objective, instrument, entities, countries, audience and disclosure preference.
- Obtain agency and rating-type requirements from target investors, lenders, arrangers and counsel.
- Verify regulatory recognition and eligible rating types in every relevant jurisdiction.
- Read the current sector, instrument and geographic methodologies.
- Send identical information to shortlisted agencies and request written, like-for-like proposals.
- Agree confidentiality, publication, correction, surveillance and withdrawal terms.
- Review conflicts, independence controls and appeals procedures.
- Approve a timetable that includes management capacity and regulatory lead time.
- Select on analytical and regulatory fit rather than any promised rating grade.
Because methodologies, recognition registers and disclosure rules can change, recheck each item immediately before signing the engagement and again before the rating is used in a transaction or regulated report.
