How Bitcoin Treasury Companies Raise Capital and Buy Bitcoin

Bitcoin treasury companies fund purchases with a mix of available cash and capital raised by issuing common shares, preferred securities, debt, or other instruments. They then arrange Bitcoin purchases and custody, while continuing to manage the repayment, dividend, dilution, liquidity, and operational risks created by those choices. There is no single sector-wide playbook: a financing capacity is not the same as money raised, and money raised is not proof that it was spent on Bitcoin.

How the financing-to-purchase process works

A Bitcoin purchase is one part of a broader treasury program. A company has to decide how much cash it can deploy, whether to raise additional funds, what claims or obligations the financing creates, how to execute the purchase, and how to hold the Bitcoin. The sequence may look simple from the outside, but each decision affects the company’s liquidity and the value of its shares.

As an Amazon Associate I earn from qualifying purchases.

  1. Set the amount available to deploy. Management considers cash, working-capital needs, anticipated operating requirements, contractual obligations, and other demands on the balance sheet. Strategy’s FY2025 filing describes a treasury reserve that includes cash and short-term investments above working-capital requirements alongside Bitcoin. It also says financing and acquisition decisions are assessed against market conditions, capital structure, obligations, and anticipated operating needs.
  2. Choose a funding source or use existing cash. A company can allocate cash already on hand or from operations, issue securities, borrow, or combine those options. The chosen instrument determines who supplies the funds and what the company may owe in return.
  3. Complete the financing or cash allocation. An announced plan or shelf registration gives a company a potential route to raise funds; it does not establish that an offering closed. The amount actually raised may also differ from the amount ultimately directed to Bitcoin.
  4. Arrange and execute the purchase. The company selects a purchase channel and determines how to place orders, taking account of liquidity, pricing, fees, and operational controls. The execution details disclosed by one company should not be assumed to describe every issuer.
  5. Hold the Bitcoin and manage the financing afterward. Custody arrangements do not end the work. The company must continue to manage debt service, dividends, maturities, liquidity, collateral, and any other financing obligations.

These steps can overlap or recur. Companies may raise capital in several transactions, buy Bitcoin in multiple tranches, and adjust the mix of financing instruments over time. There is no harmonized, reliable sector-wide breakdown establishing what percentage of Bitcoin purchases comes from each source.

Where the money comes from

The key distinction is between cash the business already has and new funds supplied by investors or lenders. Existing cash avoids issuing a new security, but using it still has an opportunity cost: that cash will no longer be available for working capital, operating needs, or other uses. New financing can increase the amount available for Bitcoin purchases while adding claims, costs, or repayment risks to the balance sheet.

Funding method How it provides cash What to examine
Excess cash or operating cash flow The company deploys available funds rather than selling a new security or borrowing for that purchase. Working-capital needs, operating plans, cash reserves, and the opportunity cost of using the money.
Common equity, including an at-the-market program The company issues common shares and receives sale proceeds. An at-the-market (ATM) program permits securities to be sold at prevailing market prices when the company chooses to use it, subject to the program’s terms. Issue price, fees, shares issued, fully diluted share count, and the company’s valuation relative to its Bitcoin holdings. An ATM is a method of offering shares, not a guaranteed source of funding.
Convertible debt The company borrows cash under debt terms that may allow or require conversion into equity in specified circumstances. Coupon, maturity, conversion price and conditions, possible cash repayment, and dilution if conversion occurs.
Secured debt or Bitcoin-backed borrowing The company borrows or issues secured notes backed by collateral, which may include Bitcoin. Interest, maturity, collateral terms, remedies, refinancing requirements, and exposure if collateral value falls.
Preferred securities The company sells securities with distribution, priority, and other terms distinct from common shares; some may be convertible or perpetual. Dividend rate and adjustment provisions, seniority, redemption or conversion terms, and the issuer’s ability to meet distributions.
Warrants, subscription receipts, or other shelf securities A shelf prospectus may authorize the company to offer one or more forms of securities, subject to the offering documents and applicable rules. Whether securities were actually sold, final terms, use of proceeds, and any dilution, distribution, or repayment implications.

The label for an instrument does not tell an investor its full economic effect. The governing terms matter: for example, debt that avoids an immediate common-share sale can still require interest and repayment, permit conversion, or be secured by assets. Preferred securities can carry dividend and seniority terms that affect the claims ahead of common shareholders. A financing plan should therefore be judged by both the cash it brings in and the obligations it leaves behind.

How companies choose between equity and borrowing

Equity and ATM programs

A common-share sale raises cash without creating a scheduled debt repayment, but it increases the number of shares outstanding. In an ATM offering, the company can sell shares at prevailing market prices under the program rather than relying solely on one fixed-price transaction. The company can decide whether and when to sell, taking account of market conditions and financing costs; the existence of an ATM does not mean that shares will be sold or that a particular amount will be raised.

Existing shareholders can be diluted in share-count terms when new shares are issued. That does not, by itself, settle whether a transaction increases or decreases Bitcoin attributable per share. The outcome depends on the price received, fees, the amount of Bitcoin bought, other uses of proceeds, and the fully diluted share count—including potential claims that could turn into shares. If shares are issued at a valuation favorable relative to the company’s Bitcoin holdings, the economics may differ from an issuance at a discount. Neither circumstance guarantees a favorable share-price return.

Debt and preferred securities

Debt provides cash without an immediate sale of common shares, but the company takes on continuing obligations. Depending on its terms, it may have to pay interest, repay principal at maturity, refinance, post or maintain collateral, or issue shares if conversion occurs. These demands remain relevant after a Bitcoin purchase and can make the company more vulnerable if cash flows, financing access, or asset values change.

Preferred securities occupy a different place in the capital structure from common equity. They may give holders priority in distributions or other seniority rights, and may include adjustable dividends, redemption provisions, conversion features, or perpetual terms. The specific prospectus and security terms determine what the issuer has promised; the word “preferred” alone does not establish a fixed return or remove the issuer’s ability-to-pay risk.

Shelf capacity is permission, not proceeds

A shelf prospectus can create flexibility to issue securities in the future, but it should not be reported as capital already raised. Bitcoin Treasury Corporation said in December 2025 that a short-form base shelf prospectus filed in November could permit it to raise up to CAD $300 million through common shares, preferred shares, debt securities, subscription receipts, or warrants. That figure describes the maximum capacity under the shelf, not evidence that the company raised the full amount or used it to buy Bitcoin. Actual offerings, amounts, terms, and use of proceeds must be distinguished from the shelf authorization.

What company examples show—and what they do not

Strategy’s FY2025 filing describes an evolution in its financing mix. It says the company announced its first Bitcoin acquisition in August 2020. Before 2025, it primarily used common-stock sales and senior convertible notes for Bitcoin purchases, and historically also used operating cash flow, senior secured notes, and a Bitcoin-collateralized term loan. Its filing describes a more recent mix that includes common shares and multiple preferred securities issued through ATMs. In 2025, it structured and issued five classes of preferred stock, which it groups under the label “digital credit.” This is one company’s account of its own capital strategy, not a template used by every Bitcoin treasury company.

Bitcoin Treasury Corporation’s December 2025 shelf announcement illustrates a different point: an issuer can set up several potential ways to access capital without having completed all—or any—of the possible offerings. The company’s CEO, Elliot Johnson, said on December 18, 2025: “As market conditions permit, we intend raise capital to purchase additional Bitcoin inventory when it is accretive to shareholders.” This is the issuer’s stated intention and criterion, not evidence that a future raise or purchase is guaranteed. The company also said it would enter into options contracts using its Bitcoin inventory to enhance its income-generating capability; that statement describes an issuer plan, not a universal practice or a risk-free source of income.

These examples span US SEC-filed company disclosures and a Canadian issuer announcement. Securities offerings and their terms depend on the relevant offering documents, listing venue, and jurisdiction. Neither example supports a market-wide estimate of how treasury companies finance Bitcoin purchases.

How Bitcoin purchases are executed

Raising cash and acquiring Bitcoin are separate steps. A company may use an exchange, an over-the-counter (OTC) arrangement, or another channel, but the reviewed company disclosure supports a concrete OTC example rather than a universal rule. In its SEC-filed 2024 supplemental disclosure, Metaplanet described buying through multiple OTC liquidity providers. It said it negotiated trading commissions and used a time-weighted average price (TWAP) execution plan over a prearranged interval.

In practical terms, a TWAP plan aims to execute orders over a chosen period against a time-weighted average price objective, rather than treating one instant as the only execution point. Metaplanet said it prioritized periods expected to have lower volatility and higher liquidity. Its provider selection considered pricing, trading volume, security, and service. The disclosed sequence can be understood as:

  1. Select liquidity providers and assess their pricing, available trading volume, security, and service.
  2. Negotiate commissions and arrange an execution interval.
  3. Place orders under the prearranged TWAP plan, with the company’s stated preference for periods it expects to be more liquid and less volatile.
  4. Arrange custody for the acquired Bitcoin.

OTC execution can avoid placing an entire order visibly on a public exchange order book, but it does not eliminate execution, counterparty, or operational risk. Nor does a TWAP objective guarantee a particular average price or protect against market moves during the execution window. The details above are what one issuer disclosed about its approach; they are not established sector standards.

How purchased Bitcoin is held

Metaplanet’s 2024 supplemental disclosure said it held Bitcoin offline in cold storage through multiple third-party providers. Cold storage means that the private keys used to authorize transactions are kept offline rather than routinely exposed to an internet-connected environment. The disclosure is an example of institutional custody, not proof that every treasury company uses the same setup or that offline storage removes risk.

Third-party custody can reduce the need for a company to manage every storage function itself, but it introduces reliance on custodians and their controls, processes, security, and continued ability to provide service. A company still has operational responsibilities around authorizations, access, recordkeeping, and oversight. The source disclosure does not establish a single custody standard for the sector or make a consumer hardware wallet a substitute for institutional arrangements.

How to assess whether a financing strategy is sustainable

Investors should evaluate the full capital structure and treasury position, not just the number of Bitcoin held or the headline size of a financing announcement. Different measures answer different questions: Bitcoin per share concerns how much Bitcoin is attributable to a share under specified assumptions, while a company’s stock-market return also reflects liabilities, business operations, management, and market valuation.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Financing mix and cost: Identify cash deployment, common equity, preferred securities, convertible or secured debt, and the associated fees, coupons, dividends, and maturities.
  • Dilution and Bitcoin per share: Examine share issuance and, where possible, fully diluted claims such as convertibles and warrants. BitcoinTreasuries.net describes Bitcoin per Share (BPS) as Bitcoin attributable per share, generally on a fully diluted basis, and Bitcoin yield as the percentage change in BPS over time. Companies’ calculation methods and dates can differ, so check the issuer’s definition and assumptions rather than treating the metric as uniform.
  • Balance-sheet resilience: Consider cash reserves, working-capital requirements, debt service, preferred distributions, maturities, and any collateral exposure.
  • Valuation: Compare the market value of the equity with the market value of Bitcoin holdings while accounting for liabilities and the operating business. A premium or discount can affect the economics of issuing shares, but it does not alone establish whether the security is attractive.
  • Execution and custody: Look for disclosed purchase channels, execution costs, counterparties, custody arrangements, and controls. Public information about these operational details may be limited.
  • Use of proceeds: Separate a company’s stated intention, authorized offering capacity, completed sale, and actual Bitcoin purchase. They are different stages and should not be conflated.

No financing method is automatically accretive or appropriate. Whether issuance increases Bitcoin per share depends on the company’s valuation relative to its Bitcoin holdings, the terms and costs of the transaction, the quantity of Bitcoin acquired, and the fully diluted claims created. Strategy’s filing also cautions that not all financing proceeds or instruments map cleanly to contemporaneous Bitcoin purchases. These concepts help analyze capital allocation; they are not promises about future share performance.

Why a company’s shares are not the same as Bitcoin

Buying shares in a Bitcoin treasury company is not equivalent to holding Bitcoin directly. A shareholder owns a security issued by a company, not a pro-rata legal claim to particular coins or an automatic right to redeem shares for Bitcoin. Strategy’s filing notes that share ownership does not confer ownership of, or a redemption right for, the company’s Bitcoin. The share price can therefore move differently from Bitcoin’s market price.

The company’s liabilities, debt service, preferred distributions, operating business, management decisions, share issuance, and the market premium or discount applied to its holdings all affect the equity. A Bitcoin-backed loan or other collateral arrangement can also matter to the company’s financial position. The investor is taking exposure to the issuer and its capital structure as well as to the company’s Bitcoin strategy.
