How Bitcoin-Heavy Businesses Manage Liquidity During a Market Downturn

Bitcoin-heavy businesses stay liquid in a downturn by treating bitcoin as a potentially monetizable reserve—not as cash—and combining several funding sources. They protect a clearly defined cash buffer, forecast operating and debt payments, sell some bitcoin when appropriate, borrow only against collateral they can safely maintain, and use equity issuance or carefully structured income strategies when available. The right mix depends on each company’s obligations, custody arrangements, debt terms, market access and business model.

Bitcoin holdings are not the same as cash

A balance sheet can show a large bitcoin position while the treasury has little immediately spendable money. Cash and cash equivalents can generally be used for payroll, power bills, suppliers, taxes and interest without first executing a trade. Bitcoin must be held in an accessible custody account, transferred to a venue or counterparty, sold at the prevailing price and settled before it becomes dollars or another operating currency.

Liquidity therefore depends on more than the number of coins owned. A treasury team needs to know which coins are unencumbered, which are pledged as collateral, which are lent out, and which are subject to withdrawal or settlement restrictions. Market depth, trading limits, custody controls and banking relationships also determine how quickly a position can be monetized without an unacceptable price impact.

Strategy’s 2025 Form 10-K describes bitcoin as its primary treasury reserve asset while stating that reserve decisions take account of market conditions and anticipated business needs for cash assets. That language is a reminder that a reserve policy must be linked to expected payments, not just to a long-term view of bitcoin’s price.

The liquidity stack companies can draw on

Most bitcoin-heavy businesses combine layers of liquidity rather than relying on one solution. The layers below are listed from the most direct source of payment capacity to sources that require market execution or create new obligations.

Liquidity source How it works What management must verify
Unrestricted cash Cash already held in bank or money-market accounts pays near-term expenses and scheduled debt service. Availability by entity and account, banking restrictions, currency, and the timing of receipts and payments.
Operating cash flow Revenue from mining, services or other operations funds expenses as it is collected. Collection timing, margins, power costs, customer concentration and whether downturn conditions reduce inflows.
Routine bitcoin sales The company sells mined bitcoin or treasury holdings to fund operations or capital spending. Execution price, trading depth, taxes, custody transfer times and the policy governing how much may be sold.
Collateralized borrowing Bitcoin is pledged to a lender in exchange for cash, allowing the company to defer a sale. Interest rate, maturity, loan-to-value and maintenance tests, margin-call process, permitted collateral, and liquidation rights.
Capital-market issuance Debt or equity raises add cash without an immediate bitcoin sale. Authorization, investor demand, dilution or interest cost, covenants, settlement timing and legal restrictions.
Lending and derivatives Bitcoin lending fees or option premiums create income; futures, swaps and options can alter exposure. Counterparty credit, collateral segregation, settlement, liquidity, maximum loss and the effect on future upside.

An ATM (at-the-market) equity program or borrowing authorization is financing capacity, not cash already in the account. It becomes useful only when the company can execute transactions on acceptable terms.

What recent company filings illustrate

Public filings show different approaches. They are company-reported strategies for specific reporting periods, not a universal playbook or evidence that any business will remain solvent in a future sell-off.

Company and filing period Disclosed liquidity tools Important qualification
Strategy, 2025 Form 10-K (year ended December 31, 2025) Maintains bitcoin as its primary treasury reserve asset; may raise capital, generate income using bitcoin, or sell bitcoin for general corporate purposes, including liquidity needs. The filing ties reserve decisions to market conditions and anticipated cash requirements. Its balances and plans apply to that filing period.
MARA Holdings, Form 10-Q (quarter ended June 30, 2026) Reports cash, ongoing sales of bitcoin produced through mining, possible sales of additional holdings, bitcoin that may be borrowed against or monetized, and an ATM equity offering program. Borrowing and monetization depend on lender terms, collateral values, market liquidity and repayment obligations.
CleanSpark, Form 10-Q (quarter ended June 30, 2026) Describes a Digital Asset Management strategy using covered calls and put options collateralized by treasury bitcoin or cash; option proceeds accompany regular bitcoin sales for operating needs. Written calls can settle below bitcoin’s market price in a rising market, limiting upside. Premiums are not guaranteed income.
LM Funding America, Form 10-Q (quarter ended June 30, 2026) Says bitcoin purchase and sale decisions are made case by case with regard to liquidity, market conditions and anticipated cash requirements; also describes capital raising, collateralized transactions and income strategies. A discretionary policy means the decision can change with obligations and market conditions; it does not establish a fixed reserve percentage.

How each funding choice changes the risk profile

Holding a cash buffer

Cash is the first line of defense because it avoids selling into a falling market and avoids adding leverage. Management should separate unrestricted cash from amounts trapped in a subsidiary, pledged to a lender, needed for customer protection or subject to withdrawal limits. The useful question is not “How much cash is on the balance sheet?” but “How much can pay the next set of obligations, in the correct entity and currency, on the due dates?”

Selling bitcoin

Selling converts a volatile asset into settled cash and removes interest, margin-call and liquidation risk on the coins sold. The trade-off is that the company gives up future appreciation and may realize a loss relative to its purchase cost. A sale policy should specify who can authorize a trade, approved venues and custodians, maximum order size, tax treatment, and whether sales are routine or triggered by a defined cash need.

MARA’s filing provides an example of a miner selling bitcoin produced through mining on an ongoing basis while retaining discretion to sell additional holdings subject to market conditions and capital-allocation priorities. A miner that sells current production has a different cash-generation profile from a company relying mainly on long-held treasury bitcoin.

Borrowing against bitcoin

A bitcoin-backed loan can preserve ownership while supplying dollars, but it turns price volatility into a financing obligation. Interest accrues regardless of whether bitcoin rises. If the collateral falls below maintenance requirements, the lender may demand more collateral, partial repayment or liquidation. A company must also refinance or repay principal at maturity.

Before calling borrowing a substitute for selling, review the loan agreement for the advance rate, valuation source, margin-call notice period, cure rights, permitted substitutions, interest-rate basis, maturity, events of default and the lender’s liquidation authority. The amount pledged is unavailable for other uses and may be difficult to recover during a market disruption.

Equity or debt issuance

Raising equity avoids a forced bitcoin sale but dilutes existing shareholders and depends on investor demand. New debt avoids immediate dilution but adds interest, covenants and a maturity that may arrive when markets are still weak. An ATM program can spread issuance over time, yet its theoretical capacity should never be counted as present cash. Treasury plans should identify the approvals, filing requirements, settlement period and price conditions needed to access it.

Lending and derivatives

Lending bitcoin can produce fees, while options can generate premiums or hedge selected exposures. These transactions add another party’s credit risk and require collateral, settlement and custody controls. Futures and swaps can create variation-margin calls even when the underlying bitcoin remains in the treasury.

Covered calls illustrate the opportunity cost: the premium is received upfront, but if bitcoin rises above the strike, the written call may settle at a price below the market price. Put options can provide premium income or a desired entry price, but they can create a purchase obligation when the market is falling. Management should disclose the notional amount, collateral, counterparties, expiration dates and maximum cash requirement rather than presenting premium receipts as risk-free operating income.

A downturn liquidity process, step by step

  1. Map every obligation. Build a dated schedule for payroll, power and hosting costs, suppliers, taxes, interest, principal maturities, lease payments, capital expenditures and legally required reserves. Record the paying entity, currency and whether the payment is fixed or variable.
  2. Ring-fence immediately available cash. Reconcile bank balances to unrestricted amounts and remove cash that is pledged, trapped or earmarked for another obligation. Set a minimum operating buffer based on the company’s own forecast rather than a generic months-of-runway rule; the reviewed filings do not establish a universal threshold.
  3. Forecast stressed inflows. Model lower bitcoin prices, reduced mining output, higher power costs, slower customer collections and limited access to equity or debt markets. Include settlement delays and trading slippage when estimating how quickly bitcoin can become cash.
  4. Classify bitcoin by availability. Maintain separate records for unencumbered coins, pledged collateral, lent coins, coins held with each custodian and coins subject to withdrawal or contractual restrictions. Only the first category should be treated as readily saleable without consent from another party.
  5. Choose the least damaging action for each shortfall. Use available cash first when preserving an asset would otherwise require expensive or fragile leverage. Compare a scheduled sale, a loan draw, an equity issue or a derivative transaction using total cost, execution time, tax, dilution, collateral and future upside.
  6. Check financing headroom daily during stress. Recalculate loan-to-value ratios using conservative prices, test margin-call scenarios and confirm that collateral transfers can settle before a deadline. Keep a documented source of repayment for every draw.
  7. Execute with governance controls. Require approved counterparties, dual authorization, transaction limits, wallet whitelists and independent reconciliation. Record the price, fees, settlement status and resulting unrestricted cash after every transaction.
  8. Reforecast after each material move. A sale, collateral call, new loan or equity issue changes both the cash schedule and the bitcoin exposure. Update the forecast and board reporting instead of relying on the prior reserve plan.

Metrics that reveal whether liquidity is resilient

  • Unrestricted cash versus scheduled needs: show cash available to the paying entity against each upcoming obligation, not just a consolidated balance.
  • Unencumbered bitcoin: disclose coins that can be sold or pledged without releasing collateral, obtaining consent or waiting for a counterparty.
  • Debt service and maturities: list principal, interest, covenants, refinancing dates and any cross-default provisions.
  • Collateral headroom: measure the distance between current collateral value and maintenance or liquidation thresholds under several bitcoin-price scenarios.
  • Financing concentration: identify dependence on one lender, exchange, custodian, bank or equity market.
  • Operating cash conversion: distinguish mining production or accounting revenue from cash actually collected after power, hosting, payroll and capital costs.
  • Derivative and lending exposure: track notional amounts, collateral, counterparty ratings, settlement dates and the maximum cash that could be required.
  • Sale policy and permissions: state who may approve sales, what triggers a sale and which holdings are excluded from use.

These measures are comparison factors, not a scoring model. The filings cited here do not establish a standard reserve target, a typical runway or a universal price at which companies must sell bitcoin.

Common failure modes and corrections

Counting bitcoin as if it were bank cash

Failure: subtracting liabilities from the market value of all bitcoin and calling the remainder “liquidity.” Correction: separate cash, unencumbered bitcoin, pledged bitcoin and financing capacity, then apply realistic execution and settlement times.

Ignoring the maturity wall

Failure: showing comfortable current liquidity while a large principal payment arrives before the next expected financing window. Correction: match each maturity with a committed repayment source and begin refinancing well before the deadline.

Using leverage to avoid every sale

Failure: treating a loan as free liquidity and overlooking interest, margin calls and liquidation rights. Correction: stress-test collateral and compare the all-in financing cost with a controlled sale.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Presenting option premiums as guaranteed revenue

Failure: reporting premium receipts without the obligation and upside cap created by the contract. Correction: disclose strikes, expirations, collateral, settlement outcomes and the price at which the strategy can require cash or deliver bitcoin.

Assuming an authorization equals funding

Failure: including an unused ATM or credit facility in cash on hand. Correction: label it as contingent capacity and test whether markets, covenants and approvals would permit a draw during the downturn.

How business models change the answer

A mining company may generate a recurring stream of bitcoin and choose to sell part of each period’s production, while its costs—especially electricity, hosting and equipment—are payable in fiat currency. A company with little operating revenue may depend more heavily on balance-sheet sales, borrowing or securities issuance. A treasury using lending or options can add income, but it also introduces counterparties and contracts that must be funded and monitored. Comparing these businesses only by bitcoin held obscures the source and timing of their cash.

The most informative disclosure combines operating cash flow, cash reserves, debt terms, unencumbered holdings, pledged collateral, monetization routes and the stated sale policy. It should also identify what would happen if bitcoin fell sharply, financing markets closed and counterparties demanded additional collateral at the same time.

Questions investors and creditors should ask

  • How much unrestricted cash is available today, and which obligations does management reserve it for?
  • How much bitcoin is unencumbered, and how much is pledged, lent or otherwise restricted?
  • What are the next principal and interest maturities, and what is the documented repayment source?
  • Which loans have maintenance tests or liquidation rights, and how far are current collateral values above those thresholds?
  • How much cash could derivatives, lending contracts or settlement disputes require?
  • Does the company sell mined production routinely, sell treasury bitcoin at management’s discretion, or mainly rely on external financing?
  • Is an announced equity or credit program actually available under current market, covenant and regulatory conditions?

Answers should be tied to the latest filing and loan disclosures. A liquidity statement describes conditions at a reporting date; it is not a guarantee of future solvency or continued access to financing.

Frequently Asked Questions

Does borrowing against bitcoin always preserve a company’s bitcoin position?

No. The position is preserved only while the borrower meets interest, repayment, collateral-maintenance and other contractual requirements. A lender may require additional collateral or liquidate pledged bitcoin after a default or margin shortfall.

Why might a company sell bitcoin even when it expects the price to recover?

Operating bills and debt maturities arrive on fixed dates. A controlled sale can provide settled cash and remove financing or liquidation risk when waiting would require expensive leverage or uncertain market access.

Is an option premium a reliable source of operating cash?

No. The premium is offset by contract obligations, collateral and opportunity cost. For example, a written call can cap upside if bitcoin rises, while other positions can create settlement or cash requirements.
