How Bitcoin and Ether ETFs Work—and What You Own When You Buy Shares

When you buy a spot Bitcoin or Ether ETF through a brokerage, you own an exchange-traded security—usually a share in a trust—not coins in a personal wallet. The trust owns the cryptocurrency, a custodian controls the private keys, and your account records the shares. Your economic result is linked to the trust’s assets, less expenses and liabilities, but you normally cannot withdraw the underlying Bitcoin or Ether.

The exact rights depend on the fund’s prospectus. Trust structure, valuation benchmark, custody, creation and redemption method, fees, and— for Ether products—staking policy can differ by ticker and can change through supplements.

What your brokerage purchase actually gives you

A spot crypto exchange-traded product (often called an ETF in everyday usage) is an exchange-listed security. In the common trust structure, the trust issues shares and holds Bitcoin or Ether with a professional custodian. Buying one share gives you the beneficial interest and contractual rights described in that trust’s governing documents; it does not give you the trust’s private keys or an on-chain wallet balance.

Your brokerage account holds a book-entry position in shares. The blockchain does not show your name as the owner of a particular fraction of the trust’s coins. Instead, the trust is the asset holder, and shareholders have the rights set out in the prospectus, trust agreement and related filings.

What you buy Where it is recorded What you generally control
ETF/ETP shares Your brokerage account and the broker’s records The right to sell the shares and the rights described in the fund documents
Bitcoin or Ether held by the trust The trust’s custody arrangements and blockchain addresses Not the private keys; normally no direct on-chain transfer or withdrawal
Cryptocurrency in a self-custody wallet Your wallet and blockchain address The private keys and ability to sign transactions, subject to network rules

This distinction answers the most common question: an ETF share can provide price exposure to Bitcoin or Ether without making you the person who controls the underlying coins. It is not the same ownership experience as holding cryptocurrency directly.

How the trust, custodian and exchange fit together

The trust holds the asset

The trust seeks to reflect the value of the cryptocurrency it holds, subject to expenses, liabilities and the valuation method in its documents. A custodian safeguards the private keys and carries out the trust’s approved transfers. Custody arrangements, insurance language, use of cold or hot storage, and procedures for forks or network events are fund-specific disclosures rather than universal ETF features.

The exchange provides a secondary market

After shares are issued, investors normally trade them with one another on an exchange through brokerage accounts. The exchange price can be above or below the trust’s calculated net asset value (NAV), especially when trading conditions are stressed. Your result therefore reflects not only Bitcoin or Ether’s movement, but also the price at which you trade, the bid/ask spread and any brokerage commission.

Authorized participants handle large creations and redemptions

Authorized participants (APs) are institutional intermediaries that deal directly with the trust in large creation or redemption baskets. A retail investor generally cannot submit one share to the trust and demand a coin. You buy or sell shares in the market; AP activity helps add or remove large blocks of shares and is intended to keep the market price reasonably close to NAV.

How pricing and NAV are calculated

NAV is the value of the trust’s assets minus its liabilities, divided by the shares outstanding, using the procedure in the prospectus. The benchmark, pricing time and treatment of extraordinary events vary by fund.

For example, an August 1, 2025 Bitwise Bitcoin ETF prospectus says the trust seeks exposure to the value of the Bitcoin it holds, less expenses and liabilities, and uses the CME CF Bitcoin Reference Rate—New York Variant. That rate aggregates trade flow from major Bitcoin platforms. This is an example, not a rule for every Bitcoin trust: another fund can use a different index, pricing window or methodology.

NAV is an accounting value calculated under the fund’s rules. The exchange quote is the price available to you at a particular moment. During ordinary conditions, AP transactions can help narrow differences. They cannot guarantee that a share will always trade at NAV, and they do not eliminate losses when the underlying asset falls.

Expenses, spreads and the return you experience

Trust expenses and liabilities reduce the assets attributable to shares over time. The prospectus identifies the sponsor fee and other expenses; do not assume two funds have the same charge or that a fee waiver will continue after its stated period. A higher expense burden can create a larger drag on long-term results even if two products hold comparable assets.

  • Fund-level costs: sponsor fees, custody and administrative expenses, and other liabilities paid from trust assets.
  • Trading costs: the bid/ask spread, brokerage commission if applicable, and the difference between your execution price and NAV.
  • Timing effects: buying during a premium or selling during a discount can change your result relative to the cryptocurrency’s quoted price.

To compare products, read the current prospectus and a live brokerage quote. A headline fee alone does not tell you how liquid the shares are, how wide the spread is, or how the trust values its holdings.

Creation and redemption: cash versus in-kind processing

What happens at the basket level

Creation is the process by which an AP delivers the required assets or cash and receives a large basket of newly issued shares. Redemption is the reverse: the AP returns a basket of shares and receives the specified cash or cryptocurrency. Basket size, transaction charges, eligible APs and settlement timing are set by the fund’s documents.

What changed in 2025

Newly approved U.S. spot Bitcoin and Ether products initially used cash creation and redemption. On July 29, 2025, the SEC announced orders permitting in-kind creation and redemption for crypto ETPs, describing this as a change from the recently approved products’ cash-only arrangement.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

That announcement does not mean every fund now processes every basket in kind. The individual trust’s current prospectus and supplements control. A fund may have conditions, implementation dates, limits or a mixture of methods. Confirm whether an AP may deliver or receive cryptocurrency, cash, or either option before relying on a general description of “in-kind” processing.

Why retail investors should not confuse baskets with single-share withdrawals

Creation and redemption are institutional mechanisms. Even where in-kind processing is available, the minimum basket can represent many shares and only an eligible AP can transact directly with the trust. Selling your shares on the exchange is normally the practical exit. Unless the documents expressly provide otherwise, you cannot redeem one share for a fraction of Bitcoin or Ether sent to your personal wallet.

Can you withdraw the Bitcoin or Ether?

Usually, no. A brokerage-held share is not a wallet balance, and a hardware wallet cannot receive or display that share. To obtain cryptocurrency for personal custody, you would generally sell the ETF shares, settle the trade and acquire Bitcoin or Ether through a service that supports withdrawals, then manage the resulting wallet and tax records separately. That is a different transaction with different fees, timing and custody risks.

Some trusts can have special redemption rights for large institutional baskets, but those rights do not automatically extend to ordinary shareholders. Read the “redemption,” “creation units” and “description of shares” sections for the exact ticker rather than relying on the fund’s marketing name.

How Ether ETFs differ: staking is not automatic

Ether products require an additional question: does the trust stake any Ether? There is no universal answer. Some products disclose no staking, while others may stake a portion under specified conditions.

What a staking disclosure means

An iShares Staked Ethereum Trust prospectus dated March 11, 2026 describes shares as fractional beneficial interests in the trust’s net assets. It says the trust may seek returns from staking a portion of its Ether when the sponsor determines it can do so without undue legal or regulatory risk, including risk to grantor-trust tax treatment. “May stake” is not a promise that all assets will be staked or that shareholders will receive a fixed payout.

A Grayscale filing discussing an Ether staking product likewise addresses staking, tax matters and associated risks. Other Ether trusts can disclose that they do not stake. The ticker, current prospectus and supplements—not the word “Ether” in the product name—determine the policy.

Questions staking adds

  • How are staking rewards calculated, allocated and reduced by service or sponsor fees?
  • What happens during validator downtime, slashing, a network upgrade or an unbonding period?
  • Can staking delay access to assets needed for creations or redemptions?
  • How are rewards and related transactions treated for your tax situation?

The reviewed filings emphasize uncertainty in tax treatment and advise shareholders to consult their own tax advisers. Do not assume staking income will appear as a separate cash distribution; the documents determine whether rewards increase trust assets, offset expenses or are handled another way.

A practical checklist for comparing two crypto funds

Use the latest filing for each exact ticker. The following comparison points are material because they can change what you own, how it is valued and how closely the share follows the asset.

Check Why it matters
Legal structure Confirms whether you hold an interest in a trust and identifies shareholder rights.
Underlying exposure Shows spot cryptocurrency, derivatives or another arrangement.
Custodian and key controls Explains who safeguards private keys and how transfers, forks and security events are handled.
Benchmark and valuation time Determines how NAV is calculated and which market data feed is used.
Fees and liabilities Shows the ongoing reduction in assets and any temporary waiver conditions.
Exchange and liquidity Helps you assess trading volume, spread and the chance of a premium or discount.
Creation/redemption method Identifies cash or in-kind processing, basket size, AP eligibility and charges.
Ether staking policy States whether staking is prohibited, permitted or currently used, and how rewards and risks are treated.
Tax disclosures Highlights uncertain treatment and events that may require professional advice.

What protections apply—and what they do not

Crypto ETP shares are securities, and their registration and disclosure obligations are governed by federal securities laws. However, the SEC’s Division of Corporation Finance guidance dated July 1, 2025 notes that these products are generally structured as trusts holding spot crypto assets or derivatives and are not subject to the Investment Company Act of 1940 requirements that apply to registered investment companies. That means you should not assume every valuation, custody or governance protection associated with a conventional registered mutual fund or ETF applies here. It does not mean the products are unregulated.

Disclosures identify risks involving volatile cryptocurrency prices, custody, trading venues, benchmark or index disruption, market interruptions, trust expenses and taxation. In a January 10, 2024 statement, SEC Chair Gary Gensler described Bitcoin as a speculative, volatile asset. That characterization is a risk warning, not a forecast of the next price move.

Steps to verify what you own before buying

  1. Identify the exact ticker and legal issuer. Similar-sounding products can have different trusts, custodians and policies.
  2. Open the latest prospectus and supplements. Check the filing date and look for amendments that supersede older descriptions.
  3. Read the share and trust sections. Confirm that the document describes your interest as shares or fractional beneficial interests in trust assets.
  4. Find the valuation section. Record the benchmark, pricing time, treatment of disruptions and any alternative calculation.
  5. Review expenses and trading information. Note the sponsor fee, other liabilities, exchange listing and the spread shown by your broker.
  6. Check creation and redemption provisions. Record basket size, AP requirements, cash or in-kind options, charges and effective dates.
  7. For Ether, locate staking language. Determine whether staking is allowed or used and how rewards, liquidity and taxes are addressed.
  8. Place only an order you understand. A market order accepts the available quote; a limit order sets a maximum purchase or minimum sale price but may not execute.

This process tells you the legal and operational features of the shares. It does not remove market risk or guarantee that the exchange price will match NAV.

The bottom line on ownership

Buying a Bitcoin or Ether ETF share gives you a tradable security tied to a trust’s assets and documents. The trust and its custodians hold the cryptocurrency; you hold shares in a brokerage account. APs create and redeem large baskets, while you normally enter and exit through the exchange. Expenses, liabilities, valuation methods and trading spreads affect your return. Ether staking, where offered, is a fund-specific feature with operational and tax consequences—not an automatic benefit of owning any Ether ETF.

Product prices and availability are accurate as of the date/time indicated and are subject to change. Any price and availability information displayed on Amazon at the time of purchase will apply.
