How Are Pre-IPO Futures Taxed? Records, Gains and Losses Explained

“Pre-IPO future” is a product label, not a U.S. tax classification. Your federal tax result depends on the contract’s legal terms: whether it pays cash or delivers an asset, what reference value determines settlement, how margin and funding operate, which venue governs the trade, and whether the instrument meets a statutory category such as a Section 1256 contract. A product marketed as a future is not automatically entitled to Section 1256’s 60% long-term/40% short-term treatment.

Start with what the contract actually gives you

Some pre-IPO products are synthetic derivatives. They track an implied valuation of a private company and settle in cash, without giving you company shares, an IPO allocation, tokenized equity, voting rights or a claim against the issuer. Other products could have different terms. Read the accepted contract, exchange rulebook and amendments for the exact instrument rather than relying on its name.

The reviewed venue FAQ for one pre-IPO perpetual describes a cash-settled derivative based on a private company’s implied valuation. That description explains the product’s mechanics; it is not an Internal Revenue Service determination of tax status. The same FAQ says the product is unavailable in the United States, European Economic Area, Canada, Australia and New Zealand as of August 4, 2026. Availability, leverage and margin-loss warnings are venue-specific and can change; they do not determine tax treatment.

Questions to answer before calculating tax

  • Settlement: Is every outcome paid in cash, or can the contract deliver shares, another security or a different asset?
  • Reference: Is value based on a published index, a single security, an implied private-company valuation or a venue-created pricing methodology?
  • Margin: Does the venue require deposits that are adjusted daily as market conditions change? Are there funding payments, fees, liquidations or withdrawals?
  • Trading venue: Is the contract traded on an exchange that satisfies the relevant statutory and regulatory criteria, or on a platform with different legal terms?
  • Lifecycle: What happens at expiry, an IPO, a merger, a delisting, a valuation update or a forced close?
  • Reporting: What tax form, if any, does the broker or exchange issue, and does it identify the instrument as a regulated futures or Section 1256 contract?

Save the answers with your tax records. The classification follows the instrument and your facts, not the marketing label.

Possible U.S. federal tax pathways

The following are decision paths, not a blanket rule for all pre-IPO products. IRS Publication 550 and Publication 544 provide general guidance; they do not classify every venue’s contract.

Path 1: A qualifying Section 1256 contract

Section 1256 covers specified categories, including regulated futures contracts, foreign currency contracts, nonequity options, dealer equity options and dealer securities futures contracts, subject to statutory exceptions. A product must satisfy the legal definition; calling it a “future” is insufficient.

For a qualifying Section 1256 contract that remains open on the last business day of the tax year, the IRS generally treats the position as sold at its fair market value on that day. This is the mark-to-market rule. The resulting gain or loss is generally split into 60% long-term and 40% short-term capital regardless of how long the position was held. Actual year-end valuation evidence and the contract’s legal status matter when applying the rule.

The IRS description of a regulated futures contract includes a margin system under which amounts deposited to or withdrawn from a margin account depend on daily market conditions, along with exchange-related criteria. A private-platform derivative may have daily collateral movements without meeting every statutory requirement. Confirm the exchange and contract definitions rather than inferring qualification from daily settlement alone.

Path 2: A securities futures contract

The IRS describes a securities futures contract as a contract for future delivery of a single security or a narrow-based security index. In general, gain or loss is handled similarly to transactions in the underlying security. Capital gain or loss on sale, exchange or termination is generally short-term regardless of the holding period.

A securities futures contract generally is not a Section 1256 contract unless it is a dealer securities futures contract. A cash-settled position tied to an implied valuation of a private company may not be a contract for delivery of a single security at all. The definition must be tested against the actual terms.

Path 3: A contract outside those categories

If the instrument is neither a qualifying Section 1256 contract nor a securities futures contract covered by the applicable rules, do not apply the 60/40 split or automatic year-end mark-to-market merely because the name contains “future” or “perpetual.” The reviewed materials do not establish one universal federal treatment for every unclassified pre-IPO derivative. Timing, character and deductibility can depend on the contract, settlement, taxpayer status, hedging activity and tax year.

Funding charges, trading fees, collateral transfers and liquidation amounts may require separate analysis. Keep them itemized rather than folding every cash movement into a single unexplained gain number.

Are pre-IPO futures taxed like stocks?

Usually, you cannot answer that from the product name. A synthetic cash-settled position is not stock ownership, so it does not automatically inherit the tax rules for buying and selling company shares. A securities futures contract has its own rule set, including generally short-term capital treatment. A qualifying Section 1256 contract has the 60/40 split and year-end mark-to-market. An instrument outside those categories needs a facts-and-law analysis.

The distinction is especially important when a contract references a private company before an IPO. An IPO event might change the reference price, trigger a conversion or force settlement, or have no effect beyond the venue’s valuation formula. Only the contract documents tell you which event occurred and what amount was realized.

What happens if you still hold a position at year end?

When Section 1256 applies

An open qualifying position is generally marked to market on the last business day of the tax year. You calculate the fair market value at that date, recognize the resulting gain or loss under Section 1256, and carry the adjusted value into the next tax year. Retain the valuation source, timestamp, statement and calculation.

When Section 1256 does not apply

Do not impose the Section 1256 year-end sale rule by default. The tax timing follows whatever rules apply to the actual instrument and transaction. An exchange showing an “unrealized” amount is an accounting figure, not proof that federal law requires recognition that year.

When the venue closes or converts the contract

A forced settlement, delisting, IPO-related conversion or expiration can create a disposition even if you did not press a sell button. Record the event date, settlement amount, reference value, fees and any replacement position. If the contract delivers property, document the property received and its stated value; if it pays cash, preserve the settlement calculation.

Records that support your return

The Internal Revenue Service states: “The Internal Revenue Code and regulations require taxpayers to maintain sufficient records to establish the positions taken on federal income tax returns.” Apply that principle to the contract itself, not just to the final cash transfer.

Keep the original contract evidence

  • Accepted terms, product specifications, risk disclosures and every amendment.
  • Definitions of the reference valuation, settlement price, expiry, conversion, delisting and liquidation.
  • Venue identity, governing rules, account statements and any jurisdiction restrictions.
  • Evidence of whether the position is cash-settled, physically delivered or capable of conversion.

Capture every transaction and cash flow

  • Trade date and time, opening and closing quantity, direction and execution price.
  • Deposits, withdrawals, margin calls, releases of collateral and liquidation records.
  • Funding payments, commissions, exchange fees and other separately stated charges.
  • Daily position history, realized and unrealized figures, and settlement notices.
  • Exchange rates and fair-market-value support when an amount is shown in a foreign currency or valuation unit.

Preserve year-end valuation support

For a position open on the last business day, save the venue’s closing statement and the pricing methodology used. If the venue does not provide a reliable year-end value, document the observable quote, valuation source, time and calculation method used. A screenshot without a timestamp or contract identifier is weak evidence when kept alone.

Reconcile independently

  1. Export the complete trade and position history for the tax year.
  2. Match each opening and closing transaction to the broker or exchange statement.
  3. Separate realized settlements from unrealized year-end amounts.
  4. Reconcile deposits, withdrawals, margin movements, funding and fees to bank or wallet records.
  5. Identify IPO, delisting, conversion, expiry and forced-liquidation events.
  6. Compare your totals with every tax form issued and document differences.
  7. Write down the classification analysis supporting the form and line reported on your return.

A trading journal or notebook can organize dates, quantities, cash flows, fees and settlement notes, but it does not replace original broker records or prove a tax classification.

Forms and broker reporting

For gains and losses from Section 1256 contracts and straddles, IRS Publication 544 directs taxpayers to Form 6781, Gains and Losses From Section 1256 Contracts and Straddles. Use the form only when the instrument and your transactions fall within its scope.

Form 1099-B instructions describe reporting realized and unrealized profit or loss for specified regulated futures, foreign currency contracts and Section 1256 option contracts in boxes 8 through 11. A 1099-B is useful evidence of what the broker reported, but it does not by itself settle the legal classification of a different pre-IPO contract. Reconcile the form to your records and investigate any mismatch.

Illustrative Section 1256 calculation

Suppose, purely as an example, a qualifying position produces a $10,000 capital gain after the applicable settlement and fees. The general 60/40 allocation would place $6,000 in the long-term portion and $4,000 in the short-term portion. The example does not establish that any particular pre-IPO product qualifies, and it does not calculate your tax bill, which depends on your income, deductions, losses and jurisdiction.

Common mistakes and how to correct them

Mistake Why it fails Better practice
Assuming every “future” receives 60/40 treatment Section 1256 applies only to qualifying statutory categories. Test the contract against the IRS definitions and retain the analysis.
Treating a cash-settled derivative as company stock Cash settlement may provide no ownership, shares or issuer claim. Read the settlement and ownership clauses before choosing a tax form.
Ignoring an open position on December 31 A qualifying Section 1256 position is generally marked to market. Capture the last-business-day value and calculation.
Using only the exchange tax statement Statements can report amounts without proving legal classification. Reconcile statements to contract terms, transactions and cash flows.
Netting margin movements as profit Collateral transfers, funding, fees and settlements are different events. Track each category separately and explain the reconciliation.
Assuming an IPO always converts the position into shares Conversion and settlement depend on the venue’s contract. Save the event notice and determine whether cash, property or a replacement contract was delivered.

How venue and jurisdiction change the answer

This discussion concerns U.S. federal income-tax concepts only. State, local and non-U.S. rules are outside its scope. Your residence, taxpayer status, dealer or trader activity, hedging purpose and the tax year can affect the result.

Venue availability is also not evidence of tax treatment. For example, the reviewed FAQ’s August 4, 2026 availability statement excludes several regions, including the United States and EEA. A later change in availability would not by itself convert the product into a Section 1256 contract. Check the current terms for the venue and the exact contract you traded.

When to obtain professional advice

Ask a tax professional experienced with derivatives before filing when the contract is newly introduced, privately negotiated, leveraged, settled through a non-U.S. venue, subject to an IPO or delisting event, reported inconsistently, or used in a business, hedging or dealer capacity. Give the adviser the signed terms, complete transaction export, year-end valuation, tax forms and your reconciliation—not just a profit screenshot.

The practical rule is simple: classify the instrument first, calculate gains and losses from complete records second, and choose forms only after those two steps. Until the contract’s legal terms are known, no responsible answer can promise stock treatment, Section 1256 treatment or a particular tax rate.
