How Acquisition Debt Can Affect a Company’s Credit Rating and Borrowing Costs

Debt used to finance an acquisition can raise a company’s leverage and interest bill, put pressure on cash flow and liquidity, and increase refinancing risk. Those changes may weaken its credit profile and influence borrowing costs or access to financing—but they do not automatically trigger a downgrade or a fixed increase in rates. Rating agencies assess the deal alongside the company’s business risks, funding plan, financial policy and the credibility of expected benefits.

How acquisition debt can change a company’s credit profile

When a company borrows to buy another business, the combined company takes on more debt. If earnings and cash generation do not grow enough to offset that debt, leverage can rise and the company may have less capacity to pay interest, invest, repay debt or cover operating needs.

Rating agencies consider measures such as leverage, interest coverage, free cash flow and liquidity. Fitch’s January 9, 2026 corporate criteria define coverage measures that include cash interest; the specific calculations and adjustments depend on the agency’s methodology and the company’s sector. There is no single leverage threshold that applies to every issuer. Fitch Corporate Rating Criteria, January 9, 2026; S&P Global Ratings: Understanding Credit Ratings

  • Leverage: Debt may increase faster than earnings, raising debt relative to EBITDA.
  • Interest coverage: A larger interest bill can leave less operating income available to meet interest payments.
  • Cash flow and liquidity: Debt service can reduce cash available for investment, repayment and day-to-day requirements.
  • Refinancing risk: A heavier maturity schedule or reduced cash headroom can make future refinancing more consequential.

S&P describes mergers and acquisitions as potential “step-change” events because they can reshape leverage, cash-flow stability, business risk, liquidity and financial policy at the same time. Analysts therefore assess more than a before-and-after ratio. S&P Global Ratings: Rating Evaluation Service

What agencies assess beyond the headline ratios

A transaction’s effect depends on how it fits the company and how it is funded. Analysts may consider the strategic rationale, business risks, cash-flow stability, transaction costs, funding mix and the company’s financial policy. They also assess whether expected earnings, synergies and integration benefits are credible and when they are likely to arrive.

Fitch’s December 6, 2024 corporate criteria illustrate why the company’s prior statements matter. A planned acquisition program with known costs and funding assumptions may already be reflected in a rating. An opportunistic acquisition that conflicts with a stated strategy, or an announced expansion plan without clear cost or financing details, may prompt a rating review. A review is not itself a downgrade: the outcome depends on how the transaction compares with the agency’s existing assumptions and criteria. Fitch Corporate Rating Criteria, December 6, 2024

How a credit assessment may affect borrowing costs

Ratings can influence a company’s ability to obtain financing and the terms lenders or bond investors offer. If acquisition debt weakens the credit profile or leads to a negative rating action, financing may become more expensive or less accessible. An issuer’s 2025 SEC-filed Form 10-K, for example, states that ratings can affect borrowing costs and access to additional financing, and identifies leverage and interest coverage among relevant metrics. That filing is specific to its issuer; it does not establish a universal price effect. SEC issuer Form 10-K filing

There is no general basis-point increase that can be assigned to acquisition debt or a downgrade from the available evidence. Actual pricing also depends on the issuer, financing terms and market conditions at the time. Treat a rating’s effect on borrowing costs as a possible pathway, not a guaranteed result.

What to check when assessing a debt-funded acquisition

To understand the likely credit implications, compare the transaction’s effects using figures with clearly stated periods and assumptions:

  • Pro forma debt and leverage: Identify the debt included, how EBITDA is calculated, and what cash adjustments are assumed.
  • Interest burden and coverage: Check expected interest expense after financing, including fixed or floating rates and disclosed maturities.
  • Liquidity and refinancing: Review post-close cash generation, available liquidity and upcoming debt maturities.
  • Funding mix and transaction cost: Determine how much consideration is funded with debt and whether the deal matches previously stated strategy and rating assumptions.
  • Expected benefits: Examine when acquired earnings and synergies are expected, what integration depends on, and which adjustments support the forecast.

Why acquisition-year ratios need careful interpretation

Reported ratios around closing can compare figures from mismatched periods. S&P’s corporate methodology notes that a year-end balance sheet may include all the enlarged group’s debt even though the income statement and cash-flow record contain less than a full year of the acquired business’s results. Depending on the target’s size, that mismatch can distort coverage ratios.

Pro forma figures do not remove all uncertainty. S&P says it generally does not assess M&A impact using pro forma EBITDA unless there is a compelling reason: the estimate is an approximation and may reflect a different management team or accounting choices. When comparing figures, distinguish reported, adjusted and pro forma results, and note the period and assumptions behind each. S&P Global Ratings: Criteria—Corporates | General: Corporate Method
