GST Composition Scheme vs Regular GST for a Startup: Eligibility, Costs, Invoices and a Practical Decision Guide

Short answer: A startup can use the GST composition scheme only if it satisfies the applicable section 10, rule, turnover, location and supply conditions. “Startup” is not a separate GST category. Composition can simplify recurring compliance, but the taxpayer cannot collect GST from customers or claim input tax credit (ITC) on purchases. Regular GST is usually the better fit when business customers need tax invoices and credit, or when the startup has substantial taxable inputs. Check the current law, notifications, state position and GST Portal instructions before choosing.

What the two GST options mean

India’s composition levy is a simplified alternative under section 10 of the Central Goods and Services Tax Act and related rules. A qualifying registered person elects to pay composition levy at the rate applicable to its category instead of following the ordinary GST charging and credit mechanism. The regular regime is the normal GST treatment under section 9 and the other provisions of the law.

The choice is not based on incorporation date, funding, recognition as a startup or use of the word “startup” in a business plan. It depends on the taxpayer’s aggregate turnover, the state or union territory, the nature and location of supplies, customer requirements, input costs and continuing compliance with the statutory conditions.

Composition GST vs regular GST at a glance

Decision point Composition levy Regular GST
Who can use it Only a person meeting section 10 and rule conditions, including the applicable category and turnover ceiling. The ordinary taxpayer route, subject to normal GST registration and tax rules.
How tax is charged Category-specific composition levy. The current rate and taxable base must be checked in the applicable rules and notifications. Ordinary GST rates and charging provisions apply to taxable supplies.
Input tax credit Not available to the composition taxpayer on purchases. Eligible ITC may be claimed subject to GST law, documentation and other conditions.
Customer invoice A bill of supply; GST cannot be collected separately from the customer. A tax invoice and tax collection apply where the supply is taxable.
Customer credit A customer does not receive a GST tax invoice for credit purposes. A registered business customer can generally evaluate ITC using the ordinary tax invoice, subject to its own eligibility.
Filing pattern The GST Portal Welcome Kit describes quarterly CMP-08 payment and annual GSTR-4; confirm the live forms and deadlines. Standard GST return, payment and record-keeping requirements apply. The exact calendar depends on the taxpayer’s registration and current rules.
Growth risk Status continues only while every condition remains satisfied. Losing eligibility triggers ordinary section 9 treatment and transition steps. No composition withdrawal is required, but ordinary GST compliance continues.

Is a startup eligible for the composition scheme?

Eligibility is conditional, not automatic. The GST Portal registration workflow validates aggregate turnover against the same PAN, including the current and immediately preceding financial year. If the applicant is over the applicable composition threshold, the portal directs it to continue as a normal taxpayer or change the selected composition category.

Do not publish or rely on one nationwide turnover number without checking the current notification, the category of supply and the state or union territory. The CGST Act, Composition Rules and GST Portal materials distinguish among categories, and the practical threshold figures in an older Welcome Kit may have been amended.

Questions to answer before selecting composition

  • What is aggregate turnover across every GST registration using the same PAN, rather than turnover of only the new entity or one state?
  • Which state or union territory will be involved, and does its current position affect availability?
  • Will the startup supply goods, restaurant services, other services, or a mixture?
  • Will it make inter-state supplies, exports, supplies through an e-commerce operator or any other activity restricted by the current section 10 conditions?
  • Will the business’s customers be consumers or GST-registered companies that expect a tax invoice and ITC?
  • How much GST will be paid on inventory, equipment, software, rent, logistics and other taxable inputs?
  • Could projected growth move aggregate turnover or the supply mix outside the permitted conditions?

These questions do not replace a determination under the current Act and rules. They identify the facts a tax adviser should test before an election is made.

How customer invoices change

A composition taxpayer cannot collect GST from customers. Instead of an ordinary tax invoice, it issues a bill of supply carrying the wording required by the Composition Rules: “composition taxable person, not eligible to collect tax on supplies”. The price shown to a customer therefore cannot be presented as the selling price plus a separately collected GST amount.

For a consumer-facing startup, this may be commercially manageable because the buyer often cares about the final price rather than an ITC document. For a business-to-business startup, the effect can be significant: the customer does not receive the ordinary GST tax invoice needed to evaluate input credit. A customer may therefore compare the composition seller’s all-in price with a regular supplier’s tax-exclusive price plus creditable GST.

Regular GST follows ordinary tax-invoice and collection rules for taxable supplies. A registered customer can consider ITC when it meets the separate statutory conditions. The startup should model the price and margin effect rather than assuming that a lower compliance burden automatically means a lower customer price.

Input tax credit: the central financial trade-off

The GST Portal’s Welcome Kit states that a composition taxpayer cannot claim ITC on purchases. GST paid on eligible inputs, equipment and services therefore becomes part of the startup’s cost under composition rather than a credit offset against output tax.

Under regular GST, eligible ITC is governed by the ordinary law and conditions. No personalized credit amount is stated here, so the startup must calculate its own expected purchases and documentation. Include recurring inputs such as stock, contract manufacturing, cloud or other taxable services, office rent, freight and capital equipment where GST is charged.

A simple way to model the trade-off

  1. List the startup’s expected taxable purchases for the next financial year.
  2. Separate purchases for which GST documentation and other ITC conditions are likely to be met from purchases that will not qualify.
  3. Estimate the GST cash cost on those purchases if no credit is available.
  4. Compare that cost with the expected compliance, accounting and pricing consequences of regular GST.
  5. Run the calculation separately for consumer sales and business sales, because the inability to issue a creditable tax invoice can change demand or negotiated pricing.

This is a planning model, not a statutory calculation. Have the assumptions checked against the current rate schedule and the startup’s records.

Rates and turnover ceilings: why a single number is unsafe

The Composition Rules contain different rate rows for manufacturers, restaurant-service suppliers, other eligible suppliers and taxpayers covered by section 10(2A). That structure means a composition rate cannot safely be stated as one universal percentage for every startup.

Likewise, a threshold in a historical guide should not be treated as the current nationwide ceiling. The applicable limit can depend on the category, state or union territory and amendments in force when the option is exercised. Verify the current notification and portal validation for the relevant financial year. Keep the legal source and the applicable notification date in the startup’s tax file.

Geography and supply model can decide the outcome

Composition eligibility may be affected by where supplies are made and what type of supply is proposed. Inter-state supplies, exports, e-commerce arrangements and mixed goods-and-services models require a specific review of the current section 10 restrictions and rules. The ordinary GST regime instead applies the relevant place-of-supply, export, inter-state and registration provisions without composition’s additional eligibility gate.

Map the startup before choosing

  • List every state or union territory from which the startup will register, store stock or make supplies.
  • Mark the customer location and whether each sale is intra-state or inter-state.
  • Identify exports, marketplace or e-commerce-operator sales and supplies made through agents.
  • Classify each revenue stream as goods, restaurant service, another service or a mixed bundle.
  • Check whether the same PAN has other registrations or businesses whose aggregate turnover affects the test.

Compliance obligations under each route

Composition route

The GST Portal Welcome Kit summarizes quarterly payment through CMP-08 and an annual GSTR-4 return. Because forms and due dates can change, use the live GST Portal return calendar for the relevant period instead of copying a date from a guide. Maintain sales, purchase, stock and turnover records that allow the business to prove continuing eligibility and reconcile the amounts reported.

Composition does not mean “no compliance.” The startup still needs registration records, invoices or bills of supply, payment controls, books and a process to monitor the PAN-level turnover and restricted supplies.

Regular GST route

A regular taxpayer follows the ordinary GST return, payment, invoice and record-keeping requirements applicable to its registration and filing frequency. This route can involve more reconciliation and reporting, but it supports ordinary tax invoices and the possibility of eligible ITC.

What happens when the startup outgrows composition?

Composition status remains valid only while the statutory and rule conditions continue to be met. If the startup ceases to qualify, ordinary section 9 tax applies from the relevant date. The Composition Rules provide for electronic intimation of withdrawal or loss of eligibility and refer to a stock-related ITC statement process after withdrawal or denial.

Transition checklist

  1. Monitor turnover and supply restrictions monthly rather than waiting for the annual return.
  2. Record the date and reason the condition was breached or the option was withdrawn.
  3. Submit the required electronic withdrawal or intimation through the GST system within the applicable period.
  4. Change invoice templates from bills of supply to the ordinary tax-invoice format when regular treatment begins.
  5. Review stock and capital-goods records for the transition statement and any ITC permitted by the current rules.
  6. Reprice contracts and inform business customers that tax-invoice and credit treatment has changed.
  7. Ask a qualified GST professional to verify the effective date, tax liability and transition credit before filing.

Do not assume that a late conversion can be corrected simply by changing the next invoice. The effective date and electronic filings matter.

Which option fits common startup models?

Direct-to-consumer business with low taxable inputs

Composition may be worth examining when sales are primarily to end consumers, input GST is limited and the business values the summarized filing cadence. The final price must still be designed without separately collecting GST, and eligibility must be monitored.

Business-to-business SaaS or professional service

Regular GST is often commercially more practical when customers are registered businesses that request tax invoices and seek ITC. The startup should also check whether its service locations, inter-state customers or other facts satisfy composition conditions before considering the alternative.

Inventory-heavy retailer or manufacturer

A business buying substantial taxable stock, machinery or services should quantify the ITC it would surrender under composition. Even if administration is simpler, unrecovered purchase GST can affect gross margin and pricing.

Fast-growing, multi-state startup

Expansion plans can make composition fragile. A startup adding states, inter-state channels, exports, marketplaces or new categories should test the eligibility impact before signing those contracts. Regular GST may avoid a later change of invoice system and customer pricing, although it brings ordinary compliance from the beginning.

A decision process founders can use

  1. Establish the legal perimeter. Confirm PAN-level aggregate turnover for the current and immediately preceding financial year and identify the applicable category and state position.
  2. Test every supply. Document goods, services, restaurant supplies, inter-state sales, exports, e-commerce transactions and mixed bundles.
  3. Interview customers. Ask whether major customers require a tax invoice or depend on ITC for procurement decisions.
  4. Quantify lost credit. Forecast GST on purchases and identify which amounts could otherwise be eligible ITC.
  5. Compare administration. Put the composition CMP-08 and annual GSTR-4 workflow beside the regular return, reconciliation and payment workload that applies to the registration.
  6. Stress-test growth. Model the effect of crossing the threshold, adding a state, changing channels or introducing a restricted supply.
  7. Document the conclusion. Keep the turnover calculation, customer assumptions, input schedule, legal checks and professional advice with the registration records.

Common mistakes and how to avoid them

  • “We are a startup, so we qualify.” Startup status has no independent GST eligibility effect. Use the section 10 and rule tests.
  • Using turnover for only one GST registration. The portal validates aggregate turnover for the same PAN, including the current and immediately preceding financial year.
  • Adding GST to a composition bill. Composition taxpayers cannot collect GST and must use the prescribed bill-of-supply wording.
  • Claiming purchase ITC under composition. The official guide says composition taxpayers cannot claim ITC on purchases.
  • Copying an old threshold or due date. Verify current notifications, state applicability, forms and the live GST Portal calendar.
  • Ignoring customer economics. A business customer’s inability to receive an ordinary tax invoice can outweigh an administrative saving.
  • Waiting until year-end to check eligibility. Monitor turnover, locations and supplies continuously so a transition is not missed.
  • Assuming all composition categories have the same rate. The rules contain category-specific rows; confirm the rate and base for the actual business.

Documents to prepare before opting in

  • PAN-level turnover statement covering the current and immediately preceding financial year.
  • State and GST-registration map, including warehouses and proposed expansion locations.
  • Revenue classification by goods, services, restaurant supplies and mixed offerings.
  • Channel list covering direct sales, inter-state transactions, exports and e-commerce operators.
  • Customer split between consumers and GST-registered businesses.
  • Input-tax schedule for inventory, equipment, rent, logistics and taxable services.
  • Invoice or bill-of-supply templates showing the correct customer-facing treatment.
  • Growth forecast and a trigger list for withdrawal or transition.
  • Written confirmation of current rates, thresholds, forms and deadlines from the GST Portal or a qualified adviser.

Bottom line for founders

Choose composition only after proving eligibility and accepting its two defining consequences: no separate GST collection and no ITC on purchases. It can suit a qualifying, mainly consumer-facing startup with modest taxable inputs and a strong need for simpler recurring administration. Regular GST is generally more compatible with credit-sensitive business customers, substantial taxable purchases, ordinary tax invoices and expansion plans that may challenge composition eligibility. Recheck the decision whenever turnover, geography, channels, customer mix or product categories change.
