GameSquare Recorded an $8.1M Complexity Note Reserve Before Reported Shutdown

GameSquare’s fiscal 2025 Form 10-K recorded an $8.1 million reserve against the seller-financed note from its sale of Complexity and said $0.5 million was expected to be collected through settlement. That reserve is an accounting measure, not proof that GameSquare paid out $8.1 million or completed settlement. Months later, secondary reporting said Complexity had decided to shut down at the end of 2025, attributing the decision to founder Jason Lake.

How GameSquare sold Complexity

On March 1, 2024, GameSquare announced that it had sold NextGen Tech, LLC, doing business as Complexity Gaming, to Global Esports Properties, an investor group led by Complexity founder and CEO Jason Lake. GameSquare put the total consideration at approximately US$10.36 million.

These were the terms in GameSquare’s March 2024 sale announcement. The equity provision linked some qualifying fundraising proceeds to note repayment; it did not, as described in the release, prohibit fundraising.

What the $8.1 million reserve means

In its fiscal 2025 Form 10-K, covering the year ended December 31, 2025, GameSquare recorded an $8.1 million reserve against the Complexity promissory note receivable. The filing said the remaining $0.5 million was expected to be collected through settlement with the buyer.

A reserve reduces the amount a company expects to recover from a receivable in its accounts. It is not the same as receiving or paying cash, nor does it establish that settlement was completed. GameSquare’s filing reports the reserve and expected recovery; it does not, in the cited statement, say the $0.5 million had already been collected. The SEC filing is the primary source for those figures.

The filing also treated Complexity’s historic results as discontinued operations. In the prior fiscal year, GameSquare’s 2024 Form 10-K reported a $1.4 million pretax loss from Complexity, comprising $1.0 million in revenue, $0.9 million in cost of revenue and $1.5 million in operating expenses. Those figures describe the operation’s fiscal 2024 results; they are separate from the later reserve on the sale note.

What is known about the shutdown

The accounting filing is not the source of the shutdown explanation. The Esports Advocate reported that Lake said in a video posted to X on September 23 that Complexity had decided at the end of 2025 to shut down. The outlet quoted Lake describing the decision as following consideration of the business’s position and prospects for raising capital to repay the seller-held note.

The quotation and timing should be understood as reporting attributed to Lake, not as a finding in GameSquare’s 10-K. The Esports Advocate also reported that later filings put the note principal at about $9.5 million and its due date at February 28, 2027; those details are the outlet’s account of later filings, rather than the terms stated in the original sale announcement.

Why the sale price was mostly seller-financed

GameSquare’s announcement established the structure—US$0.75 million at closing and approximately US$9.61 million deferred in a note—but did not explain why the parties chose that financing mix. The note let the buyer defer most of the announced consideration, while the 3% interest, balloon due at term-end and equity-proceeds credit provision set out ways the obligation could be serviced. The available terms do not establish how much was ultimately repaid or what settlement was completed.
