Freehold vs leasehold industrial plots in Punjab: rights, costs and risks

Short answer: Freehold usually gives an industrial buyer a stronger, potentially perpetual ownership interest, while leasehold gives contractual possession for a stated term. Neither is automatically “better” in Punjab. The practical result depends on the issuing authority, the allotment letter, the executed conveyance or lease deed, the current auction conditions, production deadlines, transfer permissions, dues and resumption clauses. A freehold plot can still be restricted by zoning and industrial-use rules; a leasehold plot can be commercially sound when its term, renewal, financing and exit provisions are acceptable.

Before paying a non-refundable amount, identify whether the plot is issued by the Punjab State Industrial Export Corporation (PSIEC), Punjab Urban Planning and Development Authority (PUDA), Greater Mohali Area Development Authority (GMADA) or another body. Then review the current estate-specific documents with a Punjab property lawyer and an independent title-search professional.

What freehold and leasehold mean for a Punjab industrial plot

Freehold: ownership subject to public controls

A freehold interest is normally evidenced by a registered conveyance or other title document. It is not a licence to use the land for anything the owner chooses. Industrial zoning, the sanctioned layout, building regulations, environmental permissions, fire and factory requirements, road reservations, acquisition law, taxation and other statutory controls continue to apply.

The strongest feature is the absence of a fixed lease expiry in the title itself. That can support long-term occupation, refinancing and a later sale, provided the title is marketable and the proposed activity remains permitted. Authority dues, development charges, utility liabilities and approval conditions can still block a transaction even when the land is described as freehold.

Leasehold: contractual possession for a defined term

A leasehold plot gives the lessee the rights stated in the lease deed: possession, construction and operation for the agreed term, subject to rent, permitted use, development milestones, inspections, transfer rules and defaults. The lessee does not automatically acquire perpetual ownership of the underlying land.

The deed may provide for renewal, re-entry or resumption, compensation or forfeiture on cancellation, and what happens to buildings and other improvements at expiry. A lender will examine the unexpired term and the authority’s consent requirements as closely as the buyer examines the price.

Why the label is not enough

Marketing material may use “freehold,” “leasehold,” “industrial plot,” “allotment” or “auction property” loosely. The controlling documents are the current allotment or auction terms, the executed conveyance or lease deed, the approved layout and the authority’s policies in force on the transaction date. Ask for the exact instrument that will be registered in the buyer’s name; do not rely on a brochure description alone.

Freehold versus leasehold: the rights that matter

Issue Freehold plot Leasehold plot
Core interest Ownership interest evidenced by a conveyance or title, still subject to zoning, planning and statutory controls. Contractual leasehold interest for the term stated in the deed.
Transfer Often more flexible, but authority approval, industrial-use rules, dues and registration requirements may still apply. Usually governed by the deed and authority policy; consent, a waiting period, production evidence or a transfer charge may be required.
Mortgage and finance Lenders assess title, encumbrances, permitted use and construction approvals. Lenders also assess the remaining term, assignment and mortgage clauses, rent status and the authority’s consent process.
Recurring cost Taxes, development contributions, utilities and service charges. Those costs plus ground rent or other lease charges where the deed provides them.
End of term Normally no fixed lease expiry, subject to title, law and any special conditions. Expiry, renewal, re-entry or resumption provisions can determine whether the business can continue.
Operational obligations Land-use, building and industrial-operation conditions still apply. The deed may add commencement, production, construction, inspection and maintenance milestones.

For a buyer whose priority is long-term control and a relatively straightforward exit, a clean freehold title is usually preferable. Leasehold can be the sensible choice where the estate, location or staged payment structure is valuable and the buyer accepts the contractual restrictions after pricing them properly.

How transfer and resale work in practice

Lease transfer is not an automatic right

Punjab policy material published in 2017 states that a lease transfer requires execution of the lease deed. It also records that plot transfer is generally allowed only after three years from commencement of production and proof of production, with a fee of 5% of the current reserve price, subject to stated exemptions. Treat this as a policy rule to verify against the authority, estate and current notice—not as a universal rate for every plot or every year.

The three-year trigger is tied to commencement of production, not simply the date of allotment or possession. Obtain written confirmation of what the authority accepts as production evidence, whether an extension was granted, and whether the particular allotment falls within an exemption. A buyer who assumes an immediate resale is available can discover that the transfer application is premature.

Typical transfer file

The exact checklist varies, but an authority may require the allotment or lease deed, identity and constitution documents, proof of production, payment of dues, a transfer application, an authority consent or no-objection permission, and registration of the transfer instrument. Ask for the current form and processing path before signing an agreement to sell.

Administrative charges are separate

A Punjab government service-fee notification from 2021 lists ₹3,000 for several PSIEC industrial-plot transfer services, ₹1,000 for a no-objection permission to sell and ₹1,000 for a no-dues certificate. These are administrative service charges, not a substitute for the policy transfer fee, stamp duty, registration, legal work or any premium and arrears stated in the deed. Confirm that the fee schedule remains current when applying.

Freehold transfers still need clearance

Freehold does not mean “sell without checks.” The buyer and lender may require an encumbrance search, mutation or revenue records, a no-dues certificate, land-use confirmation, approved building records and authority consent where the estate’s conditions require it. Unpaid service charges, an unauthorised change of use or a restriction in the conveyance can delay registration or reduce financeability.

Can a buyer mortgage, assign or sublet a PSIEC plot?

Possibility and procedure are different questions. A PSIEC plot may be transferable or mortgageable only under the allotment, lease or conveyance deed and the current PSIEC policy. Lease documents commonly distinguish between creating a mortgage in favour of a lender, assigning the lease, transferring the plot and subletting part of the premises. Each may have a separate consent requirement.

Ask PSIEC to confirm in writing:

  • whether a mortgage in favour of a bank or financial institution is permitted;
  • whether prior consent, a prescribed form or registration of a memorandum is required;
  • what happens to the lender’s security if the authority resumes or cancels the allotment;
  • whether assignment, subletting or a change in the constitution of the allottee is treated as a transfer;
  • the minimum production, construction and dues conditions before consent is issued; and
  • which documents and fees apply to release or substitute a lender’s charge.

For an existing lease, the lender will normally focus on the unexpired term, renewal certainty, rent ledger, default clauses and whether the authority must be joined or notified. Obtain the lender’s legal opinion before assuming that a lease can support the required loan tenor.

What it costs: build a total-occupancy model

The initial plot price is only one line in the budget. Compare the two structures over the period you expect to own and operate the facility, and include the cost of an exit or refinance. The following items should be priced separately.

Cost item What to verify
Land price or auction reserve price The current notice, estate, plot size, payment schedule and whether the quoted amount is a reserve price rather than a final sale price.
Lease premium Whether a premium is payable in addition to the bid or allotment amount and how it is recorded in the deed.
Ground rent The starting amount, payment date, escalation formula, interest on arrears and treatment on transfer or renewal.
Corner-plot surcharge PSIEC auction information states that corner plots attract an additional 10% charge; identify whether it applies to the relevant listing and the base on which it is calculated.
EMD and instalments Earnest-money deposit, instalment dates, interest, forfeiture and late-payment consequences in the auction or allotment terms.
Transfer costs The policy transfer charge, if applicable, plus administrative service fees, registration and stamp duty.
Certificates and searches No-objection permission, no-dues certificate, title search, valuation, legal review and document copying.
Development and construction Site development, building-plan approval, labour and environmental compliances, road or drainage contributions and any estate-specific infrastructure charge.
Utilities Electricity load and connection, water, sewerage, metering, deposits and ongoing service bills.
Taxes and statutory charges Applicable taxes, registration charges and local levies confirmed with the registering and local authorities.

Ground-rent example: useful for modelling, not a Punjab-wide rate

PUDA’s handbook gives an example using a ₹1,000-per-square-yard lease premium, annual ground rent at 10% of that premium, and a 7% cumulative annual increase over a 30-year lease. This is an illustrative PUDA schedule, not a universal PSIEC industrial rate. For a 1,000-square-yard plot, the example would start with a ₹1,000,000 premium and ₹100,000 annual ground rent before the stated escalation; the actual payable amount depends on the deed and the authority.

Do not copy that example into a PSIEC bid or a private sale agreement. Request the exact ground-rent clause, escalation dates, rounding method, arrears interest and renewal treatment for the plot being purchased.

Estimate the exit cost as well as entry cost

A transfer restriction can make an apparently cheap lease expensive if the business must relocate or sell before the production trigger. Model the likely holding period, the first eligible transfer date, the policy fee based on current reserve price, professional charges, outstanding ground rent and the time needed for authority consent. A freehold premium may be higher at purchase but cheaper to exit; a lease may require less initial capital but carry recurring rent and a more constrained sale.

What happens if production does not start on time?

Industrial allotments commonly link continued rights to construction and commencement of production. The exact deadline, extension process and consequence are document-specific. Failure to meet the milestone can lead to notices, extension charges, cancellation, re-entry or resumption, forfeiture of instalments, and restrictions on transfer. The authority may also inspect the site or require evidence that the permitted industrial activity has actually begun.

Check these clauses before committing

  • the date from which construction and production periods are counted;
  • what the authority means by “commencement of production”;
  • the documents, licences, electricity records or inspection evidence accepted as proof;
  • the number and cost of extensions, who may approve them and whether an application must precede expiry;
  • notice and cure periods for delay or non-use;
  • whether partial construction, storage or a different activity counts as compliance;
  • the effect of a change in ownership, constitution or lender enforcement; and
  • the treatment of land, buildings, machinery, paid instalments and refunds after cancellation or resumption.

If a deadline is approaching, apply for an extension through the authority’s current process before the deadline, preserve acknowledgement and payment records, and obtain a written decision. Do not assume that a verbal assurance protects the allotment.

PSIEC systems, dues and post-allotment administration

PSIEC describes its Estate Management System (EMS) as a web-based platform developed by NIC Punjab to digitise post-allotment services for industrial focal points. The system is used for matters such as dues, payments, water and sewerage bills and post-allotment requests. Obtain the current EMS account statement and reconcile it with the seller’s receipts before closing.

A no-dues certificate should cover more than the plot price. Ask whether it includes ground rent, instalments, development charges, water, sewerage, maintenance, penalties and any litigation or demand notice. Confirm the cut-off date and obtain an undertaking that liabilities arising before completion remain with the seller.

Due diligence: a document-by-document sequence

  1. Identify the authority and estate. Record the issuing body, focal point, plot number, area, land-use category and whether the offer is an auction, direct allotment, resale or regularisation.
  2. Obtain the current terms. Collect the auction brochure, allotment letter, executed conveyance or lease deed, payment schedule, layout plan, applicable policy and the latest fee and extension notices. Do not rely on an old brochure supplied by a broker.
  3. Match the documents. Check that the plot number, dimensions, area, corner status, access road, boundaries and permitted activity agree across the deed, layout and site.
  4. Verify title or head lease. For freehold, obtain the registered conveyance, mutation or revenue records and an encumbrance search. For leasehold, inspect the head lease, executed lease deed, unexpired term, renewal wording, assignment and mortgage provisions, and the rent ledger.
  5. Confirm planning and environmental permissions. Check zoning, permissible industrial activity, floor-area or building rules, setbacks, access, pollution-control requirements, fire approvals and any consent needed for the proposed process.
  6. Reconcile money owed. Obtain no-dues, utility and service-charge statements. Check the EMS account where the plot is administered by PSIEC and obtain written confirmation of any disputed demand.
  7. Test transfer and financeability. Ask the authority to confirm in writing the production-start rule, waiting period, transfer fee, sale NOC, mortgage consent, subletting restrictions and change-of-constitution treatment.
  8. Inspect the site and infrastructure. Verify physical access, road width, drainage, water, sewerage, electricity availability, connection capacity, flooding or encroachment and the condition of any existing structure.
  9. Calculate the full transaction. Include bid or premium, corner surcharge, EMD, instalment interest, ground rent, transfer and service fees, stamp duty, registration, searches, valuation, utilities, development and construction approvals.
  10. Use professional review before payment. Have a Punjab property lawyer review title, deed, authority correspondence and the sale agreement. Make the agreement conditional on satisfactory title, authority consent, no-dues evidence and finance approval.

Major risks and ways to reduce them

Transfer lock-in

Risk: The buyer expects to resell immediately but the policy requires three years after commencement of production, proof of production or an authority consent.

Protection: Obtain written eligibility confirmation, verify the production evidence and price the holding period and transfer fee before signing.

Production and permitted-use breach

Risk: The proposed activity is not the permitted industrial use, or production does not start by the deadline.

Protection: Match the process, pollution category, building plan and licences to the allotment and obtain extensions before expiry when needed.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Resumption or cancellation

Risk: Default clauses allow cancellation or re-entry, with forfeiture or uncertain treatment of buildings and instalments.

Protection: Read notice, cure, refund, forfeiture, valuation and compensation language line by line; preserve all payment and approval records.

Hidden encumbrances or arrears

Risk: A seller’s mortgage, court matter, unpaid rent or utility bill follows the transaction.

Protection: Conduct an independent search, obtain lender release documentation, secure a current no-dues certificate and make the seller responsible for pre-completion liabilities.

Infrastructure shortfall

Risk: A plot advertised as industrial lacks the water, sewerage, road or electrical capacity needed for the actual plant.

Protection: Obtain written connection estimates and capacity confirmation, inspect the site and include infrastructure lead times in the commissioning plan.

Applying the wrong authority’s economics

Risk: A buyer uses a PUDA handbook example to estimate a PSIEC lease or assumes that one estate’s transfer schedule applies statewide.

Protection: Use only the current deed, auction notice and written authority confirmation for the exact plot.

Which option fits different buyers?

Choose freehold when

  • the business expects to hold the site for decades;
  • refinancing, bringing in investors or a future sale is central;
  • the conveyance and land records are clean and industrial use is confirmed; and
  • the higher initial price is justified by lower contractual restrictions and no lease expiry.

Consider leasehold when

  • the estate and location provide an operating advantage;
  • the authority offers a manageable premium or staged payment structure;
  • the remaining term comfortably exceeds the plant’s economic and loan life;
  • ground-rent escalation is affordable and transparent; and
  • transfer, mortgage, renewal and resumption clauses have been accepted after legal review.

Make the decision using total occupancy cost and exit flexibility, not the initial premium alone. A lower lease premium can be outweighed by ground rent, escalation, a transfer lock-in or an uncertain renewal. A higher freehold price can be poor value if title, zoning, access or dues are defective.

Questions to put in writing before signing

  • What exact instrument will be registered, and who owns the underlying land?
  • What is the permitted industrial activity and what approvals are required before construction and production?
  • What is the production-start deadline, what qualifies as proof, and how are extensions granted?
  • Can the plot be sold, assigned, mortgaged or sublet, and what consent, waiting period and fee apply?
  • For a lease, what is the unexpired term, renewal mechanism, ground-rent formula and consequence of expiry?
  • Can the authority resume or cancel the plot, and what happens to paid instalments, buildings and machinery?
  • What are the current land, transfer, service, utility, registration and statutory charges?
  • Are all dues, demands, litigation, encumbrances and utility liabilities disclosed and cleared at completion?

There is no honest single statewide Punjab price, lease term or ground-rent schedule. The exact estate, authority, current auction notice and executed deed control. Re-check those documents and fee schedules immediately before bidding, signing or transferring the plot.
