Former Groq Engineers Sue Over Nvidia Deal, Alleging Stockholders Were Shortchanged

Former Groq engineers and stockholders Benjamin Serebrin and Joshua Rubin reportedly filed suit against Groq in Delaware’s Court of Chancery on October 2, 2026. They allege that Groq’s December 2025 arrangement with Nvidia transferred key technology and employees without a stockholder vote they say was required and without a process that tested or maximized stockholder value. Those are allegations, not court findings. The often-cited $20 billion figure also needs a distinction: Nvidia’s FY2026 annual report records $17 billion in transaction consideration, while separate reporting describes a $3 billion Nvidia stock pool for certain employees who joined the company.

What the former Groq engineers allege

The reported case is Serebrin v. Ross et al., Delaware Court of Chancery C.A. No. 2026-1291-LWW. Reporting says the public redacted complaint was filed on October 2, 2026. The plaintiffs are described as former Groq engineers and stockholders.

According to reporting on the complaint, their central argument is that the technology license and hiring arrangement functioned in substance as a sale of substantially all of Groq’s assets. They contend that this required a stockholder vote under Delaware law. They also allege that Groq did not run a process designed to test or maximize value for stockholders and that some shareholders were shortchanged. The complaint was not directly available in the sources reviewed, so these claims should be understood as reported allegations.

What Nvidia says it received—and what it says it did not

Nvidia’s FY2026 annual report describes the December 2025 arrangement as a non-exclusive license to Groq’s language processing unit (LPU) technology, plus the hiring of certain Groq employees. Nvidia also says it did not purchase Groq’s customer contracts, existing products, or equity interests. This is Nvidia’s accounting and characterization of the transaction; the plaintiffs dispute its implications for Groq stockholders.

Contemporaneous reporting said Groq CEO Jonathan Ross and President Sunny Madra would join Nvidia, while Groq would continue as a standalone company led by CFO Simon Edwards. That reported continuity is consistent with a transaction that was not an outright purchase of Groq’s equity, but it does not resolve the plaintiffs’ argument about the arrangement’s economic substance.

Why reports say $20 billion while Nvidia reports $17 billion

Figure What it refers to Source and qualification
$17 billion Total transaction consideration recorded by Nvidia for the license and related arrangement. Nvidia FY2026 annual report, covering the year ended January 25, 2026.
$13 billion Amount Nvidia says was paid at closing. Nvidia FY2026 annual report.
$4 billion Amount Nvidia says was payable within one year, inclusive of imputed interest. Nvidia FY2026 annual report.
About $20 billion A broader headline figure that adds a separately reported $3 billion Nvidia stock pool for certain employees who joined Nvidia to the $17 billion consideration. Reported in October 2026 coverage; this is not the $17 billion figure Nvidia records as transaction consideration and should not be described as $20 billion in cash paid to acquire Groq.

The distinction matters to the lawsuit’s wording. The reported complaint concerns alleged injury to stockholders, while the separate stock pool was for certain employees moving to Nvidia. Former employees brought the suit, but the allegations do not establish that all employees were shortchanged.

What remains unresolved

  • Whether a Delaware court will agree that the license and hiring arrangement amounted to a sale of substantially all Groq assets requiring a stockholder vote.
  • Whether the transaction process failed to seek or test the best value for stockholders, as plaintiffs allege.
  • Whether any shareholders were shortchanged and, if so, what remedy might follow.
  • How the court will assess the difference between Nvidia’s stated legal and accounting form for the transaction and the economic substance alleged by the plaintiffs.
