ERISA Fiduciary Insurance vs. Fiduciary Liability Insurance: What Plan Sponsors Need to Know

ERISA fiduciary liability insurance and an ERISA fidelity bond are different protections for different losses. Fiduciary liability insurance generally addresses losses arising from a fiduciary’s breach of duty, while the fidelity bond required under ERISA section 412 protects the plan from fraud or dishonesty by people who handle plan money or other property. Neither automatically replaces the other. ERISA does not require fiduciary liability insurance, but it permits a plan to buy it. If plan assets pay the premium, the policy must allow the insurer to seek recourse against a fiduciary when a breach caused the loss.

The policy wording, not the label used by a broker or sponsor, determines who is insured, which acts are covered, how defense costs are handled, and what exclusions apply. The comparison below follows the U.S. Department of Labor’s guidance and is intended for general information, not individualized legal or insurance advice.

What people mean by “ERISA fiduciary insurance”

“ERISA fiduciary insurance” is an informal phrase rather than a separate coverage category defined by ERISA. In most plan discussions, it means fiduciary liability insurance: a policy intended to respond to claims that a fiduciary failed to meet an ERISA duty and that the breach caused a covered loss.

ERISA separately addresses an ERISA fidelity bond, sometimes called an ERISA bond. The bond protects the plan against loss caused by fraud or dishonesty by covered people who handle plan funds or other plan property. It is not designed to pay for every imprudent investment, prohibited transaction, administrative error, or other fiduciary breach.

The Department of Labor made the distinction explicit in Field Assistance Bulletin No. 2008-04: “No. The fidelity bond required under section 412 of ERISA specifically insures a plan against losses due to fraud or dishonesty (e.g., theft) on the part of persons (including, but not limited to, plan fiduciaries) who handle plan funds or other property.”

Because the terms are often used interchangeably in casual conversations, a sponsor should identify the actual product and read its insuring agreement before deciding that a plan is protected.

The distinction at a glance

Question Fiduciary liability insurance ERISA fidelity bond
Primary risk Losses alleged to result from a fiduciary act, omission, error, or breach of duty, subject to the policy. Plan losses caused by fraud or dishonesty by covered people handling plan funds or other property.
ERISA classification Not the section 412 bond. The bond addressed by ERISA section 412.
Required by ERISA? No. ERISA section 410 permits a plan to purchase liability insurance but does not require it. Bonding requirements are separate from optional fiduciary liability insurance requirements.
Typical insured interest Depends on the policy; it may name fiduciaries, the plan, the sponsor, committees, or other entities and individuals. The plan is generally the protected party for a qualifying fraud or dishonesty loss.
What controls protection? The policy’s definitions, insuring agreements, exclusions, limits, retention, defense provisions, and endorsements. The bond terms and the applicable ERISA bonding rules.
Can it replace the other protection? No. It addresses a different category of loss from the fidelity bond. No. A bond does not generally substitute for fiduciary liability coverage.

A claim can involve more than one theory. For example, a theft by a person with fiduciary authority may implicate the fidelity bond, while a separate allegation that the committee failed to supervise could raise a fiduciary liability issue. The response depends on the facts and the language of each contract.

Who is an ERISA fiduciary?

Fiduciary status depends on what a person or entity actually does, not simply on a job title or appointment document. Department of Labor materials describe fiduciaries as people or organizations that exercise discretionary control over plan management or plan assets, have discretionary authority or responsibility in plan administration, or provide compensated investment advice under the applicable ERISA standard.

People and groups that may have fiduciary status

  • A retirement or health-plan committee that selects investments, interprets plan provisions, approves claims, or oversees service providers.
  • Trustees and individuals with authority to direct or control plan assets.
  • Plan administrators whose decisions involve discretionary authority rather than purely ministerial processing.
  • Employees of the sponsoring company when their assigned responsibilities give them discretion over plan management, administration, or assets.
  • Investment advisers who receive compensation for advice covered by ERISA’s fiduciary rules.
  • Outside organizations that accept fiduciary responsibility under their agreement and actual conduct.

A person who performs only mechanical work under detailed instructions may not be a fiduciary for that function. The same person can become a fiduciary when making discretionary decisions. A sponsor should therefore map functions and decision rights instead of assuming that only the named plan administrator or trustee carries exposure.

The duties that create potential personal exposure

ERISA fiduciaries must act solely in the interests of participants and beneficiaries, act prudently, follow the plan document insofar as it is consistent with ERISA, diversify investments when appropriate, pay only reasonable plan expenses, and avoid conflicts of interest and prohibited transactions. These are substantive standards, not merely filing or paperwork requirements.

Examples of decisions that can create a claim

  • Keeping an investment option after a review shows that a prudent fiduciary should have removed or replaced it.
  • Allowing plan expenses that are not reasonable for the services received.
  • Using plan assets for a purpose that benefits the sponsor, a service provider, or another party rather than the plan.
  • Failing to follow a plan provision when processing eligibility, contributions, distributions, or claims.
  • Choosing or retaining a service provider without a prudent process for evaluating fees, services, and conflicts.
  • Ignoring a known conflict or failing to document how the conflict was managed.

The Department of Labor states that a fiduciary who fails to follow ERISA’s standards may be personally liable to restore losses to the plan or return profits made through improper use of plan assets. A court may also take other appropriate action. Insurance may fund defense or covered loss under a policy, but it does not erase the underlying fiduciary duties or guarantee that a fiduciary will be indemnified.

What the ERISA fidelity bond does

The fidelity bond protects the plan from a defined type of misconduct: fraud or dishonesty by a covered person who handles plan funds or other property. Theft is the clearest example. The bond is intended to make the plan whole for a qualifying fidelity loss, subject to the bond’s terms and limits.

What the bond is not designed to do

  • It is not general insurance for every breach of the duty of prudence.
  • It is not a substitute for a process to evaluate investments, fees, conflicts, or service providers.
  • It does not automatically pay a participant’s claim that an investment decision was imprudent.
  • It does not determine whether a person is a fiduciary; that status still depends on the person’s functions and authority.

The bond and fiduciary liability insurance can therefore sit side by side. The bond addresses dishonest taking or misuse of plan property. Fiduciary liability insurance may address a covered claim that a fiduciary’s decision, omission, or failure to act caused a loss. The same event can produce different allegations, and each contract must be analyzed separately.

Does ERISA require fiduciary liability insurance?

No. The Department of Labor says ERISA does not require fiduciary liability insurance. ERISA permits a plan to purchase it, but the statute does not prescribe a standard form or a universal list of covered claims.

That permission is different from a promise of coverage. DOL explains that ERISA otherwise does not address the scope of liability insurance coverage. A sponsor must therefore look to the policy’s own terms to determine whether a claim is covered, who is insured, whether defense costs reduce the limit, and what exclusions or conditions apply.

When plan assets pay the premium

A plan may purchase fiduciary liability insurance. When plan assets pay for the insurance, the policy must permit the insurer to seek recourse against a fiduciary in the event of a fiduciary breach. In practical terms, the plan cannot use its assets to create an arrangement that prevents the insurer from pursuing a responsible fiduciary after a covered breach.

Confirm the premium source, the named insureds, and the recourse language before treating the policy as a plan expense. The fact that a sponsor pays the premium, or that the policy is placed with a corporate insurance program, does not by itself establish who receives protection.

How to compare a fiduciary liability policy

Compare the actual wording rather than relying on a product name. The following review points are useful questions for a qualified insurance professional and ERISA counsel; they are not assertions that any particular policy includes these features.

1. Identify every insured person and entity

Check whether the policy covers individual fiduciaries, the plan, the plan sponsor, committee members, trustees, employees acting in a fiduciary capacity, and outside fiduciaries. Look for treatment of newly appointed fiduciaries, former fiduciaries, estates, and spouses or legal representatives where relevant. A sponsor should also determine whether the plan itself is an insured or merely a claimant.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

2. Read the definition of a covered act

Examine how the policy defines a wrongful act, claim, loss, fiduciary service, and insured capacity. Determine whether coverage is limited to ERISA claims or can respond to related allegations under other laws or contracts. Confirm whether an act must be committed while the policy is in force and how prior acts, retroactive dates, and continuity provisions work.

3. Separate defense obligations from indemnity

Find out who controls the defense, whether defense costs are inside or outside the policy limit, how counsel is selected, and whether the insurer can settle without the insured’s consent. A policy can provide a defense while excluding a particular payment, so defense and indemnity should be evaluated independently.

4. Map exclusions to real plan operations

Review exclusions for fraud, deliberate violations, personal profit, bodily injury or property damage, employment practices, cyber events, professional services, or other categories that may overlap with plan administration. An exclusion may contain an exception for defense costs or may apply only after a final adjudication. Do not assume that a broad exclusion applies—or does not apply—without reading the full clause and its endorsements.

5. Test limits, retention, and aggregation

Record the policy limit, any sublimits, the retention, and whether multiple claims arising from related acts are treated as one claim. Check whether defense expenses erode the limit and whether the policy has separate limits for investigations, corrective actions, or other extensions. Compare the available limit with the number of fiduciaries, plans, and participants exposed to a single event.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

6. Review reporting and consent conditions

Claims-made policies commonly require timely notice of claims and circumstances that could give rise to a claim. Identify the reporting address, notice deadline, consent-to-settle language, and extended reporting options. A late notice or unapproved settlement can affect recovery even when the underlying conduct would otherwise fall within the insuring agreement.

7. Check endorsements and coordination with other insurance

Read endorsements that change who is insured, how severability works, or how the policy coordinates with general liability, errors-and-omissions, cyber, crime, or employment-practices insurance. A fidelity bond may respond to dishonest loss while another policy addresses a related fiduciary allegation; the contracts should be coordinated rather than assumed to overlap.

A practical purchase and review workflow

  1. Inventory fiduciary functions. List each committee, trustee, employee, adviser, administrator, and service provider that exercises discretion over plan management, assets, administration, or compensated investment advice.
  2. Document delegated authority. Collect committee charters, investment-policy statements, trust agreements, service contracts, and resolutions showing who can make or approve decisions.
  3. Confirm the fidelity bond separately. Verify that the plan has the required bond, that covered people who handle plan funds or property are included, and that the bond’s terms match the plan’s current structure.
  4. Request complete policy forms. Obtain the declarations, insuring agreements, definitions, exclusions, conditions, endorsements, and any specimen wording—not just a quote or summary page.
  5. Build a coverage matrix. For each insured and major risk, record the applicable insuring agreement, limit, retention, defense treatment, exclusions, and notice requirement. Mark any item that is unclear rather than assuming it is covered.
  6. Confirm payment and recourse. Identify whether the sponsor or plan pays the premium and verify the recourse provision required when plan assets fund fiduciary liability insurance.
  7. Coordinate advisers. Ask an experienced employee-benefits or management-liability broker and qualified ERISA counsel to reconcile the policy with the plan documents, bond, indemnification arrangements, and other insurance.
  8. Set an annual review date. Revisit the policy after a merger, plan conversion, committee change, new investment arrangement, major asset change, service-provider replacement, or claim notice.

Which protection fits common situations?

Situation Potentially relevant protection Why the distinction matters
An employee diverts participant contributions to a personal account. ERISA fidelity bond, if the facts satisfy the bond’s fraud or dishonesty terms. The central loss is dishonest handling of plan property, not merely a poor fiduciary decision.
A committee keeps an imprudent investment after inadequate monitoring. Fiduciary liability insurance may be relevant, subject to the policy. The allegation concerns a fiduciary act or omission rather than theft.
A service provider charges unreasonable fees and the committee failed to review them. Fiduciary liability insurance may be relevant; the bond ordinarily addresses a different risk. Fee reasonableness and oversight are fiduciary-duty questions.
A trustee and an employee collaborate to misappropriate plan assets. The fidelity bond may address the qualifying dishonest loss; fiduciary liability coverage may address separate covered allegations. One event can generate distinct claims under different contracts.
A participant alleges the administrator ignored the plan’s eligibility terms. Fiduciary liability insurance may respond if the conduct and claim fall within the policy. Failure to follow plan terms can be a fiduciary issue, but coverage depends on wording and exclusions.

Oversight does not end when duties are delegated

A plan fiduciary that appoints another fiduciary for a permitted purpose still has a monitoring responsibility. The Department of Labor’s fiduciary FAQ says the appointing fiduciary must monitor the appointee. Delegation can allocate day-to-day work, but it does not automatically remove the duty to review performance, conflicts, fees, and compliance.

Monitoring should be proportionate to the role. A committee might require regular investment reports, fee disclosures, service-level reports, compliance certifications, and minutes showing questions and decisions. If a report identifies a concern, the committee should document the investigation and corrective action rather than treating the vendor’s appointment as a complete transfer of responsibility.

Common mistakes and how to correct them

Calling the bond “fiduciary insurance”

Problem: The sponsor assumes the ERISA bond covers an imprudent investment or administrative breach.

Correction: Keep a separate record for the fidelity bond and fiduciary liability policy, with each contract’s purpose and limits clearly identified.

Assuming ERISA sets a standard policy form

Problem: A sponsor treats a broker’s label as proof that a claim is covered.

Correction: Read the complete policy and ask for written explanations of ambiguous definitions, exclusions, retentions, and defense provisions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Ignoring the payment source

Problem: Plan assets pay the premium, but no one verifies the required recourse language.

Correction: Confirm the payer and review the recourse provision before charging the premium to the plan.

Insuring only the company

Problem: Individual committee members or trustees discover that they are not insured in the capacity in which the claim was made.

Correction: Match the insured-person schedule and capacity wording to the actual fiduciary map.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Failing to report an early warning

Problem: A demand, investigation, or written allegation is not reported within the claims-made policy’s deadline.

Correction: Establish an internal escalation process and notify the insurer according to the policy’s notice conditions, while coordinating with counsel.

Relying on delegation as a defense

Problem: The committee assumes appointing an adviser ends its own oversight duties.

Correction: Schedule documented monitoring of the appointee’s performance, fees, conflicts, and compliance.

Questions to settle before renewal

  • Have any people gained or lost discretionary authority over plan assets or administration?
  • Did the plan add investments, vendors, committees, or benefit features that change its risk profile?
  • Are the plan’s fidelity bond and fiduciary liability policy both current and separately documented?
  • Do the named insureds and insured capacities match the current governance structure?
  • Are limits, retentions, defense-cost treatment, exclusions, and reporting requirements still acceptable?
  • Does the policy contain the required insurer-recourse language when plan assets pay the premium?
  • Are monitoring minutes and oversight records being retained?

Bottom line for plan sponsors

Use the terms precisely: an ERISA fidelity bond protects the plan against qualifying fraud or dishonesty by people handling plan funds or property; fiduciary liability insurance addresses potential losses from covered fiduciary breaches. ERISA requires the bonding framework but does not require fiduciary liability insurance. It permits a plan to buy that insurance, with insurer recourse against a fiduciary when plan assets pay and a breach occurs.

Because ERISA does not prescribe the general scope of fiduciary liability coverage, the contract is decisive. Map fiduciary functions, maintain the separate bond, compare complete policy language, verify who pays, confirm recourse, and continue monitoring delegated fiduciaries. Those steps provide a more reliable answer than any product label.
