Does Exchange Approval Protect Your Crypto or Guarantee Your Funds? U.S. Rules Explained (2026)

No. In the United States, an exchange’s registration, license, or other regulatory approval can impose obligations for a particular entity and activity, but it is not a blanket promise that every token is insured, every withdrawal will be honored, or customers will recover all assets if the platform fails. The result depends on the legal entity, regulator, permitted activity, asset classification, custody arrangement, account terms, and applicable insolvency law.

What “approved exchange” actually means

“Approved” is not a single U.S. legal status. A company may be registered or licensed for one activity while offering products that fall outside that permission. The relevant questions are which legal entity you contract with, which regulator oversees it, what permission was granted, and whether that permission covers exchange execution, brokerage, custody, money transmission, lending, or another service.

In the securities context, registration can bring requirements involving customer-asset custody, recordkeeping, capital, disclosures, conduct, and examinations. Those rules can improve the chance that records and assets are handled properly. They do not turn every crypto balance into an insured deposit or guarantee repayment after a failure. The SEC’s March 2023 Investor.gov alert specifically describes safeguards in the securities system while warning that crypto platforms can suspend withdrawals, combine exchange and custody functions, and expose customers to losses.

Regulatory status is therefore best understood as a limited compliance framework, not a government guarantee. A license may also be issued by a state or a non-U.S. authority with different requirements from federal securities regulation. This article addresses U.S. federal regulator materials; other jurisdictions may apply different licensing and insolvency rules.

Why registration does not equal insurance

Crypto is not automatically a bank deposit

FDIC insurance applies to eligible deposits at insured banks, subject to the applicable ownership category and coverage limit. It does not automatically cover crypto assets merely because an exchange says it works with a bank or holds some cash in a bank account.

The SEC’s February 2022 investor bulletin says crypto assets sent to companies offering interest-bearing crypto accounts are not currently insured like bank or credit-union deposits. An exchange’s statement that “cash is held at a bank” is not enough to establish pass-through deposit insurance. You would need to verify the named bank, the depositor of record, account type, pass-through conditions, and applicable limits in authoritative deposit-insurance information and the customer agreement. No platform-specific deposit arrangement is established here.

SIPC is a different protection

SIPC protects certain customer claims at a failed SIPC-member broker-dealer, generally involving qualifying securities and cash. It is not protection against a security’s market-price decline, and it is not general crypto insurance.

SEC Trading and Markets staff stated in a May 15, 2025 FAQ that SIPC does not protect customer claims for non-security crypto assets held by a SIPC-member broker-dealer. The staff also said an investment contract that is not the subject of the specified Securities Act registration statement is outside SIPA protection. That wording leaves classification and account structure important: do not assume that every crypto-related asset is categorically included or excluded without examining the particular asset and legal arrangement.

Private insurance and company promises have separate limits

An exchange may advertise private crime, custody, or cyber insurance, or promise to reimburse certain losses. Such a policy is not FDIC or SIPC coverage. Check who is insured, which events are covered, exclusions, aggregate limits, deductibles, claim procedures, and whether the policy protects the company rather than individual customers. A contractual promise can also be limited by the terms of service and the company’s ability to pay.

How asset classification changes the answer

The same platform can hold different types of property under different legal terms. Classification affects which protections may apply.

Holding or product Protection question What can be established from federal materials
Eligible bank deposit Could FDIC insurance apply? Only if funds are an eligible deposit at an FDIC-insured bank and ownership and pass-through requirements are met. Crypto itself is not transformed into a deposit by being displayed in an exchange account.
Security in a qualifying brokerage account Could securities custody rules or SIPC apply? Potentially, depending on the asset, account, broker-dealer membership, and statutory conditions. Traditional SIPC protection is not protection from market losses.
Non-security crypto asset Is it protected by SIPA? SEC staff says non-security crypto assets are not protected by SIPA and may not be protected by another specific insolvency regime.
Interest-bearing or lending product Is it a deposit or ordinary custody? The SEC’s February 2022 bulletin says crypto sent to companies offering interest-bearing crypto accounts is not insured like a bank or credit-union deposit. Lending, rehypothecation, and creditor terms must be reviewed.
Token or investment contract with changing status Does classification remain fixed? Not necessarily. The SEC’s March 17, 2026 interpretation addresses a token taxonomy and how a non-security crypto asset may become, or cease to be, subject to an investment contract.

A platform’s marketing label does not settle these questions. Read the agreement for the account you actually use, not only the exchange’s general regulatory page.

Custody safeguards can improve recovery odds without guaranteeing recovery

For regulated broker-dealers, customer-asset safeguarding and separation requirements are designed to make it more likely that customer property can be identified and returned. The SEC’s 2023 alert emphasizes that these safeguards increase the likelihood of return; they are not a promise that every customer will receive every asset.

Crypto arrangements can be especially complicated when one corporate group performs exchange, broker, lending, and custody functions. Commingling assets, unclear title, rehypothecation rights, or a company’s control of private keys can create conflicts and insolvency risk. Ask:

  • Which exact legal entity holds the assets or owes the withdrawal obligation?
  • Who controls the private keys, and can the company move or lend the assets?
  • Are customer assets segregated from company property and from other customers’ assets?
  • Does the agreement say you own the asset, hold a beneficial interest, or merely have an unsecured claim?
  • Can the platform pause withdrawals, use assets as collateral, or net your claim against another obligation?

“Segregated” is not a conclusion you should infer from a website diagram. It must be supported by the governing agreement, custody disclosures, records, and the law applicable to the entity.

What happens if an exchange goes bankrupt?

There is no universal recovery result. A court, trustee, or administrator will apply the entity’s governing law, customer contracts, asset records, custody structure, and insolvency regime. Customers may have different priorities depending on whether property is held for them, belongs to the estate, or is represented only by a contractual claim.

SEC Trading and Markets staff wrote in its May 15, 2025 FAQ: “Non-security crypto assets are not protected by SIPA and may not be protected by any other specific insolvency regime, and customers may be exposed to loss of such assets in the event of an insolvency.” That is a warning about legal exposure, not a prediction for every platform.

The staff also noted that treating assets as Article 8 UCC financial assets in a securities account could possibly help keep them out of a broker-dealer’s estate. “Possibly” is critical: the outcome depends on the actual account, records, entity, and applicable law. It is not an assurance that a customer will recover funds.

If a platform fails, customers should rely on current court notices, trustee instructions, regulator records, and the operative account terms. Do not assume that a familiar brand, a state license, or a previous successful withdrawal establishes priority in a future insolvency.

Why proof of reserves is not proof of solvency

A proof-of-reserves report can show that an entity controlled specified wallet balances at a particular time. It may provide useful information, but it does not answer all of the questions that determine whether customers can be paid.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Investor.gov warns that proof-of-reserves reports may be only point-in-time snapshots. They may omit liabilities, fail to show what happened between snapshots, and provide no assurance about assets moved after the measurement date. The agency also says these reports may not be comparable to a financial-statement audit and may provide no assurance.

Before relying on a report, identify:

  • the exact measurement date and whether balances were tested continuously or only once;
  • the independent provider and the procedures it performed;
  • whether all liabilities, off-chain obligations, loans, and customer claims were included;
  • which legal entity and wallets were examined;
  • whether assets were encumbered, pledged, borrowed, or controlled for someone else;
  • the level of assurance and any limitations or qualifications in the report.

A reserve snapshot can be consistent with adequate assets at that instant while still failing to show priority, liquidity, hidden liabilities, or the legal right of a customer to those assets. It is evidence about a limited question, not a solvency guarantee.

What changed in 2026—and what did not

March 17, 2026 token interpretation

The SEC issued an interpretation on March 17, 2026 describing a token taxonomy and explaining how a non-security crypto asset may become or cease to be subject to an investment contract. This addresses how federal securities laws may apply; it does not create insurance for exchange balances or decide the insolvency rights of every token holder.

October 1, 2026 custody proposal

On October 1, 2026, the SEC announced a proposed custody framework for registered investment advisers and regulated funds. The proposal includes conditional self-custody and state trust company custodians within its defined scope. It is a proposal for those regulated entities, not a final rule and not a blanket guarantee for exchange customers.

SEC staff also states that its FAQ responses are not binding Commission rules. Its May 15, 2025 preamble says: “These responses, like all staff statements, have no legal force or effect: they do not alter or amend applicable law, and they create no new or additional obligations for any person.” Treat the FAQ as staff guidance, then verify the law and the specific arrangement.

A practical checklist for evaluating an exchange’s claimed protection

  1. Identify the jurisdiction and regulator. Determine the country, state, or federal authority responsible for the entity you will contract with.
  2. Confirm the legal entity. Match the company name in the customer agreement to regulator records. A parent company’s registration may not cover a subsidiary or affiliate.
  3. Read the permission, not the headline. Check whether the authorization covers exchange operation, brokerage, custody, money transmission, lending, or another activity.
  4. Classify the asset and product. Determine whether you hold cash, a bank deposit, a security, a non-security crypto asset, or a claim under an interest-bearing or lending program.
  5. Review title and custody language. Find out who owns the asset, who controls keys, whether assets can be lent or rehypothecated, and whether the company may use them as collateral.
  6. Test the claimed backstop. Separate FDIC insurance, SIPC protection, customer-protection rules, custody requirements, private insurance, and a company reimbursement promise. Ask which one actually applies to your account.
  7. Read failure provisions. Look for withdrawal suspension rights, setoff clauses, customer-property language, governing law, arbitration, and statements about insolvency priority.
  8. Interrogate proof-of-reserves claims. Record the date, liabilities tested, methodology, provider, assurance level, and limitations. Do not treat a wallet balance as an audit.
  9. Recheck changing status. Registration, proposals, enforcement actions, product terms, and token classifications can change. Use current primary regulator records and the latest agreement.

Answers to the questions people usually ask

Is exchange approval a guarantee?

No. Approval is tied to a named entity and activity. It can impose safeguards, but it does not guarantee that every token is insured or every customer will be repaid.

Is crypto on an exchange FDIC insured?

Do not assume so. Crypto assets are not automatically deposits. Verify any claimed bank arrangement, depositor of record, pass-through conditions, account type, and limits in authoritative deposit-insurance materials and the account documents.

Does SIPC protect exchange crypto?

SEC staff says SIPC does not protect customer claims for non-security crypto assets held by a SIPC-member broker-dealer. Coverage for qualifying securities is subject to statutory conditions and does not prevent market-price losses.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Does proof of reserves show that an exchange is solvent?

No. It may be a limited, point-in-time asset snapshot and may omit liabilities, later transactions, encumbrances, and customer priority. It is not equivalent to a comprehensive financial-statement audit.

Will I get my crypto back if an exchange fails?

No universal answer exists. Recovery depends on the entity, asset classification, contract, custody records, jurisdiction, and insolvency regime. Non-security crypto may lack a specific insolvency protection, so a guaranteed recovery claim is not justified without platform- and case-specific evidence.

The bottom line

Exchange approval can mean that a particular company must follow particular rules for a particular service. It does not make crypto a bank deposit, create automatic SIPC coverage, validate every proof-of-reserves report, or guarantee recovery in bankruptcy. To estimate your actual protection, identify the legal entity, permission, asset classification, custody and title terms, claimed insurance or statutory backstop, and the applicable failure regime.
