Decacorn vs. unicorn: What the valuation terms mean

A unicorn is a privately held startup valued at about $1 billion or more. A decacorn is a privately held startup valued at about $10 billion or more. The “deca-” prefix means ten, so the decacorn threshold is roughly ten times the unicorn threshold. Neither label tells you a company’s revenue, profit, cash balance or probability of succeeding. They are shorthand for a reported private-market valuation, usually connected to venture financing.

Unicorn and decacorn definitions at a glance

“Unicorn” and “decacorn” are market terms rather than universal legal classifications. Data providers apply their own inclusion rules, so the source and date matter whenever you quote a valuation or a count.

Term Typical valuation threshold What the label describes Important qualification
Unicorn About $1 billion A privately held startup CB Insights defines it as a private company valued over $1 billion. PitchBook describes a private startup valued at $1 billion or more and, for its narrower venture-market classification, requires a venture-backed funding round with a post-money valuation of at least $1 billion.
Decacorn About $10 billion A privately held startup CB Insights defines it as a private company valued over $10 billion. The prefix indicates ten times the unicorn threshold.
Hectocorn About $100 billion A privately held startup CB Insights uses the term for a private company valued over $100 billion.

The thresholds are categories, not prices a company receives in cash. A financing round can establish an implied value for all outstanding shares, while the company receives only the capital invested in that round.

Where the unicorn term came from

The unicorn metaphor entered modern startup coverage through investor Aileen Lee’s 2013 discussion of exceptionally rare private technology companies. The animal image emphasized how unusual a billion-dollar private startup once was. As the population of high-value startups grew, market observers extended the naming ladder: “deca-” denotes ten, producing decacorn for the $10 billion tier, while “hecto-” denotes one hundred, producing hectocorn for the $100 billion tier.

These names became convenient shorthand in venture reporting, but they never became an international accounting standard or a statutory company status. A company does not file a legal form to become a unicorn. It is described that way when a financing event or another accepted valuation method places it in the relevant category under a provider’s rules.

What “valuation” means in this context

A private-company valuation is an estimate of what the entire company is worth under a particular transaction or data-provider methodology. In venture markets, the most visible reference point is often a funding round. If investors purchase a percentage of a company at an agreed price, that transaction can imply a value for the whole company.

A simple financing example

Suppose investors put $100 million into a round for 10% of the company on a post-money basis. Dividing the investment by the ownership percentage implies a $1 billion post-money valuation. The startup has raised $100 million, not $1 billion in cash; the larger figure is the implied value of all shares after the investment. A different ownership percentage, security or set of investor rights would produce a different calculation.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Post-money valuation

PitchBook’s venture-specific formulation ties the unicorn threshold to a post-money valuation from a qualifying funding round. “Post-money” refers to the valuation after the new investment is included in the round’s agreed terms. The figure is therefore different from the amount of money raised: a company can raise a fraction of a billion dollars while the round prices the business at $1 billion or more.

Why a private valuation can change

Every new priced round can reset the market’s reference point. Changes in growth expectations, market conditions, competition, interest rates, dilution, or the terms attached to a security can affect the implied value. A tracker may also revise a record when new information appears. A valuation quoted without a date is incomplete because it may no longer describe the company’s latest financing or the provider’s current dataset.

A headline number also may not represent identical economic value for every shareholder. Preferred investors can receive liquidation preferences or other rights that common shareholders do not have, and later financing can dilute earlier ownership. For that reason, a company’s headline valuation should not be read as the cash value an employee or founder could necessarily receive for shares today.

Is a decacorn bigger than a unicorn?

Yes, by the usual terminology. A decacorn meets the approximately $10 billion private-valuation threshold, while a unicorn meets the approximately $1 billion threshold. The numerical gap is about $9 billion, and the decacorn threshold is ten times the unicorn threshold.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

That comparison is about valuation category only. It does not establish that a decacorn has ten times the revenue, employees, customers, cash or operating performance of a unicorn. Two companies in either category can have very different business models and financial results.

Why the exact boundary can be confusing

Sources do not always use identical wording at the threshold. CB Insights’ short definitions use “over $1 billion” for a unicorn and “over $10 billion” for a decacorn. PitchBook’s general description uses “$1 billion or more,” while its venture-backed classification requires a post-money valuation of at least $1 billion in a funding round.

A company valued at exactly $1 billion

At the exact boundary, attribution is essential. Under an “over $1 billion” convention, a company reported at exactly $1 billion would not meet the literal wording. Under an “at least $1 billion” convention, it would. State which provider’s definition you are applying instead of presenting one rule as universal.

A company valued at exactly $10 billion

The same issue applies to the decacorn line. If a tracker says “over $10 billion,” an exactly $10 billion valuation falls short under a literal reading; a source that says “$10 billion or more” would include it. Many articles use “about” to acknowledge that private valuations are estimates, but careful reporting still identifies the provider’s wording and the financing date.

Eligibility beyond the number

The threshold alone may not be enough for a particular list. PitchBook’s narrower venture-market category requires a venture-backed company and a qualifying post-money financing valuation. Another tracker may use a different methodology. Before comparing lists, check whether each provider includes only venture-backed startups, how it treats secondary transactions, and what date its data represents.

How a startup reaches unicorn or decacorn status

  1. Investors and the company negotiate a financing. The round specifies the security being sold, the price or conversion terms, and the amount invested.
  2. The transaction implies a company value. The negotiated share price and ownership percentage can produce a pre-money and post-money valuation.
  3. A data provider records the event. A tracker may classify the company once the round and valuation satisfy its rules.
  4. The classification is dated. Later rounds, market events or revised records can change the reported valuation and the company’s category.

This process explains why “raised $1 billion” and “became a unicorn” are not interchangeable statements. The first describes capital raised; the second describes an implied valuation category.

Pre-money versus post-money

Pre-money valuation is the negotiated value before new capital enters the company. Post-money valuation is the value after that capital is included. If a round invests $100 million at a $900 million pre-money valuation, the implied post-money value is $1 billion. A report that does not say which figure it uses can create a misleading comparison, especially near the unicorn threshold.

Not every valuation is equally current

A private company may go years between priced rounds. During that period, media reports can continue repeating the last disclosed valuation even as business conditions change. A database may retain that last round as the most defensible reference while separately noting an updated estimate. Readers should treat a label as “valued at the time of the round,” unless a provider clearly supplies a newer mark.

What the labels do not tell you

  • Revenue: A valuation does not reveal annual sales or the growth rate behind them.
  • Profitability: A company can be valued highly while losing money or investing heavily for expansion.
  • Cash on hand: The valuation is not the company’s bank balance and does not equal the amount raised.
  • Shareholder outcomes: Preferred-stock rights, liquidation preferences, option pools and dilution can make the economic value of different securities unequal.
  • Liquidity: Private shares generally cannot be sold as easily as publicly traded stock. A headline valuation may not be immediately realizable by employees or early investors.
  • Durability: The label is not a forecast of survival, an endorsement of management, or proof that the business model works.

Use the term as a description of a funding-market milestone, then examine operating metrics and deal terms separately.

How many unicorns and decacorns are there?

Counts are snapshots of a provider’s database, not a permanent worldwide census. CB Insights’ tracker stated that there were more than 1,300 unicorns worldwide as of March 2026. Its live page also displays a specific total and cumulative valuation that can change as the tracker is updated. Treat the March figure as a dated provider snapshot, not as a number that remains fixed.

PitchBook reported that the figures in its December 6, 2024 explainer reflected PitchBook Platform data as of November 26, 2024, and warned that platform data changes frequently. A count from that article and a count from a later CB Insights tracker may differ because they use different dates, datasets and classification rules.

Historical context

In a 2022 CB Insights milestone article covering a 1,000-unicorn cohort, 46 companies had decacorn valuations of $10 billion or more. The same historical cohort had roughly 31% of companies valued at exactly $1 billion. Those figures describe that 2022 milestone cohort; they are not current totals and should not be used as a 2026 census.

Why no single count is definitive

Companies can be acquired, go public, fall below a provider’s qualifying criteria or receive a revised valuation. Some databases stop counting a company once it lists shares publicly, while others preserve its historical status for analysis. Differences in the treatment of acquisitions, secondary transactions and undisclosed rounds also affect totals. The safest wording is therefore “Provider X counted Y companies as of date Z,” not an unqualified worldwide total.

How to read a company’s “unicorn” or “decacorn” claim

When you encounter the label in a press release, company profile or article, use this checklist:

  • Identify the source. Is the figure supplied by the company, a database provider, an investor or a news report?
  • Record the date. Include the financing announcement date or the provider’s data cutoff.
  • Ask what was valued. Confirm whether the number is a post-money valuation, a secondary-market estimate or another measure.
  • Check the boundary wording. “Over” and “or more” produce different results at exactly $1 billion or $10 billion.
  • Check the company’s status. The common usage concerns privately held startups; a public company’s market capitalization is not automatically a unicorn or decacorn classification.
  • Keep counts methodologically separate. Do not add totals from two providers or dates as though they measured the same population.

Questions to ask about a press release

Look for whether the announcement names the lead investors, the round type and the post-money value. A company may describe itself as having “joined the unicorn club” based on a round, while a database may wait for independent confirmation. Neither wording necessarily proves that all outstanding shares could be sold for the stated amount. If the release says only that the company “is worth” a certain sum, seek the transaction date and valuation basis before repeating it as a current fact.

Examples of careful wording

When the valuation is clearly above the threshold

“The company was reported at a post-money valuation of $1.4 billion in its 2025 venture round, making it a unicorn under the cited provider’s criteria.” The sentence identifies the value, event and basis rather than implying that the company received $1.4 billion in cash.

When the number is exactly at the boundary

“PitchBook’s ‘at least $1 billion’ venture-backed convention includes the company at its reported $1 billion post-money valuation; CB Insights’ ‘over $1 billion’ wording uses a stricter literal boundary.” This makes the methodological difference visible.

When the source or date is missing

Do not present an undated “decacorn” claim as a current fact. Ask for the financing date and valuation source, or describe it as a reported historical valuation with an explicit qualification.

Unicorn, decacorn and hectocorn: the naming ladder

The animal names form a simple numerical ladder:

  • Unicorn: approximately $1 billion or more under the applicable provider’s rule.
  • Decacorn: approximately $10 billion or more, or ten times the unicorn threshold.
  • Hectocorn: approximately $100 billion or more under CB Insights’ definition.

The progression is useful shorthand, but it should not be mistaken for a formal international standard. A company can move between categories as new financing establishes a higher or lower implied valuation, and providers may update their records at different times.

Common mistakes to avoid

Confusing funding with valuation

“Raised $1 billion” means investors supplied that amount across one or more transactions. “Valued at $1 billion” describes the implied worth of the company. A round can raise far less than the valuation it establishes.

Turning a snapshot into a timeless count

“There are 1,300 unicorns” is incomplete unless it names the provider and date. Use “CB Insights reported more than 1,300 worldwide as of March 2026” when that is the figure being cited.

Merging incompatible lists

Adding a PitchBook count to a CB Insights count can double-count companies and combine different eligibility rules. Compare lists only after checking each provider’s definitions and cutoff date.

Calling the label a quality rating

A unicorn or decacorn label does not certify product quality, governance, profitability or future returns. It records a valuation category at a particular point in the private market.

Assuming the label guarantees an exit

A private valuation does not guarantee an initial public offering, acquisition or profitable sale. Public markets may assign a lower value, and a company can remain private for years. Employees should evaluate vesting, strike prices, dilution and liquidity windows rather than treating the category as spendable wealth.

Why the distinction matters to readers

For founders and investors, the category can signal access to a later stage of venture financing and affect how a new round is discussed. For employees, it may shape expectations about option value, but private shares remain subject to vesting, dilution, preferences and liquidity restrictions. For journalists and readers, the distinction prevents a striking valuation headline from being mistaken for operating success.

The most informative description combines the label with the underlying facts: the private-company status, the financing event, the post-money or other valuation basis, the provider, and the date. That combination tells readers what is known without implying more than the number supports.

Further reading on venture financing

Readers who want background on term sheets, fundraising and venture-deal structure can consult Venture Deals: Be Smarter Than Your Lawyer and Venture Capitalist by Brad Feld and Jason Mendelson. Wiley lists the fourth edition as dated October 2019. The book provides financing context; it is not the source of the unicorn or decacorn thresholds.

The practical takeaway

Use “unicorn” for a privately held startup in the roughly $1 billion valuation category and “decacorn” for one in the roughly $10 billion category. Then name the provider’s boundary rule, the valuation type, and the date. That discipline keeps a convenient market label from being mistaken for revenue, cash, profit or a guarantee of success.

How much is a decacorn worth?

The usual decacorn threshold is about $10 billion in private-company valuation. Check the provider’s wording because some definitions say “over $10 billion,” while others may use “$10 billion or more.”

Does becoming a unicorn mean the company raised $1 billion?

No. The label refers to an implied company valuation, often a post-money valuation from a funding round. A startup can raise a much smaller amount while the round values the whole company at $1 billion or more.

Is a unicorn a legal or official classification?

No. Unicorn and decacorn are market terms. Data providers set their own eligibility and boundary rules, and the terms are not universal legal categories.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What happens if a company is valued at exactly $1 billion?

It depends on the convention. A source that requires “over $1 billion” excludes an exact $1 billion valuation, while a source using “$1 billion or more” includes it. Attribute the definition and date.

How many unicorns are there?

Counts vary by provider, methodology and date. CB Insights stated that there were more than 1,300 unicorns worldwide as of March 2026, but its live total can change. Do not combine that figure with a different provider’s count.

Does a decacorn have ten times the revenue of a unicorn?

No. Ten refers only to the valuation thresholds. A decacorn may have very different revenue, profit, cash, staffing and growth metrics from a unicorn.

What is a hectocorn?

CB Insights uses hectocorn for a private company valued over $100 billion. Like unicorn and decacorn, it is a market label rather than a formal legal status.

The Bottom Line

Bottom line: A unicorn is usually a private startup valued around $1 billion; a decacorn is around $10 billion. Always state the provider, valuation basis and date, because the labels describe a snapshot of private-market pricing—not revenue, cash, profit or guaranteed success.
