DayOne Data Centers has filed for a proposed Nasdaq IPO of American Depositary Shares (ADSs) under the ticker DODC. The offering is still preliminary: as of the company’s October 6, 2026 announcement, DayOne had not set the number of ADSs or a price range, and the registration statement was not yet effective.
What has DayOne filed?
The SEC records DayOne Data Centers Limited’s Form F-1 as filed and accepted on October 5, 2026. The company announced the filing the next day and said it had applied to list its ADSs on the Nasdaq Global Select Market under the proposed symbol DODC. An ADS represents ordinary shares in the company.

The filing is not a completed or priced IPO. The preliminary prospectus says, “The information in this preliminary prospectus is not complete and may be changed.” It also says securities may not be sold before the registration statement becomes effective. The offering is conditional on both effectiveness and successful Nasdaq listing.
Has DayOne set its IPO price or size?
No. In its October 6 announcement, DayOne said: “The number of ADSs to be offered and the price range for the proposed offering have not yet been determined.” The preliminary prospectus likewise leaves the offering size and price range blank. The reviewed filing and announcement do not establish a valuation, expected proceeds, effectiveness date, or first trading date.

What do DayOne’s financial results show?
DayOne reported sharply higher revenue in 2025 and the first half of 2026, alongside net losses in each period. The figures below are from the company’s SEC-filed 2026 Form F-1 and are in U.S. dollars.

Costs rose with expansion
Cost of revenue in the first half of 2026 was US$375.6 million, up 249.5% from US$107.5 million in the corresponding 2025 period. The filing attributes the increase primarily to higher power costs as customers consumed more and higher depreciation associated with growth in capacity in service. Revenue growth therefore should not be read as evidence of profitability: the reported periods also show material net losses and rising costs.

What risks does the company disclose?
DayOne’s F-1 identifies risks that could affect its business and results. These are risks disclosed by the issuer, not independent forecasts.
- Customer concentration: The business depends heavily on a limited pool of hyperscale customers. A customer’s bankruptcy, reduced demand, or failure to meet obligations could materially harm results.
- Power and operating costs: Higher electricity and other operating expenses could pressure financial performance.
- Execution during rapid growth: Expanding capacity and operations creates execution demands.
- Changes in demand: Demand could be lower if AI adoption, cloud penetration, or hyperscaler infrastructure spending slows.
What does market uncertainty mean for the proposed IPO?
Reuters described the filing against a fall IPO-market backdrop clouded by elevated interest rates and surging bond yields. That is market context, not a prediction about whether DayOne’s offering will proceed or how investors will respond. The available terms remain preliminary, so the eventual outcome cannot be inferred from the market framing alone.

What should prospective investors watch next?
The key milestones are a later SEC filing that supplies offering terms, the registration statement becoming effective, and confirmation of the Nasdaq listing and trading date. Until those details are disclosed, the IPO’s price, size, valuation, and timing remain unknown.
