Daisue Construction Co., Ltd. announced on October 15, 2026, that it will repurchase up to 176,000 of its shares at ¥3,355 each. The authorization is worth a maximum ¥590.48 million and equals 1.71% of the company’s share capital. Daisue said the program is intended to support a flexible capital strategy as business and market conditions change.

Key terms of the announced repurchase

Item Details
Announcement date October 15, 2026
Maximum shares 176,000 shares
Share-capital percentage 1.71%
Repurchase price ¥3,355 per share
Maximum consideration ¥590.48 million
Share-count reference date September 30, 2026

The maximum value follows directly from the authorization: 176,000 shares multiplied by ¥3,355 equals ¥590,480,000. “Up to” is important—the announcement sets a ceiling, not a confirmation that all 176,000 shares will be purchased.

How large is the buyback relative to the company?

As of September 30, 2026, Daisue reported 10,297,123 shares outstanding excluding treasury shares and held 317,102 treasury shares. The 176,000-share maximum therefore represents a relatively limited portion of the outstanding-share base, consistent with the stated 1.71% share-capital figure.

If the entire authorization is completed and the repurchased shares are retained as treasury stock or otherwise removed from the public float, the number of shares available to investors could decline. The eventual effect on per-share measures such as earnings per share would depend on the company’s earnings, the treatment of the repurchased shares and the final number actually acquired.

Why the company is buying back shares

Daisue’s stated purpose is “to enable the Company to implement a flexible capital strategy in response to changes in the business and market environments.” That wording gives the company room to manage capital as conditions evolve rather than tying the authorization to one narrowly defined event.

What the rationale does—and does not—say

  • It identifies capital flexibility as the objective.
  • It does not promise a dividend increase, a particular investment project or a change in operating strategy.
  • It does not establish that management considers the shares undervalued.
  • It does not indicate whether all authorized shares will be purchased.

What investors should watch next

Execution notices

The announcement authorizes a maximum purchase, but the information available for this report does not establish the execution dates, the market method used, or whether Daisue will complete the full amount. Investors should look for subsequent exchange filings or company notices reporting purchases and the remaining authorization.

Treasury-share treatment

Daisue already reported 317,102 treasury shares at September 30. Future disclosures should clarify whether newly repurchased shares remain in treasury, are cancelled, or are used for another corporate purpose. Those choices affect the resulting share count and the interpretation of per-share statistics.

Actual cash deployment

¥590.48 million is a maximum consideration, not necessarily the cash outflow. The final amount will depend on how many shares are acquired and whether the fixed ¥3,355 price applies to the completed transaction under the announced mechanism.

How to interpret the ¥3,355 price

The fixed price provides a clear ceiling for the authorization’s arithmetic: every share acquired under the stated terms is priced at ¥3,355, and the maximum purchase cost is ¥590.48 million. A fixed repurchase price alone does not show whether the transaction is above or below the market price at any later date; that comparison requires the relevant trading price and date.

What is not yet established

The announcement and cited company information do not establish completion of the buyback, post-repurchase share counts, changes to earnings per share, shareholder-tax consequences or a forecast for Daisue’s construction and related businesses. Those questions require later company filings and, where relevant, advice from a qualified tax professional.

Corporate-action context

Share repurchases return capital through purchases of the company’s own equity rather than through a cash dividend. They can reduce the number of shares in circulation, but the financial effect depends on execution, funding, subsequent cancellation or retention of treasury shares, and the company’s operating results. The Daisue authorization should therefore be read as a capital-allocation decision with defined limits—not as a guarantee of a particular stock-price outcome.

Daisue Construction’s October 15 announcement establishes the size, price and stated strategic purpose of the program. The next material facts will be how much of the authorization is used and how the company reports the resulting treasury-share balance.
