Corporate headquarters vs. registered office: What’s the difference?

A corporate headquarters is where a company’s leadership and central operations are run. A registered office is the legally designated address for official communications, notices and service. One location can serve both purposes, but it does not have to. A company may make decisions and manage staff from its headquarters while using a compliant accountant, solicitor or agent address for its registered office.

The distinction matters whenever you incorporate, move offices, work remotely, use a virtual office or need to protect a home address. The correct legal address depends on the jurisdiction in which the company is registered, not simply on where most employees happen to work.

What is a corporate headquarters?

A corporate headquarters is the company’s main executive and administrative centre. It is where senior leadership, central functions and company-wide decisions are coordinated. Typical headquarters activities include setting strategy, approving budgets, directing departments, managing major customers and making staffing or investment decisions.

The term is primarily operational. It describes how the business is organised rather than a universal corporate-registry filing category. A small company may call its only office its headquarters; a multinational may have one global headquarters and additional regional or functional centres.

HM Revenue & Customs’ VAT Notice 700/2 uses the related concept of an “establishment”: the place where central administration and essential day-to-day general-management decisions are carried out. It says this is usually the head office or headquarters. The notice also makes clear that a registered office alone is not sufficient to create an establishment. In other words, listing an address on a registry does not, by itself, prove that the company is managed or operating there.

What is a registered office?

A registered office is the official legal address at which a company must be reachable for formal communications. Government departments, courts, regulators and other parties use it for notices, service of documents and statutory correspondence.

Section 86 of the UK Companies Act 2006 states: A company must at all times have a registered office to which all communications and notices may be addressed. Companies House describes it as “the company’s official address.” The address is therefore a legal contact point, not necessarily the place where the company trades, stores equipment or employs people.

In the UK, the address must be in the same country of the United Kingdom in which the company is registered. It must also be an “appropriate address”: a document delivered by hand or post should be expected to come to the attention of someone acting for the company, and delivery must be capable of being recorded by acknowledgement. A mailbox that cannot reliably bring documents to the company’s attention is not made compliant merely by being marketed as a business address.

Headquarters and registered office compared

Question Corporate headquarters Registered office
Primary purpose Run and manage the business Receive formal communications and notices
What is tested? Where central administration and management occur Whether the address meets statutory service and delivery rules
Must employees work there? Usually the main operational centre, although structures vary No, provided the address is permitted and can receive documents properly
Is it inherently a registry concept? No; it is an operational description Yes; it is normally recorded under company-law rules
Is it public? Not inherently through a corporate register Often public under local rules; UK Companies House publishes it
Can the addresses differ? Yes Yes

The practical test is simple: headquarters answers “Where is the company centrally run?” Registered office answers “Where can legal and official documents be validly delivered?” Confusing the two can lead to missed notices, rejected filings or unwanted disclosure of a home address.

Can a company’s registered office be different from where it works?

Yes. Separating the addresses is common and lawful when the registered-office address satisfies the applicable rules. Companies House guidance allows a company to use an accountant’s or solicitor’s address, or to appoint an agent that provides an address, subject to the appropriate-address requirements.

Example: remote management and a professional address

Imagine a technology company whose strategic and staffing decisions are made by its leadership team in Manchester. It could use a solicitor’s compliant address in London for statutory notices. Manchester is the headquarters in the operational sense; London is the registered office. The company must still ensure that documents delivered to London reach someone acting for the company and that any required acknowledgement can be recorded.

Example: one address serving both roles

A local manufacturer may run its management, finance and production administration from one building and register that same building as its office. Co-location is convenient, but it is not a legal requirement that every company follow this model.

Example: incorporation in one place, operations elsewhere

The European Parliament’s analysis of company seat concepts distinguishes the registered office in the incorporation state from the more substantive place where operations are conducted and managed. A company can therefore be incorporated in one place while carrying on its activities elsewhere, subject to the laws that apply to its registration and operations.

What duties attach to a registered office?

A registered office is more than a forwarding label. Before using an address, verify each of these duties against the company’s local registry rules:

  • Official reachability: communications and notices must be deliverable to the address.
  • Attention of an authorised person: documents should be expected to come to someone acting for the company.
  • Delivery evidence: where required, hand delivery or post must be capable of being acknowledged or otherwise recorded.
  • Correct jurisdiction: the address may need to be in a specified country, state, province or territory.
  • Continuity: the company must maintain a registered office at all times where the law requires one.
  • Change filings: moving the address normally requires a notice or filing with the relevant registry.
  • Mail handling: a provider must have a dependable process for receiving, scanning, forwarding or alerting the company about official documents.

These requirements explain why a casual virtual mailbox, an unattended coworking desk or an address used without the occupier’s permission may be unsuitable. The issue is not whether the address looks professional; it is whether service and notification work as the law expects.

Where is the registered office made public?

Public disclosure is jurisdiction-specific. In the UK, the registered-office address appears on the Companies House register and is publicly available. Using a home address can therefore expose that address to anyone searching the register.

A founder who wants privacy may use a different address, such as an accountant’s or solicitor’s address, if the provider agrees and the address meets the appropriate-address rules. Privacy does not remove the company’s obligation to receive documents reliably. Before appointing a provider, confirm who accepts hand delivery, how urgent notices are escalated and how acknowledgement is documented.

Jurisdiction examples: why local rules matter

United Kingdom

Under section 86 of the Companies Act 2006, a company must always have a registered office to which communications and notices may be addressed. Companies House requires an appropriate address in the same UK country as the company’s registration. The address must be one where a delivered document would be expected to reach someone acting for the company and where delivery can be acknowledged.

The registered office is public on the Companies House register. An accountant, solicitor or address-providing agent may be used, but the company remains responsible for ensuring the address is compliant and that important documents reach its officers.

Australia

Section 601CT of the Corporations Act 2001 requires a registered body to have a registered office in the jurisdiction where communications and notices may be addressed. The provision also sets requirements around opening arrangements and having a representative present when the office is open. Australian companies should check the current Australian Securities and Investments Commission rules and the relevant jurisdiction before relying on a provider’s address.

Canada

Section 19 of the Canada Business Corporations Act requires a corporation to have a registered office in the province specified in its articles and to notify the Director of changes. A corporation incorporated under another Canadian statute, or under provincial legislation, may face different filing and address rules. Confirm the governing statute and province rather than assuming that a federal rule applies.

These examples share the same underlying purpose—legal reachability—but they do not create one worldwide definition. Address location, opening arrangements, public disclosure and change procedures must be checked where the company is registered.

How to choose between a trading address, headquarters and registered office

Use the headquarters address as the registered office when

  • the company controls the premises and can receive official documents there;
  • someone acting for the company is available during the required delivery times;
  • the address is in the correct jurisdiction; and
  • the owners accept any public-disclosure implications.

Use a separate professional address when

  • the directors work from home and do not want the home address displayed publicly;
  • the company operates remotely or in a different city from its incorporation jurisdiction;
  • the trading premises are temporary, unmanned or not suitable for formal service; or
  • an accountant, solicitor or agent can provide a compliant address and dependable document handling.

Do not rely on a separate address when

  • the provider cannot confirm that it accepts legal notices;
  • mail is collected only sporadically and urgent documents could be missed;
  • hand delivery cannot be acknowledged where the law requires acknowledgement;
  • the address is outside the permitted country, state, province or territory; or
  • you have not obtained the occupier’s permission to use it.

Step-by-step: setting up or changing a registered office

  1. Identify the governing jurisdiction. Determine whether the company is registered federally, nationally, or under a state, province, territory or UK country. The applicable registry and statute control the address rules.
  2. Read the current registry definition of an acceptable address. Check delivery, opening-hours, representative and acknowledgement requirements. Do not assume that a “virtual office” product satisfies them.
  3. Confirm consent from the address holder. Obtain written permission from the accountant, solicitor, agent, landlord or other provider, and establish who is responsible for receiving documents.
  4. Test the mail process. Ask how ordinary post, hand-delivered documents and time-sensitive notices are logged, scanned, forwarded and escalated. Confirm the expected turnaround and the evidence of delivery.
  5. Check privacy and public-register exposure. In the UK, assume the registered-office address will be visible on Companies House. Decide whether that is acceptable before filing.
  6. File the change through the correct registry channel. Use the current form or online service for the company’s jurisdiction. Record the effective date and retain confirmation.
  7. Update internal and external records. Change invoices, websites, letterheads, bank records, contracts, tax registrations and notices to regulators where required. Keep the headquarters and registered office clearly labelled in internal records so staff know where legal mail goes.
  8. Monitor the address continuously. Review the arrangement when the provider, premises, jurisdiction or company structure changes. A registered office must remain usable after the initial filing, not merely on the filing date.

Common mistakes and how to fix them

Treating a registered office as proof of business activity

A registry listing does not establish that management decisions are made there. HMRC’s VAT guidance expressly says a registered office alone is insufficient to create an establishment. Keep evidence of where central administration actually occurs when tax or regulatory questions require it.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Assuming every mailbox is legally sufficient

A mailbox may not satisfy rules requiring documents to reach someone acting for the company or allowing delivery to be acknowledged. Ask the provider to explain its legal-notice process, not just its parcel or scanning service.

Leaving a home address exposed unintentionally

UK Companies House makes the registered office public. If privacy is important, choose a permitted professional address before incorporation or before changing the public record. Confirm permission and compliance first; privacy is not a reason to use an address that cannot receive service.

Forgetting the jurisdiction boundary

In the UK, the registered office must be in the same UK country as the company’s registration. Australia and Canada use their own jurisdictional concepts and notification rules. A prestigious address in another city or country may be unusable for the company’s legal registration.

Failing to update the registry after moving

Moving headquarters does not automatically move the registered office, and changing the registered office informally does not update the public record. File the required change and keep the filing confirmation with the company’s statutory records.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Quick decision checklist

  • Where are central management and essential day-to-day general-management decisions actually made?
  • Which registry and statute govern the company?
  • Does the proposed registered office sit in the required jurisdiction?
  • Can a person acting for the company receive documents there?
  • Can delivery be acknowledged or otherwise evidenced?
  • Has the address holder given permission?
  • Will the address be publicly visible, and is that acceptable?
  • Who monitors the address and how quickly are notices escalated?
  • What filing is required when the address changes?

Bottom line for founders and managers

Think of the headquarters as the company’s management centre and the registered office as its legally recognised service address. They may be identical, but neither label replaces the other. Choose the registered office for legal reliability and jurisdictional compliance; describe the headquarters according to where the company is genuinely run. If the two addresses differ, document the mail-handling arrangement and keep the registry record current.
