Before buying a construction company, verify four things in parallel: whether the reported backlog is actually contractually committed and profitable; whether bonds and surety capacity will survive a change of ownership; whether safety and employment records expose the buyer to enforcement or successor duties; and whether claims, disputes, and contingent liabilities are fully reserved and transferable. The minimum pre-signing package is a reconciled contract-by-contract backlog, a bond and indemnity file for every bonded project, complete OSHA and workers’ compensation records, and a five-year claims schedule tied to contracts, insurance, and cash.
Do not accept management’s pipeline, an unaudited backlog total, or a verbal assurance from a surety as proof. Reconcile documents to project controls, obtain written consents where required, quantify unresolved exposure, and put the result into representations, covenants, escrows, and purchase-price adjustments.

Set the evidence standard before reviewing the target
Construction diligence fails when a buyer treats a spreadsheet as evidence instead of as an index to primary records. Require the seller to identify every active, completed, bid, and proposed job, then tie each item to an executed contract or clearly label it as speculative. Use the latest work-in-progress (WIP) report, cost-to-complete forecast, accounts-receivable aging, retainage ledger, and bank receipts as independent checks.
- Ask for original contracts, amendments, approved and pending change orders, subcontracts, purchase orders, schedules, payment applications, and correspondence.
- Preserve the version of each report used in valuation and date every update. A backlog can change materially between a letter of intent and closing.
- Assign an owner for each workstream: project controls for backlog, a broker or surety contact for bonds, safety leadership for OSHA records, and counsel plus finance for claims and reserves.
The federal-contractor checklist cited in the source material calls for every contract, subcontract, bid, proposal, and related claims record. That breadth is useful even for a private-sector target because omissions often hide unapproved changes, weak payment rights, or termination exposure.

1. Test backlog quality and transferability
Build a contract-by-contract backlog schedule
Require one row per prime contract, subcontract, or other legally binding award. At minimum, capture:
- Customer, project, location, and whether the target is prime contractor, joint venturer, or subcontractor.
- Original contract value, current value after executed changes, remaining contract value, billed amount, cash collected, retainage, and accounts receivable.
- Estimated cost to complete, forecast gross profit and margin, percent complete, and the date and author of the latest estimate.
- Schedule milestones, approved completion date, current forecast date, liquidated-damages terms, and known slippage.
- Payment status, disputed applications, pending change orders, claims, warranty obligations, and termination rights.
- Assignment, novation, change-of-control, key-person, licensing, and customer-consent clauses.
Reconcile each row to the signed contract, the latest WIP and cost-to-complete reports, invoices, retainage, and actual cash receipts. Investigate any difference rather than averaging it away. A backlog number is unverified until the underlying documents and project controls agree.
Separate firm work from management’s pipeline
Use separate totals for executed contracts, signed but conditional awards, options, unsigned awards, unapproved changes, bids, and internal pipeline. Only the executed and enforceable portion should be treated as firm backlog for valuation. An option may be valuable, but it is not the same as a customer obligation to buy work. Likewise, a pending change order can increase expected revenue while still carrying rejection and cost risk.

Model backlog by customer, geography, project type, contract form, remaining duration, and project manager. Then run downside cases for cost escalation, labor shortages, schedule delay, rejected changes, and slower collections. Compare the original estimate with the current estimate for cost to complete and gross margin. Large variances are evidence about estimating discipline, not merely a forecast adjustment.

| Backlog test | What to calculate | Why it changes deal risk |
|---|---|---|
| Customer concentration | Share of remaining value by customer and top five customers | Loss or renegotiation by one account can remove a disproportionate amount of revenue. |
| Project and geographic mix | Remaining value by project type, region, and contract form | Shows exposure to one market, permitting regime, weather pattern, or pricing model. |
| Margin resilience | Original versus current cost-to-complete and gross-margin variance | Reveals whether reported profit depends on optimistic production or change-order assumptions. |
| Duration and schedule | Months of work remaining, milestone slippage, and liquidated-damages exposure | Long tails create more opportunities for escalation, delay, and working-capital strain. |
| Transferability | Contracts requiring consent, novation, or key-person approval | Revenue may not transfer at closing even when the contract is otherwise profitable. |
Backlog red flags that require a quantified response
- A balance that cannot be tied to an executed document or that includes the full value of an option.
- Repeated cost-to-complete increases, negative-margin jobs, or margins that rise while physical progress lags.
- Large unapproved change-order balances, unresolved payment applications, or receivables that do not convert to cash.
- Customer, lender, public-owner, or prime-contractor consent requirements discovered only in contract boilerplate.
- Liquidated damages, cure notices, stop-work directions, or termination rights that could accelerate losses.
2. Verify bonds, indemnity, and surety capacity
Know what each bond secures
The Federal Acquisition Regulation defines a performance bond as a written instrument securing fulfillment of the contractor’s obligations. A payment bond assures payment obligations to laborers and material suppliers. Under the Miller Act, federal construction contracts exceeding $150,000 generally require performance and payment bonds. State, municipal, and private projects can impose different thresholds and forms, so confirm the governing statute and contract for each job.
Collect a complete file for every bonded project
Request the executed bond, obligee, penal sum, surety, power of attorney, underwriting correspondence, indemnity agreement, collateral schedule, notices of claim, and the surety’s current status. Match the penal sum to the contract and approved changes. Check whether the bond is still in force during warranty or maintenance periods and whether a replacement bond is required after a transfer.
Ask the surety in writing, subject to appropriate confidentiality arrangements, whether an ownership change, merger, assignment, or novation requires consent. Confirm that the buyer’s financial statements, management team, credit profile, and operating history can support the existing program or a replacement. Do not equate an agent’s informal indication of capacity with an underwriting commitment.

Evaluate the burden, not just the headline capacity
FAR Subpart 28.2 addresses adequate bond security, Treasury-listed corporate sureties, valuation of individual-surety assets, substitution, and post-completion security periods. In diligence, calculate total penal sums, outstanding indemnities, pledged collateral, letters of credit, personal guarantees, and unused capacity. A target may have substantial nominal capacity but little practical room after existing obligations and collateral requirements.

| Bond item | Evidence to obtain | Buyer decision |
|---|---|---|
| Performance obligation | Bond, contract, amendments, default notices, and completion terms | Price completion and default risk; confirm consent for ownership change. |
| Payment obligation | Payment bond, supplier list, sworn statements, lien and bond claims | Reserve for unpaid labor and materials and verify releases. |
| Surety support | Indemnity agreement, collateral schedule, claims history, and underwriting requirements | Determine whether collateral is released, remains pledged, or must be replaced. |
| Capacity | Current program limits, work-on-hand report, and written surety position | Test whether planned backlog can be bonded after closing. |
3. Investigate safety records and successor obligations
Request the full safety and workers’ compensation set
Obtain OSHA inspection and citation histories, proof of abatement, incident and near-miss logs, OSHA 300 and 301 records where applicable, workers’ compensation loss runs, experience-modification data, training records, written safety programs, competent-person designations, site safety plans, and open corrective actions. Reconcile incident logs to workers’ compensation claims and insurance notices; unexplained gaps are themselves a diligence issue.
OSHA’s construction compliance materials link standards, enforcement policies, interpretations, and memoranda. Focused-inspection guidance directs resources toward hazard areas most likely to cause fatalities or serious injuries and calls for a project safety and health plan containing hazard analysis, procedures, and responsible individuals. Review whether the target’s plans identify those people and whether field records show that controls were actually implemented.
Measure control maturity, not only citation counts
Classify findings by severity, recurrence, open abatement, and management response. A small number of serious, repeated hazards can be more important than a larger number of minor paperwork citations. Check training completion, subcontractor prequalification, toolbox talks, incident investigations, corrective-action closure dates, and supervisor accountability. There is no universal acquisition benchmark for OSHA rates; use the target’s records and regulator data rather than an invented industry average.

Preserve records when operations continue
In an asset acquisition with substantial continuity of operations, OSHA says the successor employer is subject to access and retention requirements for medical and exposure records. Put a named party in charge of custody, access requests, privacy controls, and retention periods. The purchase agreement should require delivery of records at closing and cooperation for former employees, regulators, insurers, and occupational-health providers.

4. Map claims, disputes, and contingent liabilities
Request a five-year claims schedule
Include pending, threatened, and closed matters; bid protests; equitable-adjustment requests; cure and show-cause notices; stop-work orders; terminations for convenience or default; warranty claims; lien and payment-bond claims; insurance and surety notices; settlements; releases; and government investigations. The annotated Kaufman & Canoles checklist also calls for OSHA and wage-compliance records and related correspondence.
Analyze every matter consistently
For each item record the contract and project, counterparty, asserted amount, management’s best estimate, booked reserve, insurance or surety response, probability of loss, expected payment date, schedule impact, and whether the buyer must assume the obligation. Test whether claims and payment requests are supported by the contract and project records. The checklist specifically warns reviewers to examine whether claims or payment requests are false or fraudulent, because that risk can affect damages, debarment, insurance, and surety relationships.
Look beyond the legal caption
A matter labeled a “change-order discussion” may contain a large unpriced cost. A closed claim without a release may reopen. A warranty issue can consume labor for months without appearing as a lawsuit. Tie the schedule to job-cost reports, correspondence, lien waivers, insurance files, and cash disbursements, then update it through closing.

Compare targets with one decision framework
Use the same definitions and cut-off date for every target. The comparison should cover:
Best Value
| Dimension | Questions to answer |
|---|---|
| Backlog quality | What percentage is firm, documented, transferable, and supported by current WIP and cash? |
| Concentration | How dependent are revenue and gross profit on one customer, project, geography, or contract form? |
| Margin control | How often do cost-to-complete forecasts move, and what explains the variance? |
| Bonding | What penal sums, indemnities, collateral, claims, and unused capacity remain after closing? |
| Safety | Are hazards severe or recurring, are abatements verified, and are controls embedded in field operations? |
| Claims | Are reserves adequate, are schedules and cash impacts understood, and are releases enforceable? |
| Transferability | Will contracts, licenses, insurance, bonds, and key-person relationships continue without consent? |
Construction sites are inherently dangerous, and surety capacity depends on factors including credit rating, financial condition, past performance, market capacity, and underwriting practices. A public filing can illustrate those relationships, but it is not a universal benchmark for a private acquisition.
Step-by-step diligence workflow before signing
- Issue a targeted request list. Ask for the four workstreams together so that a claim, safety event, or bond notice cannot be isolated from the related project economics.
- Lock a reporting date. Freeze the backlog, WIP, receivables, cash, claims, and safety extracts to one date, then require updates through closing.
- Reconcile the largest jobs first. Trace the contracts representing most remaining value and every job with a negative margin, material delay, open notice, or consent clause.
- Confirm external parties. Obtain written customer consents, surety positions, insurer responses, and lien or payment-bond releases where required.
- Recalculate exposure. Model completion cost, liquidated damages, warranty labor, claim outcomes, collateral calls, and working-capital needs under base and downside cases.
- Verify field controls. Sample safety plans, training, inspections, incident investigations, and abatement evidence at active sites.
- Escalate exceptions. Route unsupported backlog, missing records, suspected fraud, repeated serious hazards, and unconsented transfers to counsel and the deal committee.
- Refresh immediately before signing. Reconcile new change orders, cash receipts, notices, claims, citations, and bond communications to the final purchase-price model.
Put quantified risks into the purchase agreement
Use specific representations about contract completeness, backlog classification, cost-to-complete estimates, change orders, claims, safety compliance, wage compliance, insurance, bonds, and collateral. Add covenants requiring the seller to maintain insurance and bonding, pursue ordinary-course collections, complete abatements, and obtain identified consents before closing.
For measurable exposures, use a dedicated escrow or holdback, a specific indemnity, a cap and basket that do not swallow the protection, and a purchase-price adjustment tied to verified backlog or working-capital outcomes. Require prompt notice and control of claims, cooperation with sureties and regulators, delivery of original records, and survival periods long enough for warranty, tax, OSHA-record, bond, and latent-claim obligations. Make clear who pays collateral calls, defense costs, deductibles, and post-closing record-production costs.

Common diligence failures and the corrective action
- Counting the pipeline as backlog: split executed work from options, unsigned awards, pending changes, and bids; value only the enforceable category in the base case.
- Relying on a single WIP report: reconcile contracts, cost-to-complete, invoices, retainage, receivables, and bank receipts, then investigate every break.
- Assuming bonds transfer automatically: read consent language and obtain the surety’s written position before treating bonded backlog as transferable.
- Reviewing citations without abatement proof: require closure evidence, field verification, and responsibility for open corrective actions.
- Ignoring non-litigation claims: include notices, protests, equitable adjustments, warranty demands, liens, and payment-bond claims in the same exposure schedule.
- Using an industry statistic as a substitute for evidence: no universal acquisition benchmark establishes safe backlog conversion, claims frequency, or target OSHA performance; rely on verified records.
