Character Technologies, the company behind Character.AI, says it has filed for voluntary Chapter 11 bankruptcy protection in Delaware to pursue a sale process. Disney Worldwide Services is the proposed stalking-horse bidder for a limited, non-exclusive license—not a buyer of the entire company—under an agreement valued at $20 million plus transition services. Other bidders may offer better terms, and no sale has been completed.
The announcement, dated October 12, 2026, says Character Technologies intends to keep the platform operating while it seeks a sale. Reuters independently reported the filing on October 13. The proposed deal and its schedule remain subject to the bankruptcy process; they should not be read as a final transaction or a confirmed outcome.

What Character.AI filed for—and why
Character Technologies Inc. filed a voluntary Chapter 11 case in the U.S. Bankruptcy Court for the District of Delaware. The company says the proceeding is intended to facilitate a value-maximizing sale process for all or substantially all of its assets. Chapter 11 is the announced proceeding; the filing does not mean the platform has already shut down or that Disney has taken ownership of it.
The company said it plans to continue operating Character.AI during the process. It also said that if the process does not produce a purchase providing for the platform’s continuation, the platform would be wound down. That is a stated contingency, not an announcement that a shutdown is scheduled.

- After little Lilo Pelekai adopts the alien known as Experiment 626, she renames him Stitch and does her best to train her new “puppy” with a little help from Elvis Presley.
- Though Stitch may be cute and fluffy on the outside, he’s constantly battling his destructive impulses. He was designed by an evil genius to be a monster, after all.
- Pretending to be a kaiju, Stitch rampages through the tiny cityscape while gobbling up cars and leveling paper buildings along the way.
- Based on the treasured Disney animated film Lilo and Stitch, the Stitch X San Francisco Q-Fig Max Elite will remind Disney fans why they fell in love with this adorable little mayhem machine.
- Sometimes we all have to blow off a little steam, but with Stitch in your Q-Fig collection you’re sure to smile and remember that ohana means family - no matter what.
What Disney would receive for $20 million
Before filing, Character Technologies entered into an agreement naming Disney Worldwide Services, Inc. as the stalking-horse bidder. The proposed consideration is $20 million for a non-exclusive, perpetual license to certain company intellectual property and certain company claims, together with transition services using former Character.AI employees hired by Disney.
The $20 million figure therefore applies to the described license and related transition services. It is not a reported price for all of Character.AI, and the agreement does not describe an exclusive transfer of the licensed material. The announcement does not identify which specific intellectual property, claims, or other assets are included.

Why Disney’s agreement is not a completed sale
Disney is the stalking-horse bidder: its agreement sets out a proposed transaction that can be challenged by higher or better offers through the bankruptcy sale process. Character Technologies filed a motion seeking approval of bidding procedures. Filing that motion is not the same as the court approving the procedures, approving a sale, or closing a transaction.

The company’s proposed procedures anticipated completing the sale process and closing any resulting transactions in late November or early December 2026. That is an expected timetable in the company’s announcement, not a confirmed closing date. The announcement and Reuters report do not establish that another bidder has submitted an offer or that a court has ruled on the procedures motion.

What this means for Character.AI users
The company’s statement says the platform is intended to remain operational during the sale process, but it does not explain what would happen to individual accounts, chat histories, user-created characters, or personal data under a sale or a wind-down. It would be premature to say that those materials will transfer to Disney or be deleted. The transaction announcement simply does not settle those user-specific questions.
For now, the most useful distinction is between the company’s operating plan and the unresolved outcome: continued operation is the stated intention during the process, while continuation after the process depends on a purchase that provides for it. The company’s stated alternative is a wind-down if no such purchase results.

What is established, and what remains open
- Established in the company announcement: a voluntary Chapter 11 filing in Delaware, a proposed sale process, Disney’s role as stalking-horse bidder for a limited non-exclusive license and certain claims, and stated consideration of $20 million plus transition services.
- Not established in the announcement and Reuters report: the specific licensed assets and claims, a competing offer, court approval of bidding procedures, a completed sale, a confirmed closing date, or the treatment of individual user content and data.
Character Technologies CEO Colin Adams said the company had taken “meaningful steps to sustain and improve its business in the face of significant legal, regulatory, and operational headwinds.” That is the CEO’s characterization of the company’s circumstances, not a court finding or an independent assessment of the proposed transaction.
The company announcement, “Character.ai Initiates Voluntary Chapter 11 Proceeding to Facilitate Value-Maximizing Sale Process,” was dated October 12, 2026 and carried by StreetInsider. Reuters’ October 13 report, “Character.AI files for bankruptcy, agrees to sell some assets to Disney for $20 million,” independently confirmed the filing and the stated intention to continue operations.
