Cash Dividends vs. Bonus Shares: What Should a Pakistan Stock Investor Choose?

By Freedom251 Team · · 13 min read

Choose a cash dividend when you need spendable income; consider bonus shares when you want to retain your investment exposure and do not need cash immediately. Neither option is automatically better. A cash dividend pays money to eligible shareholders after applicable withholding, while a bonus issue adds shares to their accounts without paying cash. More shares alone do not prove that your investment has become more valuable.

For a Pakistan Stock Exchange investor, the practical decision depends on the company’s fundamentals and distribution, your cash-flow needs, the effect on per-share measures, and the tax treatment that applies to your circumstances. Check the issuer’s notice and current tax rules before acting: the rates described in one 2026 prospectus are an issuer’s summary, not a complete tax schedule for every investor or security.

What you receive: cash or a larger share count

A dividend is a distribution to shareholders. The Pakistan Stock Exchange (PSX) describes dividends as potentially being paid in cash or as bonus shares in its Investor Dos and Donts. These forms have different immediate effects:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Cash dividend: the company declares a cash amount for eligible shareholders. After applicable withholding and payment processing, the shareholder receives cash in the designated bank account.
  • Bonus shares: the shareholder receives additional shares recorded in the account. The issue itself does not pay spendable cash.

That distinction answers the first question to ask yourself: do you value cash now, or would you rather retain your investment in the form of additional shares? It does not answer whether the stock is a good investment. That requires examining the company, its price and your own objectives as well as the form of any distribution.

The two forms should not be treated as evidence of different investment quality on their own. A cash payment is not proof that a company is financially sound, and a bonus issue is not proof that it has created value. The distribution is one part of the decision, not a substitute for evaluating the underlying holding.

How the options compare

Question Cash dividend Bonus shares
What reaches the shareholder? Cash, less any applicable withholding. Additional shares; no cash is paid merely because the shares are issued.
Does the holding’s share count change? Not through the cash dividend itself. Yes. The shareholder’s recorded share count increases.
Does the distribution alone establish that wealth increased? No. The cash amount is only one part of assessing the investment. No. A larger share count alone does not establish increased economic value.
What should be checked before relying on it? Withholding, payment details and whether the cash suits your needs. The issue terms, per-share effects and tax treatment that applies to you.
Who might prefer it? An investor who values spendable income. An investor who wants to retain exposure and does not need an immediate cash payment.

The final row is a decision aid, not a forecast: neither choice predicts which investment will perform better. Company fundamentals, the price paid for the shares, liquidity needs, tax circumstances and investment horizon all matter.

What bonus shares do—and what they do not prove

A bonus issue increases the number of shares credited to a shareholder. That is a change in the number of units held, but it is not, by itself, evidence that the shareholder owns a greater proportion of the company or has gained economic value. PSX’s 2024–25 federal budget proposal characterizes bonus shares as a reclassification of reserves that does not add resources to the recipient. That is PSX’s policy position in a budget proposal, not neutral tax advice or a standalone valuation of a particular company. Read the proposal at PSX Federal Budget Proposal 2024–25.

Do not mistake a bigger share count for a larger economic stake. To assess what a bonus issue means for you, read the company’s announcement and consider the number of shares you will hold afterward alongside the company’s financial position and relevant per-share measures. The announcement’s terms matter; the headline number of additional shares is not a verdict on value.

Why earnings per share can change

PSX defines earnings per share (EPS) as net profit after tax divided by outstanding shares. If the number of shares rises while net profit after tax remains unchanged, the arithmetic produces a lower EPS. That does not mean a bonus issue has created or destroyed company earnings: the share count is the denominator, while the company’s profit is the numerator. Actual EPS depends on the company’s earnings and outstanding shares for the relevant reporting period. PSX explains the definition in its investor guidance.

EPS is one per-share measure, not a complete assessment of a company. A lower per-share figure after a change in share count should not be read in isolation as evidence that the business became weaker, just as a higher number of shares in your account should not be read as a gain by itself.

Check total shares as well as your own account

When a bonus issue is announced, compare your post-issue share count with the company’s total outstanding shares after the issue. Your account number alone cannot tell you whether your proportionate interest changed. Also review whether the company’s reserves, profits and capital structure changed in a way that affects valuation. The PSX characterization of a bonus issue as reserve reclassification is a reminder to look beyond the extra units displayed in your account.

What a cash dividend tells you—and what yield leaves out

Cash is the more direct fit if you want a distribution you can spend or hold outside the stock. PSX defines cash dividend yield as the cash dividend divided by the share price. This expresses the cash dividend relative to the share price; it does not establish whether the company is a sound investment or whether its shares are attractively priced.

For example, if a hypothetical share price is Rs 100 and the declared cash dividend is Rs 5 per share, the calculation is Rs 5 ÷ Rs 100 = 5%. This illustration applies PSX’s stated formula; it is not a current yield for any listed company, does not account for applicable withholding, and does not predict future distributions. Use the price and declared dividend relevant to the security and date you are assessing.

Do not choose a share solely because its calculated yield looks high. The yield is a relationship between a cash dividend and a share price, not a complete account of the company’s fundamentals, the investor’s tax position or the cash ultimately received. A falling share price can make a stated yield look larger even while the investment outlook deteriorates, so examine the business and the price separately.

Pakistan’s dividend declaration and payment process

PSX’s Shareholders Rights Guide distinguishes interim and final dividends. The board declares an interim dividend. For a final dividend, the board recommends it and the general meeting declares it. A shareholder’s right is to a dividend once it has been declared, as described in the guide; a company’s financial results or a board recommendation alone should not be confused with a declared final dividend.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For listed-company cash dividends, the guide says payment is made electronically to the shareholder’s designated bank account. It assigns the chief executive responsibility for payment within 15 working days after declaration. Keep your account details current with the relevant broker, participant or issuer process, and consult the issuer’s notice if a payment does not arrive or your circumstances have changed. The 15-working-day period is the period stated by PSX’s guide, not a promise about every possible processing issue.

Before the payment date

  • Read the issuer’s announcement to establish what was declared and the applicable shareholder eligibility details.
  • Check that your designated bank account information is accurate through the appropriate account or issuer channel.
  • Review the withholding treatment applicable to your circumstances rather than assuming that the announced gross amount is the amount you will receive.
  • Retain the announcement and payment record so you can reconcile the gross dividend, deductions and net credit.

Tax treatment: verify the rule that applies to your holding

Tax can affect the amount received from a cash dividend and the treatment of a bonus issue. Do not assume that bonus shares are tax-free, or that one rate applies to every investor. The available Pakistan-specific tax example here is a single issuer prospectus, not a complete schedule covering every taxpayer, exemption or security.

The LSE SPAC-I Limited prospectus hosted by PSX and dated 20 February 2026 states cash-dividend withholding of 15% for active taxpayers and 30% for inactive taxpayers. It also describes a collection equal to 10% of the value of bonus shares under section 236Z, as amended by the Finance Act 2025, using the valuation basis set out in that prospectus. See the LSE SPAC-I Limited prospectus for the issuer’s wording and context.

Those figures should be read as that prospectus’s summary, not as a definitive answer for your own tax return or a guarantee that the same treatment applies to every listed company or shareholder. Tax law can change, and the result can depend on the security and the investor’s facts. Before relying on a rate, check current Income Tax Ordinance provisions, Finance Act changes, Federal Board of Revenue guidance and the relevant issuer’s notice for the record date. If the amount or treatment matters to your decision, obtain advice appropriate to your circumstances.

Questions to answer before comparing the after-tax outcomes

  • What does the current issuer notice say about the distribution and the relevant dates?
  • What taxpayer status and other personal circumstances affect the treatment in your case?
  • Does the stated treatment concern a cash dividend, bonus shares or a collection associated with the bonus issue?
  • Is the tax summary from a prospectus relevant to this particular issuer and security, or only an example that requires further checking?
  • Will the deduction reduce cash you can actually spend, or require you to fund a charge when shares rather than cash are delivered?

Read the issuer’s notice before making assumptions

Corporate-action notices can contain the information that determines what you actually receive: the type of distribution, the relevant shareholder eligibility details, the terms of a bonus issue, payment instructions and the company’s explanation of deductions. A headline saying “dividend declared” is not enough to determine whether the amount is gross or net, whether it is interim or final, or whether a final recommendation has completed the required declaration.

For bonus shares, confirm how many shares are to be credited under the stated terms and when the credit is expected. Then consider the post-issue share count alongside total outstanding shares and the company’s financial statements. For cash, compare the declared amount per share with the amount credited after withholding. Keeping those quantities separate prevents a gross cash figure and a bonus-share count from being treated as if they were equivalent forms of income.

Choose based on your cash needs and the company, not the label

Cash may fit better if you need income

A cash dividend is the more direct choice when receiving money is an objective: it provides cash after applicable withholding and processing. Consider the amount you expect after withholding, when payment is due under the issuer’s process and whether the distribution is meaningful for your needs. Do not treat a declared payment or a yield calculation as a substitute for evaluating the company and the price of its shares.

Bonus shares may fit if you prefer to retain exposure

A bonus issue may suit an investor who wants to remain invested and has no immediate need for cash. But it gives you shares, not spending money, and the increased count does not itself demonstrate increased ownership value. Consider how the issue affects per-share measures and review the issuer’s tax explanation and terms before assuming the outcome.

When neither form should decide the investment

If the main question is whether to buy, hold or sell the company’s shares, do not let the distribution form decide for you. Assess the company’s fundamentals, the price, the distribution policy, your liquidity needs, your time horizon and your tax position. A preference for income can make cash more useful to one investor; a preference to retain exposure can make bonus shares more convenient to another. Neither preference establishes which security will deliver a better future result.

Three practical investor situations

  • Income-focused investor: prioritize the expected net cash amount, payment timing and account details. A bonus issue does not meet a spending requirement merely because the account shows more shares.
  • Long-term accumulation investor: a bonus issue may preserve exposure without an immediate cash receipt, but still requires a review of fundamentals, EPS and any applicable collection.
  • Investor deciding whether to keep the stock: treat the distribution as one input only. A cash yield or bonus headline should not override concerns about valuation, earnings or liquidity.

A practical decision checklist

  1. Identify the actual distribution. Read the issuer’s announcement and determine whether it is a declared cash dividend, a recommended final dividend awaiting declaration, a bonus issue, or another corporate action.
  2. State your objective. Decide whether you need spendable cash now or would rather retain investment exposure without an immediate cash payment.
  3. Compare the right quantities. For cash, distinguish the declared amount from the amount after applicable withholding. For bonus shares, note the resulting share count but do not treat that count as a measure of added wealth.
  4. Check per-share effects. Remember that EPS is net profit after tax divided by outstanding shares. A changed share count can change a per-share measure even when the company’s earnings have not changed.
  5. Verify the tax treatment for your case. Use current rules and the issuer’s notice for the relevant security and record date; do not apply an example prospectus rate automatically to yourself.
  6. Check payment and account details. For a cash dividend, confirm that the designated bank account information is in order and consult the issuer or relevant account channel if payment is delayed.
  7. Make the decision in the context of the investment. Weigh fundamentals, price, liquidity, time horizon and distribution policy. Do not infer superior future returns from the form of the distribution.

Common mistakes to avoid

  • “Bonus shares are free money.” Receiving more shares changes the share count; it does not alone establish an increase in economic value.
  • “A cash dividend means the stock is a good investment.” Cash yield is a useful cash-flow measure, not a complete investment test.
  • “The prospectus rate applies to everyone.” The cited rates are described in one issuer’s February 2026 prospectus. They are not a complete schedule for all taxpayers and securities.
  • “A board recommendation means a final dividend has been declared.” PSX’s guide says a final dividend is recommended by the board and declared in a general meeting.
  • “More shares must mean a larger ownership stake.” Share count alone cannot establish whether your proportionate economic ownership or wealth increased.
  • “Gross and net amounts are interchangeable.” A declared cash amount can differ from the amount credited after withholding, so compare like with like.
  • “A changed EPS automatically proves business damage.” EPS uses shares as its denominator; interpret the measure with net profit and the rest of the financial statements.

Frequently Asked Questions

Are bonus shares better than cash dividends in Pakistan?

There is no universal winner. Cash dividends provide spendable money after applicable withholding, while bonus shares increase the recorded share count without paying cash. Choose based on your cash needs, the company’s fundamentals, the issue terms, your horizon and your current tax treatment.

Do bonus shares increase my wealth automatically?

No. PSX’s 2024–25 budget proposal characterizes bonus shares as a reclassification of reserves that does not add resources to the recipient. A larger account balance in shares alone does not establish higher economic value or a larger proportionate ownership interest.

How does a bonus issue affect EPS?

PSX defines EPS as net profit after tax divided by outstanding shares. If outstanding shares increase while net profit is unchanged, the arithmetic can produce a lower EPS. The issue itself does not create additional company earnings.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

How is cash dividend yield calculated?

PSX states the calculation as cash dividend divided by share price. For illustration, Rs 5 divided by a Rs 100 share price equals 5%. That figure is not a forecast, does not include applicable withholding and is not a complete test of investment quality.

When is a final dividend actually declared?

Under PSX’s shareholder-rights guide, the board recommends a final dividend and a general meeting declares it. An interim dividend is declared by the board. A recommendation or financial result should not be treated as a declared final dividend.

How are listed-company cash dividends paid?

PSX’s guide says listed-company cash dividends are paid electronically to the designated bank account. It assigns the chief executive responsibility for payment within 15 working days after declaration. Keep account details current and check the issuer’s notice if payment is delayed.

What tax rates should a Pakistan investor use?

A prospectus hosted by PSX for LSE SPAC-I Limited, dated 20 February 2026, states 15% cash-dividend withholding for active taxpayers and 30% for inactive taxpayers, and describes a 10% collection on the value of bonus shares under section 236Z as amended by Finance Act 2025. These are that prospectus’s summary, not a complete rule for every investor or security. Verify current Income Tax Ordinance provisions, FBR guidance and the issuer’s notice.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Should I sell a stock because it offers bonus shares instead of cash?

Not on that fact alone. Assess the company’s fundamentals, price, distribution policy, liquidity, investment horizon and tax position. The distribution form may affect your convenience, but it does not predict future returns by itself.

The Bottom Line

Bottom line: cash dividends suit an investor who needs spendable income; bonus shares may suit someone who wants to retain exposure without an immediate cash payment. Neither form automatically creates value. Confirm the issuer’s declaration, payment mechanics, per-share effects and current tax treatment before deciding.
