Usually, no—not through an open public offer of direct shares. OpenAI and Anthropic both restrict share transfers, so a seller’s listing or claim of access does not establish that a purchase is valid or recognized by the company. There are reports of limited OpenAI-related investment routes, but those are not the same as a generally available offer of OpenAI stock. Both companies had taken steps toward possible IPOs by June 2026; neither had announced a public trading date.

What each route actually lets you own

Route What you may own What is established Key limitation
Direct private-company shares Company equity, if the transfer is valid OpenAI requires prior written consent for transfers; Anthropic says transfers that violate its restrictions are void. A marketplace listing, certificate, or seller’s assurance is not proof of company approval.
SPV, token, or forward contract A fund interest, token, or contractual claim—not necessarily company shares Both companies warn about arrangements that may violate their transfer restrictions; Anthropic says it does not permit SPVs to acquire its stock. You may not receive recognized ownership or value tied to the underlying shares.
OpenAI-related ETF Shares in a publicly traded fund Axios reported on March 31, 2026, that OpenAI shares were expected to be included in several ARK ETFs. This is indirect exposure; fund holdings and weights can change.
Reported OpenAI private placement Shares acquired in a private transaction Axios reported that OpenAI sold about $3 billion of shares to individual investors through clients of three large banks. The report does not set out general eligibility terms or establish an open offer to all retail investors.
IPO and public exchange Publicly traded shares, if an offering occurs Anthropic announced a confidential draft S-1 filing, and the Associated Press reported a confidential OpenAI filing, in June 2026. Neither cited source gave a confirmed public trading date.

OpenAI: limited reported access is not a general stock offer

Transfers require written consent

OpenAI’s policy says that “All OpenAI equity is subject to transfer restrictions.” It says equity cannot be directly or indirectly transferred without the seller first obtaining OpenAI’s written consent, and that a transfer made without following this requirement is void. The policy specifically discusses sales of equity, special purpose vehicles (SPVs), tokenized interests, and forward contracts; it warns that such arrangements may violate transfer restrictions or securities laws and may not be recognized or carry economic value. Read OpenAI’s unauthorized equity transactions policy (published July 16, 2025).

What the 2026 reports do—and do not—show

Axios reported that the approximately $3 billion private placement involved individual investors who were clients of three large banks. Its March 31, 2026 report does not specify who could participate, whether the opportunity remains available, or how an ordinary investor could qualify. The report also said OpenAI shares were expected to enter several ARK ETFs; buying an ETF gives an investor fund shares, not direct OpenAI shares, and the report is not confirmation of current fund holdings. OpenAI CFO Sarah Friar described the company’s thinking about access to economic upside, but that reported comment was not a promise of general access to direct shares. See Axios’s account of the reported private placement and ETF plans.

Private shareholders do not create a retail purchase channel

OpenAI’s structure page describes OpenAI Group PBC as a for-profit public benefit corporation controlled by the OpenAI Foundation. At the recapitalization closing described on that page, the Foundation held 26%, Microsoft roughly 27%, and current and former employees and investors held the remaining 47%. Those figures describe ownership at that closing; they do not establish that those shares are for sale to the public. See OpenAI’s structure overview.

Anthropic: be especially wary of resale offers framed as easy access

Anthropic says it does not permit SPVs to acquire its stock and that transfers to SPVs are void under its restrictions. It also warns that third parties offering shares to the general public through direct sales, forward contracts, tokenized securities, or other mechanisms may be offering investments with no value because the transfer may not be recognized. Its guidance, updated June 29, 2026, is available at Anthropic’s stock-sales and investment-scams page.

Forge’s May 2026 article says accredited investors may sometimes be able to buy private shares through secondary transactions, depending on seller availability and company approval. That generalized description does not verify a particular offer or override Anthropic’s restrictions: Forge itself acknowledges that transfers without Anthropic board approval are void and unrecognized. Treat any listing as unverified unless the required company approval for that specific transaction is established. See Forge’s Anthropic pre-IPO overview.

Confidential IPO filings are preparation, not a launch date

On June 1, 2026, Anthropic announced that it had confidentially submitted a draft Form S-1 registration statement to the SEC for a proposed IPO. The company said the filing gave it the option to go public after SEC review, subject to market conditions and other factors; the number of shares and price had not been set. Anthropic also said the announcement was not an offer to sell securities or a solicitation to buy them. Read Anthropic’s announcement.

In June 2026, the Associated Press reported that OpenAI had also confidentially filed IPO paperwork. OpenAI said it had not decided on timing and that it might remain private for a while. A confidential filing is not the same as a public prospectus, completed offering, or scheduled exchange listing. See the Associated Press report.

How to assess an offer before sending money

  • Identify what is being sold. Ask whether the instrument is actual company stock, an interest in an SPV, a token, an ETF share, or a contract. These are not interchangeable forms of ownership.
  • Ask what company approval applies. For OpenAI, the policy calls for prior written consent. For Anthropic, do not treat a resale as valid without the required company approval.
  • Check who is making the offer and how payment works. Anthropic flags unsolicited outreach, pressure to act quickly, hard-to-trace payment requests such as crypto or wire transfers, claims of exclusive access, and claims that restrictions have been bypassed.
  • Verify independently. Do not rely solely on documents or contact details supplied by the seller. Anthropic recommends checking official regulatory databases and provides further warning signs in its investor-scam guidance.

If you cannot establish the instrument, the seller’s authority, and the company approval needed for a transfer, do not assume you are buying recognized shares in either company.
