Yes. A promoter can create a pledge after reporting zero encumbered shares. The earlier statement records the promoter’s position on the relevant reporting date; it is not a permanent promise that no pledge or other encumbrance will ever be created. Once a new pledge is created, it is a separate encumbrance event that must be disclosed under Regulation 31 of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

What a “no encumbrance” report actually says

A report showing no pledged or otherwise encumbered shares is a point-in-time disclosure. It tells investors, stock exchanges and the company what the promoter’s holdings and encumbered holdings were at the applicable reporting date. It does not freeze the promoter’s shares, prohibit a later borrowing arrangement or operate as a continuing undertaking.

The legal question after that report is therefore not whether the earlier filing was automatically invalid. The questions are whether a later transaction created an encumbrance, when that event occurred, which shares were affected, and whether the promoter made the fresh filing required for that event.

The rules that govern a later pledge

Rule or document What it establishes
Regulation 28(3), SAST Regulations For this disclosure chapter, “encumbrance” includes a pledge, lien or any similar transaction, whatever name it is given.
Regulation 31(1), SAST Regulations The promoter of every target company must disclose details of shares encumbered by the promoter or persons acting in concert with the promoter.
Regulation 31(3), SAST Regulations Disclosure is due within seven working days from creation, invocation or release of the encumbrance.
SEBI’s Regulation 31 form The filing distinguishes creation, release and invocation and records the event date, type of encumbrance, number and percentage of shares, beneficiary and post-event encumbered holdings.
SEBI Circular SEBI/HO/CFD/DCR1/CIR/P/2019/90, 7 August 2019 Addresses disclosure of the reasons for encumbrance by promoters of listed companies.

The disclosure destination is also specific: the promoter must file with every stock exchange where the shares are listed and deliver the disclosure to the target company at its registered office.

How the sequence works in practice

  1. Position at the reporting date: The promoter reports the shareholding and the number of encumbered shares for the relevant date. If the figure is zero, that is the position disclosed for that date.
  2. Later transaction: The promoter enters into a pledge or another arrangement that restricts the shares or gives a third party rights over them.
  3. Creation filing: The promoter treats the later transaction as a creation of encumbrance and files the Regulation 31 disclosure within seven working days of creation.
  4. Subsequent event: If the lender or beneficiary later invokes the security, or if the encumbrance is released, that action is a new event with its own seven-working-day disclosure period.

The event date is not replaced by the date of the earlier no-encumbrance report. Each filing follows the event that it describes.

What information the Regulation 31 form requires

SEBI’s official form separates three event types: creation, release and invocation. For a new pledge, the relevant selection is creation. The form asks for information that lets the market identify both the transaction and its effect on promoter ownership.

  • Date of the event.
  • Type of encumbrance, such as a pledge or another reportable restriction.
  • Number of shares affected.
  • Percentage of the relevant shareholding or voting capital represented by those shares.
  • Name of the entity in whose favour the shares are encumbered.
  • Post-event encumbered shareholding.

The form’s footnote requires the names of all promoters, their shareholding in the target company and their pledged shareholding as on the reporting date to appear in the table, even when the filing is being made for an event date rather than for that reporting date. A promoter filing only the newly pledged block, while omitting the required promoter-level table, can therefore fail to present the information in the format SEBI expects.

The seven-working-day deadline and where to file

Regulation 31(3) measures the deadline from the event: creation, invocation or release. A new pledge must be disclosed within seven working days from its creation. The filing must reach every stock exchange on which the company’s shares are listed and the target company’s registered office.

Promoters should identify the actual creation date in the executed pledge or security documents and reconcile it with the date used in the exchange filing. A later disbursement, board meeting or internal approval should not be substituted for the creation date unless the transaction documents and applicable process establish that as the legal event.

Because “working day” is a regulatory timing concept, the company’s compliance team should apply the calendar and filing workflow used by the relevant exchanges rather than counting seven ordinary calendar days. The filing record should preserve the submission time, acknowledgements and copies sent to the company.

Why “encumbrance” is broader than a document titled pledge

Regulation 28(3) deliberately uses broad language: pledge, lien or any transaction by whatever name called. The label chosen by a lender or promoter is not decisive. The practical test is what rights the arrangement gives a third party and whether it restricts the promoter’s ability to deal with the shares.

SEBI’s FAQ 70, reproduced in an adjudication order, states: The promoters have to understand the nature of encumbrance and those encumbrances which entail a risk of the shares held by promoters being appropriated or sold by a third party, directly or indirectly are required to be disclosed to the stock exchanges in terms of the Takeover Regulations, 2011.

That explanation focuses on the economic and legal effect of the arrangement. A transaction can require disclosure even when it does not use the word pledge, if a third party can ultimately appropriate, invoke or sell the shares, directly or indirectly.

Liens and security interests

A lien over promoter shares falls within the express wording of Regulation 28(3). The disclosure should identify the type of lien or security arrangement and the entity benefiting from it, together with the affected number and percentage of shares.

Non-disposal undertakings

A non-disposal undertaking can restrict the promoter from selling, transferring or otherwise dealing with shares. The SEBI adjudication material treats such arrangements, and other covenants or agreements that impair the promoter’s rights, as part of the encumbrance analysis where they create the relevant risk. Calling the document an undertaking rather than a pledge does not by itself remove the disclosure question.

Other restrictive covenants

Voting restrictions, transfer controls, negative covenants and layered financing arrangements require a facts-and-effect review. The key questions are whether the promoter’s rights are impaired and whether a third party could obtain control, appropriation or sale rights if specified conditions occur. When the arrangement has that character, the safer compliance approach is to assess it under Regulation 31 instead of relying on its contract label.

Reason-for-encumbrance disclosures

SEBI issued Circular SEBI/HO/CFD/DCR1/CIR/P/2019/90 on 7 August 2019 titled “Disclosure of reasons for encumbrance by promoter of listed companies.” A promoter preparing a filing should check the requirements of that circular and the current exchange filing workflow for the transaction. The reason information is a separate compliance element from the basic creation, invocation or release particulars.

For example, identifying the beneficiary and the number of shares does not necessarily answer the reason-disclosure requirement. The filing team should map the transaction purpose to the circular and use the form and exchange process applicable at the time of filing.

How to analyse a no-encumbrance report followed by a pledge

Issue to compare Earlier report Later transaction
Relevant date The reporting date for which the promoter stated its shareholding and encumbered holding. The date on which the pledge or other arrangement was created.
Legal form The disclosure status at that point in time. Pledge, lien, non-disposal undertaking or another arrangement, assessed by its effect.
Third-party rights Whether any shares were then subject to rights of appropriation, invocation or sale. Whether the new arrangement gives a third party those rights directly or indirectly.
Quantity and percentage Promoter and encumbered holdings shown for the reporting date. Number and percentage of shares newly affected and the post-event encumbered holding.
Filing route The filing made for that reporting point. Fresh filing within seven working days to every listed exchange and the company.
Reason disclosure Any requirement applicable to the earlier filing. Whether the 7 August 2019 SEBI circular and the current exchange process require reasons for this event.

This comparison prevents a common error: treating a zero figure in the earlier column as if it were a contractual restriction on the later column.

A practical compliance workflow for a new pledge

1. Identify the people and securities covered

List every promoter and person acting in concert with the promoter, then map the shares held by each. Confirm the target company’s listed exchanges and the share class involved.

2. Read the transaction documents for substance

Do not stop at the heading. Review pledge agreements, facility documents, escrow terms, non-disposal undertakings, voting arrangements and side letters for rights that could restrict transfer or permit appropriation, invocation or sale.

3. Establish the creation event

Record the date on which the encumbrance legally came into existence. Keep the executed documents and evidence supporting that date so the seven-working-day calculation can be audited.

4. Calculate the affected holdings

Calculate the number and percentage of shares affected and the resulting post-event encumbered holding. The percentage should be stated on the basis required by the Regulation 31 form and reconciled with the company’s capital records.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Complete the prescribed form

Select creation, identify the encumbrance type and beneficiary, and include the promoter table required by the form’s footnote. Add the reason information required under the applicable SEBI circular and exchange process.

6. File and preserve evidence

Submit to every stock exchange where the shares are listed and to the company’s registered office within seven working days. Preserve acknowledgements, the final signed form and the supporting contracts.

7. Track later events separately

Monitor for invocation, partial release, full release, refinancing or replacement of security. Each creation, invocation or release event needs its own Regulation 31 analysis and deadline.

Common mistakes and how to avoid them

  • Assuming zero means permanent freedom from filing: Treat the earlier number as a snapshot and test every later transaction independently.
  • Waiting for invocation before filing: Creation itself is a reportable event; invocation is not the first point at which disclosure becomes necessary.
  • Counting calendar days: Calculate seven working days using the applicable regulatory and exchange calendar.
  • Filing only with one exchange: Send the disclosure to every exchange where the shares are listed and to the company.
  • Using the contract label as the answer: Examine whether a lien, undertaking or covenant creates the same practical risk as a pledge.
  • Reporting only the newly affected shares: Use the official form’s promoter-level table and include the required reporting-date holdings.
  • Leaving out the reason: Check the 7 August 2019 SEBI circular and current exchange workflow for reason-disclosure requirements.

Illustrative timeline

Assume a promoter’s filing reports zero encumbered shares as of 31 March. On 10 June, the promoter executes a security arrangement that gives a lender rights over 100,000 shares. The 31 March statement remains accurate for 31 March; it does not describe the 10 June event. The 10 June arrangement must be assessed as a creation of encumbrance, and the Regulation 31 filing is due within seven working days from creation. If the lender invokes the security on a later date, that invocation requires another disclosure. If the lender releases the security after repayment, the release is another event with its own seven-working-day period.

What investors should check in the filings

When a promoter moves from a zero-encumbrance report to a later pledge, investors can reconcile the reporting date of the earlier statement with the creation date in the new filing. They should check the type of arrangement, beneficiary, number and percentage of shares, post-event encumbered holding, the listed exchanges receiving the filing and the reason information where applicable. A change after the earlier reporting date is not, by itself, evidence that the earlier report was false; the dates and event descriptions determine whether the disclosures align.
