Can International Investors Buy Shares in Nigerian Companies?

Yes. International investors can buy shares listed on the Nigerian Exchange (NGX). To trade, you need an NGX-registered stockbroker, and you should confirm that the broker accepts clients resident in your country. The practical steps are account onboarding, custody, funding and settlement—not a guarantee that every broker or bank offers the same services.

Who can buy Nigerian shares?

NGX guidance expressly says domestic and foreign investors may trade on the exchange and hold assets through the Central Securities Clearing System (CSCS). A securities dealer or stockbroker that is an NGX-registered Trading License Holder must facilitate purchases in primary offerings or on the secondary market. NGX investor guidance

The Securities and Exchange Commission (SEC) requires operators in Nigeria to register before commencing operations. Before choosing an intermediary, check its current registration and permitted functions in the SEC operator directory. Registration alone does not establish that a firm will onboard someone resident in your country; ask the firm directly.

This guidance concerns buying listed shares and portfolio investment. It does not establish the rules for acquiring a controlling stake, buying private-company shares, investing in restricted sectors, or each investor’s tax obligations.

How to buy NGX shares from abroad

  1. Choose and verify a stockbroker

Contact an NGX-registered broker and ask whether it accepts clients resident in your country, what dealing channels it provides, and what its account and trading fees and minimums are. Verify the operator and its relevant functions with the SEC before sending personal information or money. NGX investor guidance · SEC operator directory

  2. Complete identity checks and open an account

The broker will facilitate the trading-account opening and request documents that meet its regulatory KYC requirements. CSCS describes onboarding for individual, joint, corporate and estate account categories, but the public summaries do not provide one universal document checklist for non-residents. Ask your chosen broker for its current identity, address, tax and entity-document requirements. If you already have a Clearing House Number (CHN), CSCS says to give it to the broker when creating a new CSCS account number. NGX investor guidance · CSCS client onboarding

  3. Confirm custody arrangements

NGX says investors may hold assets through CSCS, the licensed central depository for securities clearing and settlement. CSCS says an investor needs a stockbrokerage account before opening a CSCS account. Ask the broker how your holdings and account activity will be reported and whether any separate CSCS setup is needed for your circumstances. NGX investor guidance · CSCS FAQs

  4. Agree funding and records with the receiving bank

A CBN-published portfolio-investment memorandum describes an investor appointing a local bank or broker, transferring funds electronically to a designated bank, receiving a Certificate of Capital Importation (CCI) after receipt, and presenting the CCI when divesting. This is dated guidance, not a guarantee of current foreign-exchange processing or a complete statement of today’s requirements. Before transferring funds, tell the receiving authorized bank that they are for investment and confirm its current process for funding, currency conversion, CCI issuance, dividends, sale proceeds and repatriation. Keep the bank’s transfer and investment records. CBN portfolio-investment memorandum

  5. Check settlement and your broker’s funding rules

For eligible equities trades cleared and settled by CSCS, the settlement cycle moved to T+1 on June 1, 2026, according to the SEC. In an August 12, 2026 clarification, the SEC said settlement is at 5:00 p.m. T+1 and that foreign portfolio investors are not required to prefund their accounts. The SEC’s statement does not mean a broker must extend credit or waive its own funding procedures; operators handling these trades still need processes for timely funding and settlement. Confirm when your broker requires money to be available and how its arrangements apply to your trade. SEC T+1 transition notice · SEC T+1 clarification

What to confirm before investing

  • With the broker: acceptance of residents of your country; identity, address, tax and entity documents; charges and minimums; dealing channels; custody and account reporting; and its funding and withdrawal procedures.
  • With the receiving bank: current foreign-exchange conversion, CCI, dividend, proceeds and repatriation processes. Do not treat the dated CBN memorandum as a guarantee of current processing.
  • With a qualified tax adviser: tax treatment in Nigeria and any reporting obligations in your country of residence. The public material cited here does not settle tax rates or country-specific eligibility.

SEC’s Q2 2026 circular requires relevant operators to report foreign portfolio investment holdings in Nigerian companies. That confirms foreign portfolio investment is recognized in the market’s reporting framework, but it is not a complete statement of every investor’s eligibility rules. SEC Q2 2026 circular
