Can Individuals Buy a Minority Stake in a Professional Sports Team? Costs, Access and Risks

Yes, but usually only through a private, league-approved transaction. An individual may buy a minority interest from an existing owner, invest through a fund or consortium, or join a regulated private placement. This is not like buying a share on a stock exchange: eligibility, minimum capital, voting rights, fees, resale options and even the buyer’s identity are controlled by league rules, team documents and the specific offering.

What “minority stake” means

A minority stake is an ownership interest smaller than the controlling share of a franchise. It can represent a small percentage of the team’s equity, an interest in an ownership company that holds the team, or a class of securities with limited economic rights. The percentage printed in a term sheet does not by itself tell you how much influence or money you will receive.

Your rights depend on the legal structure. A direct member of the team’s ownership company might receive votes, information and distributions. An investor in a fund or special-purpose LLC may instead own only an interest in that vehicle. The fund manager, not each investor, may exercise the team-level voting rights.

Professional leagues treat ownership as a regulated matter. A proposed buyer can be subject to background checks, financial-source reviews, ownership caps, prohibited-owner rules, cross-ownership restrictions and formal approval. The NBA, NFL, NHL, MLB, MLS and NWSL have each changed their policies to permit private-equity participation to varying degrees, but their limits and conditions are not interchangeable. A January 2026 comparison by Clifford Chance documents those differences.

How an individual can obtain an interest

Private secondary sale

An existing owner or ownership group can negotiate a sale of part of its interest. The buyer and seller set the price, percentage, payment schedule, representations, information rights and transfer provisions. The transaction still needs whatever approvals are required by the team’s governing documents and the league. There is no public order book showing available stakes or a continuously quoted market price.

A secondary sale can be direct, but many teams use a holding company. Read the capitalization table and the governing agreement to determine whether you are buying team equity, holding-company equity, preferred securities, or a contractual participation in future proceeds.

Fund or consortium investment

A fund or consortium pools money from several investors and buys an approved interest. This route can make a large transaction accessible to a qualified individual without that person negotiating directly with the selling owner. In exchange, the investor accepts the fund’s operating agreement, fee schedule, capital-call provisions and exit rules.

Fund-level ownership commonly means no individual team vote, board seat or veto. The documents may provide periodic reports and a share of distributions, but those rights are different from owning a membership interest in the team’s ownership company. Ask whether the manager can sell, refinance, pledge or dilute the vehicle’s stake without each investor’s consent.

Rule 506 private placement

Many private sports opportunities are offered under Regulation D. In a Rule 506(c) offering, the issuer may advertise publicly, but every purchaser must be accredited and the issuer must take reasonable steps to verify that status. Form D is due to the Securities and Exchange Commission within 15 days after the first sale, according to SEC guidance last reviewed in 2026. The securities remain restricted.

Rule 506(b) permits sales to an unlimited number of accredited investors and no more than 35 non-accredited investors who meet the rule’s sophistication requirements. General solicitation is not allowed, and the disclosure obligations differ from a 506(c) offering. The exemption from registration does not turn the interest into a liquid or exchange-traded security.

Community ownership

Green Bay’s nonprofit stock offerings show a different model. The Packers’ 2022 announcement limited each buyer to 200 shares and stated that “Stock in the Packers does not constitute an investment in ‘stock’ in the common sense of the term.” Transfers are severely restricted. This type of fan participation should not be treated as an economically equivalent substitute for a minority stake in a conventional, profit-seeking franchise.

Who is allowed to invest?

Accredited-investor test in the United States

For a natural person, the SEC’s Investor.gov definition (2021) includes any of these common tests:

  • Income above $200,000 in each of the previous two years, with a reasonable expectation of reaching that level in the current year.
  • Joint income with a spouse or equivalent above $300,000 in each of the previous two years, with a reasonable expectation of the same current-year income.
  • Net worth above $1 million, alone or jointly, excluding the value of the primary residence.
  • Holding certain professional licenses, including Series 7, Series 65 or Series 82.

An issuer may require documentary verification rather than accepting a checkbox. In a 506(c) deal, expect requests such as tax documents, brokerage or bank statements, a consumer-report confirmation of liabilities, or a written confirmation from a qualified professional. The exact verification process is set by the issuer and its counsel.

League and transaction eligibility

Accreditation is only one gate. The league, team and ownership vehicle can impose additional requirements, including minimum financial resources, residency or citizenship rules, limits on the number of owners, restrictions on owners of other teams, and approval of the source of funds. A person who qualifies under SEC rules can still be rejected by a league or team.

How much does a minority stake cost?

There is no universal minimum or reliable “typical” price. The starting calculation is the implied equity value:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Team valuation × ownership percentage = headline equity value.

That figure is only a starting point. The final commitment can be higher or lower depending on debt, preferred-return features, discounts or premiums, fees, future capital calls and the rights attached to the interest. A 1% interest with strong voting and distribution rights is not economically identical to a 1% interest that is subordinated, non-voting and subject to dilution.

Cost element What to calculate Why it changes the economics
Purchase price Valuation multiplied by the percentage or units purchased Different valuation methods and share classes can produce different prices for the same stated percentage.
Fund management fee Annual fee, its base and duration A fee on committed capital can continue even before the vehicle receives distributions.
Carried interest Manager’s share of profits and any preferred return or waterfall It reduces the investor’s net proceeds after a sale or distribution.
Transaction and legal expenses One-time costs and expenses charged to the vehicle These lower the amount actually invested in the team interest.
Capital calls Remaining commitment and circumstances allowing further contributions Failure to fund a call can lead to dilution, penalties or forfeiture under the agreement.
Debt and preferred terms Team or vehicle borrowings, interest, repayment priority and guarantees Leverage can increase gains but magnify losses; preferred claims may be paid before common holders.

Goldman Sachs Private Wealth Management’s 2024 research describes growing interest in sports investing, including minority ownership for qualified individuals, and identifies the cost of acquiring an MLS team as a risk factor. It does not establish a single minimum for every offering. Do not rely on a headline valuation, a celebrity association or a verbal estimate; use the current private-placement memorandum and capitalization table.

What rights will you actually receive?

Compare an opportunity on the terms that determine control and cash flow, not just the percentage. The offering documents should specify:

  • Voting: votes per unit, matters requiring consent, and whether the manager can vote the interest without investor instructions.
  • Information: frequency and quality of financial statements, budgets, league reports and inspection rights.
  • Board or observer rights: whether any seat, observer position or committee access is included.
  • Distributions: the policy for operating cash, sale proceeds, refinancing proceeds and reserves, including the tax treatment of allocations.
  • Dilution: what happens if the team raises capital, issues new units or an owner does not fund a call.
  • Transfer and exit: lockups, permitted transfers, right-of-first-refusal provisions, valuation procedures and required team, league or manager consent.
  • Cross-ownership and league limits: restrictions that could block a transfer to an otherwise qualified buyer.

Liquidity and resale: why exit is difficult

Private-placement interests are generally hard to sell. SEC Investor.gov warns that private placements can be highly illiquid, provide limited mandated disclosure and expose investors to a total loss. A resale may require consent from the team, league, manager or other members, and the documents may prohibit transfers for years or limit them to approved buyers.

There is also no assurance that a later buyer will value the interest using the same method as the original transaction. A sale can be delayed by league review, a right of first refusal, an unresolved capital call, a change in control or a dispute over the vehicle’s net asset value. Plan on holding the interest for an indefinite period unless the documents provide a clearly funded redemption or sale mechanism; even then, the mechanism may be conditional rather than guaranteed.

Key risks beyond illiquidity

Total-loss and operating risk

The SEC says an investor should be able to afford losing the entire investment. Franchise values can be affected by media-rights contracts, attendance, sponsorship, venue economics, league policy, team performance, labor disputes and interest rates. A valuable brand does not guarantee distributions or a profitable exit.

Valuation and leverage risk

A private valuation is negotiated, not continuously tested by a public market. Debt at the team or holding-company level can magnify a decline in equity value. Review maturity dates, floating-rate exposure, covenants, refinancing assumptions and the order in which lenders, preferred holders and common holders are paid.

Control and governance risk

A small holder may have no operational control, board seat or meaningful veto. Related-party transactions, executive compensation, venue agreements and media arrangements can affect returns even when the team performs well. Check who can approve those transactions and what remedies exist for conflicts.

Regulatory and dilution risk

Ownership caps, prohibited-owner rules and approval standards differ by league and can change. A future financing round or capital call can reduce your percentage if you cannot or do not participate. The governing agreement should explain notice periods, pricing and consequences.

Fee, tax and reporting risk

Management fees, carried interest, accounting costs and transaction expenses reduce net returns. Investors may receive partnership tax forms rather than simple dividend statements and may owe tax before receiving cash. Have a tax professional review allocations, withholding, state filings and unrelated-business or cross-border issues where relevant.

Due-diligence checklist before committing money

Request the documents below and have an attorney and tax adviser review them before signing:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Private-placement memorandum: offering terms, risk factors, conflicts, use of proceeds and subscription procedures.
  2. Subscription agreement: representations, accreditation evidence, funding deadlines and default remedies.
  3. Capitalization table: every class of equity, options, warrants, preferred claims and ownership percentages before and after the transaction.
  4. Valuation materials: methodology, comparable transactions, assumptions and the date of the valuation.
  5. Financial statements: audited or reviewed statements, budgets, cash-flow forecasts and management commentary.
  6. Debt schedule: principal, rates, maturities, covenants, collateral and guarantees.
  7. Ownership-vehicle agreement: voting delegation, fees, distributions, capital calls, transfer rules and removal rights.
  8. League approval evidence: the approval letter or process, ownership caps and any conditions imposed.
  9. Operating obligations: stadium leases, media commitments, insurance, sponsorship liabilities and league assessments.
  10. Exit scenarios: sale, refinancing, redemption, dissolution and what happens if no buyer is found.
  11. Service-provider checks: verify the adviser or broker’s registration and disciplinary history through the relevant regulator.

For a Rule 506(c) offering, confirm how accredited status will be verified and whether the issuer has filed Form D on time. Treat promotional material, a solicitation, a celebrity endorsement or team branding as marketing—not evidence of liquidity, league approval or expected returns.

How to compare routes

Route Typical rights Accreditation and approval Fees and liquidity
Direct secondary sale May include direct team or holding-company votes, information rights and negotiated protections Seller, team and league approval; additional eligibility rules may apply Negotiated costs; resale remains restricted and there is no public market
Fund or consortium Usually fund or LLC units; manager often controls team-level votes Fund terms plus league approval of the vehicle and its owners Management fees, carried interest and possible capital calls; exit depends on fund documents
Rule 506(c) private placement Rights set by the offering and security class Every purchaser accredited and reasonably verified; issuer files Form D within 15 days after first sale Restricted securities with limited disclosure and difficult resale
Rule 506(b) private placement Rights set by the offering and security class Unlimited accredited investors plus no more than 35 qualifying non-accredited investors; no general solicitation Restricted securities; disclosure and transfer terms vary by offering
Community ownership Participation rights defined by the nonprofit model, not conventional economic control Program-specific rules; not a substitute for a league-approved franchise stake Transfers can be severely restricted; economic return is not the purpose

Is a sports-team minority stake a good investment?

It can provide exposure to a scarce asset and, in some structures, potential distributions or appreciation. Those attractions do not remove private-market risks. A sensible decision starts with the investment’s place in your overall portfolio, the possibility of a total loss, the absence of a dependable exit and the effect of fees, taxes and future capital calls.

Proceed only when you understand the exact entity you will own, the rights attached to it, the maximum amount you may have to contribute, how conflicts are handled and how you could leave. If the documents cannot answer those questions, the opportunity is not ready for a commitment, regardless of the team’s popularity.
