Can a Fintech Start Operating After Incorporation? 7 Myths to Reconsider

No: incorporating a fintech company does not, by itself, authorize it to provide regulated financial services. Incorporation creates a legal entity under the relevant company law; separate rules may apply to the activities that entity performs. Which rules matter depends on the jurisdiction and the business model.

These seven common assumptions can lead founders to mistake company formation for regulatory clearance—or to take on filing and disclosure obligations they did not expect. The examples below are jurisdiction-specific, not a universal licensing checklist.

Myth 1: Incorporating means we are licensed

Incorporation establishes the company; it does not automatically grant permission to carry out regulated financial activities. In the UK, Companies House describes incorporation as registering a business as a limited company with a legal identity separate from its owners or operators. Whether the company also needs an authorization depends on what it does and where it does it. FINMA and Japan’s Financial Services Agency describe activity-specific regulatory requirements in their jurisdictions.

For a UK company, being incorporated is what allows it to operate as a limited company; that is not the same as permission to provide every financial service. See Companies House guidance on incorporation and company names.

Myth 2: Every fintech needs the same license

“Fintech” describes a broad range of businesses, not one regulatory category shared across countries. In Switzerland, FINMA tells firms to assess whether their planned activities trigger anti-money-laundering or authorization requirements. Its examples include payment transactions, currency exchange, fiduciary services, asset management, lending, leasing, issuing payment instruments, and accepting client assets. The relevant test is the actual service and role, not simply the technology or the company’s label.

Japan provides a separate example: its regulator’s materials describe registration requirements for specified crypto-asset exchange and securities-related activities. That does not mean every Japanese fintech needs those registrations, or that Swiss rules apply elsewhere. FINMA’s page cites guidance last updated in 2021; the Japan FSA link is a 2018 publication. Check current rules for the jurisdiction and activity before relying on either example: FINMA’s fintech guidance and the Japan FSA FinTech Support Desk.

Myth 3: A US money-services-business registration is a one-time formation task

In the United States, FinCEN says that most money services businesses (MSBs), subject to limited exceptions, must register with the Treasury Department. One exception described by FinCEN is a person acting solely as an agent of another MSB. The obligation depends on whether the business’s actual activity makes it an MSB; the word “fintech” alone does not settle that question.

For an MSB that must register, FinCEN says the owner or controlling person is responsible. Form 107 is generally due within 180 days after the MSB is established, registration must be renewed every two years, and registration records must be kept at a US location for five years. These are US MSB requirements, not general incorporation deadlines for every startup. Consult FinCEN’s MSB registration guidance and classify the business under current US rules.

Myth 4: Incorporation ends the company’s paperwork

Formation is a starting point, not the end of a company’s filing obligations. For UK limited companies, Companies House lists annual accounts, confirmation statements, and notices of certain changes among the ongoing duties. Requirements vary by jurisdiction and entity type; the UK example should not be treated as a filing schedule for companies elsewhere.

The Companies House guidance was updated on 21 July 2026. Founders forming a UK limited company can use its incorporation and names guidance to check the duties it describes.

Myth 5: Our incorporation filing is all a bank may need to understand ownership

Company formation records and a financial institution’s customer checks serve different purposes. Under FinCEN’s customer due diligence (CDD) rule, covered US financial institutions collect identifying information for individuals who own 25% or more of a covered legal-entity customer, if any, and for an individual with significant responsibility to control or manage it.

That is a covered institution’s due-diligence obligation when onboarding a covered legal-entity customer—not a general company-formation filing required of every startup. FinCEN’s FAQ, updated on 6 May 2026, also distinguishes sole proprietorships and unincorporated associations from legal-entity customers under the rule. See FinCEN’s CDD Rule FAQs.

Myth 6: A founder’s home address stays private if it is used for company records

In the UK, Companies House warns that a home address used as a company’s service address or registered office is freely available online. That makes address choice a disclosure consideration as well as an administrative one. Check current UK rules and available arrangements before using a residential address; do not assume the same disclosure rules apply in another country.

Companies House explains this issue in its incorporation and names guidance.

Myth 7: A formation template can settle every structure and compliance question

Standard guidance and templates can help with common formation cases, but they cannot determine every founder’s best structure or whether a particular financial activity needs authorization. Companies House says its guide covers the most common cases and filings, and that professional advice may be needed in unusual or complex situations.

For a fintech, those complications may include how the product works, who handles customer assets or transactions, and which jurisdictions are involved. Use formation guidance for the company-law steps it covers; get advice from a qualified professional familiar with the relevant jurisdiction and activity when those facts raise regulatory or structural questions. Companies House sets out the limits of its guidance in its incorporation guidance.
